A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY OF
AUBURN TO EXECUTE AN AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN
THE CITY AND TMODEL CORPORATION, FOR THE PURPOSE OF UPDATING,
CALIBRATING, AND DOCUMENTING THE CITY'S TRANSPORTATION MODEL.
THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS:
Section 1. The Mayor and City Clerk of the City of Auburn,
Washington, are hereby authorized to execute an Agreement for
Professional Services between the City and Tmodel Corporation,
for the purpose of updating, calibrating, and documenting the
City's Transportation Model. A copy of said Agreement is
attached hereto, designated as Exhibit "A" and incorporated by
reference in this Resolution.
Section 2. The Mayor is hereby authorized to implement
such administrative procedures as may be necessary to carry out
the directires of this legislation.

AGREEMENT FOR PROFESSIONAL SERVICES
THIS AGREEMENT made and entered into by and between the CITY OF AUBURN, a
Municipal Corporation in King County, Washington, hereinaf~er referred to as "CITY" and with
TModel Corporation, a Washington corporation whose address is 17520 Vashon Highway, SW,
P.O. Box 1850, Vashon, Washington 98070,, hereinaf~er referred to as "CONSULTANT".
In consideration of the covenants and conditions of this Agreement, the parties hereby
agree as follows:
1. SCOPE OF WORK.
See Appendix A
2. TERM.
The term of this agreement shall be until the scope of work is completed or a
maximum of 75 days from receipt of notice to proceed, whichever is less.
3. COMPENSATION.
See Appendix B
In the event services beyond those specified in the Scope of Work, and not included in
the compensation listed in this agreement are required, a contract modification shall be
negotiated and approved by the CITY prior to any effort being expended on such
services

4. RF~SPONSIRII ,ITY OF CONSUl ,TANT.
The CONSULTANT shall be responsible for the professional quality, technical accuracy,
timely completion and the coordination of all studies, analysis, designs, drawings, specifications,
reports and other services performed by the CONSULTANT under this Agreement. The
CONSULTANT shall, Without additional compensation, correct or revise any errors, omissions
or other deficiencies in its plans, designs, drawings, specifications, reports and other services
required. The CONSULTANT shall perform its services to conform to generally accepted
professional transportation planning standardsand the requirements of the CITY.
Any approval by the CITY under this Agreement shall not in any way relieve the
CONSULTANT ofxesponsibility for the technical accuracy and adequacy of its services. Exc.~pt
as otherwise provided herein, neither the CITY'S review, approval or acceptance of, nor payment
for, any of the services shall be construed to operate as a waiver of any fights under this
Agreement or of any cause of action arising out of the performance of this Agreement to the full
extent of the law.
5. INDEMNIFICATION/HOLD HARMI,ESS.
The CONSULTANT shall indemnify and hold the CITY and its officers and employees harmless
from and shall process and defend at its own expense all claims, demands, or suits at law or
equity arising in whole or in part from the CONSULTANT'S negligence or breach of any of its
obligations under this Agreement; provided that nothing herein shall require the CONSULTANT
to indemnify the CITY against and hold harmless the CITY from claims, demands or suits based
solely upon the conduct of the CITY, their agents, officers and employees and provided further
that if the claims or suits are caused by or result from the concurrent negligence of (a) the
CONSULTANT'S agents or employees and (b) the CITY, their agents, officers and employees,
this indemnity provision with respect to (1) claims or suits based upon such negligence, (2) the

costs to the CITY of defending such claims and suits, etc. shall be valid and enforceable only to
the extent of the CONSULTANT'S negligence or the negligence of the CONSULTANT' S
agents or employees. The provisions of this section shall survive the expiration or termination of
this Agreement.
6. INDEPENDENT CONTRACTOR/ASSIGNMENT.
The parties agree and understand that the CONSULTANT is an independent contractor
and not the agent or employee of the CITY and that no liability shall attach to the CITY by
reason of entering into this Agreement except as otherwise provided herein. The parties agree
that this Agreement may not be assigned in whole or in part without the written consent of the
CITY. .~- ~
7. INSURANCE.
CONSULTANT shall procure and maintain for the duration of this Agreement,
commercial general liability insurance against claims for injuries to persons or damage to
property which may arise from or in conjunction with services provided to the CITY' by the
CONSULTANT, its agents, employees or subcontractors, under this Agreement. The
CONSULTANT agrees to provide commercial general liability insurance and shall maintain
liability limits of no less then ONE MILLION DOLLARS ($1,000,000) per occun'ence and ONE
MILLION DOLLARS ($1,000,000) general aggregate. The CONSULTANT shall also provide
and maintain professional liability coverage in the minimum liability limits of ONE MILLION
DOLLARS ($1,000,000) per claim and ONE MILLION DOLLARS ($1,000,000) aggregate.
The general liability coverage shall also provide that the CITY, its officers, employees
and agents are to be covered as additional insured as respects: Liability arising out of the
services or responsibilities performed by or under obligation of the CONSULTANT under the
terms of this Agreement, by the CONSULTANT, its employees, agents and subcontractors.

Both the general liability and professional liability coverage shall provide that the
CONSULTANT'S insurance coverage shall be primary insurance as respects the CITY, its
officials, employees and agents. Any insurance or self insurance maintained by the CITY, its
officials, employees or agents shall be excess to the CONSULTANT'S insurance and shall not
contribute with it. Each insurance policy required by this section of the Agreement shall be
endorsed to state that coverage shall not be suspended, voided, or canceled except when thirty
(30) days prior written notice has been given to the CITY by certified mail return receipt
requested. All insurance shall be obtained from an insurance company authorized to do business
in the State of Washington. The CONSULTANT agrees to provide copies of the certificates of
insurance to the CITY specifying the coverage required by this section within 14 days of the
execution of this Agreement. The CITY reserves the right to require that complete, certified ~
copies of all required insurance policies be submitted to the CITY at any time. The CITY will
pay no progress payments under Section 3 until the CONSULTANT has fully complied with this
section.
8. NONDISCRIMINATION.
The CONSULTANT may not discriminate regarding any services or activities to which
this Agreement may apply directly or through contractual, hiring, or other arrangements on the
grounds of race, color, creed, religion, national origin, sex, age, or where there is the presence of
any sensory, mental or physical handicap.
9. OWNERSHIP OF RECORDS AND DOCUMENTS.
The CONSULTANT agrees that any and all drawings, computer discs, docun~ents,
records, books, specifications, reports, estimates, summaries and such other information and
materials as the CONSULTANT may have accumulated, prepared or obtained as pax~ of
providing services under the terms of this Agreement by the CONSULTANT, shall belong to and
shall remain the property of the CITY OF AUBURN. In addition, the CONSULTANT agrees to

maintain all books and records relating to its operation and concerning this Agreement for a
period of six (6) years following the date that this Agreement is expired or otherwise terminated.
The CONSULTANT further agrees that the CITY may inspect any and all documents held by the
CONSULTANT and relating to this Agreement upon good cause at any reasonable time within
the six (6) year period. The CONSULTANT also agrees to provide to the CITY, at the CITY'S
request, the originals of all drawings, documents, and items specified in this Section and
information compiled in providing services to the CITY under the terms of this Agreement.
Reuse by the CITY of any of the drawings, computer discs, documents, records, books,
specifications, reports, estimates, summaries and such other information and materials on
extensions of this project or any other project without the written permission of the
CONSULTANT sh~all be at the CITY'S sole risk and the CITY agrees to defend, indemnify an~d
hold harmless the CONSULTANT from all claims, damage and expenses including attomey's
fees arising out of such unauthorized reuse of the CONSULTANTS drawings, computer discs,
documents, records, books, specifications, reports, estimates, summaries and such other
information and materials by the CITY, it's officials, employees, agents, or others that may
obtain the information from the CITY.
10. TERMINATION OF AGREEMENT.
This Agreement may be terminated by either party upon twenty (20) days written notice
to the other party, and based upon any cause. In the event of termination due to the fault of
other(s) than the CONSULTANT, the CONSULTANT shall be paid by the CITY for' services
performed to the date of termination.
Upon receipt of a termination notice under the above paragraph, the CONSULTANT
shall (1) promptly discontinue all services affected as directed by the written notice, and (2)
deliver to the CITY all data, drawings, specifications, reports, estimates, summaries, and such

other information and materials as the CONSULTANT may have accumulated, prepared or
obtained in performing this Agreement, whether completed or in process.
11. GENERAI, PROVISIONS.
11.1. This Agreement shall be govemed by the laws, regulations and ordinances of the
City of Auburn, the State of Washington, King County, and where applicable, Federal laws.
11.2. All claims, disputes and other matters in question arising out of, or relating to, this
Agreement or the breach hereof, except with respect to claims which have been waived, will be
decided by a court of competent jurisdiction in King County, Washington. Pending final
decision of a dispute hereunder, the CONSULTANT and the CITY shall proceed diligently with
the performance of the services and obligations herein.
11.3. The .CITY and the CONSULTANT respectively bind themselves, theix' partners.,..
successors, assigns, and legal representatives to the other party to this Agreement with respect to
all covenants to this Agreement.
11.4. This Agreement represents the entire and integrated Agreement between the CITY
and the CONSULTANT and supersedes all prior negotiations, representations or agreements
either oral or written. This Agreement may be amended only by written instrument signed by
both the CITY and the CONSULTANT.
11.5. Should it become necessary to enforce any term or obligation of this Agreement,
then all costs of enforcement including reasonable attorneys fees and expenses and court costs
shall be paid to the substantially prevailing party.
11.6. The CONSULTANT agrees to comply with all local, state and federal laws
applicable to its performance as of the date of this Agreement.
11.7. If any provision of this agreement is invalid or unenforceable, the remaining
provisions shall remain in force and effect.

APPENDIX A
PROJECT TASKS
The tasks proposed for this project are described in detail in approximate order of completion. The
documentation task is described at the end of this section. However, this tasks is intended to be
ongoing throughout the project. It is anticipated that we will work closely with City of Auburn staff to
maximize the technology transfer and to insure that staff provides input on and is aware of all model
assumptions. The proposed schedule, including the timing of the tasks, is shown in the next section.
Review Existing Model Structure - The goals of the revised model will be discussed with Auburn
staff. These goals will be documented and used to evaluate the current model and to set the framework
for the revised model. The existing model structure will then be evaluated and revised as necessary. It
is understood that it is desired to add more detail in the Auburn Downtown and to insure 'that the model
provides the outputs needed for the development of Transportation Mitigation Fees. TModel
Corporation staff members developed the original Auburn model and are familiar with its basis.
The existing model structure definitions and descriptions for class, area, and type for links and nodes
will be reviewed and revised as necessary. Zone boundaries, including adding more detail in the
Auburn Downtown~nd"centroid loading connections will be examined.
During this review process, major streets and areas of concern in the Auburn area will be driven by
TModel Corporation personnel and videotaped. The videotape will be used to review areas of question
during the calibration process.
Develop Revised Network Files - The consultant team will work with Auburn staff to incorporate the
changes. Plots will be made of all the existing model attributes and supplied to Auburn Staff for review
and comment. The modifications will be coded by TModel Staff. The changes will be documented
along with the procedure for making the changes so that Auburn staff can make future modifications as
well. These modifications may include changes to the model boundaries, zone boundaries, centroid
connection locations, and link and node characteristics. This task includes revising the zone maps and
tenumbering the zone system as necessary.
Update Traffic Count Information - Current turning movement and directional counts supplied by the
City of Auburn will be entered into the model. It is desired that the directional volumes and turfling
movement locations be supplied on a network plot. Updated volume counts for areas outside of the
City and on State facilities should be collected by City of Auburn staff and supplied to the consultant.
Enter Land Use Data - Listings of current land use totals in the revised zone structure will be supplied
to Auburn Staff by TModel Corporation. This includes updating the zones outside of the City of
Auburn using PSRC data. City of Auburn Staff should request the land use quantities from the PSRC
for the years of 1990, 2000, and 2010 and any other available intermediate year in spreadsheet form.
These values will be transferred to the City of Auburn land use categories and interpolated to reflect
the 1998 base year. The land use values will be checked and revised as necessary by Auburn Staff. The
revised quantities will be entered by TModel Corporation.

Develop Revised MPA Equivalencies - TModel staff will plot the existing MPA (Multi-Point
Assignment) equivalencies and load points. These will be reviewed and revised on the plot by Auburn
staff. These will be used in the model to insure the access points for each zone are properly
represented and modeled. These are especially important for the turning movement outputs.
Recommend/Revise Trip Generation Rates - The trip generation strategy currently in use will be
reviewed and revised as necessary. Auburn staff will be included in the review process. The trip
generation rates derived through this process will be disaggregated into the trip purposes (HBW, HBO,
NHB) for modeling and will be used in the initial re-calibration runs. Trip generation rates may be
revised during the actual calibration according to the results of the calibration runs.
Evaluate External Trip Characteristics - The revised external traffic counts will be used as the
starting place for the evaluation and updating of external traffic. The cxisting external-external (X-X)
traffic volumes will be evaluated and reviewed with Auburn staff. The study team will develop
appropriate internal-external origins and destinations by trip types and develop a through trip table
using data developed from the previous modeling efforts.
Calibration - TModel Corporation personnel will work in conjunction with Auburn staff to recalibrate
the model. It is expected that the calibrafion process will be conducted iteratively so that Auburn staff
are familiar with the process and the adjustments that are made during the process.
Assignment volumes on all screenlines and links will match base-date adjusted ground counts within
limits imposed by graphs on allowable screenline calibration errors and allowable link calibration
errors in NCHRP 255 (pp 41, 49). The process is iterative.
· All data and assumptions will be quantified and coded for modeling.
· A distribution and assignment will be run.
· Resulting volume assignments will be compared against screenline and link volume
ground data.
· Volumes which are not sufficiently well modeled will be analyzed for possible data or
assumption errors.
· Solutions will be recoded into the network, land-use, and or driver behavioral function
coefficients.
· Justifications for alterations will be documented.
· The process will be repeated until calibration accuracies are achieved.
The budget presented in the cost section assume calibration for one selected peak hour.
Traffic Forecasts - This proposal includes tasks to provide traffic forecasts for two future scenarios
for the 2005 forecast year. The efforts for the forecasts include the following tasks:
· Collect forecast land use data from the City for Auburn traffic analysis zones.
· Collect data for perimeter zones from PSRC. Adjust this data to the proper year if
necessary. Adjust the data to the proper categories and zone structure.
· Provide compiled land use to the City for checking.

· Generate future trips.
· Collect growth rates from the City for external zoneS. Adjust the external zones for the
proper forecast year, including through, external-internal and internal-external trips.
· Code the assumed network modifications.
· Run the model for each scenario.
· Provide plots showing volumes, link v/c ratios, and Level of Service using operating
speed as a general criteria.
· Provide summary statistics including Total Trips, VMT (Vehicle Miles of Travel),
VHT (Vehicle Hours of Travel), Average Speed, Miles of Travel, Lane Miles of
Travel, Capacity Miles Available, and average Volume/Capacity ratio.
· Document the improvements made and the assumptions for the forecast year
adjustments.
The budget section includes cost estimates for additional network scenarios. In addition, preliminary
forecast runs may be performed during the calibration process to insure that the model is working right
for the right reasons, not simply due to some compensating base year errors.
Forecast Assistance- TModel Corporation will provide assistance to City of Auburn staff in extract"qing
select link information and the post processing of turning movement forecasts. This assistance will be
provided at either the City of Auburn or TModel Corporation offices by mutual agreement.
Documentation - The model and the modeling process will be documented using both chronological
and contextual methods. A notebook will be kept monitoring the process on a step-by-step, file-by-file
basis. In addition, all quantification of assumptions will be summarized. All plotter outputs of the
network distribution and assignment runs will contain commentary on the analysis of the run as well as
notations concerning corrective measures.
Documentation provided to the City will allow a knowledgeable TModeler to repeat all the processes
undertaken and to run alternative scenarios based on the information it contains along with the set of
computer files.
A final report summarizing the model will be prepared and delivered to the City of Auburn. This will
be an update of the previous model report.

BUDGET
The proposed budget for this project is presented in a table. Project personnel include Mr. Robert
Shull, President and Mr. Brent Cain, Vice President. The respective levels of effort for each of the
proposed options are shown as person-hours. Some minor readjustment between the table categories
may occur during the project.

This assumes two forecast scenarios for the 2005 forecast year. Additional network forecast scenarios
should be budgeted at approximately $600 each. Additional land use or horizon year forecast scenarios
will be more, due to the need to recompile land use data, trip generation, and external growth. Billing
will be for actual time and expenses.
