A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A
CLINIC AGREEMENT WITH VISITING NURSE SERVICES OF THE
NORTHWEST, A NON-PROFIT CORPORATION, TO PROVIDE NURSING
CLINICS AT THE AUBURN SENIOR ACTIVITY CENTER.
THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:
Section 1. The Mayor and City Clerk of the City of Auburn are herewith
authorized to execute a Clinic Agreement between the City of Auburn and Visiting Nurse
Services of the Northwest to provide nursing clinics at the Auburn Senior Activity Center
to assist senior citizens in the maintenance of good health practices. A copy of said
Agreement is attached hereto and denominated Exhibit "A" and incorporated herein.
Section 2. The Mayor is hereby authorized to implement such administrative
procedures as may be necessary to carry out the directives of this legislation.

CLINIC AGREEMENT
Between
The City of Auburn by and for
The City of Auburn Senior Center
And
Visiting Nurse Services of the Northwest
THIS AGREEMENT is made and entered into on this 1st day of July, 2000 by and between
VISITING NURSE SERVICES OF THE NORTHWEST, a nonprofit corporation
organization under the laws of the State of Washington (hereinafter referred to as "VNS-NW" ),
and the CITY OF AUBURN, a. municipal corporation organized under the laws of the State of
Washington (hereinafter referred to as the CITY). All services described herein are subject to
continued contractual agreement between the Seattle King County Health Department and
Visiting Nurse Services of the Northwest.
WITNESSETH THAT in consideration of the mutual promises and covenants herein contained,
it is agreed as follows:
I. PURPOSE
The purpose of the Agreement is to specify the services to be provided to the mutual
clients of the CITY and VNS-NW, and the responsibilities of each agency. It is the
intent of this Agreement to provide a nursing clinic at the Auburn Senior Center for the
purposes of assisting senior citizens in the maintenance of good health practices.
H. SCOPE OF WORK
A. Responsibilities - V'NS-NW shall:
1. Provide a registered nurse (RN), licensed practical nurse (LPN), and/or
home health aide (HHA) to provide foot care (including soaking the feet,
trimming to~nails, and filing toenails and calluses).
2. Service hours will be reviewed quarterly and adjusted based on need and
utilization. The Senior Center will be consulted regarding any changes.
3. Provide blood pressure and glucose screening, general health assessment and
health education. Offer flu immunizations in accordance with the Center for
Disease Control guidelines, with the fee being paid by the individual to
VNS-NW.
4. Provide public liability insurance coverage for the RN, LPN, and/or HHA
for the foot care performed with a combined single limit of at least $500,000
per occurrence, personal injury and/or property damage liability. The CITY
OF AUBURN, its agents and employees, shall be named as additional
insured's. VNS-NW has the option of complying with this requirement via
self-insurance.

5. Provide supervision of the VNS-NW staff who are performing the work.
B. Responsibilities - The CITY shall:
1. Provide space for foot care services for the term of this Agreement.
2. Assist with scheduling/reminders of foot care appointments.
3. Provide reasonable notice to VNS-NW before canecling the foot clinic if
the City cancels its Senior Center programs.
HI. PAYMENT
VNS-NW shall request participant payment for foot care, glucose testing, and flu shots
to cover and/or offset the costs of providing services.
IH. PROFESSIONAL RESPONSIBILITY
VNS-NW shall be responsible for the professional quality, technical accuracy and the
coordination of all services furnished by VNS-NW under this agreement.
IV. AMENDMENTS
If either party to this Agreement desires a change in the duties or time schedule specified
in the Agreement, the party requesting the change shall make such request in writing;
and the change, if adopted, shall be the subject of a separate agreement.
V. LIABILITY TO THIRD PARTIES - INDEMNITY
VNS-NW shall indemnify and hold the CITY and its officers, agents and employees
acting in their official capacity or course of employment, harmless from all suits, claims,
and liabilities of any nature, including costs and expenses for and on account of any
injury or damage sustained by any person or property arising from the acts or omissions
of VNS-NW, its agents or employees pursuant to this Agreement.
The CITY shall indemnify and hold VNS-NW and its officers, agents and employees
acting in their official capacity or course of employment, harmless from all suits, claims,
and liabilities of any nature, including costs and expenses for and on account of any
injury or damage sustained by any person or property arising from the acts or omissions
of the CITY, its agents or employees pursuant to this Agreement.
VI. TERMINATION
This Agreement shall be affective upon the signing thereof and shall remain in full force
from year to year thereafter unless written notice of desire to terminate this Agreement is
served by either party upon the other one month (30 days) prior to the desired date of
termination.

VH. INTEGRATED DOCUMENT
This Agreement embodies the entire agreement, terms and conditions between VNS-NW
and the CITY. No verbal agreements or conversations between any officer, agents or
employee of the CITY any officer, agent or employee of VNS-NW prior or subsequent
to the execution of this Agreement shall affect or modify any of the terms or obligations
contained in any documents comprising this Agreement. Any such verbal agreement
shall be considered as unofficial information and shall be in no way binding upon either
party.
In Witness Whereof, we the undersigned, duly authorized representatives of the parties to this
Agreement, hereinabove expressed, have entered into this Agreement without reservation and
have read the terms herein.
