A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE
CITY OF AUBURN, TO APPROVE THE ASSIGNMENT OF A CITY OF
AUBURN LEASE FOR CERTAIN PREMISES AT THE AUBURN MUNICIPAL
AIRPORT HELD BY TAS ENTERPRISES, L.L.C., TO AUBURN FLIGHT
SERVICE FOR THE REMAINDER OF THE TERM OF THE LEASE.
WHEREAS, a lease agreement exists between the City of Auburn and
TAS Enterprises, L.L.C.~ for certain premises on the Auburn Municipal Airport
for the purpose of conducting an aircraft repair, recondition, and sales outlet;
and
WHEREAS, TAS Enterprises, L.L.C., has moved to Boeing Field and
wishes to assign the lease to Auburn Flight Services; and
WHEREAS, Auburn Flight Service leases substantial space at the
Auburn Municipal Airport and desires to lease the additional space to expand
their operations; and
WHEREAS, said lease requires approval by the City of Auburn for any
assignment of the lease; and
Whereas, TAS Enterprises, L.L.C's lease was for January 7, 1996 to
December 31, 1998 with the option to renew yearly; and

WHEREAS, TAS Enterprises, L.L.C.'s, lease has been renewed
annually since December 31, 1998 and
WHEREAS, the Mayor and City Clerk of the City of Auburn are herewith
authorized to assign TAS Enterprises, L..L.C.'s, lease to Auburn Flight Service
for the remainder of the term of the lease.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
KING COUNTY, WASHINGTON, IN A REGULAR MEETING DULY
ASSEMBLED, HEREWITH RESOLVES THAT:
Section I. The Mayor and City Clerk of the City of Auburn are herewith
authorized to assign TAS Enterprises, L.L.C.'s lease for the remainder of the
term of the lease to Auburn Flight Service and to execute the Assignment of
Auburn Municipal Airport Lease attached hereto as Exhibit "A" and incorporated
herein by this reference.
Section 2. The Mayor is hereby authorized to implement such
administrative procedures as may be necessary to carry out the directives of
this legislation.

ASSIGNMENT OF AUBURN MUNICIPAL AIRPORT LEASE
The CITY OF AUBURN does hereby approve the assignment of that
certain Auburn Municipal Airport Lease entered into between the City of Auburn
and TAS Enterprises, LLC., to Auburn Flight Services for certain premises
located at the Auburn Municipal Airport as approved in Resolution No. 2743
which was executed on June 3, 1996 and which has, since that date, been
renewed annually by TAS Enterprises.
The assignment of the above-referenced lease to Auburn Flight Services
is approved pursuant to Section 16 of that lease. This assignment of lease
shall continue pursuant to the provisions in Section 7 "Option to Renew." The
term of lease at the time the City of Auburn and TAS Enterprises, LLC., entered
into the lease terminated December 31, 1998 but provided in Section 7 an
option to renew for ten additional one-year periods. The renewal option must
be exercised by Auburn Flight Services as provided in Section 7 of the Lease
with such renewal options terminating December 31, 2008.
During the term of this lease assignment all terms and provision currently
contained in the lease which is hereby assigned to Auburn Flight Service
remain in full force and effect and Auburn Flight Service does hereby agree to
those terms and conditions.
