HomeMy WebLinkAbout3546 RESOLUTION NO. 3 5 4 6 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A CLINIC AGREEMENT WITH VISITING NURSE SERVICES OF THE NORTHWEST, A NON- PROFIT CORPORATION, TO PROVIDE NURSING CLINICS AT THE AUBURN SENIOR ACTIVITY CENTER. WHEREAS, in order to meet the needs of certain population groups within the City, and in keeping with proper municipal purposes, it is appropriate to provide visiting Nurse Services at the City of Auburn Senior Activity Center. NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON HEREBY RESOLVES as follows: Section 1. The Mayor and City Clerk of the City of Auburn are herewith authorized to execute a Clinic Agreement between the City of Auburn and Visiting Nurse Services of the Northwest to provide nursing clinics at the Auburn Senior Activity Center to assist senior citizens in the maintenance of good health practices. A copy of said Agreement is attached hereto and denominated Exhibit "A" and incorporated herein. Section 2. The Mayor is hereby authorized to implement such administrative procedures as may be necessary to carry out the directives of this legislation. Section 3. LEWIS MAYOR .. . + VISITING NURSE SERVICES OF THE NORTHWEST CLINIC AGREEMENT Between VISITING NURSE SERVICES OF THE NORTHWEST And THE CITY OF AUBURN By And For THE CITY AUBURN SENIOR CENTER This Agreement (the "Agreement") is made and entered between Visiting Nurse Services of the Northwest (hereinafter referred to as "VNS-NW"), and The City of Auburn (hereinafter referred to as the "CITY"). The effective date of this Agreement shall be the 1st day of October 2002. WITNESSETH THAT in consideration of the mutual promises and covenants herein contained, it is agreed as follows: I. PURPOSE The purpose of the Agreement is to specify the services to be provided to the mutual clients of the CITY and VNS-NW, and the responsibilities of each party. It is the intent of this Agreement to provide a foot care nursing clinic at the Auburn Parks Senior Center for the purposes of assisting senior citizens in the maintenance of good health practices. II. SCOPE OF WORK A. Responsibilities ofVNS-NW 1. Provide a Registered Nurse or Licensed Practical Nurse and a Home Health Aide as needed for provision of foot care services per VNS-NW clinic program policy/procedure. Hours of service will be dependent on clinic utilization and availability of funding; 2. Provide supervision of the staff assigned to the site; 3. Provide blood pressure and glucose screening, general health assessment and health education; and 4. Fu/pneumonia immunizations will be offered annually in accordance with the Center for Disease Control guidelines. B. Responsibilities of CITY 1. Schedules will need to be maintained to prevent open spots in the schedule. III. PAYMENT FOR SERVICES VNS-NW shall request participant payment for foot care to cover costs of providing services. Those participants who cancel or skip appointments may be asked to pay a fee for a missed appointment unless another participant can be scheduled into the time slot. An initial assessment/screening by the nurse is a pre-requisite for foot care. A sliding fee scale and/or scholarships horn the Senior Center may be available for those clients unable to pay the full cost. IV. PROFESSIONAL RESPONSffiILITY VNS-NW shall be responsible for the professional quality, technical accuracy and the coordination of all services furnished by VNS-NW under this Agreement. V. INSURANCE VNS-NW shall maintain throughout the term of this Agreement general and professional liability insurance coverage with policy limits of not less than two million dollars ($2,000,000) per claim/aggregate. VNS-NW has the option of complying with this requirement via self-insurance. VI. NON DISCRIMINATION There shall be no discrimination against any participant in the Agreement, or against any applicant for participation because of race, religion, color, sex, national origin, marital status, or handicap. VII. AMENDMENTS This Agreement constitutes the entire understanding of the parties hereto, and no changes, amendments or alterations shall be effective unless signed by both parties. The scope of work and payment of services shall be reviewed and revised as needed by mutual consent and signature. If either party to this Agreement desires a change in this Agreement, the party requesting the changes shall give thirty (30) days written notice. VIII. LIABILITY TO THIRD PARTIES - INDEMNITY VNS-NW shall indemnify and hold the CITY and its officers, agents, employees and volunteers acting in their official capacity or course of employment, harmless from all suits, claims, and liabilities of any nature, including costs and expenses for and on Resolution # 3546 Exhibit "A" November 5,2002 Page 2 of 4 Clinic Agreement VNS-NW and The City of Auburn October 21, 2002 Page 2 of 4 account of any injury or damage sustained by any person or property arising from acts or omissions ofVNS-NW, its agents or employees pursuant to this Agreement. The CITY shall indemnify and hold VNS-NW and its officers, agents and employees acting in their official capacity or course of employment, harmless from all suits, claims, and liabilities of any nature, including costs and expenses for and on account of any injury or damage sustained by a person or property arising from acts or omission of the CITY, its agents or employees pursuant to this Agreement. In the event that the CITY and VNS-NW are held to be jointly liable in a final judgment in any suit arising out of their acts or omissions pursuant to this Agreement, the costs and expenses arising thererrom will be prorated between the parties according to the relative degrees oftheir liability. IX. DURATION AND TERMINATION This Agreement will automatically renew from year to year unless terminated by either party. This Agreement is subject to termination upon thirty (30) days written notice provided by either party. X. NOTICES Any notice required to be given, pursuant to the terms and provisions of this Agreement shall be in writing and shall be sent to the address below. Either party may change the address to which notices are sent by written notice of such change of address to the other party. INTEGRATED DOCUMENT This Agreement embodies the entire agreement, terms and conditions between VNS-NW and the CITY. No verbal agreements or conversations between any officer, agent or employee of the CITY and any officer, agent or employee ofVNS-NW prior or subsequent to the execution of this Agreement shall affect of modify any of the terms or obligations contained in any documents comprising this Agreement. Any such verbal agreement shall be considered as unofficial information and shall be in no way binding upon either party. XII. INDEPENDENT CONTRACTORS Resolution # 3546 Exhibit "A" November 5,2002 Page 3 of 4 None of the provisions of this Agreement are intended to create nor shall be deemed or construed to create any relationship between the parties hereto, other than that of independent contractors to carry out the terms of this Agreement. The Insurance article will be amended as follows: "VNS-NW shall maintain throughout the term of this Agreement general and professional liability insurance coverage with policy limits of not less than one million dollars ($1,000,000) per occurrence and three million dollars ($3,000,000) annual aggregate. VNS-NW has the option of complying with this requirement via self-insurance." All other terms and conditions of the original Agreement will remain in full force and effect.
