A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF AUBURN, WASHINGTON, AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT BETWEEN THE CITY OF AUBURN
AND ECONOLlTE CONTROL PRODUCTS, INC. FOR
SYSTEM SUPPLIES
WHEREAS, the City of Auburn is engaged in various municipal functions,
including public works; and
WHEREAS, the City of Auburn has identified a need for a fully operational
advanced traffic management system; and
WHEREAS, in order to provide for such services, it is appropriate that the
City enter into an agreement with other companies and/or corporations; and
WHEREAS, in order to provide for those services, the City has negotiated
an agreement with Econolite Control Products, Inc, to provide hardware, field
equipment, installation, software licenses, integration, testing and training, and
the City has determined that Econolite Control Products is able and qualified to
provide such supplies and services, at a cost that is acceptable to the City.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, HEREBY RESOLVES as follows:
Section 1. That the Mayor and the City Clerk are authorized to execute
an agreement in substantial conformity with the Agreement attached hereto,
marked as Exhibit "Au and incorporated herein by this reference.
Section 2. That the Mayor is authorized to implement such administrative
procedures as may be necessary to carry out the directives of this legislation.

SYSTEM SUPPLY AGREEMENT
THIS SYSTEM SUPPLY AGREEMENT (this "Agreement") is made and entered into on
5th day of April, 2005, by and between CITY OF AUBURN, a municipal corporation located at
25 West Main St., Auburn, Washington (hereinafter referred to as "AUBURN"), and
ECONOLITE CONTROL PRODUCTS, INC., a California corporation located at 3360 E. La
Palma Avenue, Anaheim, California 92806 (hereinafter referred to as "ECONOLITE").
RECITALS
A. ECONOLITE is a manufacturer and supplier of traffic control equipment, advanced
traffic management systems and traffic controller firmware.
B. ECONOLITE, alone and in partnership with others, has developed proprietary
software systems, including the communication and control system trademarked as "icons".
C. AUBURN desires to employ ECONOLITE to develop, furnish, integrate and test
hardware and software systems to provide a fully operational advanced traffic management
system.
AGREEMENT
NOW, THEREFORE, the parties hereto agree as follows:
1. ECONOLlTE SCOPE OF WORK; ECONOLlTE DELlVERABLES AND PURCHASE
PRICES
ECONOLITE and AUBURN, for the mutual consideration hereinafter set forth agree that
the services shall conform to attached Exhibit A (Price Proposal dated March 8, 2005) except
where modified by this contract agreement.
In this scope of work, ECONOLITE shall deliver the following materials and services
(the "deliverables") on or before the following milestone delivery dates (described herein under
section 2), provided AUBURN has executed this Agreement on or before 30th day of April,
2005.
Task 1: Hardware
In order to meet the requirements of the City of Auburn, the icons system requires one
communications server, one file/applications server, one terminal services server, three
workstation computers, and the central communications equipment as listed in the Hardware
Equipment List. Any existing computers that will act as workstations must meet the minimum
icons workstation requirements. The City of Auburn will be providing the equipment and
software as detailed in the attached list to Econolite.

The system hardware will be configured, software installed and tested in our Colorado
Springs, CO R&D facility. An Econolite systems engineer will assist the City's MISfIT personnel
in integrating the new icons system LAN with the City's LAN if needed. The City of Auburn
will be responsible for LAN cabling installation, connection to the City's local area network,
and/or any system/network analysis. All virtual private network connections and wide area
network connections to the new icons network are the domain and responsibility of the City's
MIS/IT personnel.
Econolite can provide network configuration diagnostics or design assistance if required
to integrate the new icons network to the City's existing network by Econolite engineers, at a rate
of $160.00 per hour.
This price includes the factory testing, software installation and equipment integration.
The City of Auburn will be responsible for freight and insurance for shipping the equipment to
Econolite's facility at 2950 Professional Place, Colorado Springs, CO 80904. Econolite's price
for this item includes freight and insurance for shipping from our office in Colorado Springs, CO
to Auburn, W A. This price also includes three RMC40-HI-L200 RuggedComm switches, which
will be located at central.
The following computers shall be supplied by the City of Auburn as (a minimum) part of the
icons system installation.

Task 2: Field Equipment
At each local cabinet the City will be responsible for terminating the new single mode
fiberoptic cable. Any additional cabling and/or cabinet wiring required to bring all status
information back to the icons system to be the responsibility ofthe City.
This price is for the purchase of all the field equipment required for the 20 cabinets. This
includes the 20 RuggedCom RS900 Ethernet switches (RS900-HI-M-L2L200), 20 ASC/2S
Ethernet Modules and firmware upgrades. This price does not include GFI outlets.
Total Task 2: $55,000.00
Task 3: Field Equipment Installation
Econolite will install the NTCIP software, install the Ethernet telemetry module, install
the Ethernet switches, install a GFI outlet and ensure their proper operation for the 10 cabinets in
the initial phase of this project. The installation ofthe second group of 10 intersections in Phase
II will be at the same price if installed prior to Oct. 1,2005. The City of Auburn is responsible
for ensuring that the communications inftastructure to the cabinets is in working order.
Total Task 3: $6,000.00
Task 4: Software Licenses, Integration, Testing & Training
This item includes software license fees for four icons workstations, one Terminal
Services license to allow remote access by WSDOT and King County, one traffic application/file
server license, one communications server license, icons Synchro¡j) interface license, and five
ILOG Views licenses that are not concurrent licenses. All items have a one year warranty. Under
the WSDOT license agreement, icons workstation software can be installed on any number of
workstations and used concurrently. The ILOG Views licenses must be purchased for each
computer. Remote access to icons though Terminal Services may reduce some workstation
functionality. Computers remotely accessing icons must include Microsoft's Terminal Services
Client Application (to be provided by the City). The Communications Server license covers up to
250 intersections operating ftom a single communications server computer (expandable beyond
250 intersections with additional software licenses and hardware). The standard protocol for this
system will be NTCIP. Econolite Control Products, Inc.'s systems engineering team provides an
extensive process for system installation, initialization, testing and acceptance. AnEconolite
Project Manager will be named who will manage the new system ftom its earliest stages of
contract signing all the way to final acceptance.
Factory performance testing is performed at the Econolite Colorado Springs, Colorado
Facility. There, an Econolite team of engineers will assemble the system hardware, install the
software, test the system components (using standard system test documents), prepare the system
graphics for one (1) base map and six (6) standard intersection displays, and document the final
system (all hardware configurations). The base map will be developed from an appropriate map

graphics file supplied by the City in a file format compatible with the icons graphic editor (BMP
or WMF). After completion of the Econolite standard system performance tests, the system will
be disassembled, packed and shipped to the job site. A member of the Econolite system
engineering team will arrive on site to unpack, reassemble and test the system. Onsite system
integration includes configuring and testing communications to the initial 1 0 ASC/2S controllers.
Performance of the system and the interconnect infrastructure will be conducted by
communication testing. This proposal includes labor and expenses for one week for installation
and intersection integration. All fiberoptic channels should be tested, and all cabinet installation
should be completed, by the City, prior to the arrival of system engineering. Any additional time
necessary to integrate the intersections will be billed separately at $160.00 per hour, plus travel
exp enses.
System training will be scheduled after the system engineering team has the system
functionally operational. Our quote for this project includes one week of training, for up to 32
hours, on the icons® system. This will include instruction on system hardware, system operation,
and system administration. The course outline is included at the end of this proposal. Training
will be conducted at City provided facilities for up to ten people. The training will be conducted
on four consecutive days.
Acceptance testing will consist of an operational demonstration to the customer of all
major software components using a standard system acceptance test developed by Econolite.
Total Task 4: $80,500.00
Task 5: CCTV Licensing
This item covers a software license and video server for controlling IP based video for up
to 50 video streams (each camera or encoder typically represents one video stream). The price
does not include cameras, encoders or any other field hardware. This software is compatible with
Pelco and Cohu (including Cohu legacy) PTZ cameras and Axis video encoders.
Total Task 5: $40,000.00
Task 6: CCTV Integration
This item covers one week of labor and travel of one icons system engineer to install, test
and integrate the icons CCTV camera module with up to 10 ofthe City of Auburn's CCTV
cameras.

2. DELIVERY SCHEDULES
AUBURN shall provide GIS or AUTOCAD files, sample intersection displays, and
System Initialization forms within 15 calendar days of contract signing. ECONOLITE shall
provide the icons system in accordance with the following milestone schedule.

3. PAYMENT TERMS
Payment by AUBURN to ECONOLITE shall be made in accordance with the
deliverables provided. The items listed reflect the project deliverables, and will also serve as the
basis for submitting invoices. All work related to Task 5, TSP Data Objects, and Tasks 6,
Custom Graphics will be reimbursed on a time and materials (T &M) basis in accordance with the
rates shown, and that all other tasks will be performed on a firm fixed price (FFP) basis.
Payment for all Invoices shall occur within thirty (30) days. Delivery schedule is per above
schedule. All equipment will be shipped F.O.B. Colorado Springs, Colorado. Payment terms
are as follows:

ECONOLITE shall not be liable for delays in delivery or in installation or failure to
manufacture or deliver, due to (1) causes which are unavoidable or beyond its reasonable control
with approval by AUBURN, or (2) acts of God, acts of AUBURN, acts of civil or military
authority, fires, strikes or other labor disturbances, floods, epidemics, war, riot, delays in
transportation, or (3) inability on account of causes beyond its reasonable control to obtain
necessary labor, materials, components or manufacturing facilities with approval by AUBURN.
In the event of any such delay, the date of delivery or of performance shall be extended for a
period equal to the time lost by reason of the delay. If the delay is due to causes other than
attributable to AUBURN, and is such that the delivery of services voids the essential time frame
for this contract, AUBURN may cancel this contract upon written notice.
This AGREEMENT is made subject to any federal, state or local allocations, priorities,
restrictions or regulations now or hereafter in effect; or allocations imposed upon ECONOLITE
by ECONOLITE'S suppliers or for delays caused by failure of its supplier to deliver parts to
ECONOLITE.
The compensation set forth in this paragraph shall be the total compensation for
hardware, software and services provided by ECONOLITE, including all out of pocket expenses
incurred. AUBURN shall not pay fees in addition to the compensation listed in this paragraph
unless otherwise agreed to in writing by AUBURN and ECONOLITE.
4. PAYMENTS EARNED
AUBURN acknowledges that the rights of ECONOLITE in and to the consideration
payable by AUBURN under Section 2 are absolute and unconditional upon completion of the
discrete tasks set out in Section I ofthis Agreement, notwithstanding that the payment dates may
be set at a time later in the future than the performance date.
In the event of default by AUBURN and AUBURN failing to cure such default within
(30) days rrom receiving ECONOLITE's written notice of AUBURN default, ECONOLITE shall
be entitled, at its option, to upon written notice to AUBURN, declare all unpaid payments, plus
all other amounts payable by AUBURN, hereunder, to be immediately due and payable,
discounted, to the then present value (using an interest rate equal to that of a comparable treasury

note at the date this Agreement was accepted by the ECONOLITE). The remedies referred to or
set forth herein shall be cumulative and any single or partial exercise of any remedy shall not
preclude any other or further exercise thereof or of any other remedy.
5. SALES AND SIMILAR TAXES
ECONOLITE's prices do not include sales, use, excise or similar taxes. Consequently, in
addition to the price specified herein, the amount of any present or future sales, use, excise, or
other tax applicable to the sale or use of the equipment hereunder shall be paid by AUBURN, or
in lieu thereof AUBURN shall provide ECONOLITE with a tax exemption certificate acceptable
to taxing authorities.
6. CANCELLATION AND "HOLD" CHARGES
AUBURN may cancel, place a "stop notice" or delay the completion of performance of
ECONOLITE upon 30 days written notice in advance to ECONOLITE. In the event of any such
action, AUBURN shall make payment to ECONOLITE of reasonable and proper cancellation
charges, and/or appropriate costs associated with the delay and/or "holds". In addition to the
purchase price as agreed upon herein, AUBURN agrees to make payments to ECONOLITE for
labor and materials expended (including overhead and G & A costs) directly attributable to the
delays, "holds", or cancellation caused by AUBURN. AUBURN may cancel this order, if after
written notice to ECONOLITE and 10 days to cure, ECONOLITE fails to fulfill in a timely
manner its obligations under this agreement.
7. STANDARD WARRANTY
ECONOLITE warrants to AUBURN that all software and equipment to be delivered
hereunder will be free from defects in material or workmanship and will be of the kind and
quality designated or specified by ECONOLITE herein. This warranty shall apply only to defects
appearing within one year from the date of shipment by ECONOLITE for software products and
two years from the date of shipment by ECONOLITE for hardware products manufactured by
ECONOLITE. All other equipment not manufactured by ECONOLITE carries the
manufacturer's standard warranty. If ECONOLITE installs the ECONOLITE manufactured
equipment or software or supplies technical directions of installation by contract, the warranty
period shall run from the completion of installation, provided same is not unreasonably delayed
by AUBURN.
If the ECONOLITE manufactured equipment delivered hereunder does not meet the
above warranty, and if AUBURN promptly notifies ECONOLITE in writing, ECONOLITE shall
thereupon correct any defect, including non-conformance with the specifications, either (at its
option) by repairing any defective or damaged parts of the equipment, or by making available at
ECONOLITE'S plant necessary replacement parts.

AUBURN will return the defective product to ECONOLITE, at ECONOLITE's expense.
ECONOLITE shall repair or replace the defective item and return it to AUBURN, shipping costs
prepaid.
The foregoing warranty is exclusive and in lieu of all other warranties whether written,
oral, implied or statutory. NO WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR
PURPOSE SHALL APPLY. ECONOLITE does not warrant any equipment of other
manufacture designated by AUBURN.
ECONOLITE shall supply to AUBURN, in a timely manner, any software revisions of
the standard icons software modules to correct "bugs or deficiencies, which would appear within
one year !Tom the date of final acceptance of the standard icons traffic management system.
8. REPRESENTATIONS
Non-infringement. ECONOLITE represents that to the best of its knowledge the technology
embodied in the products sold herein does not in!Tinge upon a United States patent or United
States copyright in effect as of the Effective Date.
Authority. Each party represents as follows: (a) that it has full power and authority to execute,
deliver and perform its obligations under this Agreement; (b) that there are no actions,
proceedings or investigations, pending or, to the best of each party's knowledge, threatened
against such party which may in any manner whatsoever materially affect the enforceability of
this Agreement or the rights, duties and obligations of the parties hereunder; and (c) that the
execution, delivery and performance of this Agreement will not constitute a breach or default
under any agreement, law or court order under which such party is a party or may be bound or
affected by or which may affect the rights, duties and obligations hereunder.
No Other Representations. Each party acknowledges and agrees that it IS relying on no
representation of the other party except as expressly set forth herein.
9. LIMITATION OF LIABILITY
Except for negligence and/or intentional acts, ECONOLITE'S total liability on any claim
of any kind shall in no case exceed the price allocable to the equipment or unit thereof which
gives rise to the claim for any loss or damage arising out of, connected with, or resulting !Tom
this contract, or from the performance or breach thereof, or from the design, manufacture, sale,
delivery, resale, installation, technical direction of installation, inspection, repair, operation or
use of any equipment covered by or furnished under this contract. In no event, whether as a
result of breach of contract or warranty or alleged negligence, shall ECONOLITE be liable for
special or consequential damages including but not limited to loss of profits or revenue, loss of
use of the equipment, or any associated equipment, cost of capital, downtime costs, or claims of
customers of AUBURN for such damages.

ECONOLITE will not be liable for any claims or back charges on behalf of AUBURN
arising out of this contract unless they are made immediately and supported in writing within 30
days of AUBURN becomes aware of same, giving full details, including costs incurred, if any.
Claims not presented within such time limit shall be deemed to have been waived by AUBURN.
ECONOLITE will be given reasonable opportunity and access to investigate the merits of such
claims or back charges and its liability limited as above.
10. INDEMNIFICATION
ECONOLITE shall indemnity and hold harmless AUBURN and its officers, agents and
employees, or any of them from any and all claims, actions, suits, liability, loss, costs, expenses,
and damages of any nature whatsoever, by any reason of or arising out of the negligent or
intentional act or omission of ECONOLITE, its officers, agents, employees, or any of them
relating to or arising out of the performance of this Agreement and AUBURN shall indemnity
and hold harmless ECONOLITE and its officers, agents and employees, or any of them from any
and all claims, actions, suits, liability, loss, costs, expenses, and damages of any nature
whatsoever, by any reason of or arising out of the negligent or intentional act or omission of
AUBURN, its officers, agents, employees, or any of them relating to or arising out of the
performance of this Agreement. If a final judgment is rendered against AUBURN, its officers,
agents, employees and/or any of them, or jointly against AUBURN and ECONOLITE and their
respective officers, agents and employees, or any of them, ECONOLITE shall satisfy the same to
the extent that such judgment was due to ECONOLITE's negligent acts or omissions. Also, if a
final judgment is rendered against ECONOLITE, its officers, agents, employees and/or any of
them, or jointly against ECONOLITE and AUBURN and their respective officers, agents and
employees, or any of them, AUBURN shall satisfy the same to the extent that such judgment was
due to AUBURN's negligent acts or omissions.
11. LICENSES
ECONOLITE grants to AUBURN for exclusive use in AUBURN, W A, a fully paid non-
exclusive, non-transferable icons software license for one (1) communications server, one (1)
file/applications server, one (1) terminal services server and three (3) workstation computers.
The Communications Server license covers up to 250 intersections operating from a single
communications server computer (expandable beyond 250 intersections with additional software
licenses and hardware). AUBURN shall be entitled to:
a. use the licensed programs but only in machine-readable form on licensed computers.
b. use the support material supplied but only as required to support the use of the
Licensed programs
c. make only as many back up copies of the Licensed programs in machine readable form
as required to support the use of the Licensed programs on each computer. All back up
copies must include the copyright notice in the original form as it appears on the licensed
programs.
AUBURN may not copy, modify, adapt, merge, disassemble, decompile or distribute the
software, its documentation or create derivative works based upon the software. None of the

support material in human readable form included with the Licensed programs may be copied in
any way. AUBURN may print any screen the software will allow, however no copyright notices
may be removed ftom the printing.
The Licensed programs and support material included with this Agreement are
confidential information that is the property of ECONOLITE. The Licensed programs, program
concepts, or any of the support materials shall not be made available to any other party or
organization without the written consent of ECONOLITE.
Title to all intellectual property rights including patent, trademark, copyright and trade
secret rights and title to all ownership rights and all copies of and all media bearing the Licensed
programs, support materials and program concept shall remain in ECONOLITE.
12. CONFIDENTIAL INFORMATION.
Confidential Information. In the performance of this Agreement or in contemplation thereof, the
parties and their respective employees and agents may have access to private or confidential
information owned or controlled by the other party and such information may contain proprietary
details and disclosures. All information and data identified in writing as proprietary or
confidential by either party ("Confidential Information") and so acquired by the other party or its
employees or agents under this Agreement or in contemplation thereof shall be and shall remain
the disclosing party's exclusive property, and the recipient shall use all reasonable efforts (which
in any event shall not be less than the efforts the recipient takes to ensure the confidentiality of its
own proprietary and other confidential information) to keep, and have its employees and agents
keep, any and all Confidential Information confidential, and shall not copy or publish or disclose
it to others, no authorize its employees, or agents or anyone else to copy, or disclose it to others,
without the disclosing party's written approval; nor shall the recipient make use of the
Confidential Information except for the purposes of executing its obligations hereunder, and
(except as provided for herein) shall return the Confidential Information and data to the first
party at its request. AUBURN'S duty to maintain confidentiality as described hereunder shall be
subject to the laws of the State of Washington.
Excluded Information. The foregoing conditions will not apply to information or data which is
or which becomes generally known to the public by publication or by any means other than a
breach of duty on the part of the recipient hereunder, is information previously known to the
recipient, is information independently developed by or for the recipient or is information
generally released by the owning party without restriction.
Right to Iniunctive Relief. Because of the unique nature of the Confidential Information, the
parties agree that each party may suffer irreparable harm in the event that the other party fails to
comply with any of its obligations under this Article, and that monetary damages may be
inadequate to compensate either party for such breach. Accordingly, the parties agree that either
party will, in addition to any other remedies available to it at law or in equity, be entitled to seek
injunctive relief to enforce the terms ofthis Article.

13. SOFTWARE UPDATES AND ENHANCEMENTS
Software enhancements or new features added to icons through new system development
for other agencies or as part of ECONOLITE'S ongoing research and development shall be
offered to AUBURN at a fixed, quoted price. The offer shall remain firm for 90 days from the
date of the offer.
14. COMPLIANCE WITH ALL LAWS
ECONOLITE shall, at its sole expense, comply with all of the requirements of County,
State and Federal laws now in force pertaining to this Agreement, and shall faithfully observe in
all activities relating to or growing out of this Agreement all ordinances, statutes, rules or
regulations now in force.
15. INDEPENDENT CONTRACTOR
This Agreement calls for the performance of services of ECONOLITE as an independent
contractor. ECONOLITE is not an agent of employee of AUBURN for any purpose and is not
entitled to any of the benefits provided by AUBURN to its employees. This Agreement shall not
be construed as forming a partnership or any other association with ECONOLITE other than that
of an independent contractor.
16. INSURANCE AND BONDS
ECONOLITE shall maintain for the duration of this contract the following types of
msurance:
a) Automobile liability insurance as required by law
b) Insurance as follows:
ECONOLITE shall procure and maintain for the duration of the Agreement, insurance
against claims for injuries to persons or damage to property which may arise from or in
connection with the performance of the work hereunder by ECONOLITE, its agents,
representatives, or employees.
i. Minimum Scope of Insurance
ECONOLITE shall obtain insurance of the types described below:
1. Automobile Liability insurance covering all owned, non-owned, hired and leased
vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA
0001 or a substitute from providing equivalent liability coverage. Ifnecessary, the
policy shall be endorsed to provide contractual liability coverage.
2. Commercial General Liabilitv shall be written on ISO occurrence ftom CG 00
01 and shall cover liability arising ftom premises, operations, independent
contractors and personal injury and advertising injury. AUBURN shall be named

as an insured under the ECONOLITE 's Commercial General Liability insurance
policy with respect to the work performed by AUBURN.
3. Worker's Compensation coverage as required by the Industrial Insurance laws
of the State of Washington.
4. Professional Liability insurance appropriate to the ECONOLITE 's profession.
ii.Minimum Amounts of Insurance
ECONOLITE shall maintain the following insurance limits:
1. Automobile Liability insurance with a minimum combined single limit for
bodily injury and property damage of $1 ,000,000 per accident.
2. Commercial General Liability insurance shall be written with limits no less
than $1,000,000 each occurrence, $2,000,000 general aggregate.
3. Professional Liability insurance shall be written with limits no less than
$1,000,000 per claim and $1,000,000 policy aggregate limit.
iii. Other Insurance Provisions
The insurance policies are to contain, or be endorsed to contain, the following
provisions for Automobile Liability, Professional Liability and Commercial General
Liability insurance:
I. ECONOLITE'S insurance coverage shall be primary insurance as respect to
AUBURN. Any insurance, self-insurance, or insurance pool coverage maintained
by AUBURN shall be in excess of ECONOLITE's insurance and shall not
contribute with it.
2. ECONOLITE'S insurance shall be endorsed to state that coverage shall not be
cancelled by either party, except after thirty (30) days prior written notice by
certified mail, return receipt requested, has been given to AUBURN.
iv. Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best rating of not less than
A: VII.
v. Verification of Coverage
Consultant shall furnish AUBURN with original certificates and a copy of the
amendatory endorsements, including but not necessarily limited to the additional

insured endorsement, evidencing the insurance requirements of ECONOLITE before
commencement of work.
c) Worker's compensation insurance as required by law
The insurance required hereunder shall be maintained until all work required and all
material to be supplied under the terms of this Agreement is satisfactorily completed as
evidenced in writing by an authorized representative of AUBURN.
17. EXECUTION
This Agreement is effective upon execution. It is the product of negotiation and all parties
are equally responsible for the authorship ofthis Agreement.
18. NOTICES
The notices relative to this Agreement shall be given in writing and shall be personally
served, sent by registered mail or faxed with telephone confirmation by addressee that it was

19. FORUM
Any lawsuit pertaining to any matter arising under, or growing out of this Agreement
shall be instituted in the state of Califomia.

20. ASSIGNMENT
This Agreement shall not be assigned by any party, or any party substituted, without prior
written consent of AUBURN and ECONOLITE.
21. MERGER AND MODIFICATION
No supplement, modification or amendment of this Agreement or waiver of the
provisions thereof shall be binding unless executed in writing by AUBURN and ECONOLITE.
No waiver of any of the provisions of this Agreement shall be deemed, or shall constitute, a
waiver of any other provision, whether or not similar, nor shall any waiver constitute a
continuing waiver.
22. ATTORNEYS' FEES
In the event any action in law or equity, arbitration or other proceeding is brought for the
enforcement of this Agreement or in connection with any ofthe provisions ofthis Agreement, the
prevailing party shall be entitled to its attorneys' fees and other costs reasonably incurred in such
action or proceeding.
23. COUNTERPARTS
This Agreement may be executed in counterparts, each of which shall be deemed an
original and all of which shall constitute one and the same instrument.
24. OTHER MATTERS
Severability. In the event any of the provisions of this Agreement shall, for any reason, be held
void or unenforceable, the remaining provisions shall remain in full effect and shall control.
Invalidity. Any provisions of this Agreement prohibited by the law of any state shall, as to said
state, be ineffective to the extent of such prohibition without invalidating the remaining
provisions of this Agreement.
Force Majeure. Should any obligation of either party hereunder (except with respect timely
payment of invoices) be delayed by events beyond such party's control, including but not limited
to, natural or man-made disasters, strikes government actions or regulations, failure of a third
party to comply or conform, or inability to obtain labor or materials through its regular sources,
that party's time for performance shall be extended by the period of delay upon approval by
AUBURN.
Absence of Third Party Beneficiary Rights. Except as otherwise provided in this Agreement, no
provision of this Agreement is intended nor shall be interpreted to provide or create any third
party beneficiary rights or any other rights of any kind in any affiliate or subsidiary, and all
provisions hereof shall be personal solely between the parties hereto.

Headings. Article and Section headings are included solely for convenience, are not to be
considered a part of this Agreement and are not intended to be full and accurate descriptions of
the contents thereof.
Survival. The following provisions shall survive the expiration, cancellation or early termination
of this Agreement: Articles 3, 5, 6, 7, 8, 9, and 10 and any other provision which by its nature
shall survive the expiration, cancellation or early termination of this Agreement.

Proposal for the GiIV of Auburn, Washington ATMS
Econolite Control Products, Inc. (ECPI) proposes supplying the following equipment, software
and services to the City of Auburn, Washington in the deployment of the icons Advanced Traffic
Management System. We have included upgrading the City's communications infrastructure to
operate with icons, providing central hardware and software, integrating 10 intersections into the
proposed icons system, and providing systems training. Base upon receiving a purchase order,
signed contract and Notice to Proceed by March IS, 2005, Econolite will ensure that the icons
software will be installed and operating on the City's servers and communicating to 10
intersections by June 1,2005 assuming the City installed fiber optic interconnect is installed and
fully operational prior to system installation. An additional 10 intersections will be integrated
into the system at a later date.
The City will purchase and install an off-the-shelf CCTV control package equipment to meet the
June I, 2005. Econolite will provide a video server and an integrated CCTV software module
license for up to 50 video streams within 90 days of the system installation deadline. The City
procured computer equipment for this project must be provided to Econolite by March 31, 2005.
Communications Scope
It is our understanding that the City of Auburn currently has twisted pair communications
between the City's existing ASC!2M masters and ASC/2S controllers. Presently the City's
ASC/2M masters communicate with Aries through dialup phone connection. Also it is our
understanding that the each controller communicates with the ASC/2M master through twisted
pair interconnect. In the process of converting the system from Aries to icons, the City is
installing single mode fiberoptic cable terminated with LC type connectors from the traffic
operations center (TOC) to each local controller. Conversion of the existing controllers ftom
Aries to icons will require upgrading the local ASC/2S controller to the latest version of
ASC/2S NTCIP Level IB firmware. The existing ASC!2S communications module will be
replaced with an ASC/2S Ethernet Module in order to connect the controller to a new
RuggedCom Ethernet to fiber optic switch. The new RuggedCom switches will provide
connection between the new single mode fiberoptic interconnect and the controllers. An
additional convenience outlet (in the event only a single GFI outlet is currently available) may
have to be installed.
This proposal includes three (3) RuggedCom model number RMC40-HI-L200 unmanaged
switches to be installed at central to serve as media converters. Each controller on the system will
operate at 19,200 bps or higher. This new communications infrastructure will support a
minimum of eight (8) controllers per communications channel. As proposed, the system can
communicate with up to 24 intersections (8 intersections over 3 channels). When the City

expands the system beyond 24 intersections or a channel reaches capacity, additional
RuggedCom switches can be added to the central communications equipment.
This proposal also includes 20 RuggedCom model RS900-HI-P-L200 switches, 20 ASC/2S
NTCIP upgrades, and 20 ASC/2S Ethernet modules.
This proposal is based on information provided to Econolite to date. Any changes to the scope of
this proj ect will require a new quotation.
Hardware
SohWare and Licenses
Integration, Testing, and Training
The following sections will describe the above listed items:
1. Server Computers and Auxiliary Equipment
In order to meet the requirements of the City of Auburn, the icons system requires one
communications server, one file/applications server, one terminal services server, three
workstation computers, and the central communications equipment as listed in the Hardware
Equipment List included in this proposal. Any existing computers that will act as
workstations must meet the minimum icons workstation requirements. The City of Auburn
will be providing the equipment and software as detailed in the attached list to Econolite.
The system hardware will be configured, software installed and tested in our Colorado
Springs, CO R&D facility. An Econolite systems engineer will assist the City's MIS/IT
personnel in integrating the new icons system LAN with the City's LAN if needed. The City
of Auburn will be responsible for LAN cabling installation, connection to the City's local
area network, and/or any system/network analysis. All virtual private network connections
and wide area network connections to the new icons network are the domain and
responsibility of the City's MIS/IT personnel.
Econolite can provide network configuration diagnostics or design assistance if required to
integrate the new icons network to the City's existing network by Econolite engineers, at a
rate ofS160.00 per hour.
This price includes the factory testing, software installation and equipment integration. The
City of Auburn will be responsible for freight and insurance for shipping the equipment to
Econolite's facility at 2950 Professional Place, Colorado Springs, CO 80904. Econolite's
price for this item includes ITeight and insurance for shipping ITom our office in Colorado
Springs, CO to Auburn, W A. This price also includes three RMC40-HI-L200 RuggedComm
switches, which will be located at central.

2. Field Equlument
At each local cabinet the City will be responsible for terminating the new single mode
fiberoptic cable. Any additional cabling and/or cabinet wiring required to bring all status
information back to the icons system to be the responsibility of the City.

includes the 20 RuggedCom RS900 Ethernet switches (RS900-HI-M-L2L200), 20 ASC/2S
Ethernet Modules and firmware upgrades. This price does not include GFI outlets.

responsible for ensuring that the communications infrastructure to the cabinets is in working
order.

4. Software Llcenses,lntegralion, Testing, Training
This item includes software license fees for four icons workstations, one Terminal Services
license to allow remote access by WSDOT and King County, one traffic application/file
server license, one communications server license, icons Synchro® interface license, and five
ILOG Views licenses that are not concurrent licenses. All items have a one year warranty.
Under the WSDOT license agreement, icons workstation software can be installed on any
number of workstations and used concurrently. The ILOG Views licenses must be purchased
for each computer. Remote access to icons though Terminal Services may reduce some
workstation functionality. Computers remotely accessing icons must include Microsoft's
Terminal Services Client Application (to be provided by the City). The Communications
Server license covers up to 250 intersections operating from a single communications server
computer (expandable beyond 250 intersections with additional software licenses and
hardware). The standard protocol for this system will be NTCIP. Econolite Control Products,
Inc.' s systems engineering team provides an extensive process for system installation,
initialization, testing and acceptance. An Econolite Project Manager will be named who will
manage the new system from its earliest stages of contract signing all the way to final
acceptance.

Factory performance testing is performed at the Econolite Colorado Springs, Colorado
Facility. There, an Econolite team of engineers will assemble the system hardware, install the
software, test the system components (using standard system test documents), prepare the
system graphics for one (1) base map and six (6) standard intersection displays, and
document the final system (all hardware configurations). The base map will be developed
from an appropriate map graphics file supplied by the City in a file format compatible with
the icons graphic editor (BMP or WMF). After completion of the Econolite standard system
performance tests, the system will be disassembled, packed and shipped to the job site. A
member of the Econolite system engineering team will arrive on site to unpack, reassemble
and test the system. Onsite system integration includes configuring and testing
communications to the initial 10 ASC/2S controllers. Performance of the system and the
interconnect infrastructure will be conducted by communication testing. This proposal
includes labor and expenses for one week for installation and intersection integration. All
fiberoptic channels should be tested, and all cabinet installation should be completed, by the
City, prior to the arrival of system engineering. Any additional time necessary to integrate
the intersections will be billed separately at $160.00 per hour, plus travel expenses.
System training will be scheduled after the system engineering team has the system
functionally operational. Our quote for this project includes one week of training, for up to
32 hours, on the icons® system. This will include instruction on system hardware, system
operation, and system administration. The course outline is included at the end of this
proposal. Training will be conducted at City provided facilities for up to ten people. The
training will be conducted on four consecutive days.
Acceptance testing will consist of an operational demonstration to the customer of all major
software components using a standard system acceptance test developed by Econolite.

This item covers a software license and video server for controlling IP based video for up to

The optional icons CCTV -IP module consists of workstation and server software packages that
provide integrated system-wide distributed video and camera management over local and wide
area IP networks. This module takes advantage of the latest developments in streaming video
technology and is based on an advanced Interactive Media Server. Video is encoded at the
source using low cost digital encoders or IP cameras from vendors such as Axis, VCS and Pelco.
Most of these encoders offer the ability to set the image size, quality, and frame rate. The
Interactive Media Server manages and distributes the encoded video allowing transmission of the
video to multiple viewing clients simultaneously.
Access to the CCTV-IP system is controlled by privileges associated with operator IDs. All
cameras connected to the icons system are represented by objects on the system map. Using the
CCTV-IP module, system operators at the TOC or anywhere on the system's network can click
on a camera object on the system base map and view video from that camera and control the
camera position (pan, tilt, and zoom). Fixed cameras images, such as those from video detectors,
can also be viewed.
At this time the icons CCTV-IP module supports Pelco and Cohu cameras together with video
encoders from Axis, VCS, and Pelco (PelcoNet).

icons® Advanced Traffic Management System Training
Day1:
A. Introduction to icons®l, System Overview and Executive Summary. 1.5 HRS.
This session will review the System Hardware, System Software, icons® Traffic
Management System capabilities and features, and a brief tour ofthe Traffic Management
System Workspace.
How to Log-On to Windows® NT2 for both remote (Dial-Up) and local workstations,
launching the ITMS Client application, logging on to icons®, accessing system graphics
and an explanation of the workspace components will be discussed.
B. Using the icons® Advanced Traffic Management System. 6.5 HRS.
This session will consist of a comprehensive review of the workstation software suite.
During the class, each menu item in the ITMS Client application will be reviewed. Each
attendee will be afforded the opportunity to use the system software to perform various
tasks and operations.

B. Using the icons® Graphic Editor.

This session will cover the use of the icolls® Graphic Editor Software. During the class,
attendees will be walked through the various menu entries and features of the Graphic
Editor package. Practical application ofthe editor will be demonstrated by modifying one
of the system graphics and creating a new graphic using one of the template graphics
supplied with the editor.

A. System Administration:
8.0 HRS.
a. Windows NT® Security (1.0 HR.)
This session will provide a general overview of the Windows NT security system as
well as creating and removing user accounts to and from the system. Each attendee
will have the opportunity to add or remove a user account to / from the system.
b. The Windows NT Event Logs (0.5 HR.)
This session will cover both the System and Application Event Logs within Windows
NT. Specific items appearing within the logs will be discussed and their relationship
to system performance will be reviewed.
c. Database Backups
(0.5 HR.)
This session will review how the system backs-up the SQL Databases and the
required operator actions.
d. Software Installation Procedures (2.0 HRS.)
This session will review the procedures used to install the icons® Traffic Management
System Software on a target computer. Additionally, general setup requirements for
each "type" of computer will be reviewed.
e. The icolls® Server software suite(2.0 HRS.)
This session will review the function of each component comprising the server
software suite. Each INI file used by an icons® component will be reviewed in detail.
The NT Registry will also be reviewed for those ITMS Services that use the registry
to configure their operation.
This session will also cover the Administration menu items associated with the ITMS
Client application. Adding and deleting users to and from the icons® system and
assigning user privileges will be reviewed. Using the System Configuration editor to
alter the system Zone and Section layout will also be reviewed.
1. icons® System Configuration and Troubleshooting (2 HRS.)
This session will review the system hardware and cabling. General functions of each
piece of equipment will be covered and the potential impact of equipment faults will
be discussed. The LAN and TCP/IP portion ofthe session will review the basic setup
and configuration of the Local Area Network. General network troubleshooting tools
and procedures will be reviewed.

This session will also review the ITMS COMM TEST, NTCIP COMM TEST and
COMM MANAGER WIN SPY applications included with the Traffic Management
System.
PIOPOSED PIOnCT SCHEDULE
The following schedule outlines the proposed dates for this project. In the event that the
fiber installation is not completed by the scheduled date of May 20, 2005, Econolite may
postpone the system installation, training, and system acceptance testing. The fiber must be fully
operational no later than May 22, 2005 for the system "Go Live" task to be accomplished by June
10,2005. The City of Auburn is to provide Econolite at least 3 weeks notice for any schedule
slippages that may require modifications to travel itineraries.
