A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE FIRST AMENDMENT TO AGREEMENT FOR
PROFESSIONAL SERVICES AG-C-327A BETWEEN THE CITY
AND DAVID A. CLARK ARCHITECTS, PLLC
WHEREAS, the City and David A. Clark Architects, PLLC have previously
entered into a professional services agreement approved on Resolution No.
3950 in December 2005; and
WHEREAS, the initial Scope of Services for the Auburn Golf Course
Clubhouse have changed to now include a banquet room facility, increasing the
building size by one sixth with commensurate increase in cost of design; and
WHEREAS, the original Scope of Work also only envisioned preparation
and handling of one set of documents and in actual events preparation of several
different sets of documents were needed, requiring extensive extra services; and
WHEREAS, the cost of the additional services total a not-to-exceed
amount of $46,269, increasing the agreement total to $312,000; and
WHEREAS, a project budget contingency of $265,000 remains in the
Bond fund.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, HEREBY RESOLVES AS FOLLOWS:
Section 1. Purpose. The Mayor and City Clerk of the City of Auburn are
herewith authorized to execute First Amendment to Agreement for Professional
Services AG-C-327-A with David A. Clark Architects, PLLC. A copy of said
Resolution No. 4109

Agreement is attached hereto, denominated as Exhibit "A" and made a part
hereof as though set forth in full herein.
Section 2. Implementation. The Mayor of the City of Auburn is hereby
authorized to implement such administrative procedures as may be necessary to
carry out the directions of this resolution.
Section 3. Effective Date. This Resolution shall take effect and be in full
force upon passage and signatures hereon.

AMENDMENT N0.1 TO AGREEMENT NO. AG-C-327-A BETWEEN
THE CiTY OF AUBURN AND DAVID A. CLARK ARCHITECTS, PLLC
RELATING TO PROJECT NO. c327a0, AUBURN GOLF COURSE CLUBHOUSE
f THIS ENDMENT is made and entered into this 1 S'r day of
tkA-~ , 200_~L, by and between the CITY OF AUBURN, a
municipal corporation of the State of Washington (hereinafter referred to
as the "CITY"), and David I. Ciark Architects, PLtC (hereinafter referred to
as the "CONSULTANT"), as an Amendment to the Agreement between
the parties #or AG-C-327•A executed on the 19th day of December 2045.
The changes to the agreement are described as follows:
1. CONTRACT TERM: The term of the Agreement for Professional
Senrices remains unchanged. -
2. SC4PE OF WORK: The scope of work is amended #o include the
following tasks:
A. Architectural and Engineering services, as described in the original
agreement, to accommodate an expanded pragram scope;
specifically including the eniargement of the buifding for a banquet
room to accommodate approximately 150 diners. The roorn is to
be fully part of the clubhouse structure, with full provision ofi
building systems, and Code compiiant exiting
B. Provision of additional Architectural and Engineering services to
provide drawings, calcutations, and other required documents for
two Grading and Excavation permits, separate from the General
Build'+ng permit documents to be prepared under the original
Agreement.
3. CLARIFICATION OF SERVICE TERMS: The responsibilities of
the CONSULTANT during construction of the work of the program scope
#or which this agreement provides services, shall be as specifically defined
in AIA standard form B163, previously referenced in, and attached to, the
original Agreement.
4. COMPENSATItJN: The amount of this amendment is $ 46,269.
The totaf contract amount is increased to a total of $ 312,000.

REMAINING TERMS UNCHANGED: That ail other provisions of the Agreement
between the parties for AG-C-327-A executed on the 19th day of December 2006, shail
remain unchanged, and in full force and effect.

RELATING TO PROJECT NO. 0270, AUBURN GOLF COURSE CLUBHOUSE

a he "CITY"), and David A. Clark Architects, PLLC (hereinafter referred
to as the °CONSULTANT"), as an Amendment to the Agreement befinreen
the parties for AG-C-327 A executed on the 19th day of December 2005.
The changes to #he agreement are described as follows:
CONTRACT TERM: The term of the Agreement for Professional
Services remains unchanged.
2. SCOPE OF WORK: The scope of work is amended to include the
following tasks:
A. Architectural and Engineering services, as described in the original
agreement, to accommodate the restaurant and kitchen design;
specifically including the including the mechanical, electrical,
structural, architectural and interior design of the concessionaire's
tenant improvements of the kitchen and restaurant as required for
permitting, bidding and construction. All aspects of the design will
be directed by the concessionaire, as approved by the City and
shall be in general conformance with the design created by
Bargreen Ellingson dated 8/14/06. The spaces are to be fully part
of the clubhouse structure, with full provision of building systems,
and code compliant exiting.
3. COMPENSATION: The amount of this amendment is $ 59,245. The
total contract amount is increased to a total of $ 371,245.
REMAINtNG TERMS UNCHANGED: That all other provisions of the Agreement
befineen the parties for AG-C-327-A executed on the 19th day of December 2005 and
previous amendments, shall remain unchanged, and in full force and effect.
