Tndemnification / Hold Hartnless
Broker shall defend, indemnify and hold the City, its offcers, officials, employees and
volunteers hazmless from any and all claims, injwies, damages, losses ar suits including
attorney fees, ar'rsing out of ar resulting from the acts, errors or omissions of the Broker
in performance of this Agreement, except for injuries and damages caused by the sole
negligence of the City.
Insurance
The Braker shall procure and maintain for the duration af the Agreement, insurance
against claims far injuries to persons or damage to property which may arise from or in
conz►ection with the performance of the work hereunder by the $roker, its agents,
representatives, or employees.
No Limitatian. Braker's nnaintenance of insurance as required by the agreement shall not
be construeci to limit the liability of the Broker to the coverage provided by such
insurance, or otherwise limit the City's recourse to any remedy available at law or in
equity.
Additional Information
The Broker shall communicate to any prospective IIuyer that any purchase and saies
agreement is subject to approval o£'the Auburn City Council.
