2009 AGREEMENT FOR PROFESSIONAL SERVICES

THIS AGREEMENT made and entered into by and befinreen the CITY OF
AUBURN, a Municipal Corporation in King County, Washington, hereinafter referred to
as "CITY," Carollo Engineers, P.C., an Arizona professional corporation, whose
address is 1218 Third Avenue, Suite 1600, Seattle, Washington, 98101, hereinafter
referred to as "CONSULTANT."
In consideration of the covenants and conditions of this Agreement, the parties
hereby agree as follows:
1. SCOPE OF WORK
See Exhibit A, which is attached hereto and by this reference made a part of this
Agreement.
2. TERM
The CONSULTANT shall not begin any work under this Agreement until
authorized in writing by the CITY. All work under this Agreement shall be completed by
December 31, 2010, and can be amended by both parties for succeeding years.
The established completion time shall not be extended because of any delays
attributable to the CONSULTANT, but may be extended by the CITY in the event of a
delay attributable to the CITY, or because of unavoidable delays caused by an act of
God or governmental actions or other conditions beyond the control of the
CONSULTANT. A prior supplemental Agreement issued by the CITY is required to
extend the established completion time.
3. COMPENSATION '
The CONSULTANT shall be paid by the CITY for completed services rendered
under the approved Scope of Work identified in Exhibit A. Such payment shall be full
compensation for work performed or services rendered and for all labor, materials,

supplies, equipment and incidentais necessary to complete the work. The
CONSULTANT shall submit an itemized invoice to the CITY prior to payment, in a form
similar to that attached to this Agreement.
Compensation for the work identified will be on a time and material basis, not to
exceed the following totals for the current year and succeeding years combined.
Design Services $ 850,300.00
Construction Services $ 103,500.00
Total Authorized Compensation $ 953,800.00
Compensation for work performed shall be based on the Schedule outlined in
Exhibit B of this Agreement. Exhibit B is attached hereto and by reference made a part
of this Agreement. Compensation to be paid to the CONSULTANT for authorized work
in succeeding years will be contingent upan availability of funds.
The CONSULTANT shall be paid by the CITY for direct non-salary cost, per
attached Exhibit B. These charges may include, but are not limited to the following
items: outside reproduction fees, courier fees, subconsultant fees, and materials and
supplies. The billing for non-salary cost, directly identifiable with the project, shall be
submitted as an itemized listing of charges supported by copies of the original bills,
invoices, expense accounts and miscellaneous supporting data retained by the
CONSULTANT. Copies of the original supporting documents shall be supplied to the
CITY upon request. Ali above charges must be necessary for the services provided
under the Agreement.
In the event services are required beyond those specified in the Scope of Work,
and not included in the compensation listed in this Agreement, a contract modification
shall be negotiated and approved by the CITY prior to any effort being expended on
such services or work shall be authorized in writing under the Management Reserve
Fund as detailed in Section 4.

4. MANAGEMENT RESERVE FUND
The CITY has established a Management Reserve Fund to provide flexibility of
authorizing additional funds to the Agreement for allowable unforeseen costs, or
reimbursing the CONSULTANT for additional work beyond that already defined in this
Agreement. Such authorization(s) shall be in writing, prior to the CONSULTANT
expending any effort on such services, and shall not exceed $25,000. This fund may
be replenished in a subsequent supplemental agreement. Any changes requiring
additional costs in excess of the Management Reserve Fund shall be negotiated and
approved by the CITY prior to any effort being expended on such services.
5. SUBCONTRACTING The CITY permits subcontracts for those items of work necessary for the
completion of the project. The CONSULTANT shall not subcontract for the
performance of any work under this AGREEMENT without prior written permission of
the CITY. No permission for subcontracting shall create, befinreen the C1TY and
subcontractor, any contract or any other relationship.
Compensation for any subconsultant work is included in Section 3 of this
Agreement and all reimbursable direct labor, overhead, direct non-salary costs and
fixed fee costs for the subconsultant shall be substantiated in the same manner as
outlined in Section 3. All subcontracts exceeding $10,000 in cost shall contain all
applicable provisions of this AGREEMENT.
6. RESPONSIBILITY OF CONSULTANT
The CONSULTANT shall be responsible for the professional quality, technical
accuracy, timely completion and the coordination of all studies, analysis, designs,
drawings, specifications, reports and other services pertormed by the CONSULTANT
under this Agreement. The CONSULTANT shall, without additional compensation,
correct or revise any errors, omissions or other deficiencies in its plans, designs,
drawings, specifications, reports and other services required. The CONSULTANT shall

perform its services to conform to generally-accepted professional engineering
standards and the requirements of the CITY. Any approval by the CITY under this Agreement shall not in any way
relieve the CONSULTANT of responsibility for the technical accuracy and adequacy of '
its services. Except as otherwise provided herein, neither the CITY'S review, approval
or acceptance of, nor payment for, any of the services shall be construed to operate as
a waiver of any rights under this Agreement or of any cause of action arising out of the
performance of this Agreement to the full extent of the law.

7. RESPONSIBILITY OF CITY
The CITY shall furnish the CONSULTANT available studies, reports and other data
pertinent to the CONSULTANT's services and the CONSULTANT shall be entitled to
use and rely upon all such information provided by the CITY or others in performing the
CONSULTANT's services under this Agreement.

8. INDEMNIFICATION/HOLD HARMLESS
The CONSULTANT shall indemnify and hold the CITY and its officers and
employees harmless from and shall process and defend at its own expense all claims,
demands, or suits at law or equity arising in whole or in part from the CONSULTANT'S
negligence or breach of any of its obligatians under this Agreement; provided that
nothing herein shall require the CONSULTANT to indemnify the CITY against and hold
harmless the CIT1' from claims, demands or suits based solely upon the conduct of the
. CITY, their agents, officers and employees and provided further that if the claims or
suits are caused by or result from the concurrent negligence of (a) the CONSULTANT'S
agents or employees and (b) the CITY, their agents, officers and employees, this
indemnity provision with respect to (1) claims or suits based upon such negligence, (2)
the costs to the CITY of defending such claims and suits, etc. shall be valid and
enforceable only to the extent of the CONSULTANT'S negligence or the negligence of

the CONSULTANT'S agents or employees. The provisions of this section shall survive
the expiration or termination of this Agreement.
9. INDEPENDENT CONTRACTOR/ASSIGNMENT
The parties agree and understand that the CONSULTANT is an independent contractor and not the agent or employee of the CITY and that no liability shall attach to
the CITY by reason of entering into this Agreement except as otherwise provided
herein. The parties agree that this Agreement may not be assigned in whole or in part
without the written consent of the CITY.
10. 1NSURANCE
CONSULTANT shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons or damage to property which may arise
from or in connection with the performance of the work hereunder by the
CONSULTANT, its agents, representatives, or employees.
CONSULTANT'S maintenance of insurance as required by the Agreement shall
nat be construed to limit the liability of the CONSULTANT to the coverage provided by
such insurance, or otherwise limit the City's recourse to any remedy available at law or
in equity.
CONSULTANT shall obtain insurance of the types and in the amounts described
below:
a. Automobile Liability insurance covering all owned, non-owned, hired and
leased vehicles, with a minimum combined single limit for bodify injury and
property damage of $1,000,000 per accident. Coverage shall be written on
Insurance Services Office (ISO) farm CA 00 01 or a substitute form providing
equivalent liability coverage.
b. Commercial General Liability insurance shall be written on ISO occurrence
form CG 00 01 and shall cover liability arising from premises, operations,
independent contractors, and personal injury and advertising injury, with limits

no less than $1,000,000 each occurrence, $2,000,000 general aggregate.
The CITY shall be named as an insured under the CONSULTANT'S
Commercial General Liability insurance policy with respect to the work
performed for the CITY using the applicable ISO Additional Insured
endorsement or equivalent.
c. Worker's Compensation coverage as required by the Industrial Insurance
laws of the State of Washington.
d. Professional Liability insurance appropriate to the CONSULTANT'S
profession, with limits no less than $1,000,000 per claim and $1,000,000
policy aggregate limit.
The insurance policies are to contain, or be endorsed to contain, the following
provisions for Automobile Liability and Commercial General Liability insurance:
a. The CONSULTANT'S insurance coverage shall be primary insurance as
respects the CITY. Any insurance, self insurance, or insurance pool
coverage maintained by the CITY shall be excess of the CONSULTANT'S
insurance and shall not contribute with it.
b, The CONSULTANT'S insurance shall be endorsed to state that coverage
shall not be cancelled by either party, except after thirty (30) days prior written
notice has been given to the CITY.
All insurance shall be obtained from an insurance company authorized to do
business in the State of Washington. Insurance is to be placed with insurers with a
current A.M. Best rating of not less than A-:VII.
The CONSULTANT shall furnish the City with certificates of insurance and a
copy of the amendatory endorsements, including but not necessarily limited to the
additional insured endorsement, evidencing the insurance coverage required by this
section, before commencement of the work. The CITY reserves the right to require that
complete, certified copies of all required insurance policies be submitted to the CITY at

any time. The CITY will pay no progress payments under Section 3 untii the '
CONSULTANT has fully complied with this section.
11. NONDISCRIMINATION
The CONSULTANT may not discriminate regarding any services or activities to .
which this Agreement may apply directly or through contractual, hiring, or other
arrangements on the grounds of race, color, creed, religion, national origin, sex, age, or
where there is the presence of any sensory, mental or physical handicap.
12. OWNERSHIP OF RECORDS AND DOCUMENTS
' The CONSULTANT agrees that any and all drawings, computer discs,
documents, records, books, specifications, reports, estimates, summaries and such
other information and materials as the CONSULTANT may have accumulated,
prepared or obtained as part of providing services under the terms of this Agreement by
the CONSULTANT, shall belong to and shall remain the property of the CITY OF
AUBURN. Any reuse of completed documents, other than for completion of the work
described therein by the City, its agent, or a surety should the City's original contactor
fail to complete the work, or use of partially completed documents without written
verification or concurrence by the CONSULTANT for the specific purpose intended will
be at the CITY'S sole risk and without liability or legal exposure to the CONSULTANT.
In addition, the CONSULTANT agrees to maintain all books and records relating to its
operation and concerning this Agreement for a period of six (6) years following the date
that this Agreement is expired or otherwise terminated. The CONSULTANT further
agrees that the CITY may inspect any and all documents held by the CONSULTANT
and relating to this Agreement upon good cause at any reasonable time within the six
(6) year period. The CONSULTANT also agrees to provide to the CITY, at the CITY'S
request, the originals of all drawings, documents, and items specified in this Section

and information compiled in providing services to the CITY under the terms of this
Agreement.
13. CERTIFICATION REGARDING DEBARMENT, SUSPENSION, AND OTHER
RESPONSIBILITY MATTERS-PRIMARY COVERED TRANSACTIONS '
The prospective primary participant certifies to the best of its knowledge and
belief, that it and its principals:
(a) Are not presently debarred, suspended, proposed for debarment, declared
ineligible, or voluntarily excluded from covered transactions by any federal
department or agency;
(b) Have not within a three-year period preceding this proposal been convicted of
or had a civil judgment rendered against them for commission or fraud or a
criminal offense in connection with obtaining, attempting to obtain, or
performing a public (federal, state, or local) transaction or contract under a
public transaction; violation of federal or state antitrust statues or commission
of embezzlement, theft, forgery, bribery, falsification or destruction of records,
making false statements, or receiving stolen property;
(c) Are not presently indicted for or otherwise criminally or civilly charged by a
governmental entity (federal, state, or local) with commission of any of the .
offenses enumerated in paragraph "(b)" of this certification; and
(d) Have not within a three-year period preceding this application/proposal had
one or more public transactions (federal, state, or local) terminated for cause
or default.
Where the prospective primary participant is unable to certify to any of the
statements in this certification, such prospective participant shall attach an explanation
to this proposaL

14. TERMINATION OF AGREEMENT
This Agreement may be terminated by either party upon twenty (20) days written
notice to the other party, and based upon any cause. In the event of termination due to
the fault of other(s) than the CONSULTANT, the CONSULTANT shall be paid by the
CITY for services performed to the date of terminatian.
Upon receipt of a termination notice under the above paragraph, the
CONSULTANT shall (1) promptly discontinue all services affected as directed by the
written notice, and (2) deliver to the CITY all data, drawings, specifications, reports,
estimates, summaries, and such other information and materials as the CONSUL.TANT
may have accumulated, prepared or obtained in performing this Agreement, whether
completed or in process.
15. GENERAL PROVISIONS
15.1. This Agreement shall be governed by the laws, regulations and ordinances
of the City of Auburn, the State af Washington, King County, and where applicable,
Federal laws.
15.2. All claims, disputes and other matters in question arising out of, or relating
to, this Agreement or the breach hereof, except with respect to claims which have been
waived, will be decided by a court of competent jurisdiction in King County, Washington.
Pending final decision of a dispute hereunder, the CONSULTANT and the CITY shall
proceed diligently with the pertormance of the services and obligations herein.
15.3. In the event that any dispute or conflict arises between the parties while
this Agreement is in effect, the CONSULTANT agrees that, notwithstanding such
dispute or conflict, the CONSULTANT shall continue ta make a good faith effort to
cooperate and continue work toward successful completion of assigned duties and
responsibilities.

15.4. The CITY and the CONSULTANT respectively bind themselves, their
partners, successors, assigns, and legal representatives ta the other party to this
Agreement with respect to ail covenants to this Agreement. ,
15.5. This Agreement represents the entire and integrated Agreement between
the CITY and the CONSULTANT and supersedes all prior negotiations, representations
or agreements either oral or written. This Agreement may be amended only by written
instrument signed by both the CITY and the CONSULTANT.
15.6. Should it become necessary to enforce any term or obligation of this
Agreement, then all costs of enforcement including reasonable attomeys fees and
expenses and court costs shall be paid to the substantially prevailing party.
15.7. The CONSULTANT agrees to comply with all local, state and federal laws

applicable to its performance as of the date of this Agreement, ;

15.8. If any provision of this Agreement is invalid or unenforceable,
remaining provisions shall remain in force and effect.
15.9. This Agreement shall be administered by Lara Kammereck on behalf of
the CONSULTANT, and by the Mayor of the CITY, or designee, on behalf of the CITY.
Any written notices required by the terms of this Agreement shall be served on or
mailed to the following addresses:

15.10. All notices or communications permitted or required to be given under
this Agreement shall be in writing and shall be delivered in person or deposited in the
United States mail, postage prepaid. Any such delivery shall be deemed to have been
duly given if mailed by certified mail, return receipt requested, and addressed to the ~

address for the party set forth in 15.9 or if to such other person designated by a party to
receive such notice. It is provided, however, that mailing such notices or
communications by certified mail, return receipt requested is an option, not a
requirement, unless specifically demanded or otherwise agreed.
Any party may change his, her, or its address by giving notice in writing, stating
his, her, or its new address, to any other party, all pursuant to the procedure set forth in
this section of the Agreement.
15.11 This Agreement may be executed in multiple counterparts, each of which
shall be one and the same Agreement and shall became effective when one or more counterparts have been signed by each of the parties and
delivered to the other party.

City of Auburn
Academy and Lakeland Hills Booster Pump Station Improvement
Project
SCOPE OF SERVICES
PROJECT OBJECTIVE
The City of Auburn has four major water service areas: a) Valley; b) Lea Hill; c) Academy, and
d) Lakeland Hills. The purpose of this project is to replace or improve the existing booster pump
stations in the Academy and Lakeland Hills service areas.
PROJECT BACKGROUND
The Academy service area currently serves approximately 2,684 Equivalent Residential Units
(ERUs) from two reservoirs (3.7 million gallons (MG)) that are supplied by the Academy Pump
Stations from Reservoir 1. The Janssen Addition Booster Pump Station supplies the boosted
zone in the Janssen Addition area. The pump station is a single pump facility with no reliable fire
flow or standby power capabilities. Additionally, the fire flow that is available does not meet the
current standards and is fed solely by gravity through a reverse check valve into the small-
elevated pressure zone.
The proposed Academy Booster Pump Station (ABPS) will replace the existing Janssen
Addition Pump Station with a new facility in a location to enhance operational and maintenance
activities and to provide adequate fire flow and meet domestic demand. The proposed station
will consist of a firm fire flow capacity with one stand-by pump to meet the fire flow demand
requirement of 1,500 gallons per minute (gpm) for two hours. Several sites are available in the
area that will be evaluated. The domestic demand will vary depending on the alternative
selected, as each alternative is a different boosted zone size. The facility must be easily
accessible and provide the abil ity for future expansion.
The Lakeland Hills service area serves approximately 1,718 ERUs from a single 1.0-MG at
grade reservoir supplied by finro groundwater wells. The boosted zone (Zone 5) is served by the
Lakeland Hills Booster Pump Station (LHBPS) located on the same property as the existing
storage reservoir. The LHBPS supplies both domestic and fire protection. There is a need for
additional storage within this pressure zone and the upgrade or replacement of the booster
pump station to meet fire flow demands. The new facilities must meet a fire flow demand of
3,125 gpm for three hours.
The proposed LHB PS will consist of a firm fire flow capacity with one stand-by pump to meet the
fire flow demand requirement of 3,125 gpm for three hours. The domestic pumping may be
increased to 750 gpm to account for increased customers and demand during peak conditions.
The facility needs to be evaluated to deter mine whether the pump station can be upgraded or

relocated to another site. A key element in the evaluation is determining the location of the
proposed reservoir.
PROJECT ASSUMPTIONS
1. Carollo Engineers, P.C. and its subconsultants and work performed by them will be
referred to as "ConsultanY" in this document.
2. The City of Auburn and its staff will be referred to as NCity" in this document.
3. The project will use WSDOT 2008 Standard S pecifications for Road, B ridge, and
Municipal Construction.
q. Project will use City of Auburn 2008 Contract Provis ions.
5. Technical Memoranda and related reports will be provided in five (5) hard copies and one
electronic copy as described in the individuat task scopes of work.
6. Meeting notes and related materials will be transmitted electronically via the project
website or by email.
7. Design Submittals including drawings and specifications will be provided as described in
the applicable task scopes of work.
8. The City will provide Autocad templates illustrating City standards for Consultant use.
9. The City will print and produce additional copies of all documents as necessary for its use.
10. The City shall arrange for access to and make all provisions for the Consultant to enter
upon public and private property as required for the Consultant to perform services
hereunder.
PROJECT CONSIDERATIONS '
1. The Consultant has no control over the cost of labor, materials, equi pment or services
furnished by others, or over the construction contractors' methods of determining prices,
or other competitive bidding or market conditions, practices or bidding strategies. Cost
estimates are based on the ConsultanYs opinion based on experience and judgment. The
Consultant cannot and does not guarantee that proposals, bids or actual Project
construction costs will not vary from cost estimates prepared by the Consultant.
2. The Consultant shall not be responsible for the means, methods, techniques, sequences,
or procedures of construction selected by the construction contractors or the safety
precautions and programs incident fo the work of the construction contractors and will not
be responsible for the construction contractors' failure to carry out work in accordance
with the Contract Documents.

3. The City shall furnish the Consultant available studies, reports and other data pertinent to
the Consultant's services and the Consultant shall be entitled to use and rely upon all
such information provided by the City or others in performing the ConsultanYs services.
TASK 100 - PROJECT MANAGEMENT
Manage the work of the project team from notice to proceed to project closeout. Plan for and
carry out regular communication with the City during the project. Plan for and carry out quality
management.
Subfask 101 Project /nitiation. Prepare a Project Management Plan (PMP) that describes
project roles and respon sibilities, lists contact information for the project team, describes
communications protocols, quality management, and that includes the scope of work, schedule,
and budget. The PMP will be introduced and discussed w ith the combined Consultant and City
project team at a Project Initiation Meeting. Establish and maintain a project website for City and
Consultant use as a repository of project documents and other information of general interest to
the project team. Documents such as reference documents, meeting agendas, notes, records of
comment, project calendar of upcoming events, Technical Memoranda, Reports, and similar
documents will be placed on the site for team use. Design deliverables such as drawings will not
be placed on the site.
Actlvities
1. Prepare a draft and final PMP for City review and use. The draft plan will be transmitted to
the City for review within five days of Notice to Proceed.
2. Organize and lead a Project Initiation Meeting on a schedule agreed to by the City. The
purpose of the Initiation Meeting (Workshop 101) is to introd uce project team members,
review and discuss the PMP, and discuss the project schedule, major activities,
deliverables, and com munications.
3. Revise the PMP after the Project Initiation Meeting and distribute it to the City.
4. Update the PMP once coincident with submittal of 90% level documents for the LHBPS to
reflect the transition to construction and other significant changes in the project plan.
5. Establish and maintain a project website.

Subtask 102 Project Management Meetings. Project management meetings will be
completed under this task to update the City on progress and management issues. Meetings will
be held at the Carollo offices. Agendas and meeting notes will be provided under this task to
assist in record keeping. A management decision log will also be developed and updated
monthly during the course of the Project.
Activities
1. Prepare agendas, m eeting notes, action item s, and decision log for project management
meetings. It is assumed that there will eighteen (18) 1-hour meetings at Carollo's offices.
City Input
. Attend meetings and review meeting notes and decision logs within three days of receipt.

1. Agendas, meeting notes, action items, and management decision log for eighteen (18)
meetings.
Subtask 103 Projecf Workshops. Project workshops will be completed under this task to
facilitate decision-making. Workshops will be held at the City of Auburn City Hall. Agendas and
meeting notes will be provided under this task to assist in record keeping. A decision log will
also be developed and updated monthly during the course of the Project.

City of Auburn
Academy Booster Pump Station Improvement Project
The City of Auburn (City)'s Academy Booster Pump Station (ABPS) will serve a new pressure
zone in the Academy Service Area. The City will move customers from the current 531 zone to
the new 578 zone to improve customer water pressure and increase operational aspects of the
utility system. To implement this rezone requires evaluation of current piping and service
connections to confirm the proposed new zone piping and customer modifications. This effort
will be referred to as the "Off-site Water Main Design".
It is anticipated that the Off-site Water Main Design will include the following:
• Isolate zone piping at the Auburn Way South and 32nd Street SE intersection.
• Install piping for two master meters for the Auburn Academy customers at 32nd Street SE
and Wyman Drive.
• Relocate all meters to public right-of-way along 32nd Street SE.
• Isolate zone piping in 32nd Street SE.
• Extend the current 12 inch pipeline eastward for service zone 531 approximately 300
linear feet (LF).
• Remove the Janssen's Addition Booster Pump Station and install piping to bypass the
system (originally, the pump station was to be left in-place).
SCOPE OF SERVICES
The scope of services broken down by task for the additional Off-site Water Main improvements
and specifications work are included below. The same project assumptions and project
considerations outlined in the original Exhibit A - Scope of Services applies to this scope of
services.
A budget for the tasks outlined in this Amendment No. 2 is included at the end of this document.

TASK 100 - PROJECT MANAGEMENT
Manage the work of the project team from notice to proceed to project closeout. Plan for and
carry out regular communication with the City during the project. Plan for and carry out quality

TASK 605 - OFF-SITE WATER MAIN AND ADDITIONAL SERVICES
Subtask 605.1 Off-site Water Main Survey Services. Perform field survey and mapping
services for off-site pipelines to include all piping and utilities in 32nd Street SE and Auburn Way
South in Project Area. Survey on 32nd Street SE, which becomes Academy Drive SE, will begin
at the intersection with Auburn Way South and extend east approximately 2,500 feet where the
road turns south. Additional survey will include 200 feet of the private drive, at the east end of
the survey limit on Academy Drive SE, to locate a water meter. All survey in the public right-of-
way will be full right-of-way width, as indicated by the City.
Activities
Complete field survey and mapping for the selected off-site area, and incorporate information in
the existing base map for the Academy Booster Pump Station Improvement Project.
City Input:
• City will obtain rights of entry.
• City will establish and mark public right-of-way boundaries.
• City will perform all property acquisition including appraisal, negotiations, and recording of
final documents.

Assumptions
• Datum is City of Auburn current datum.
• Surveyor will obtain horizontal and vertical control information.
• Surveyor will attempt to locate sanitary sewer manholes on the property adjacent to the
pump station that uses the same access road. It is assumed that locating the manholes
will require no more than one hour.
• Surveyor will hire a private utility locating company. No potholing or ground penetrating
radar will be used to locate utilities.
• Survey will include all trees with trunk diameters greater than 4 inches within the public
right-of-way.
• Survey will include all surface improvements and utilities to the limits of public rights-of-
way as appropriate for pipelines.
• Right-of-way markings established by the City will be assumed accurate.
• Topographic survey will be to 1-foot contour interval accuracy.
• Project vertical control points (2) will be established at each site and along each pipeline
alignment.
• Prepare base maps in AutoCAD 2006.
• Mapping and related plans will comply with Auburn Design Standards.
Deliverables
1. Base mapping for off-site pipelines.

Subtask 605.2 Off-site Water Main Construction Documents. Prepare design and
construction documents for the off-site pipeline. Prepare submittals for review by the City at the
50%, 90% and final bid documents stages of design completion.
Perform internal quality management during preparation of documents, and provide a formal,
internal, coordinated review prior to review by the City.
Prepare and submit probable estimates of construction cost of the additional off-site pipeline,
and an Engineer's Estimate with the Bid Documents.
Provide an electronic Microsoft Excel spreadsheet comment response form to record Consultant
response to City comments made on drawings. Respond in writing to written comments that
require discussion or elaboration using the Excel form. Provide hard copy and electronic form
responses to the City. Update the Record of Comment (ROC) throughout the construction
document preparation process.
Activities
1. Prepare drawings and specifications in accordance with the Design Submittal
Requirements, Exhibit A of the original Scope of Services.
2. Prepare probable estimate of construction cost at a level commensurate with the
completion level of the design documents.
3. Perform formal internal coordinated check of documents to determine that documents
meet design intent, City of Auburn Design Standards, standards of the industry, City staff
equipment and materials preferences, are consistent with the specifications and are
otherwise ready for bid.
4. Prepare and transmit submittal documentation.
5. Review City comments on the submittal and respond in writing to comments within five
working days of receipt of comments.
6. Update the ROC.
City Input
• Receive and transmit design submittal documents to City staff for review.
• Manage and coordinate comments on submittal documents prior to transmittal to the
Consultant.
• Comment on the design submittal according to the agreed schedule in the spreadsheet
comment response form.

Assumptions
• Completion level of documents at each submittal is listed in Attachment A, Design
Submittal Requirements, in Exhibit A of the original Scope of Services.
• Demolition of the Jannsen's Addition Booster Pump Station will remove mechanical and
electrical from the vault. Electrical will be removed back to the service feed. Vault lid will
be removed and vault will be cut down two feet below ground surface. The resultant void
will be backfilled with Gravel Borrow and Bark Mulch. No landscape design will be
provided.
• Relocation of water meters along 32"d Avenue to public right-of-way is assumed to include
twelve meters.
• Isolation piping associated with the two master meters is assumed to include a total of 150
total feet of pipe.
• Assume no more than 6 Sheets.
Deliverables
1. 50%, 90% and bid level design documents for Off-site Water Main improvements.
2. Engineer's estimate for Off-site Water Main improvements for each submittal.
TASK 700 - LAKELAND HILLS ENGINEERING SERVICES DURING
CONSTRUCTION
Subtask 703 Review Submittals. This effort provides additional services to increase the
number of submittals for review originally scoped under Task 703. The services for this task
remain the same as the original scope.
Assumptions
• 85 additional hours are proposed for submittal review, this increases the total time to
review submittals from 70 hours to approximately 155 hours. This budget is not based on
the number of submittals, as the length to review a submittal can vary from 1 hour to 8
hours. The status of the hours will be reviewed monthly with the client.
Subtask 710 Intermittent Construction Observation. This effort provides intermittent
construction observation services to support the City in an effort to maintain the overall quality of
the constructed project. Services can generally be described as the following:
• Provide on-site field observation and monitoring to observe the quality and progress of the
construction with the following goals:

To help determine if the provisions of the construction contract documents are being
fulfilled.
- To responsibly carry out the program of intermittent inspection to guard the City
against defects and deficiencies in the work of the construction contractor.
To advise both the City and the construction contractor when defects and
deficiencies are observed in the work.
• Consultant shall direct its efforts toward determining that the completed Project will
conform to the plans and specifications, but Consultant shall not be responsible for the
means, methods, techniques, or procedures of construction selected by the construction
contractor or for the safety precautions and programs incident to the work of the
construction contractor or for any failure of the construction contractor to comply with
laws, ordinances, rules or regulations applicable to the construction work. Consultant and
City recognize that the construction contractor is primarily responsible for ensuring that
construction is in accordance with the plans and specifications.
• Notwithstanding any interferences, references, or omissions to the contrary contained
within this amendment, City understands that Consultant will not direct any contractors,
subcontractors, etc... at the job site, and it is hereby agreed that Consultant will assume
no obligation for any acts, errors or omissions of parties other than Consultant.
Assumptions
• Construction Observation will be requested by City Staff 48 hours in advance.
• Intermittent construction observation is estimated at 300 hours, based on 10 hours per
day for a period of 30 days.
• Construction observation is anticipated to occur during the months of June through
October of 2011.
• Consultant will attend construction progress meetings at the request of the City, but will
not facilitate meetings.
Deliverables
• Daily construction observation logs with photographs documenting the nature of the work
during that day, any noted discrepancies, any verbal or written communication with the
Contractor related to defects and deficiencies observed in the work, and recommended
corrective action(s), if necessary.

THIS AMENDMENT is made and entered into this /day of y..tab , 2013, by
and between the CITY OF AUBURN, a municipal corporation of the State of Washington
(hereinafter referred to as the "CITY"), and Carollo Engineers, Inc. (hereinafter referred to as the
"CONSULTANT"), as an Amendment to the Agreement between the parties for AG-C-374
executed on the 2nd day of September 2009 and amended by agreement dated the 16th day of
December, 2010, the 24th day of March, 2011, the 8th day of November, 2011, the 15th day of
May, 2012, the 17th day of December 2012 and amended by agreement the 7th day of May
2013.
The changes to the agreement are described as follows:
1. CONTRACT TERM: The term of the Agreement for Professional Services is extended
to December 31, 2014.
2. SCOPE OF WORK: There is no change in the scope of work.
3. COMPENSATION: There is no change to the amount authorized in the original
agreement or subsequent amendments.
REMAINING TERMS UNCHANGED: That all other provisions of the Agreement between
the parties for AG-C-374 executed on the 2nd day of September 2009 shall remain unchanged,
and in full force and effect.
IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day

Enclosed please find an executed copy of the above-referenced Amendment No. 7. This
amendment is for a time extension only. This amendment extends the term of the agreement
to December 31, 2014.
For the City's tracking and record keeping purposes, please reference AG-C-374 and Project
No. CP0909 on all correspondence and related material. Our records indicate that your
Insurance, as required in Section 10 of the original agreement, will expire on December 31,
2013. Please mail the required certificate(s) of insurance, within two weeks, to JoAnne
Andersen, Contracts Administration Specialist, Auburn Community Development & Public
Works Department, at the address noted at the top of this letterhead.
As the project manager, I am the designated contact for this agreement and all amendments.

THIS AMENDMENT is made and entered into this day of 4X '2014, by and
between the CITY OF AUBURN, a municipal corporation of the State of Washington (hereinafter referred
to as the "CITY "), and CAROLLO ENGINEERS, INC. (hereinafter referred to as the "CONSULTANT'), as
an Amendment to the Agreement between the parties for AG -C -374 executed on the 2nd day of
September 2009; amended by agreement dated the 18" day of December 2010; amended by agreement
dated the 24' day of March, 2011; amended by agreement dated the 8'" day of November, 2011;
amended by agreement dated the 15'" day of May, 2012; amended by agreement the 17'" day of
December, 2012; amended by agreement the 7" day of May 2013 and amended by agreement the 9d'
day of December, 2013.
