RAIL MITIGATION AGREEMENT
This Rail Mitigation Agreement (this "Agreement") is made this"'I .7day of vk ,
2008, by and between AMB Institutional Alliance Fund III, L.P., a Delaware Limited rtnership
("AMB"), Union Pacific Railroad ("Union Pacific"), and the City of Auburn ("City").
RECITALS
A. AMB is the owner of the real property located in the City and legal described on Exhibit
A("Property"). General Electric Appliances ("GE") is the tenant of the Properly.
B. GE desires to utilize rail service in connection with its use of the Property. It is
anticipated that other tenants of the Property will also desire to utilize rail service. Such other tenants
shall be bound also to the terms and conditions of this rail mitigation agreement and shall not require new
improvements to rail service off of the Property. To that end, AMB has applied to the City for approval
far construction of a rail spur extension and related improvements ("Application"). The rail spur
extension will connect to Union Pacific's rail service. The associated improvements will take place at the
existing 15'h Street SW rail crossing in the City and to the north and south on the Property.
C. The City has conducted environmental review of the Application. In connection with that
review, the City has required that the parties enter into this Agreement, and AMB and Union Pacific have
voluntarily agreed to do so, to memorialize the agreement of AMB and Union Pacific to provide certain
environmental mitigation associated with the improvements proposed in the Application.
NOW THEREFORE, in consideration of the covenants contained herein and other good and
valuable consideration, the sufficiency of which is hereby acknowledged, the parties hereto, intending to
be legally bound, hereby agree as follows:
AGREEMENT
1. Permanent Signalization at 15th Street SW Rail Crossing. AMB agrees at its expense to:
(a) Furnish and install a new traffic signal located on the east side of the spur crossing to stop traffic
traveling westbound, as shown on Exhibit B; (b) Furnish and install an inter-tie to the existing Union
Pacific crossing signal to block traffic from the west using the existing signal and gates on the eastbound
lanes of 15I" Street SW, as shown on Exhibit B; (c) Furnish and install a new traffic signal stopping traffic
from the south from making a right turn on to 15`h Street SW from Perimeter Road and crossing the track
eastbound, as shown on Exhibit B; and (d) Furnish and install crossing signal logic in both crossing
systems to facilitate the safe movement of traffic in all events including a train on both tracks at the same
time (collectively, "Pertnanent Signalization Improvements"). In addition to review of the Permanent
Signalization Improvements by the Washington Utilities and Transportation commission and any other

governmental agency with jurisdiction over railroads and railroad safety, the City shall have the right,
prior to installation of the Permanent Signalization Improvements, to review and approve the design of
the Permanent Signalization Improvements for compliance with the Auburn City Code and the mitigation
requirements set forth in City of Auburn Mitigated Determination of Nonsignificance SEP05-0036B.
AMB agrees that the Permanent Signalization Improvements will be completed within fifteen months of
receipt of all required governmental approvals. Train rail crossings by GE and other Property tenants
may occur after 7:00 pm and before 5:00 am. Union Pacific may operate trains over the 15`h Street SW
crossing to serve GE and other Property tenants only between 7:00 pm and 5:00 am. Union Pacific shall
not operate trains over the 15`" Street SW crossing to serve GE and other Property tenants at any other
time.
2. Enforcement. AMB's and Union Pacific's obligations under this Agreement may be
enforced by the City either under the City's land use code enforcement procedures as set forth in the
Auburn Municipal Code, or pursuant to the City's other remedies under law, at the City's election.
3. Binding Effect. The benefits and burdens of this Agreement shall be binding on the
parties' respective heirs, executors, administrators, personal representatives, transferees, successors and
assigns.
