ADDENDUM TO THE
CUSTOMER AGREEMENT and
SOFTW ARE MAINTENANCE ADDENDUM (collectively referred to as the "Agreement")

EFFECT OF ADDENDUM:
This AddendJn"> is made.3 part of the original Thomson Elite Customer Agreement indicated "bove for the
purpose or adding licensed software as listed on the attached Addendum 1 and providing for Maintenance
Services of such additional Software pursuant to the Thomson Elite Maintenance Addendum.
Thomson Elite and Customer each agree that It will not induce any employee of the other to terminate his Dr

in the even: Ih"t there ]s any contlict between the provisions of the foregoing paragraph and any provision of
the Agreement regarding solicitation of employees, the provisions of the Agreement regarding non-
solicitation shall prevail.
All terms and conditions of the Agreement shall remain in effect unless specifically moditled by this Addendum.

A non~refundable deposit of 100% of the License Fees are due upon receipt of Invoice, Annual Maintenance Fees

All reimbursable costs are due ueon receipt of Invoice from Thomson Elits,

Addendum sllall be prorated in order to allow for a coterminous mall1tenance periods as those programs initially
licensed under the Agreement
