BILL OF SALE
FOR SANITARY SEWER FACILITIES
KNOW ALL MEN BY THESE PRESENTS: That the undersigned party of the
first part, hereafter designated "Vendor" for good and valuable consideration does by these
presents grant, bargain, sell and deliver unto the CITY OF AUBURN, party of the second
part, hereafter designated as "Vendee", the following personal property, to wit:
All sewer mains, trunks, manholes, pumps and appurtenances situated in public
right-of-way and/or easements to the CITY OF AUBURN, more fully described on
Exhibit "B," attached hereto, for which the cost was $ 501,704.70 and that the cost of
Engineering was S 57,031.50 , located on the real property described in Exhibit "A,"
attached hereto and incorporated herein by reference. These facilities were conveyed to the
Vendor by the Developer, D & E Investments, L.L.C., via Bill of Sale, a copy of which is
attached hereto as Exhibit "C."
TO HAVE AND TO HOLD the same unto the Vendee, its successors and assigns
CX+ forever. The Vendor, jointly and severally, and their respective successors and assigns,
covenant and agree to and with the Vendee, its successors and assigns, that the Vendor is
the Owner of said personal property, and has good right and authority to sell the same and
that it will, and does hereby warrant and agree to defend the sale thereof hereby made unto
the Vendee, its successors and assigns, against all and every person or persons
whomsoever, lawfully claiming or to claim same.

Vendor further guarantees that. the said facilities are fit for purposes intended, i.e., as
for use as a sanitary sewer system adequate for the service intended.
