The Stations are excited to join with the City of Auburn for the 2009 Veterans Day Parade (the "Parade"). Once signed by both parties, this memorandum sets forth the terms of the agreement between Bonneville and the City of Auburn in connection with the promotion of the Parade. 1. Description: The Parade will be held November 7th, 2009 in Auburn, Washington. The Stations will be the exclusive radio stations sponsoring the Parade and will promote the Parade with live and produced promotional announcements as described in Attachments A and B. 2. Exclusivitv: The Stations will be the exclusive radio stations sponsoring the Parade. In addition, no other commercial radio stations (other than Bonneville-owned radio stations) or on-air talent employed by any other non-Bonneville radio station will have any sponsorship arrangement with the City at or in connection with the Parade. Any presence of a non- Bonneville radio station that is known to the City of Auburn and is requested at the event (this includes any on-site presence, recognition or exposure at the event and excludes general media coverage of the event) will be approved by Bonneville Seattle. 3. Insurance• Notwithstanding anything to the contrary contained in this Section, the below mentioned insurance and self-insurance requirements of this Section 3 may be met by the City's membership in the Washington Cities Insurance Authority ("WCIA"), a municipal insurance pool. So long as the City is providing the insurance required 1 4JUAH ~ noAM») KIRO ~ rMmam NiYNorthwest.8 wews •rwLK hereunder through the WCIA, the City will not be required to provide policies or certificates of insurance, and will not be required to name the Stations as an "additional insured", "additional named insured", "named insured," "loss payee," or any similar designation. The City shall, prior to the Commencement Date, and subsequently upon the Statiori s request therefore, provide reasonable evidence of the City's continued participation from time to time thereafter in the WCIA. The coverage afforded the Stations shall not be reduced or diminished by reason of the use of such self insurance program. During the Parade (including set-up and break-down), the City of Auburn shall maintain, and pay for commercial general liability insurance in an amount no less than $1,000,000 per occurrence naming "Bonneville International Corporation and its affiliated companies" as additional insureds. The above policy must be underwritten by a reputable insurance carrier rated A-VIII or better by the A.M. Best Company. A certificate evidencing coverage must be delivered to Bonneville at least two (2) weeks prior to the Parade. The failure to deliver a certificate of insurance will in not relieve the City of Auburn from its obligations hereunder. In addition, the City of Auburn shall maintain Worker's Compensation insurance covering all of its respective employees working at the Parade as required by state law. 4. 2010 Parade: If the City of Auburn intends to conduct a Veterans Day Parade in 2010 (the "2010 Parade"), the City of Auburn agrees to negotiate exclusively with Bonneville in good faith in connection with the commercial radio presenting sponsorship for the 2010 Parade. If the parties have not signed an agreement for the 2010 Parade by January 31, 2010, the City of Auburn may negotiate with other radio stations, but the City of Auburn will not enter into any agreement with any third party radio station or group for the 2010 Parade without first giving Bonneville the right to match the material terms of any competing offer within ten (10) business days of the City of Auburri s notification to Bonneville of the material terms of the alternate offer. If Bonneville agrees to match the materials terms of the alternate offer, Bonneville and the City of Auburn will enter into a new agreement under the same general terms as the alternate offer. If Bonneville does not agree to match the material terms of the alternate offer, the City of Auburn will not accept any offer less favorable to the City of Auburn than the terms previously presented to Bonneville without giving Bonneville another opportunity to match the materials terms of the alternate offer under the same conditions and procedures set forth above. Other Terms: This memorandum is the entire agreement between the parties with respect to sponsorship of the Parade. The parties intend to be legally bound by this memorandum and the signatories below represent that they have the authority to bind and act on behalf of their respective entities. No changes may be made to this memorandum except in writing and executed by both parties. This memorandum shall be construed in accordance with the laws of the State of Washington. If any party waives any provision of this memorandum on any one or more occasions, the waiver shall not be deemed to be a waiver of that provision or any other provision on any other occasion. City of Auburn to provide: ■ Copy points for promos and website, including official parade logo (due to station by Sept. 21St, 2009). ■ Inclusion of News Talk 97.3 KIRO FM's logo and mention of sponsorship on all print materials related to the Event (must be pre-approved by KIRO prior to production). ■ Talent fee for Ron Upshaw and Don O'Neill, pending talent participation confirmation.
