A RESOWTION OF THE CITV COUNCIL OF THE CITY OF
AUBURN, WASHINGTON, AUTHORIZING THE MAVOR
AND CITV CLERK TO EXECUTE A FLOOD CONTROL
EASEMENT FOR THE KING COUNTY FL00D CONTROL
ZONE DISTRICT
WHEftEAS, the King County Flood Contml Zone Dislrict ('Disirid") has a
flood pm[ection revetment localed on City property along the sou[h bank of the
White River, adlacent to SNCk River Drive ("SNCk River Drive RevetmenP); and
WHEREAS, the Dislric[ currently has no easement ro access the SWCk
River Drive Revetment', and
WHEREA$ the District plans to repair the existing SNCk River Drive
Revetment lhis summer and lo constmct new facilities to enhance the
revetment; and
WHEREAS the Ciry Council fintls that the Districfs constmc[ion antl
repair pmject, as well as the Districfs future maintenance and repair of the
SWCk River Drive Revetment is in the besl interest o( the citizens of Aubum
and
WHEREAS, such adlvitles require thet the Distdc[ have eccess to the
Stuck River Drive Revetmenl.

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
KING COUNTY, WASHMGTON, HEREBV RESOLVES as follows.
Section 1. The Mayor is hereby authorized to exewte the Flood
Control Procection Easement for the beneft oF the King Counry Flood Conirol
Olstnct, e copy of whlch Is etlached haretq marketl as Exhibit "A" and
incorporated herein bythis reference.
Section 2. The Mayor is hereby aNhorized to implement such
administrative pmcetlures as may be necessary to carry oN the directives of
lhis legislation.
Section 3. This resoWtion shall be in full fome and effect upon
passage antl signaNres hereon.

and The King County Flood Control Zone Dis ct, a quasi municipal corporation, hereinafter
collectively called the "Grantee":
Grantor, in consideration of mutual benefits and other valuable consideration, the
, receipf and adequacy of which is hereby acknowledged, hereby grant and convey to the
Grantee, their successors and a§signs; agents and licensees easements (the "Easements")
for the pnrposes set forth'herein; nnder, over and upon those limited portions of the
Property described in Exhibit A which are more particularly described in Exhibit B and
depicted for illustrative purposes on Exhibit C, atfached hereto, and by this reference
made a part hereof, situafed in King County, Washington:
1. F1ood Protection Easement. A perpetual and assignable right and easement in favor of the. Grantees in the land described in Exhibit B to
construct, maintain, repair, operate, patrol and replace a flood protection .
revetment, including all appurEenances, thereto; reserving, however, to the
owriers, tlieir heirs and assigns, all such riglits and privileges as may be used
without interfering with or abridging the rights and easeinent hereby acquired;
subject, however, to existing easements for public roads and highways, public
utilities, railroads, and pipelines:

Property described in Exhibit A which are more particularly described in Exliibit B and

1. Flood Protection Easement. A perpetual and assignable right
and easement in favor of the Grantees in the land described in Exhibit B to
construct, maintairi, repair, operate,patrol and replace a flood protection '
revetment, including all appurtenances thereto; reserving,however,to the
owners, their heirs and assigns, all such rights and privileges as may be used
without interfering with or abridging the rights and easement hereby acquired;
subject, however, to existing easements for public roads and highways, public
utilities, railroads, and pipelines.

Grantor shall have the right to place locked bollards across the Flood Protection Easement, so
long as the Grantee is provided a key or combination to access the Easement. Grantee shall
give notice to the Grantor prior to any use of the Easement for the use, operation or hauling of
heavy equipment, including, but not limited to, dump trucks, excavators and bulldozers.
Nothing in this grant shall be deemed to be a grant of access to the general public or for
recreational uses. The scope of this grant is expressly limited to the Grantee,their employees
and contractors, for the limited purposes described in this Easement. -
If in the use of the easements granted above,the Grantee shall damage other property of the
Grantor or shall cause damage to the easement area,the Grantee shall repair,replace and
restore,at the Grantee's sole expense,said damage.
The Grantee shall maintain and keep in full force and effect a policy of general liability
insurance in an amount not less than One Million Dollars per occurance, and provide Grantor
with a certificate of insurance or self insurance and will name Grantor, its successors and
assigns as Additional Insureds in the event the Crrantee should choose not to self-insure. T'he
Grantee may self-insure its obligations hereunder. Other than in the event of Grantor's gross
negligence,the Grantee shall indemnify and hold Grantor, its successors and assigns harmless
from all claims, damages or causes of action, including attorneys' fees and court costs, arising
from the Grantee's use of the Easement.
The rights; conditions; covenants and provisions contained in this Easement shall inure to the
benefit of and be binding on the parties hereto and their respeetive heirs, administrators,
executors, successors and assigns and shall run witli the land.
