Board and Annual Meeting Minutes
December 16, 2009, 1:30-3:00 p.m.
Board Members Present: Richard Artura, Ronnie Beyersdorf, Tom Campbell, Gator Chamberlain, Jan
Cavanaugh, Mike Gerber, Doug Hedger, Julie Herren, Judy Roland, Gerry Honeysett, Michelle Marshman,
Jennifer Traufler, Lisa Scarff, , Judi Roland
Board Members Excused: Pat Bailey, Clarissa Ruston
Board Members not Present: Warren Kinggeorge, Mae Yamada, DeAnna Burnett-Keener
Staff Present: Patricia Cosgrove, Kristen Bruhahn, Tara McCauley
Call to Order and Approval of Minutes
A. President Beyersdorf called the meeting to order and asked for the approval of the minutes.

B. Presentations to Board Members
Presentations of thanks were made to board members ending their terms in December 2009.
Chair Report President Beyersdorf
A. President Beyersdorf reviewed the proposed bylaws change regarding quorum, an issue that was

D. QUORUM. Those present or by proxy at an Annual or other membership meeting shall
constitute a quorum. " simple m city (9) sidered ^ querum fer Beard f ^+inrts. (Five
board members including the presiding officer, secretary or clerk designee and board members
is considered a quorum for board meetings.)
B. Removal of Board Member for Attendance Reasons.
Board members that have more than 3 unexcused absences from the board meetings will be
removed from the board. The secretary will remind board members at risk of removal. A move to
remove Deanna Burnett form the board was seconded and approved.
III. Committees
A. Treasury and Committee Report Treasurer Hedger
Although there was a deficit for the month November Doug is remaining positive. The
Oppenheimer funds have been liquidated and will be allocated to lower risk diversified funds.
Motion to approve the treasurer's report was stated, seconded and approved.
B. Nominations Committee.
The thanking of retiring officers and board members: The board thanked Ronnie Beyersdorf, Jan
Cavanaugh, Lisa Scarff, Jennifer Traufler, Michelle Marshman, Pat Bailey and Warren Kinggeorge for
their outstanding service to the board during their terms.
Nomination of 2010 Board: The nomination committee presented the slate; new board members
include: Hugo Hernandez, Jennifer Hamor, Pat Cavanaugh, Ken Nelson, and Megan Evans. Lisa Scarff
and Jennifer Traufler have been asked to serve second terms. The 2010 board will be lead by
President Mike Gerber, Vice President Judi Roland, Treasurer Doug Hedger and Secretary Lisa Scarff.
Motion to approve the nomination report and the slate of board members and officers was
seconded and approved.
Next Board Meeting: January 20, 2010 1:30 to 4 p.m. Board Orientation
