Board Meeting Minutes, 1:30 to 2:00
December 19, 2001
Board Members Present: Marissa Armstrong, Earl Averill, Michael Cassella-Blackburn, Raymond Jerry,
Mike Hamilton, Sterling Kuhlman, Maxine Moergeli, Charles Natsuhara, Doris Ramstead, Bill Peloza,

Board Members Excused: Earl Hagen, Libby Dykstra, John Meneghini, Mike Stevens

1. Call To Order and Approval of Minutes
Mike Stevens called the meeting to order. A motion was made by Bill Peloza, seconded by
Daryl Thompson to approve the minutes as sent. APPROVED Board, staff, members and
guests were introduced.
II. Chair Report
Mike Stevens reviewed the year 2001, commending the board for their strong work supporting
the museum during his term. Highlights that Mike mentioned included the relationship with the City
(thank you Dick Deal and Mayor Booth), another successful Harvest Masquerade Ball, the revision of
our bylaws and Museum Services Agreement, and our first ever internal audit. Mike also lauded the
board for their fine support of the new Jim Shaughnessy Founders Wing, and for developing another
great Five-Year Plan, things that will be so very important in years to come.
III. Treasury Report
Treasurer Dick Pickett reviewed the year to date financial report. At this point it appears that
the Society budget will end the year with a deficit, for the first time in over ten years. This is due to the
increased cost of operating the larger facility, staffing, and by being closed for eight months of the year.
Financial challenges were partially off set by several operating grants, but they did not go far enough.
In years to come the board and staff must work to develop greater capacities to earn income.

1. Bylaws Update
Chair Mike Stevens reviewed the changes proposed to the bylaws, which were intended to bring
them up to date with current practices. The drafted bylaws were available to the membership at large
on the museum's web site, and no suggestions or changes were received. Dick Pickett made a motion,
seconded by Bud Kuhlman to accept the new bylaws as written. MOTION APPROVED
II. Election of 2002 Board of Directors
Mike Stevens conducted the election of board members for 2002.
For terms expiring 12/31/04 Deb Maguire, Bill Peloza, Lori Anne Claudon, Nicole Karwhite,
Marissa Armstrong, Patty Osthus, and Rich Tyree were recommended by the Nominating Committee.
Deb Maguire, Bill Peloza, and Marissa Armstrong are recommended to serve their second three-year
terms. Lori Anne Claudon lives in Auburn and is raising a family in the local schools. She is affiliated
with Valley Pontiac and is deeply involved in the Auburn community. Nicole Karwhite, also a resident
of Auburn works in public relations at Valley Medical Center, is a graduate of the Puget Sound
Leadership Institute. Patty Osthus is a member of Soroptimists, has served on numerous community
boards and is a Vice President and Branch Manager at Columbia Bank. Rich Tyree is a manager for the
Boeing Company and has attended the Harvest Ball several years running.
Mike asked for a vote from Society Members present on the slate as presented. The vote was
unanimous to accept the slate as presented by the Nominating Committee.
III. Selection of 2002 Officers
President Mike Stevens reviewed the slate of officers as recommended by the Board. They
include Marissa Armstrong as President, Charles Natsuhara for Vice President, Patty Osthus Treasurer
and Debbie Maguire for her second year as Secretary. The 2002 Board of Directors unanimously
agreed with this slate of officers.
IV. Retiring Board Members
President Marissa Armstrong thanked Mike Stevens for his capable and enjoyable year of
leadership. Director Cosgrove reviewed accomplishments of the four members rotating off the board:
Al B'Hymer for setting such a high standard for corporate involvement through many gifts of money
and skills from the Boeing Company; Daryl Thomspon for connecting the museum to the Auburn
School District resulting in all third graders touring; Mike Hamilton for chairing the efforts to renovate
the museum, building new permanent exhibits and a new wing; and finally Doris Ramstead for serving in
one capacity of another for a period of six decades. Mayor Booth rose and read a declaration to Mrs.
Ramstead. December 19, 2001 was declared The Doris Ramstead Day in thanks for her continued
commitment to serving the community, in particular the museum.
V. Adjourn
President Armstrong adjourned the Annual Meeting at 2:30 and offered folks some celebratory cider
and cookies.
