For and in consideration of Mutual Benefits to be derived by the parties hereto, Grantor, LA
PIANTA LLC, a Washington limited liability company, hereby conveys and quit claims to the
City of Auburn, a municipal corporation of King County, Washington, Grantee herein, a
Temporary Nonexclusive Easement under, over, through and across the following described real
property for the purposes of ingress and egress to adjacent property owned by the City, and for
the purpose of building, constructing and maintaining a 24 foot wide access road and
appurtenances thereto, for that ingress and egress on said real property being described as
follows:
SEE EXHIBIT "A" ATTACHED HERETO AND BY THIS REFERENCE MADE A PART HEREOF.
This Easement shall not be a covenant running with the above-described real property and may
be terminated by Grantor at any time upon 6 months advance written notice to Grantee.
The purpose of this document is to supercede and replace that certain easement document
executed by Grantor on April 21, 2000 and recorded in King County, Washington, under number
20000502001416 which is hereby declared to be null and void in its entirety.

The purpose of this document is to also supercede and replace that certain easement document
executed by Grantor on November 22, 1999 and recorded in King County, Washington, under
number 20000301000879 which is hereby declared to be null and void in its entirety.
This easement is given under the threat of and in lieu of Eminent Domain.
Grantee shall at all times exercise its rights under this easement in accordance with the
requirements of all applicable statutes, orders, rules and regulations of any public authority
having jurisdiction. Grantee accepts the easement area in its present physical condition, AS IS.
Grantee does hereby release, indemnify and promise to defend and save harmless Grantor from
and against any and all liability, loss, damage, expense, actions and claims, including costs and
reasonable attorneys' fees incurred by Grantor in connection therewith, arising directly or
indirectly on account of or out of the exercise by Grantee, its servants, agents, employees and
contractors of the rights granted in this easement.

The east 24.00 feet of that part of a portion of the Northwest '/a of the Northeast '/a of Section 24,
Township 21 North, Range 4 East W.M., which is bounded and described as follows:
Beginning on the North of line of said. Section 24, 100 feet East of the '/4 corner common to
Section 13 and 24 in said township and range;
Thence East a distance of 650.36 feet along the North line of said Section 24;
Thence South perpendicular to the North line of said Section 24 a distance of 16 feet to a point,
which point is the true point of beginning;
Thence South on a line perpendicular to the North line of said Section 24 a distance of 543.43
feet, more or less, to the intersection of said line with the centerline of the easement granted to
the receiver of the Chicago, Milwaukee and St. Paul Railroad, and to Oregon-Washington
Railroad and Navigation Co. by instrument in writing dated September 19, 1927, recorded April
16, 1928 in Volume 1388 of Deeds, page 440, records of King County;
Thence Southeasterly approximately South 53°30'00" East along the centerline of said easement
and along the centerline of the easement granted to the Northern Pacific Railroad Company,

North'/2 of the Northeast'/4 of said Section 24, a distance of 346 feet, more or less, to the
