The CONSULTANT shall furnish all services, labor, and related equipment necessary to conduct and complete the work as designated elsewhere in this AGREEMENT. II Scope of Work The Scope of Work and projected level of effort required for this PROJECT is detailed in Exhibit "A" attached hereto and by this reference made a part of this AGREEMENT. III General Requirements All aspects of coordination of the work of this AGREEMENT with outside agencies, groups, or individuals shall receive advance approval by the AGENCY. Necessary contacts and meetings with agencies, groups, and/or individuals shall be coordinated through the AGENCY. The CONSULTANT shall attend coordination, progress and presentation meetings with the AGENCY and/or such Federal, State, Community, City or County officials, groups or individuals as may be requested by the AGENCY. The AGENCY will provide the CONSULTANT sufficient notice prior to meetings requiring CONSULTANT participation. The minimum required hours or days notice shall be agreed to between the AGENCY and the CONSULTANT and shown in Exhibit "A." The CONSULTANT shall prepare a monthly progress report, in a form approved by the AGENCY, which will outline in written and graphical form the various phases and the order of performance of the work in sufficient detail so that the progress of the work can easily be evaluated. The CONSULTANT, and each SUBCONSUL T ANT, shall not discriminate on the basis of race, color, national origin, or sex in the performance of this contract. The CONSULTANT, and each SUBCONSUL T ANT, shall carry out applicable requirements of 49 CFR Part 26 in the award and administration of USDOT -assisted contracts. Failure by the CONSULTANT to carry out these requirements is a material breach of this AGREEMENT that may result in the termination of this AGREEMENT. Participation for Disadvantaged Business Enterprises (DBE), if required, per 49 CFR Part 26, or participation of Minority Business Enterprises (MBE), and Women Business Enterprises (WBE), shall be shown on the heading oftbis AGREEMENT. If DIM/WBE firms are utilized, the amounts authorized to each firm and their certification number will be shown on Exhibit "B" attached hereto and by this reference made a part of this AGREEMENT. If the Prime CONSULTANT is a DBE firm they must comply with the Commercial Useful Function (CUF) regulation outlined in the AGENCY'S "DBE Program Participation Plan". The mandatory DBE participation goals of the AGREEMENT are those established by the WSDOT'S Highway and Local Programs Project Development Engineer in consultation with the AGENCY. All Reports, PS&E materials, and other data furnished to the CONSULTANT by the AGENCY shall be returned. All electronic files, prepared by the CONSULTANT, must meet the requirements as outlined in Exhibit "C." All designs, drawings, specifications, documents, and other work products, including all electronic files, pre:pared by the CONSULTANT prior to completion or termination of this AGREEMENT are instruments of service for this PROJECT, and are the property of the AGENCY. Reuse by the AGENCY or by others, acting through or on behalf of the AGENCY of any such instruments of service, not occurring as a part of this PROJECT, shall be without liability or legal exposure to the CONSULTANT. DOT Form 140-089 EF (Revised 06/05) Page 2 of 7 IV Time for Beginning and Completion The CONSULTANT shall not begin any work under the terms of this AGREEMENT until authorized in wlriting by the AGENCY. All work under this AGREEMENT shall be completed by the date shown in the heading of this AGREEMENT under completion date. The established completion time shall not be extended because of any delays attributable to the CONSULTANT, but may be extended by the AGENCY in the event of a delay attributable to the AGENCY, or because of unavoidable delays caused by an act of GOD or governmental actions or other conditions beyond the control of the CONSULTANT. A prior supplemental agreement issued by the AGENCY is required to extend the established completion time. V Payment Provisions The CONSULTANT shall be paid by the AGENCY for completed work and services rendered under this AGREEMENT as provided in Exhibit "D" attached hereto, and by reference made part of this AGREEMENT. Such payment shall be full compensation for work performed or services rendered and for all labor, materials, supplies, equipment, and incidentals necessary to complete the work. The CONSULTANT shall conform to all applicable portions of 48 CFR Part 31. A post audit may be performed on this AGREEMENT. The need for a post audit will be determined by the State Auditor, WSDOT External Audit Office and/or at the request of the AGENCY'S PROJECT Manager. VI Sub-Contracting The AGENCY permits sub-contracts for those items of work as shown in Exhibit "G" attached hereto and by this reference made part of this AGREEMENT. Compensation for this sub-consultant work shall be based on the cost factors shown on Exhibit "G." The work of the sub-consultant shall not exceed its maximum amount payable unless a prior written approval has been issued by the AGENCY. All reimbursable direct labor, overhead, direct non-salary costs and fixed fee costs for the sub-consultant shall be substantiated in the same manner as outlined in Section V. All sub-contracts shall contain all applicable provisions of this AGREEMENT. With respect to sub-consultant payment, the CONSULTANT shall comply with all applicable sections of the Prompt Payment laws as set forth in RCW 39.04.250 and RCW 39.76.011. The CONSULTANT shall not sub-contract for the performance of any work under this AGREEMENT without prior written permission of the AGENCY. No permission for sub-contracting shall create, between the AGENCY and sub-contractor, any contract or any other relationship. A DBE certified sub-consultant is required to perform a minimum amount of their sub- contracted agreement that is established by the WSDOT Highways and Local Programs Project Development Engineer in consultation with the AGENCY. VII Employment The CONSULTANT warrants that they have not employed or retained any company or person, other than a bona fide employee working solely for the CONSULTANT, to solicit or secure this contract, and that it has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the CONSULTANT, any fee, commission, percentage, brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warrant, the AGENCY shall have the right to annul this AGREEMENT without liability or, in its discretion, to deduct from the AGREEMENT price or consideration or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee. Any and all employees of the CONSULTANT or other persons while engaged in the performance of any work or services required of the CONSULTANT under this AGREEMENT, shall be considered employees of the CONSULTANT only and not of the AGENCY, and any and all claims that may arise under any Workmen's Compensation Act on behalf of said employees or other persons while so engaged, and any and all claims made by a third party as a consequence of any act or omission on the DOT Form 140-089 EF (Revised 06/05) Page 3 of 7 part of the CONSULTANT'S employees or other persons while so engaged on any of the work or services provided to be rendered herein, shall be the sole obligation and responsibility ofthe CONSULTANT. The CONSULTANT shall not engage, on a full- or part-time basis, or other basis, during the period of the I:ontract, any professional or technical personnel who are, or have been, at any time during the period of the contract, in the employ of the United States Department of Transportation, or the STATE, or the AGENCY, except regularly retired employees, without written consent of the public employer of such person. VIII Nondiscrimination During the performance of this contract, the CONSULTANT, for itself, its assignees, and successors in inte:rest agrees to comply with the following laws and regulations: Title VI of the Civil Rights Act of 1964 (42 USC Chapter 21 Subchapter V Section 2000d through 2000d-4a) Federal-aid Highway Act of 1973 (23 USC Chapter 3 Section 324) Rehabilitation Act of 1973 (29 USC Chapter 16 Subchapter V Section 794) Age Discrimination Act of 1975 (42 USC Chapter 76 Section 6101 et seq.) Civil Rights Restoration Act of 1987 (Public Law 100-259) American with Disabilities Act of 1990 (42 USC Chapter 126 Section 12101 et. seq.) 49 CFR Part 21 23 CFR Part 200 RCW 49.60.180 In relation to Title VI of the Civil Rights Act of 1964, the CONSULTANT is bound by the provisions of Exhibit "H" attached hereto and by this reference made part of this AGREEMENT, and shall include the attached Exhibit "H" in every sub-contract, including procurement of materials and leases of equipment, unless exempt by the Regulations or directives issued pursuant thereto. IX Termination of Agreement The right is reserved by the AGENCY to terminate this AGREEMENT at any time upon ten (10) days written notice to the CONSULTANT. In the event this AGREEMENT is terminated by the AGENCY other than for default on the part of the CONSULTANT, a final payment shall be made to the CONSULTANT as shown in Exhibit "I" for the type of AGREEMENT Ilsed. No payment shall be made for any work completed after ten (10) days following receipt by the CONSULTANT of the Notice to Terminate. If the accumulated payment made to the CONSULTANT prior to Notice of Termination exceeds the total amount that would be due when computed as set forth herein above, then no final payment shall be due and the CONSULTANT shall immediately reimburse the AGENCY for any excess paid. If the services of the CONSULTANT are terminated by the AGENCY for default on the part of the CONSULTANT, the above formula for payment shall not apply. In such an event, the amount to be paid shall be determined by the AGENCY with consideration given to the actual costs incurred by the CONSULTANT in performing the work to the date of termination, the amount of work originally required DOT Form 140-089 EF (Revised 06/05) Page 4 of 7 which was satisfactorily completed to date of termination, whether that work is in a form or a type which is usable to the AGENCY at the time of termination, the cost to the AGENCY of employing another firm to complete the work required and the time which may be required to do so, and other factors which affect the value to the AGENCY of the work performed at the time of termination. Under no circumstances shall payment made under this subsection exceed the amount, which would have been made using the fonnula set forth above. If it is determined for any reason that the CONSULTANT was not in default or that the CONSULTANT'S failure to perform is without the CONSULTANT'S or it's employee's default or negligence, the termination shall be deemed to be a termination for the convenience of the AGENCY. In such an event, the CONSULTANT would be reimbursed for actual costs in accordance with the termination for other than default clauses listed previously. In the event of the death of any member, partner or officer of the CONSULTANT or any of its supervisory personnel assigned to the PROJECT, or dissolution of the partnership, termination of the corporation, or disaffiliation of the principally involved employee, the surviving members of the CONSULTANT hereby agree to complete the work under the temlS of this AGREEMENT, if requested to do so by the AGENCY. This subsection shall not be a bar to renegotiation of the AGREEMENT between the surviving members of the CONSULTANT and the AGENCY, if the AGENCY so chooses. In the event of the death of any of the parties listed in the previous paragraph, should the surviving members of the CONSUL T ANT, with the AGENCY'S concurrence, desire to terminate this AGREEMENT, payment shall be made as set forth in the second paragraph of this section. Payment for any part of the work by the AGENCY shall not constitute a waiver by the AGENCY of any remedies of any type it may have against the CONSULTANT for any breach of this AGREEMENT by the CONSULTANT, or t1)r failure of the CONSULTANT to perform work required of it by the AGENCY. Forbearance of any rights under the AGREEMENT will not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by the CONSULTANT. X Changes of Work The CONSULTANT shall make such changes and revisions in the complete work of this AGREEMENT as necessary to correct errors appearing therein, when required to do so by the AGENCY, without additional compensation thereof. Should the AGENCY find it desirable for its own purposes to have previously satisfactorily completed work or parts thereof changed or revised, the CONSULTANT shall make such revisions as directed by the AGENCY. This work shall be considered as Extra Work and will be paid for as herein provided under Section XIV. XI Disputes Any dispute concerning questions of fact in connection with the work not disposed of by AGREEMENT between the CONSULTANT and the AGENCY shall be referred for determination to the Director of Public Works or AGENCY Engineer, whose decision in the matter shall be final and binding on the parties of this AGREEMENT; provided, howl~ver, that if an action is brought challenging the Director of Public Works or AGENCY Engineer's decision, that decision shall be subject to de novo judicial review. If the parties to this AGREEMENT mutually agree, disputes concerning alleged design errors will be conducted under the procedures found in Exhibit "J", and disputes concerning claims will be conducted under the procedures found in Exhibit "K". XII Venue, Applicable Law, and Personal Jurisdiction In the event that either party deems it necessary to institute legal action or proceedings to enforce any right or obligation under this AGREEMENT, the parties hereto agree that any such action shall be initiated in the Superior court of the State of Washington, situated in the county in which the AGENCY is located. The parties hereto agree that all questilons shall be resolved by application of Washington law and that the parties to such action shall have the right of appeal from such decisions of the Superior court in accordance with the laws of the State of Washington. The CONSULTANT hereby consents to the personal jurisdiction of the Superior court of the State of Washington, situated in the county in which the AGENCY is located. XIII Legal Relations The CONSULTANT shall comply with all Federal, State, and local laws and ordinances applicable to the work to be done under this AGREEMENT. This contract shall be interpreted and construed in accordance with the laws of the State of Washington. DOT Form 140-089 EF (Revised 06/05) Page 5 of 7 The CONSULTANT shall indemnify and hold the AGENCY and the STATE and its officers and employel:s harmless from and shall process and defend at its own expense all claims, demands, or suits at law or equity arising in whole or in part from the CONSULT ANT'S negligence or breach of any of its obligations under this AGREEMENT; provided that nothing herein shall require a CONSULT ANT to indemnify the AGENCY or the STATE against and hold harmless the AGENCY or the STATE from claims, demands or suits based solely upon the conduct of the AGENCY or the STATE, their agents, officers and employees; and provided further that if the claims or suits are caused by or result from the concurrent negligence of (a) the CONSULTANT'S agents or employees, and (b) the AGENCY or the STATE, their agents, officers and employees, this indemnity provision with respect to (1) claims or suits based upon such negligence (2) the costs to the AGENCY or the STATE of defending such claims and suits shall be valid and enforceable only to the extent of the CONSULTANT'S negligence or the negligence of the CONSULTANT'S agents or employees. The CONSULTANT'S relation to the AGENCY shall be at all times as an independent contractor. The CONSULTANT shall comply with all applicable sections of the applicable Ethics laws, including RCW 42.23, which is the Code of Ethics for regulating contract interest by municipal officers. The CONSULTANT specifically assumes potential liability for actions brought by the CONSULTANT'S own employees against the AGENCY and, solely for the purpose of this indemnification and defense, the CONSULTANT specifically waives any immunity under the state industrial insurance law, Title 51 RCW. Unless otherwise specified in the AGREEMENT, the AGENCY shall be responsible for administration of construction contracts, if any, on the PROJECT. Subject to the processing of a new sole source, or an acceptable supplemental agreement, the CONSULTANT shall provide On-Call assistance to the AGENCY during contract administration. By providing such assistance, the CONSULTANT shall assume no responsibility for: proper construction techniques, job site safety, or any construction contractor's failure to perform its work in accordance with the contract documents. The CONSULTANT shall obtain and keep in force during the terms of the AGREEMENT, or as otherwise required, the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to Title 48 RCW. Insurance Coverage A. Worker's compensation and employer's liability insurance as required by the STATE. B. Commercial general liability and property damage insurance in an aggregate amount not less than two million dollars ($2,000,000) for bodily injury, including death and property damage. The per occurrence amount shall not exceed one million dollars ($1,000,000). C. Vehicle liability insurance for any automobile used in an amount not less than a one million dollar ($1,000,000) combined single limit. Excepting the Worker's Compensation Insurance and any Professional Liability Insurance secured by the CONSULTANT, the AGENCY will be named on all policies as an additional insured. The CONSULTANT shall furnish the AGENCY with verification of insurance and endorsements required by the AGREEMENT. The AGENCY reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. The CONSULTANT shall submit a verification of insurance as outlined above within fourteen (14) days of the I~xecution of this AGREEMENT to the AGENCY. No cancellation of the foregoing policies shall be effective without thirty (30) days prior notice to the AGENCY. The CONSULTANT'S professional liability to the AGENCY shall be limited to the amount payable under this AGREEMENT or one million ($1,000,000) dollars, whichever is the greater, unless modified by Exhibit "Ln. In no case shall the CONSULTANT'S professional liability to third parties be limited in any way. The AGENCY will pay no progress payments under Section V until the CONSULTANT has fully complied with this section. This remedy is not exclusive; and the AGENCY and the STATE may take such other action as is available to it under other provisions of this AGREEMENT, or otherwise in law. DOT Form 140-089 EF (Revised 06/05) Page 6 of 7 XIV Extra Work A. The AGENCY may at any time, by written order, make changes within the general scope of the AGREEMENT in the services to be performed. B. If any such change causes an increase or decrease in the estimated cost of, or the time required for, performance of any part ofthe work under this AGREEMENT, whether or not changed by the order, or otherwise affects any other terms and conditions of the AGREEMENT, the AGENCY shall make an equitable adjustment in the (1) maximum amount payable; (2) delivery or completion schedule, or both; and (3) other affected terms and shall modify the AGREEMENT accordingly. C. The CONSULTANT must submit any "request for equitable adjustment", hereafter referred to as "CLAIM", under this clause within thirty (30) days from the date of receipt of the written order. However, if the AGENCY decides that the facts justify it, the AGENCY may receive and act upon a CLAIM submitted before final payment of the AGREEMENT. D. Failure to agree to any adjustment shall be a dispute under the Disputes clause. However, nothing in this clause shall excuse the CONSULTANT from proceeding with the AGREEMENT as changed. E. Notwithstanding the terms and conditions of paragraphs (A) and (B) above, the maximum amount payable for this AGREEMENT, shall not be increased or considered to be increased except by specific written supplement to this AGREEMENT. XV Endorsement of Plans If applicable, the CONSULT ANT shall place their endorsement on all plans, estimates, or any other engine:ering data furnished by them. XVI Federal and State Review The Federal Highway Administration and the Washington State Department of Transportation shall have the right to participate in the review or examination ofthe work in progress. XVII Certification of the Consultant and the Agency Attached hereto as Exhibit "M-l(a and b)" are the Certifications of the CONSULTANT and the AGENCY, Exhibit "M-2" Certification Regarding Debarment, Suspension and Other Responsibility Matters - Primary Covered Transactions, Exhibit "M-3" Certification Regarding the Restrictions of the Use of Federal Funds for Lobbying and Exhibit "M-4" Certificate of Current Cost or Pricing Data. Exhibit "M-3" is required only in AGREEMENTS over $ I 00,000 and Exhibit "M-4" is required only in AGREEMENTS over $500,000. XVIII Complete Agreement This document and referenced attachments contain all covenants, stipulations, and provisions agreed upon by the parties. No agent, or representative of either party has authority to make, and the parties shall not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein. No changes, amendments, or modifications of the terms hereof shall be valid unless reduced to writing and signed by the parties as an amendment to this AGREEMENT. XIX Execution and Acceptance This AGREEMENT may be simultaneously executed in several counterparts, each of which shall be deemt:d to be an original having identical legal effect. The CONSULTANT does hereby ratify and adopt all statements, representations, warranties, covenants, and agreements contained in the proposal, and the supporting material submitted by the CONSULTANT, and does hereby accept the AGREEMENT and agrees to all of the terms and conditions thereof. City of Auburn Mayor DOT Form 140-089 EF (Revised 06/05) Page 7 of 7 ~/ Exhibit A Scope of Work During the term of this AGREEMENT, INCA Engineers, Inc. (CONSULTANT) shall perform professional services for the City of Auburn (CITY) in connection with the following project: Project C207 A A STREET NW EXTENSION 3rd Street NW to 14th Street NW This AGREEMENT has a contract duration that will extend longer than one calendar year. As such, the CITY will issue a Notice to Proceed with a Not to Exceed compensation for each calendar year, contingent upon availability of funds. The CONSULTANT will not undertake any work or otherwise financially obligate the CITY for any calendar year without a duly executed Notice to Proceed. PROJECT DESCRIPTION The purpose of the A Street NW Extension Project is to construct approximately 3,200 linear feet of new arterial street to provide a regional connection by completing a 3.5 mile north-south corridor. The completion of this corridor will provide 1) a connection between the north commercial area to downtown Auburn and 2) congestion relief on Auburn Way North and C Street NW. A Street NW Extension is broken into the following segments from south to north: 1) 3rd Street to just north of 5th Street (approximately 700 feet): 2) Just north of 5th Street to 7th Street (approximately 360 feet): 3) ih Street to 8th Street (approximately 700 feet) (already constructed) 4) 8th Street to 10th Street (approximately 690 feet) 5) 10th Street to 14th Street (approximately 1,450 feet), and 6) north side of 10th Street NW (approximately 600 feet) In 2003, the adjacent property owner constructed segment 3 as identified above. To continue the development of the arterial corridor, this scope of work includes the preliminary design (30%) for the remaining segments of roadway. Final design is presented in this scope for segments 1,5, and 6, while the final design for segments 2 and 4 are presented as optional services. For the benefits of scoping the project, it is assumed that the duration of this PS&E portion of the project will be 18 months. WSDOT 2004 Environmental Procedures Manual The CONSULTANT shall prepare all drawings using AutoCAD 2006. LDT 3 will be used for roadway design. Project schedules shall be prepared using Microsoft Project (version 2002) or later, spreadsheets in Microsoft Excel (version 2000 or later), and text documents in Microsoft Word (version 2000 or later). All plans will be completed at a 20: 1 scale except the Channelization, Illumination and Signing Plans, which will be staked 2 per plan set at 40: 1 scale. Full-sized plan sheets will be: provided at 22"x34", and half-sized at 11 "x 17". WORK ELEMENT 1. PROJECT MANAGEMENT The CONSULTANT shall manage the project work elements to control costs, maintain schedule, and provide quality products appropriate to the goals and completion of the project. Subtasks include the following: Work Element 1.1 Work Plan The CONSULTANT shall provide a comprehensive work plan detailing management of the project. A draft work plan shall be submitted to the City of Auburn for review and approval within twenty (20) days after Notice to Proceed. The plan shall include the following: 1) Organizational Structure and Management: . An organizational chart, which reflects the roles and relationships of the internal CONSULTANT team, including subconsultants, and the City of Auburn . Organizational structure for project decisions. 2) Project Risk Analysis: Assess the stability of the project and identify risks associated with scope, schedule, and budget. Provide a risk matrix to include identified risks, occurrence probability rating, contingency plan and responsibility using INCA's template. 3) Project Schedule: The CONSULTANT shall provide a baseline project schedule (MS Project 2002) that details activities in the Scope of Work, establishes and clearly displays the critical path elements of the work, and forecasts completion of the effort to match the contract duration period 4) Cost Control Methods: Set up an earned value report to be updated monthly. 5) Quality Management Approach: Provide a description of the processes that will be used to ensure that Auburn's expectations of quality are met or exceeded. The plan shall address Quality Planning, Quality Assurance, Quality Control, Design Reviews, and Design Deviations, (if applicable). The plan shall clearly state when QAlQC reviews shall occur, AG-C-255 Exhibit A Scope of Work Page 2 of 24 A Street NW Extension who shall perform the reviews, when design reviews shall occur, who shall perform the reviews, the process for addressing and incorporating design review comments, and the process for design deviations, if applicable. The initial plan must include an anticipated schedule for QA/QC reviews and design reviews, sample checklists for QA/QC review, and a sample matrix to be used for design review comments. 6) Communication Approach: Provide a summary plan of how communications shall take place (internally, subconsultants, City of Auburn, and externally). The CONSULTANT shall: a) Establish and maintain agreements with subconsultants, administering contractual agreements, and ensuring all contractual requirements are met. b) Provide direction, coordination and oversight to the project CONSULTANT team. c) Verify that the information generated on the project is being documented and retained in project files. The PMT will be staffed with representatives from the CITY, the CONSULTANT, and subconsultants as required. The location of the meetings will be in Auburn. PUBLIC INVOLVEMENT Work Element 3.1 Open House The CONSULTANT shall prepare for and participate in one open house to be held in the City of Auburn. The meeting will be organized and publicized by the CITY. Two INCA staff members and one Adolfson staff member will attend. The CONSULTANT shall prepare up to five (5) display boards. It is assumed the CITY will prepare environmental permit attachments documenting the open house. Deliverable{s) : . Five (5) display boards Work Element 3.2 Coordination with Property Owners The CONSULTANT shall attend up to five property owner meetings at the request of the CITY. The CONSULTANT shall prepare copies of proposed plans to facilitate discussions. It is assumed display boards will not be required for these meetings. Preliminary roadway design documents will be utilized during these meetings. The project manager and project engineer will attend these meetings. WORK ELEMENT 4. UTILITY COORDINATION ASSISTANCE Work Element 4.1 Utility Coordination The CONSULTANT shall provide utility coordination assistance. The CITY will coordinate this effort. The CITY will obtain available record drawings from the utilities. The CONSULTANT shall revise the basemap with utility information based on the available record drawings and will review to consolidate with utility survey pickups. The CONSULTANT shall attend up to three meetings with the utilities, identify potential utility impacts associated with the proje(;t, and prepare drawings to illustrate impacts and new improvements. The CONSULTANT shall maintain a utility coordination log which tracks coordination issues and decisions made. Anticipated utilities from agencies other than the city to be modified! constructed include the following: power, gas, cable, and telephone. The City will obtain available record drawings for its street lights, water, and sewer systems within the corridor. The CONSULTANT shall work with the CITY to identify potential impacts associated with the project and prepare drawings to illustrate impacts and new improvements. Deliverable{s) : . Utility Coordination Matrix WORK ELEMENT 5. SURVEYING The CONSULTANT shall provide design mapping of the project limits suitable for use through 100% design. Mapping will include the following specific items and assumptions: AG-C-255 Exhibit A Scope of Work Page 5 of 24 A Street NW Extension Work Element 5.1 MaDDine: Provide 1 "= 20', 1 foot contour interval design mapping using conventional ground survey methods, along the propose road location. Mapping limits will extend 75 feet each side of the proposed centerline in unimproved areas from 3rd Street NW to 14th Street NW and 10 feet beyond back of sidewalk in improved areas based on nominal 50 foot cross section spacing. Mapping will extend 10 feet behind the existing curb line north of 14th Street NW along "B" Street NW, approximately 500 feet in length to include the location of the four lane roadway section. Mapping will include 10th Street from 100 feet east of "A" Street NE westerly to the end of improvements, extending 10 feet south of the sidewalk on the south and 40 fet:t north of the edge of pavement. Mapping will extend 10 feet beyond the existing curb along "A" Street NW, 300-feet south of the offset intersection with 3rd Street NW. Mapping will include triangular area west of the proposed road location, north of 10th, east of the railroad tracks for the proposed stormwater pond. Right of entry for mapping will be acquired by the CITY. Monuments will be identified and shown on the base map. Work Element 5.2 Utilities Provide the location of visible and accessible surface utility features, including paint marks provided by others and interior detailing of accessible storm drainage and sanitary sewer structures, within and adjacent to the mapping limits. Available record drawings from the utilities will be used to show the location of underground utilities within the mapping limits. The CONSUL T ANT will coordinate underground utility design locates with the various purveyors. Work Element 5.3 Wetland Location Provide the location of wetland flags established by a wetlands biologist based upon their sketch showing the general shape and flag numbers for each wetland. Work Element 5.4 Geotechnical Test Sites Provide the location of geotechnical test sites. Work Element 5.5 Channelization Provide the location of existing channelization within the mapping limits. Work Element 5.6 Mitie:ation Site Provide I" = 20', 1 foot contour interval design mapping of an as yet undetermined offsite wetland mitigation site. For budgeting purposes this site is estimated to be 8 acres in size. Work Element 5.7 Trees Provide the location and size of significant trees; defined as evergreen trees greater than 6 inches in diameter measured 4 feet above grade, or deciduous trees greater than 4 inches in diameter measured 4 feet above grade. Work Element 5.8 Rie:ht-of-Wav Plans Prepare right-of-way plans for segments 1,5 and 6, which show existing right-of-way, five new right-of-way parcels. The existing parcel boundaries will be shown on the plans based upon title AG-C-255 Exhibit A Scope of Work Page 6 of 24 A Street NW Extension reports with complete legal descriptions and support documents provided by the CITY. Also provide legal descriptions with exhibit maps for the new right-of-way and easement parcels based upon the right-of-way plan. Provide calculations for takes, remainders, etc. Work Element 5.9 Horizontal Control Horizontal datum will be NAD83/91 based upon existing City of Auburn and WSDOT control points in the vicinity of the project. Work Element 5.10 Vertical Control Vertical datum will be NA VD-88 based upon existing City of Auburn benchmarks adjacent to the site. Deliverable{s) : . Provide the base map in one continuous AutoCAD 2006 file covering the project mapping limits. Mapping will be compiled using City of Auburn standard layers, line types, and symbols. . Provide right-of-way plan sheets in AutoCAD 2002 format covering the project limits at a suitable scale to show the new right-of way parcels being acquired and the wnstruction easements necessary for the project. Also provide electronic copies of the legal descriptions. The right-of-way plans and legal descriptions will be prepared under the direction of a professional land surveyor who will sign and seal record hard copies for recording. WORK ELEMENT 6. ENVIRONMENTAL ANALYSIS AND DOCUMENTATION Work Element 6.1 Wetland Delineation Report The CONSULTANT shall review existing wetland delineation reports in the project area provided by the CITY to determine whether wetland delineation is required (Task 2). For purposes of this scope, of work it is assumed that delineation will be required. The CONSULTANT will conduct one site visit, and will delineate wetlands and streams within 100 feet of the roadway alignment, as needed. All rights of entry will be obtained by the CITY. The wetland delineation will be performed using methods defined in the Washington State Wetlands Identification and Delineation Manual (Washington State Department of Ecology, 1997), a manual consistent with the Corps of Engineers Wetlands Delineation Manual ("1987 Manual") (Environmental Laboratory, 1987). Adolfson will incorporate data collected at the site with existing information and will prepare a technical wetland report based on our findings. The report will be prepared based on Washington State Department of Transportation (WSDOT) templates for wetland reports. The report will describe the methods used to determine if wetlands are present in the project area, address on-site wetlands, and briefly discuss wetland and stream regulatory requirements. Potential impacts to wetlands and streams will be described based upon preliminary engineering drawings and other design information, lmd general mitigation concepts will be included in the report. The CONSULT ANT shall provide one draft copy to the CITY and WSDOT for review and will incorporate any comments into a final wetland and stream report. This final report will be suitable for submittal to permitting agencies, AG-C-255 Exhibit A Scope of Work Page 7 of 24 A Street NW Extension including the U.S. Army Corps of Engineers (Corps) and will serve as supporting information for the NEP A DCE. The scope of work for the wetland mitigation plan is located in Work Element 6.5. Deliverable{s) : . Five (5) copies of the Draft Wetland Delineation Report . Three (3) bound copies and one (1) unbound, camera-ready, copy of the final Wetland Delineation Report Work Element 6.2 Permit Matrix The CONSULTANT shall identify all environmental permits and approvals required for the project and prepare a matrix of those permits/approvals. The matrix will list the permitting/approval authority, submittal requirements, time required to process the permit/approval, and other relevant information. It is expected that the project will require conceptual and final mitigation plan approval, Clean Water Act Section 404, and Puget Sound Clean Air Agency permits. The CONSULTANT shall consult the appropriatt~ regulatory agencies and jurisdictions to identify the application procedures and requirements. The CONSULTANT shall also consult with other team members to obtain the necessary information for the permit matrix. The permit matrix will be maintained to include submittal date and status of the application. Deliverable{s) : . Permit Matrix Work Element 6.3 Bioloe:ical Assessment The CONSULTANT shall prepare a Biological Assessment (BA) to comply with Section 7 of the Endangered Species Act (ESA). Both NOAA Fisheries and the U.S. Fish and Wildlife Service (USFWS) have federal jurisdiction over proposed endangered or threatened species that could be present in the project area. The BA will evaluate impacts to federally-listed species that would occur as a result of constructing and operating the preferred alternative. It is a.ssumed that the BA will be prepared using WSDOT's most current template. It is expected that the determination of the BA would be a "no effect" and a No Effect Letter would be prepared. If WSDOT or Federal Highway Administration (FHW A) decides that the determination should be a "may affect, not likely to adversely affect," additional work would be required under a scope amendment. A draft copy of the BA will be sent to WSDOT for review. Based on comments from WSDOT, we will prepare a final BA. This BA will be submitted to FHW A. We assume this same BA will be submitted to the Corps to satisfy Section 404 permit requirements. Deliverable{s): . Five (5) copies of the Draft Biological Assessment · Three (3) bound copies and one (1) unbound, camera-ready, copy of the fina.l Biological Assessment AG-C-255 Exhibit A Scope of Work Page 8 of 24 A Street NW Extension Work Element 6.4 NEPAlSEPA Documentation The CONSULTANT shall coordinate with the CITY, WSDOT, and FHW A to dt:termine the appropriate environmental documentation for the project. For this scope of work, it is assumed that the project will qualify for a Documented Categorical Exclusion (DCE) under the National Environmental Policy Act (NEPA) and that the CITY will adopt the DCE and supporting environmental documents and issue a Determination of Nonsignificance (DNS) to meet State Environmental Policy Act (SEP A) requirements. The CONSULTANT shall coordinate with the CITY to insure that the DCE and supporting documentation includes appropriate environmental analysis to satisfy SEP A requirements. Documentation to support a DCE will be prepared for those elements of the environment that have the potential to be affected by the proposed project, as determined through c:oordination with the CITY, WSDOT, and FHWA. The CONSULTANT shall prepare discipline reports in accordance with WSDOT guidelines and templates as defined in the Local Agency Guidelines and Environmental Procedures Manual, and WSDOT Reader Friendly Format guidelines, as determined to be appropriate. Based on anticipated impacts, it is expected that the required discipline reports to be prepared by the CONSULTANT will include wetlands (described in Work Element 6.1), the BA (described in Work Element 6.3), the traffic analysis (completed by the CITY), noise (described in work element 6.7), air quality (Described in Work Element 6.8) and stormwater report (described in Work Element 8). The discipline reports will be submitted for WSDOT review. The CONSULTANT shall prepare and submit responses to WSDOT comments for the discipline reports. WSDOT comments will be used to revise the contents of the discipline reports. Revised discipline reports will be submitted to WSDOT as supporting documentation for the DCE. For purposes of the scope of work, it is assumed that discipline reports will not be required for earth, land use, groundwater, hazardous materials, socio- economics, environmental justice, historic and cultural resources, and visual quality/light and glare. The CONSULTANT shall assist the CITY in meeting Section 106 requirements for cultural resources. Adolfson will search state and federal databases to determine if historic: or cultural resources are located along the project corridor. Adolfson will prepare a draft letter fi)r the CITY to submit to WSDOT to initiate the Section 106 consultation process. It is assumed that WSDOT would continue and complete the Section 106 consultation process. The FHW A may determine that the project requires preparation of a NEP A Environmental Assessment (EA). This action would require a scope amendment. For purposes of SEP A compliance, we understand the City of Auburn, acting as lc~ad agency, will adopt the NEP A DCE and supporting environmental documentation to meet SEP A requirements and issue a Determination of Non-Significance (DNS) as appropriate. For purposes of this scope, we assume no additional documentation for SEPA (e.g., Environmental Checklist) will be required. AG-C-255 Exhibit A Scope of Work Page 9 of 24 A Street IIJW Extension Deliverable(s): . NEP A Documentation . Discipline Reports (covered in other work elements) . Draft letter for Section 106 consultation. Work Element 6.5 Environmental Permittine: The CONSULTANT shall prepare a Joint Aquatic Resource Permit Application (JARPA) that can be submitted to both the Corps for Section 404 permitting and the Department of Ecology for Section 401 Water Quality, CZM consistency certification. As part of this task, the CONSULTANT shall coordinate with team members to obtain the necessary information and drawings for the submittal. This scope of work assumes that the project will require a Section 404 Individual Permit from the Corps (as opposed to a Nationwide Pennit). The CONSULT ANT shall prepare the necessary materials for an individual permit, including the project alternatives analysis required for a Section 404 Individual Permit. The alternatives analysis will be prepared based upon engineering information prepared for this project. The CONSUL T ANT shall also prepare the application for the National Pollution Discharge Elimination System (NPDES) permit. Deliverable(s): . JARPA . Alternatives Analysis . NPDES Application. Work Element 6.6 Wetland Mitie:ation Plan This scope of work assumes that mitigation for impacts to wetlands along the project corridor will be off-site. The mitigation site will be located on city-owned property, possibly along Mill Creek. 1) Evaluation of Potential Mitigation Sites The CONSULTANT shall prepare preliminary conceptual mitigation plans for up to three potential mitigation sites with the City of Auburn. This information will be incorporated into the Conceptual Mitigation Plan for the preferred site. We assume the mitigation site will need to accommodate up to eight-acres of wetland creation or enhancement, plus required w~:tland buffer area. The preliminary plans will show the required mitigation area on each site to determine if adequate space is available, the extent of grading required to accommodate the mitigation, and the relative costs of grading between sites. The preliminary conceptual mitigation plans and comparative scale of grading for each plan will be provided to the City of Auburn for review. The CONSULTANT will not conduct wetland delineations on the potential mitigation sites. We understand that previous delinl~ations have been completed on two potential sites. For purposes of this scope of work, we assume a wetland verification will be required for the preferred mitigation site. Wetland verification work assumes that existing wetland reports and delineations are available and that delineated boundaries are flagged or staked in the field. AG-C-255 Exhibit A Scope of Work Page 10 of 24 A Street NW Extension 2) Conceptual Mitigation Plan The CONSULTANT shall prepare a written report describing the results of th~: evaluation process described above. This information will be incorporated into the Conceptual Mitigation Plan for the preferred site. The Plan will address the goals and objectives of the mitigation, describe the mitigation area, prepare a mitigation concept, present a monitoring plan, and discuss contingency measures. The CONSULTANT shall acquire a recent aerial photograph of approximately 1 :2,000, and will design the conceptual restoration elements on a photo background. The preliminary draft report will be provided to the CITY for review. The Conceptual Mitigation Plan will be sent to the Corps and Ecology for review. Response to agency comments is included in this task. 3) Final Mitigation Plan The CONSULTANT shall prepare a Final Mitigation Plan for roadway segments 1, 5, and 6 consisting of detailed grading and landscape plans necessary for permit applications. The Final Mitigation Plan will include up to four (4) full-size sheets (30-scale) with elevations, planting details, maintenance and monitoring instructions. These sheets will be sent to the CITY for review and comment~ comments will be incorporated, and a final draft will be sent tlO the CITY. This task includes responses to comments by the agencies on the Final Mitigation Plan. The Final Mitigation Plan will be considered equal to 30% Design of the construction plans. Deliverable{s) : · Five (5) copies of the Draft Wetland Mitigation Plans to the CITY and the necessary number of copies to reviewing agencies · Three (3) bound copies and one (1) unbound, camera-ready, copy of the Final Wetland Mitigation Plans to the CITY and the necessary number of copies to regulator:v agencies Work Element 6.7 Noise Study The CONSULTANT shall perform a noise analysis following WSDOT Noise Abatement policy guidelines. The noise analysis will provide an assessment of whether the proposed project will present noise impacts to sensitive receptors near the project area and whether noist~ abatement will be required to minimize impacts to the existing environment. If noise impacts are expected, noise-reduction measures that are determined by the CITY, with WSDOT concunence, to be practicable, reasonable, and acceptable to the public must be incorporated into the roadway improvement. The noise analysis will follow the WSDOT Traffic Noise Analysis and Abatement Policy and Procedures Manual which is a document that provides guidance and criteria for conducting traffic noise impact and mitigation analyses consistent with federal highway traffic noise standards in 23 CFR 772, Procedures for Abatement of Highway Traffic Noise and Construction Noise. The CONSULTANT shall prepare a noise technical memorandum that will document potential noise impacts to sensitive receptors from the A Street NW Extension project. The noise analysis will follow FHW A methodology and criteria in assessing noise impacts from the projt:ct. AG-C-255 Exhibit A Scope of Work Page 11 of 24 A Street IIIW Extension As part of the noise analysis, a reconnaissance of the project study area will be conducted to determine land uses in order to locate sensitive receptors, and determine their distances from the proposed design alternative. Selection of sensitive receptors for the study shall be based upon their sensitivity to noise and their distance from the project. The CONSULTANT shall describe existing noise levels in the project area and identify all major noise sources. The proposed project is near commercial development and there may not be any sensitive receptors (residences, parks, etc.) within the required distance of the project area to experitmce a noise impact from the project. If no sensitive receptors are identified, the noise technical memorandum will provide documentation to show that a noise analysis is not required. However, this scope assumes that no more than three (3) sensitive receptors will be identified for this study. For these sensitive receptor locations, one measurement shall be taken at each sensitive receptor identified during daytime (PM) peak hours. If additional measurement and modeling locations are required, they shall be completed under a separate task order. The primary source of the noise shall be identified for each monitoring site. All noise sources shall be noted and those that may interfere with future mitigation determination shall be identified. Traffic counts shan be taken concurrently with the noise measurements. Modeling will be performed to determine if noise levels for the project design year approach or exceed FHW A Noise Abatement Criteria (66dBA or greater for residential and park areas). Existing and future noise levels shall be modeled using the FHW A Traffic Noise Model (TMN) model. Measured noise levels shall be compared to modeled levels using the traffic data collected for the traffic study; any discrepancy between modeled and measured levels shall be summarized. Predicted modeled noise results for the future no-build condition, and the future build conditions for the year of project opening and the project design year shall be compared to FHW A Noise Impact Abatement Criteria to assess the significance of potential traffic-related noise changes resulting from the proposed project. Mitigation measures shall be evaluated and presented, if necessary, for noise levels that either approach or exceed FHW A Noise Impact Abatement Criteria levels. Noise Technical Memorandum The noise technical memorandum shall be based on the guidelines presented in the current Federal Aid Policy Guide, Sub-chapter H, Part 772 "Procedures for Abatement of Highway Traffic Noise and Construction Noise", and the "WSDOT Traffic Noise Abatement Policy and Procedures Manual." The noise technical memorandum shall provide the following: 1. A characterization of existing noise levels at the affected intersection and road corridor segments of the project based on appropriate measurements within the project area. 2. Identify all noise-sensitive receptors in the potentially affected area. 3. Specify all adverse effects and unavoidable significant adverse impacts on noise from the proposed project relative to existing noise conditions and FHW A Noise Impact Criteria levels. 4. Identify appropriate mitigation measures for both short-term construction impacts and long-term traffic-related impacts from noise. Three (3) copies of the Final Noise Technical Memorandum Work Element 6.8 Air Quality Study The new roadway is receiving federal funding from the Federal Highway Administration and has local and regional significance; therefore the project must comply with conformity n:quirements. Conformity requirements apply to projects located in a maintenance area for Carbon Monoxide (CO). The Clean Air Washington Act (CAWA) of 1991 (RCW 70.94) requires transportation plans, programs and projects to be consistent with the SIP to improve air quality in areas where federal air quality standards are not met or in maintenance areas. The CONSULTANT shall conduct an air quality analysis to demonstrate project conformity, which ensures that the proposed transportation project does not cause or contribute to existing air quality problems. The conformity demonstration provides an analysis that evaluates compliance with existing air quality control plans and programs, identifies whether the proposed project will present air quality impacts to the existing environment and identifies mitigation measures that must be employed to minimize impacts to the existing environment. A conformity d(~termination must be made based on the "hot-spot" modeling analysis conducted on high LOS and high volume intersections. A finding of conformity is met when the proposed project does not: 1. Cause or contribute to any new violation of federal air quality standards. 2. Increase the frequency or severity of any existing violation of federal air quality standards. 3. Delay timely attainment of federal air quality standards. The conformity analysis shall be performed using the EP A models Mobile 6 and CAL3QHC to calculate CO concentrations at receptors placed around a maximum of three selected intersections. The models shall use free-flow vehicle speeds, link volume estimates and shall be evaluated for the base year, project completion year and design year. Peak-hour impacts shall be calculated and converted to 8-hour average concentrations for comparison to the CO ambient air quality standards using a factor of 0.7 as recommended by modeling guidance. The analysis shall be used to make a determination of whether the project shall conform to the State Implementation Plan per WAC 173-420, the Federal Clean Air Act, and 40 CFR Parts 5 & 93 (rev. August 15, 1997). Air Quality Technical Memorandum The air quality technical memorandum shall consist of sections describing the existing conditions, regulatory setting, construction impacts, the methodology of the "hot spot" modeling analysis, the predicted impacts of the project Alternative at an interim year (the year of project opening) and at design year, mitigating measures, and the conformity determination. The Existing Conditions section shall include: 1. A discussion of existing ambient air quality conditions within the project area for all criteria pollutants relative to National Ambient Air Quality Standards (NAAQS) and their effect upon air quality at the proposed site. A discussion of the applicable national, state and local regulations from the Environmental Protection Agency, the Dept. of Ecology and the Puget Sound Clean Air Agency (PSCAA). 3. An examination of available data from Dept. of Ecology and PSCAA monitoring stations, describing current regional and local concentrations of the priority air pollutants. The Regulatory Setting section shall include: 1. A discussion of air quality conformity regulations and the criteria for demonstrating project conformity. 2. A discussion of pollutants that require a conformity demonstration. The Construction Impacts section shall include: I. A qualitative discussion of air quality impacts as a result of construction activities. 2. Construction mitigation measures shall be presented in accordance with the Puget Sound Clean Air Agency fugitive dust guidelines. The Operation Impacts section shall include: 1. A discussion of the methodology used to perform the "hot-spot modeling analysis, including a discussion of how intersections were selected for modeling and the modeling results. 2. A comparison shall be made between project CO concentrations levels and future no- build levels. The Mitigation Measures section shall include: 1. Any traffic mitigation measures suggested by the traffic engineers shall bc~ mentioned and their effectiveness shall be discussed. If intersections are reconfigun~d to reduce air quality impacts, these intersections shall be re-modeled to quantify and confirm the effectiveness of the mitigation measures. The Conformity Determination section shall include: 1. A discussion of whether the project meets air quality transportation conformity requirements. 2. A discussion of any adverse effects and unavoidable significant adverse impacts on air quality from the proposed project relative to projected air quality conditions and regulatory compliance requirements. Materials En2ineerin2 The objective of the CONSULTANT's work shall be to design and perform an exploration program that complements the existing data and allows the design of the roadway pavement section and other related foundations. The CONSULTANTS proposed scope of work for the geotechnical subconsultant shall be as follows: · Review available data of the City's and published maps etc. · Perform a geologic evaluation of the site to locate the borings and monitoring wells. Also probe the soft ground areas by hand at this time. · Drill 12 borings (each 30 feet deep) and obtain representative samples. · Install monitoring well casings in eight (8) locations so that water table carl be defined and measured at different times of the year. . Test representative samples in the laboratory. . Monitor the water levels at two subsequent times after the drilling. . Perform an engineering analysis of the boring and laboratory findings. · Prepare a summary geotechnical engineering report for the project that recommends earthwork considerations, pavement section and foundation requirements for structures. STORMW A TER PLAN AND REPORT Work Element 8.1 Prepare Stormwater Report The CONSULTANT shall prepare a stormwater report utilizing the WSDOT template that conforms with the WSDOT Highway Runoff Manual (2004) as follows: 1. Calculate required pipe sizes, slopes, inlet and outlet details, and riprap requin~ments to convey roadway runoff. 2. Size necessary ditches and channels and design accordingly for conveyance of roadway and cut slope runoff. 3. Identify and analyze contributing runoff areas, including existing and off-site contributing areas for the proposed drainage design. 4. Analyze downstream impacts. 5. Design required water quality/quantity facilities and associated structures. 6. Recommended treatment types, sizes and locations. The overall right-of-way acquisition objectives are: 1. Negotiate for portions of property and/or property rights for the compl<;:tion of the proposed roadway improvements. 2. Assist the City of Auburn with the acquisition process, certification, and pn~paration of forms. 3. Deliver completed files. The CONSULTANT shall perform the following work: 1. Inspect and prepare a Preliminary Survey Report for each parcel. 2. Review title exceptions with City of Auburn. 3. Identify fee interest ownership for each parcel. 4. Coordinate with City of Auburn on determination of just compensation for each parcel. 5. Prepare Administrative Offer Summaries for acquisition parcels that qualify under the appraisal waiver process - (2) Parcels 6. Prepare and setup acquisition files for each parcel. 7. Review title reports, appraisal reports, plans, and legal descriptions 8. Prepare acquisitions forms needed to obtain property rights. This proposal does not include condemnation forms. 9. Negotiate with property owners to acquire in fee title, easements, and temporary construction easements for 5 parcels. A minimum of three attempts for each parcel. 10. Prepare justification reports for administrative settlements to avoid condemnation (2) parcels. 11. Maintain diaries for each parcel. 12. Assist in obtaining clear title of property and/or property rights, which the City of Auburn determines to be reasonable or will adversely impact the rights being acquired. 13. Cross sections along A Street will be provided. The following design elements have already been completed by the CITY with additional work completed by the CONSULTANT: Horizontal alignment: The horizontal design was completed by the CITY and will be entered into the software design program with no revisions required. Channelization Plan: The majority of the channelization design has been completed by the CITY. The CONSULTANT shall review how the channelization on A Street and 14th Street NW, A Street NW and 10th street approaches, and the 3rd Street NW and A Street NW offset intersection. Traffic analysis has been completed by the CITY. Additional traffic study neleds will be completed by the CITY. Roadway and cross sections shall be reviewed for property impacts by the CONSULTANT It is assumed that some Preliminary roadway design will be conducted for segments 1, 2, 4, 5, and 6. These services will be furnished in accordance to City of Auburn approved Right of Way Procedures, state and federal laws, FHW A regulations, Local Agency Guidelines Manual, and Washington State Right of Way Manual (M26-01). All work elements outlined in Work Element 9.1 apply for the acquisition of two parcels, except it is assumed that additional justification reports will not be required to avoid condemnation, and that additional administrative offer summaries for acquisition parcels that qualify under the appraisal waiver process will not be required. Direct Salary Costs: The Direct Salary Cost is the direct salary paid to principals, professional, technical, and clerical personnel for the time they are productively lengaged in work necessary to fulfill the terms of this AGREEMENT. The CONSULTANT shall maintain support data to verify the direct salary costs billed to the AGENCY. 2. Overhead Costs: Overhead Costs are those costs other than direct costs, which are included as such on the books of the CONSULTANT in the normal everyday keeping of its books. Progress payments shall be made at the rate shown in the heading of this AGREEMENT under "Overhead Progress Payment Rate." Total overhead payment shall be base:d on the method shown in the heading of the AGREEMENT. The two options are explained as follows: a. Fixed Rate: Ifthis method is indicated in the heading of the AGREEMENT the AGENCY agrees to reimburse the CONSULTANT for overhead at the percemtage rate shown. This rate shall not change during the life of the AGREEMENT. b. Actual Cost: Ifthis method is indicated in the heading ofthe AGREEMENT the AGENCY agrees to reimburse the CONSULT ANT the actual overhead costs verified by audit, up to the Maximum Total Arnount Payable, authorized under this AGREEMENT, when accumulated with all other Actual Costs. A summary of the CONSULTANTS cost estimate and the overhead computation is shown in Exhibit "E" attached hereto and by this reference rnade part of this AGREEMENT. When an Actual Cost method is used, the CONSULTANT (prime and all sub-consultants) will submit to the AGENCY within six (6) months after the end of each firm's fiscal year, an overhead schedule in the format required by the AGENCY (cost category, dollar expenditures, etc.) for the purpose of adjusting the overhead rate for billing purposes. It shall be used for the computation of progress payments during the following year and for retroactively adjusting the previous year's overhead cost to reflect the actual rate. Failure to supply this information by either the prime CONSULTANT or any of their sub- consultants shall cause the AGENCY to withhold payment of the billed overhead costs until such time as the required information is received and an overhead rate for billing purposes is approved. AG-C-255 Exhibit 0-2 Payment (Cost Plus a Fixed Fee) Page 1 of 3 A Street NW Extension The AGENCY, STATE and/orthe Federal Government rnay perform an audit of the CONSULTANT'S books and records at any time during regular business hours to determine the actual overhead rate, if they so desire. 3. Direct Non-Salary Costs: Direct Non-Salary Costs will be reimbursed at the Actual Cost to the CONSULTANT. These charges may include, but are not lirnited to, the following items: travel, printing, long distance telephone, supplies, computer charges and fees of sub- consultants. Air or train travel will be reimbursed only to economy class levels unless otherwise approved by the AGENCY. The CONSULTANT shall comply with the rules and regulations regarding travel costs (excluding air, train, and rental car costs) in accordance with the AGENCY'S Travel Rules and Procedures. However, air, train, and rental car costs shall be reimbursed in accordance with 48 Code of Federal Regulations (CFR) Part 31.205-46 "Travel Costs." The billing for Direct Non-Salary Costs shall include an itemized listing of the charges directly identifiable with the PROJECT. The CONSULTANT shall maintain the original supporting documents in their office. Copies of the original supporting documents shall be supplied to the AGENCY upon request. All above charges must be necessary for the services provided under this AGREEMENT. 4. Fixed Fee: The Fixed Fee, which represents the CONSULT ANT'S profit, is shown in the heading of this AGREEMENT under Fixed Fee. This amount does not include any additional Fixed Fee, which could be authorized from the Management Reserve Fund. This fee is based on the Scope of Work defined in this AGREEMENT and the estimated person-hours required to perform the stated Scope of Work. In the event the CONSULTANT enters into a supplemental AGREEMENT for additional work, the supplemental AGREEMENT may include provisions for the added costs and an appropriate additional fee. The Fixl~d Fee will be prorated and paid monthly in proportion to the percentage of work completed by the CONSULT ANT and reported in the Monthly Progress Reports accompanying the billings. Any portion of the Fixed Fee earned but not previously paid in the progress payments will be covered in the final payment, subject to the provisions of Section IX entitled "Termination of Agreement." 5. Management Reserve Fund: The AGENCY may desire to establish a Management Reserve Fund to provide the Agreement Administrator with the flexibility to authorize additional funds to the AGREEMENT for allowable unforeseen costs, or reimbursing the CONSULTANT for additional work beyond that already defined in this AGREEMENT. Such authorization{s) shall be in writing and shall not exceed the lesser of $1 00,000 or 10% of the Total Amount Authorized as shown in the heading of this AGREEMENT. The amount included for the Management Reserve Fund is shown in the heading of this AGREEMENT. This fund may not be replenished. Any changes requiring additional costs in excc~ss of the Management Reserve Fund shall be made in accordance with Section XIV, "Extra Work." 6. Maximum Total Amount Payable: The Maximum Total Amount Payable by the AGENCY to the CONSULTANT under this AGREEMENT shall not exceed the amount shown in the heading of this AGREEMENT. The Maximum Total Amount Payable is comprised ofthe Total Amount Authorized, and the Management Reserve Fund. The Maximum Total Amount Payable does not include payment for Extra Work as stipulated in Section XIV, "'Extra Work." No minimum amount payable is guaranteed under this AGREEMENT. B. Monthly Progress Payments: The CONSULTANT may submit billings to the AGENCY for reimbursernent of Actual Costs plus the calculated overhead and fee on a monthly basis during the progress of the work. Such billings shall be in a format approved by the AGENCY and AG-C-255 Exhibit 0-2 Payment (Cost Plus a Fixed Fee) Page 2 of 3 A Street NW Extension accompanied by the monthly progress reports required under Section III, "General R1equirements" of this AGREEMENT. The billings will be supported by an itemized listing for each item including Direct Salary, Direct Non-Salary, and allowable Overhead Costs to which will be added the prorated Fixed Fee. To provide a means of verifying the billed salary costs for CONSULTANT employees, the AGENCY may conduct employee interviews. Thest: interviews may consist of recording the names, titles, salary rates, and present duties of those employees perfonning work on the PROJECT at the time ofthe interview. C. Final Payment: Final Payment of any balance due the CONSULTANT of the gross amount earned will be made promptly upon its verification by the AGENCY after the complt:tion of the work under this AGREEMENT, contingent upon receipt of all PS&E, plans, maps, notes, reports, electronic data and other related documents which are required to be furnished under this AGREEMENT. Acceptance of such Final Payment by the CONSULTANT shall constitute a release of all claims for payment, which the CONSULTANT may have against the AGENCY unless such claims are specifically reserved in writing and transmitted to the AGENCY by the CONSULT ANT prior to its acceptance. Said Final Payment shall not, however, be a bar to any claims that the AGENCY may have against the CONSULTANT or to any rernedies the AGENCY may pursue with respect to such claims. The payment of any billing will not constitute agreement as to the appropriateness of any item and at the time of final audit, all required adjustments will be made and reflected in a final payment. In the event that such final audit reveals an overpayment to the CONSULTANT, the CONSULT ANT will refund such overpayment to the AGENCY within thirty (30) days of notice of the overpayment. Such refund shall not constitute a waiver by the CONSULTANT for any claims relating to the validity of a finding by the AGENCY of overpayment. The CONSULTANT has twenty (20) days after receipt of the final POST AUDIT to begin the appeal process to the AGENCY for audit findings. D. Inspection of Cost Records: The CONSULTANT and their sub-consultants shall keep available for inspection by representatives of the AGENCY, STATE and the United States, for a period of three (3) years after receipt of final payment, the cost records and accounts pertaining to this AGREEMENT and all items related to or bearing upon these records with the following exception: if any litigation, claim or audit arising out of, in connection with, or related to this contract is initiated before the expiration of the three (3) year period, the cost records and accounts shall be retained until such litigation, claim, or audit involving the records is completed. Compliance with Regulations: The CONSULTANT shall comply with the Regulations relative to non-discrimination in federally assisted programs of the AGENCY, Title 49, Code of Federal Regulations, Part 21, as they may be arnended from time to tirne (hereinafter referred to as the "REGULA nONS"), which are herein incorporated by reference and made a part of this AGREEMENT. . 2. Non-discrimination: The CONSULTANT, with regard to the work performed during the AGREEMENT, shall not discriminate on the grounds of race, color, sex, or national origin in the selection and retention of sub-consultants, including procurement of materials and leases of equipment. The CONSULTANT shall not participate either directly or indirectly in the discrimination prohibited by Section 21.5 of the REGULA nONS, including employment practices when the AGREEMENT covers a program set forth in Appendix B of the REGULA nONS. 3. Solicitations for Sub-consultants, Including Procurement of Materials and Equipment: In all solicitations either by competitive bidding or negotiations rnade by the CONSULTANT for work to be performed under a sub-contract, including procurement of materials or leases of equipment, each potential sub-consultant or supplier shall be notified by the CONSUL T ANT of the CONSULTANT'S obligations under this AGREEMENT and the REGULA nONS fl~lative to non-discrimination on the grounds of race, color, sex, or national origin. 4. Information and Reports: The CONSULTANT shall provide all information and reports required by the REGULA nONS or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, and its facilities as may be determine:d by AGENCY, STATE or the Federal Highway Administration (FHW A) to be pertinent to ascertain compliance with such REGULA nONS, orders and instructions. Where any information required of a CONSULTANT is in the exclusive possession of another who fails or refuses to furnish this information, the CONSULT ANT shall so certify to the AGENCY, STATE or the FHW A as appropriate, and shall set forth what efforts it has made to obtain the information. 5. Sanctions for Non-compliance: In the event of the CONSULTANT'S non-compliance with the non-discrimination provisions of this AGREEMENT, the AGENCY shall impose such AGREEMENT sanctions as it, the STATE or the FHW A may determine to be appropriate, including, but not limited to: . Withholding of payrnents to the CONSULT ANT under the AGREEMENT until the CONSULTANT complies, and/or; . Cancellation, termination, or suspension of the AGREEMENT, in whole or in part 6. Incorporation of Provisions: The CONSULTANT shall include the provisions of paragraphs (1) through (5) in every sub-contract, including procurement of materials and leases of equipment, unless exempt by the REGULA nONS, or directives issued pursuant thereto. The CONSULTANT shall take such action with respect to any sub-consultant or procurement as the AGENCY, STATE or FHWA may direct as a means of enforcing such provisions induding sanctions for non-compliance. In addition, the CONSULTANT shall be paid for any authorized extra work completed. Cost Plus Fixed Fee Contracts A final payrnent shall be made to the CONSULTANT which when added to any payments previously made, shall total the actual costs plus the same percentage of the fixed fee as the work complt~ted at the time of termination is to the total work required for the Project. In addition, the CONSULTANT shall be paid for any authorized extra work completed. Specific Rates of Pay Contracts A final payment shall be made to the CONSULTANT for actual hours charged at the time of termination of this AGREEMENT plus any direct nonsalary costs incurred at the time of termination of this AGREEMENT. Cost Per Unit of Work Contracts A final payment shall be rnade to the CONSULTANT for actual units of work completed at the time of termination ofthis AGREEMENT. AG-C-255 Exhibit I Payment Upon Termination of Agreement Page 1 of 1 A Street NW Extension Exhibit J Alleged Consultant Design Error Procedures The purpose of this exhibit is to establish a procedure to detennine if a consultant's alleged dl~sign error is of a nature that exceeds the accepted standard of care. In addition, it will establish a unifonn method for the resolution and/or cost recovery procedures in those instances where the agency believes it has suffered some material darnage due to the alleged error by the consultant. Step 1 - Potential Consultant Design Error(s) is Identified by Agency's Project Manager At the first indication of potential consultant design error(s), the first step in the proCl~SS is for the Agency's project manager to notify the Director of Public Works or Agency Engineer regarding the potential design error(s). For federally funded projects, the Region Highways and Local Programs Engineer may be infonned and involved in these procedures. (Note: The Director of Public Works or Agency Engineer may appoint an agency staff person other than the project manager, who has not been as directly involved in the project, to be responsible for the remaining steps in these procedures.) Step 2 - Project Manager Documents the Alleged Consultant Design Error(s) After discussion of the alleged design error(s) and the magnitude of the alleged error(s), and with the Director of Public Works or Agency Engineer's concurrence, the project manager obtains more detailed documentation than is nonnally required on the project. Examples include: all decisions and descriptions of work; photographs, records of labor, materials and equiprnent. Step 3 - Contact the Consultant Regarding the Alleged Design Error(s) If it is detennined that there is a need to proceed further, the next step in the process ils for the project manager to contact the consultant regarding the alleged design error(s) and the magnitude ofthe alleged error(s). The project manager and other appropriate agency staff should represent the agency and the consultant should be represented by their project manger and any personnel (including sub-consultants) deemed appropriate for the alleged design error(s) issue. Step 4 - Attempt to Resolve Alleged Design Error with Consultant After the rneeting(s) with the consultant have been completed regarding the consultant's alleged design error(s), there are three possible scenarios: . It is detennined via mutual agreement that there is not a consultant design l~rror(s). If this is the case, then the process will not proceed beyond this point. . It is detennined via mutual agreement that a consultant design error(s) occurred. If this is the case, then the Director of Public Works or Agency Engineer, or their representatives, negotiate a settlement with the consultant. The settlement would be paid to the agency or the amount would be reduced from the consultant's agreement with the agency for the services on the project in which the design error took place. The agency is to provide H&LP, through the Region Local Programs Engineer, a summary of the settlement for review and to make adjustments, if any, as to how the settlement affects federal reimbursements. There is not a mutual agreement regarding the alleged consultant design error(s). The consultant may request that the alleged design error(s) issue be forwarded to the Director of Public Works or Agency Engineer for review. If the Director of Public Works or Agency Engineer, after review with their legal counsel, is not able to reach mutual agreement with the consultant, proceed to Step 5. Step 5 - Forward Documents to Highways and Local Programs For federally funded projects all available information, including costs, should be forwarded through the Region Highways and Local Programs Engineer to H&LP for their review and consultation with the FHW A. H&LP will meet with representatives of the agency and the consultant to review the alleged design error(s), and attempt to find a resolution to thl~ issue. If necessary, H&LP will request assistance from the Attorney General's Office for legal interpretation. H&LP will also identify how the alleged error(s) affects eligibility of project costs for federal reimbursement. . If mutual agreement is reached, the agency and consultant adjust the scope of work and costs to reflect the agreed upon resolution. H&LP, in consultation with FHW A, will identify the amount of federal participation in the agreed upon resolution of the issue. . If mutual agreement is not reached, the agency and consultant may seek settlement by arbitration or by litigation. The following procedures should only be utilized on consultant claims greater than $1,000. If the ,;;onsultant's claim(s) are a total of $1,000 or less, it would not be cost effective to proceed through the outlined steps. It is suggested that the Director of Public Works or Agency Engineer negotiate a fair and reasonable price for the consultant's claim(s) that total $1,000 or less. This exhibit will outline the procedures to be followed by the consultant and the agency to consider a potential claim by the consultant. Step I - Consultant Files a Claim with the Agency Project Manager If the consultant determines that they were requested to perform additional services that were outside of the agreement's scope of work, they may be entitled to a claim. The first step that must be completed is the request for consideration of the clairn to the Agency's project manager. The consultant's claim must outline the following: . Summation of hours by classification for each firm that is included in the claim; . Any correspondence that directed the consultant to perform the additional work; . Timeframe of the additional work that was outside of the project scope; . Summary of direct labor dollars, overhead costs, profit and reimbursable costs associated with the additional work; and . Explanation as to why the consultant believes the additional work was outside of the agreement scope of work. Step 2 - Review by Agency Personnel Regarding the Consultant's Claim for Additional Compensation After the consultant has completed step I, the next step in the process is to forward the request to the Agency's project manager. The project manager will review the consultant's claim and will meet with the Director of Public Works or Agency Engineer to determine if the Agency agrees with the claim. Ifthe FHW A is participating in the project's funding, forward a copy of the consultant's claim and the Agency's recommendation for federal participation in the claim to the WSDOT Highways and Local Programs through the Region Local Programs Enginel~r. If the claim is not eligible for federal participation, payment will need to be from agency funds. If the Agency project manager, Director of Public Works or Agency Engineer, WSDOT Highways and Local Prograrns (if applicable), and FHW A (if applicable) agree with the consultant's claim, send a request memo, including backup documentation to the consultant to either supplement the agreement, or create a new agreement for the claim. After the request has been approved, the Agency shall write the supplement and/or new agreement and pay the consultant the amount of the clairn. Inform the consultant that the final payrnent for the agreement is subject to audit. No further action in needed regarding the claim procedures. Copy of information supplied by the consultant regarding the clairn; . Agency's summation of hours by classification for each firm that should be included in the claim; . Any correspondence that directed the consultant to perform the additional work; . Agency's summary of direct labor dollars, overhead costs, profit and reimbursable costs associated with the additional work; . Explanation regarding those areas in which the Agency does/does not agree with the consultant's claim(s); . Explanation to describe what has been instituted to preclude future consultant cladm(s); and . Recommendations to resolve the clairn. Step 4 - Director of Public Works or Agency Engineer Reviews Consultant Claim and Agency Documentation The Director of Pubic Works or Agency Engineer shall review and administratively approve or disapprove the claim, or portions thereof, which may include getting Agency Councilor Commission approval (as appropriate to agency dispute resolution procedures). Ifth€~ project involves federal participation, obtain concurrence from WSDOT Highways and Local Programs and FHW A regarding final settlement of the claim. If the claim is not eligible for federal participation, payment will need to be from agency funds. Step 5 - Informing Consultant of Decision Regarding the Claim The Director of Public Works or Agency Engineer shall notify (in writing) the consultant of their final decision regarding the consultant's claim(s). Include the final dollar amount ofthe accepted c1aim(s) and rationale utilized for the decision. Step 6 - Preparation of Supplement or New Agreement for the Consultant's Claim(s) The agency shall write the supplement and/or new agreement and pay the consultant the amount of the clairn. Inform the consultant that the final payment for the agreement is subject to audit. WORK ELEMENT 6.0 ENVIRONMENTAL ANALYSIS AND DOCUMENTATION Work Element 6.9 Hazardous Materials Preliminary Review The CONSULTANT shall review existing and readily available databases (such as Department of Ecology's Facility Site ID and Suspected and Confirmed Contaminated Sites databases) for known contaminated sites in the vicinity of the roadway corridor. Three (3) bound copies and one (1) unbound, camera-ready, copy of the final Hazardous Materials Technical Memorandum Work Element 6.10 Visual Qualitv The CONSULTANT shall prepare a Visual Quality Discipline Report for the project. The CONSULTANT shall analyze and apply significance criteria (vividness, intactness, and unity) derived from the FHW A Visual Assessment publication FHW A-HI-88-054 and the WSDOT Visual Quality Discipline Report Checklist. CONSULTANT will conduct the visual impact assessment on the preferred alternative only. The Discipline Report will include photographs from key views and photo simulations of the proposed project on the existing views. Quantitative analysis will be performed on all viewpoints. Viewer groups and viewer sensitivity will be identified, as well as frequency and duration of viewer exposure. Potential project impacts to key views will be discussed, and potential mitigation measures for impacts will be identified. Deliverable{s): . Five (5) copies of the Draft Visual Quality Discipline Report . The criteria of Enhanced Mitigation (4:1 ratio) shall be reflected in the Final Mitigation plan. 1) Final Mitigation Plan The CONSULTANT shall prepare a Final Mitigation Plan for wetland impacts associated with roadway segments 1, 5, and 6 consisting of detailed grading and landscape plans at one or two mitigation sites necessary for permit applications. In addition, the scope is provided herein under the proper tasks (not optional services) for work that was originally assigned to optional services. The CONSULTANT'S portion of optional services was not billed to Optional Services (Task 16), but was completed under the tasks provided in the main scope, and will continue doing so for remaining work. WORK ELEMENT 2.0 Data Collection and Review Work Element 2.1 Review and Analvze Existing Data The CONSULTANT shall complete Level of Service (LOS) capacity analysis at the intersection of 3`d Street and A Street for Air Quality Study. WORK ELEMENT 5.0 Surveying Work Etement 5.1 Mapping The CONSULTANT shall field survey recently constructed A Street roadway between 5`h and 7`h, pickups required for changes between 8th and 10`h Street (additional fence and quarry spall drive), and any changes along the Lyden parcel that may require an update to the project basemap. Work Element 5.6 Mitigation Site The CONSULTANT shall provide for a survey of the offsite wetland mitigation site of approximately 16 acres. 8 acres was originally assumed. Work Element 5.8 Right of WaY Plans The CONSULTANT shall provide 6 additional legal descriptions for a total of 11. Originally 5 legal descriptions were accounted for. WORK ELEMENT 6.0 ENVIRONMENTAL ANALYSIS AND DOCUMENTATION AG-C-255 Supplemental Agreement #5 Page 3 of 9 A Street NW Extension Exhibit A- Scope of Work Work Element 6.2 Permit Matrix The CONSULTANT will continue to update the permit matrix to track submittals and public notice requirements associated with permits currently in process (e.g., 404/401 wetland) and permits not yet initiated (NPDES permit for General Construction). Work Element 6.3 Biolodcal Assessment The CONSULTANT sha11 coordinate with WSDOT biological resource staff and stormwater design engineers to support additional analysis and modeling for pollutant loading and potential water quality effects to Mill Creek. Additional coordination, analysis, and two additional review cycles will occur based on changes in WSDOT guidance/ policy for analyzing stormwater effects on listed species; and to address a new listed species (Puget Sound steelhead). The final "May Affect, Not Likely to Adversely Affect" BA will also address secondary effects of the proposal on species protected by NOAA Fisheries (Chinook and steelhead). The CONSULTANT shall develop a separate, stand alone "no effects" letter on behalf of FHWAJWSDOT to address USFWS protected species only (bull trout). The CONSULTANT shall coordinate directly with federal agencies (FHWA, USFWS, and NOAA Fisheries) to facilitate review and concurrence on the BA documents. Work Element 6.4 NEPA/SEPA Documentation The CONSULTANT shall coordinate with WSDOT and prepare documentation to support a re- evaluation under NEPA regarding the use of a wetland mitigation site not previously considered in, existing NEPA documents. ESA consultation will be re-initiated with NMFS and USFWS to address changes to the project description associated with a new mitigation site, and potential effects upon ESA listed species. A letter report will be prepared; we assume that there will be no change to the determinations of effect. Section 106 consultation will be re-initiated with regards to potential effects at the mitigation site; a site reconnaissance and letter report will be prepared as a supplement to the previous cultural resources evaluation prepared for the project. Deliverable(s): • Draft and final letter reports to USFWS re-evaluating potential effects to bull trout related to construction at the new mitigation site. • Draft and final letter reports to NMFS re-evaluating potential effects to bull trout related to construction at the new mitigation site. • Draft and final letter reports to SHPO re-evaluating potential effects to cultural resources related to construction at the new mitigation site. Work Element 6.5 Environmental Permittin~ Additional effort will be required by the CONSULTANT to coordinate directly with ACOE and Ecology permit reviewers during the permit review period. The CONSULTANT will coordinate with city staff and the design team to prepare responses to public comments and agency comments during the permitting process. Additional fieldwork and existing mitigation site conditions will be documented as part of the permit review process. AGC-255 Supplemental Agreement #5 Page 4 of 9 A Street NW Extension Exhibit A- Scope of Work Deliverable(s): • Response to agency/public comments Work Element 6.6 Wetland Mitigation Plan Final Mifigation Plan Report The CONSULTANT shall prepare a Final Mitigation Plan Report addressing wetland impacts associated with stormwater facilities and roadway segments 5 and 6. The revised Conceptual Mitigation Plan Report and air photo / field assessment based mapping will be the Final Mitigation Plan Report, to accompany PS&E documentation described below. The revised report will address a number of additional items the permit agencies have requested that were not in the Conceptual Mitigation Plan Report; and additional assessment and analysis requireii to evaluate and design mitigation at the new site. The Final Mitigation Plan Report will address: existing conditions on the new mitigation site; stormwater effects upon the impact wetland (direct and indirect effects from use of the onsite wetland for stormwater detention) and on the mitigation wetland; public agency comments on the 404/401 permit application, including a functional analyses of both the impact wetland and the mitigation site wetland; additional specificity on the type and acreage of enhancement and rehabilitation proposed; and maintenance and monitoring instructions. Mapping in the report will include landscape plans and air-photo based mapping of existing site conditions. The Final Mitigation Plan Report will be sent to the CITY for review and comment; comments will be incorporated, and a final draft will be sent to the CITY. This task includes responses to comments by the agencies on the Final Mitigation Plan Report. The Final Mitigation Plan Report will be considered equal to 30% Design level. Deliverable(s): • Draft and Final Mitigation Plan Report Work Element 6.7 Noise Study The CONSULTANT shall update the draft Noise report for the A Street project to include additional mitigation recommendations, the public comment received from the affected sensitive properties and the City policy for noise mitigation. The CONSULTANT will update the report for submittal to the CITY and WSDOT. The CITY will provide the Council minutes and the public outreach results regarding the noise. Further, the noise report is to only address mitigation south of Sth. WORK ELEMENT 7.0 GEOTECHNICAL/MATERIALS ENGINEERING Work Element 7.1 GeotechnicaUMaterials Engineerin~ The CONSULTANT shall provide additional geotechnical assistance to attend a geotechnical meeting regarding the Gates property, assist with finalizing the pavement design and will review civil drawings and preload design. The CONSULTANT shall also add notes where needed and be available for questions. Deliverable(s): Draft Revised Stormwater Report Final Revised Stormwater Report WORK ELEMENT 9.0 RIGHT OF WAY ACQUISITION Work Element 91 Risht of Wav Acquisition This section supersedes the original scope of work, Work Element 9.1, to update the number of parcels affected by right of way and slope or construction easements. The CONSULTANT shall provide right-of-way acquisition services for the project for segments 1, 4, 5 and 6. These services will be furnished in accordance to the CITY'S Right of Way Procedures documentation, state and federal laws, FHWA regulations, Local Agency Guidelines Manual, and Washington State Right of Way Manual (M26-01). The overall right-of-way acquisition objectives are: 1. Negotiate for portions of property and/or property rights for the completion of the proposed roadway improvements. 2. Assist the CITY with the acquisition process, certification, and preparation of forms. 3. Deliver completed files. The CONSULTANT shall perform the following work: 1. Inspect and prepare a Preliminary Survey Report for each parcel - 11 Parcels. 2. Review title exceptions with CITY. - 11 Parcels. 3. Identify fee interest ownership for each parcel - 11 Parcels. 4. Coordinate with CITY on determination of just compensation for each parcel - 11 Parcels. 5. Prepare Administrative Offer Summaries for acquisition parcels that qualify under the appraisal waiver process - (9) Parcels. 6. Prepare and setup acquisition files for each parcel - 11 Parcels. 7. Prepare acquisitions forms needed to obtain property rights. This proposal does not include condemnation forms - 11 Parcels. 9. Prepare justification reports for administrative settlements to avoid condemnation (2) parcels. 11. Maintain diaries for each parcel-11 Parcels 12. Assist in obtaining clear title of property and/or property rights, which the CITY determines to be reasonable or will adversely impact the rights being acquired - 5 Parcels. 13. The following items are not included in this scope of work: 1. Those services related to obtaining releases of encumbrances from title, which require , legal action; 2. The actual filing of condemnation and subsequent litigation; 3. Certain closing costs which include but not limited to transfer taxes, recording fees, penalty costs for pre-payments costs of a pre-existing mortgage, excise taac fees, partial reconveyance fees, the pro rate share of real property taxes paid subsequent to vesting title to the City; title reports, and title policies, etc. ; 4. Continuing negotiations for those parcels listed for condemnation; . 5. Appraisal and review appraisals;, 6. Relocation Services Deliverable(s): • One (1) complete copy of Right of Way Files. The horizontal alignment and channelization provided by the CITY was an approximate design, and needs to be developed per design guidelines centered as closely as possible on purchased right of way, and include the realignment at 3rd Street NW to miss the Post Office right-of-way. WORK ELEMENT 11.0 30% PS&E PREPAR.ATION Work Element 11.1 30% Constrnction Plans Prenaration Additional work to be conducted to place the roadway alignment and channeIization. The original scope states that an alignment and channelization was prepared by the CITY. The CONSULTANT shall provide turning radius analysis utilizing AutoTURN software on the Levan property to determine if trucks on the property can negotiate required maneuvers to access the loading bays. The Consultant shall obtained GIS information and incorporate into basemap, since right of entry to the Levan property is not available. WORK ELEMENT 12.0 60% PS&E PREPARATION The CONSULTANT shall revise the profile based on CITY provided comments on the profile at the 30% level. This results in a larger 60% effort to revise the profile, stormwater design and geotechnical recommendations. Alignment and profiles were developed in the Preliminary Roadway Design Report The CONSULTANT shall revise and resubmit the 60% plans based on the reduction of the median on A Street north of 14h Street, sidewalk reduction, and will include existing roadway . design for segment 2(Gates) and design for segment 4(Lyden). The CONSULTANT shall review of the design plans (two submittals) from Gates for the . construction of the road between Sth and 7`}'. . , The roadway section will be revised to concrete. . Wood noise walls will be provided at required locations. WORK ELEMENT 13.0 90% PS&E PREPARATION The CONSULTANT shall develop the 60% PS&E to a 90% completion level for segments 1 (Levan), 4(Lyden); 5 and 6(Multicare) as defined in the original scope. The original scope stated that the design was to include only segments 1, 5 and 6. Wetland Mitigation Plan PS&E The scope and complexity of this task has increased due to permitting agency requirements. The original scope assumed wetland enhancement through plantings only on the south portion of the Auburn Environmental Park. The CONSULTANT will develop mitigation design on the north Auburn Environmental Park that includes grading to create habitat enhancement, in addition to plantings, and maintenance and monitoring specifications to address permitting agency comments. Mitigation design will be developed based upon functional assessment of wetland habitat. Because the mitigation site is in a separate location from the roadway improvements, a stand-alone PS&E package will be required, including the sheets listed below. Cost estimates (engineer's estimates) to accompany PS&E documentation are also included in this scope (cost estimating was not included in the original scope). Existing hours allocated for 60% PS&E (Task 12) will be applied to this effort. The initial PS&E plan set for Wetland Mitigation will be developed at 90% submittal. Addendums Prepare addendums during the bid period for City distribution to bidders. All CONSULTANT costs associated with addendums that are a result of errors, omissions, inconsistencies, or lack of clarity in the Contract Documents prepared by the CONSULTANT are considered non-compensable and are not included in this task. 2. Submittal Reviews Submittal reviews will be performed within the time limits provided in the project specifications and comments will be provided on the City's submittal routing form. All submittals and submittal related communications will be directed through City staff. Submittal review will be performed on an on-call basis up to the amount allocated in the attached Exhibit C. Effort will not exceed this budget amount without specific authorization from the City. Assumptions: • The City is responsible for receiving submittals from the Contractor and distributing submittals to the appropriate parties for review. The City shall determine acceptance status of each submittal based on recommendations and comments made by the reviewing parties. The City is responsible for returning submittals to the Contractor and for maintaining copies of the submittals within the project file. • The City shall perform an initial cursory review of all submittals to determine if minimum requirements for content and format are met. If these requirements are not met, the City will return the submittal to the Contractor for revision prior to commencement of review. 3. Design Clarifications During the construction phase of the project, the CONSULTANT will provide design clarifications and/or respond to requests for information (RFI) as required/desired by the City. Design clarifications will be provided on an on-call basis up to the amount budgeted in the attached Exhibit C. Effort will not exceed this budget amount without specific authorization from the City. All CONSULTANT costs associated with design clarifications and RFIs that are a result of errors, omissions, inconsistencies, or lack of clarity in the Contract Documents prepared by the CONSULTANT are considered non- compensable and are not included in this task. Prior to completing any design clarification or RFIs requested by the City, the CONSULTANT and the City shall determine the level of effort required and whether the efforts are compensable under this task or are considered incidental to the CONSULTANT's design efforts. All design clarification and RFIs made by the Contractor shall be forwarded to the City. The CONSULTANT shall not respond to the Contractor directly and shall not proceed with work to answer design clarifications or RFIs without prior approval from the City. Work Element 17.4 Mitigation Site Construction and Monitoring Services The CONSULTANT will provide assistance and monitoring services during construction of .the wetlands mitigation for the Auburn A Street NW Extension project as required in the, approved mitigation plan: Auburn A Street NW Extension Final Mitigation Plan (ESA Adolfson, February 2011) which includes the assumptions and tasks listed below: General Assumptions: • For the purposes of this scope of work, we have assumed a 14-week work period, from contractor Notice to Proceed through final inspections for the mitigation site only. • 'The, City of Auburn (City) will direct, oversee, and manage the construction contractor. • The CONSULTANT will provide environmental services on an as-call basis for the mitigation site as shown on the mitigation design drawings, dated February, 2011 (21.95 acre work area). • This scope of work does not include changes to environmental permits if site conditions necessitate changes to these permits. • This scope does not include erosion control monitoring or inspection. • CONSULTANT will conduct up to three (3) site visits prior to construction to evaluate soil moisture for construction start. • CONSULTANT will conduct one (1) to two (2) site meetings or inspections per week during the construction period. • An as-built survey of the completed mitigation work will- be prepared by the City (note: City option to provide this work under task 17.2.18 above). If prepared by City staff- and not under Task 17.2.18, CONSULTANT shall provide review and comments. • This scope of work does not include delineation of existing natural features such as wetlands, streams, and/or habitat. • The CONSULTANT will provide management services- during construction, installation, and. initial (Year 0 [zero]) monitoring of,the mitigation area, The main objective for construction monitoring is to protect the resource, assure compliance 1 with permit conditions, and document the level of success in meeting the project AG-C-255 Page 7 of 10 Supplement #7 - Exhibit A April 25, 2011 design. A stem count of the installed shrubs and trees (Phase 1 plantings) will be conducted by the contractor following construction (as-built plan). The as-built plan will be used as the basis for monitoring of plant survival during Years 1 through 10. • CONSULTANT will provide environmental services to support: construction of the mitigation site on an as-call ' basis. The work includes: a project pre-construction meeting with the construction team, site inspections during construction, preparation of technical documents, and review o£ as-built drawings after completion of construction. Tasks: L. Weekly email progress reports during mitigation construction and installation. Assume 20 hours for Project Manager, Landscape Architect, or Technical Lead effort, and 2 hours of Project Administrator effort. 2. Provide 4 progress reports during the monitoring period. 3.
