Yes No NA x The City may terminate all or part of this contract with or without cause at any time. The City may provide work references for the contractor upon request. The contractor hereby agrees to hold the City harmless from all loss or damage occasioned to it or to any third party or property by reason of any negligent acts or omissions on the part of the Contractor, his or her employees, or persons working directly or indirectly in the perFormance of the contract including joint acts or omissions, and shall give the City prompt notice of any such damage, loss, or injury. Ownership and Use of Documents: All documents, reports, memoranda, plans, and any other materials created or otherwise prepared by the Consultant as part of his performance of this Agreement (the "Work Products") shall be owned by and become the property of the City, and may be used by the City for any purpose beneficial to the City. The Consultant may retain copies of any documents, reports, etc., it authors. The contractor shall notify and receive approval from the Department Director or designee for any substitutes, changes or cancellations in the above-named performed services. Subcontracting the services of this contract is not allowed unless the Department Director receives prior approval. The Contractor agrees and understands that he/she is an independent contractor and not the agent or employee of the City. The manner and means of providing the professional services herein are under the sole control of the Contractor. The Contractor shall be solely responsible for reporting his/her hours, earnings, income tax, and social security to the applicable federal and state agencies. The Contractor understands that he/she is not entitled to any of the benefits provided by an employer to employees including but not limited to paid leave, health insurance coverage, retirement programs or unemployment insurance. The Contractor agrees to indemnify and hold the City harmless from any claims that may result from allegations that the Contractor is not an independent contractor. Such claims may come from Internal Revenue Service, State of Washington Labor and Industries and like agencies. The Contractor agrees to comply with all governmental requirements necessitated by independent contractor statues including but not limited to the payment of taxes. ~ L:\Employment\ContractualAgreements\Indpndt Contractors\McKennyNAnimalContro10310.doc Scope of Work The City of Auburn is moving toward operating its own Animal Control program. This program must be implemented no later than June 30, 2010. This would include enforcement of City ordinances, animal licensing, public education, and sheltering of animals. This consultant position is needed to professionally examine the focus of these elements, provide options (including cost estimates), make recommendations, coordinate actions (internally and externally) and prepare a draft operational plan. Specific tasks include: • Develop, present, and gain concurrence for a timeline for the process • Review of existing Auburn, (possibly Pacific and Algona) ordinances relating to animal care and control needs • Meet periodically with the Auburn Police Department to provide progress reports as compared to milestones/timelines and to receive any additional guidance; meet with Chief of Police, Director of Human Resources, and City Administration, if necessary, to report completion of milestones. Dates of ineetings to be determined as part of timeline development. • Prepare a list of suggestions for needed ordinances/updates related to animal care and control needs within three weeks after the animal care and control option is made • Review of posting and possible participation in animal care and control officer selection • Coordinate and meet with internal and with external agencies and organizations to determine needs, feasibility and availability of resources/facilities, and potential terms for use of outside agency resources • Recommendations for sheltering, kenneling and adoption of animals • Assistance in developing a City philosophy on Animal Care • Review licensing and of public education followed by a report with suggested strategies and recommendations that might include the new city agency/service, promoting animal-related laws and dog bite prevention and/or education around basic per ownership (leash license, train, spay/neuter, etc) • Recommendations for veterinarian contracts and needs • Review and identification of equipment needs • Recommendations on assistance with outside jurisdictions for coverage after hours, leave, etc. • Develop written proposal with at least 3 options and estimated costs (to include sheltering) no later than May 1, 2010 • Prepare a draft operational plan once a decision has been made as to which option to adopt. • Ensure proposed operation and sheltering standards for Auburn animal care and control are consistent with national standards or best practices as recommended by nationally recognized animal care and control organizations (such as, but not limited to, NACA, American Humane L:\Employment\.lobDescriptions\POLICEWnimalControlConsultantScope of Work0310(Final).doc Page 1 of 2 Association (AHA) and the American Humane Society of the United States (HSUS). Requests for information will be funneled through the Auburn Police Department and will be promptly respond to by the consultant.
