ORDINANCE NO. 5 5 T 5
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON; AUTHORIZING THE MAYOR AND CITY CLERK OFTHE . CITY.OF AUBURN TO EXECUTE THE LAKELAND HILLS HIGH ZONE RESERVOIR "B" SITE AND APPURTENANCES PURCHASE AND SALES ,
AGREEMENT AND A.RELEASE OF EASEMENT BETWEEN THE CITY AND.
THE EVERGREEN TUCCI PARTNERS, LLC. WHEREAS, the City ofiAuburn has been provided the statutory authority
, pursuant to RCW 35A.11.010 and RCW 35A.11.020; and
WHEREAS, the City of Auburn has the.duty to provide basic services,
` including water that affect the health safety and welfare of the citizens of
Aubum; and
WHEREAS, the City and the Lakeland Company, Inc., entered into the
Lakeland Annexation and Ufilities Agreement in June 1996, and entered into
the First Amendment thereto in May 1998; and -
WHEREAS, the First Amendment to the Lakeland Annexation and
Utilities Agreement provided for the purchase and sale of the Lakeland Hills
High Zone Reservoir °B" site,'including land and appurtenances; and .
WHEREAS, The EVergreen Tucci Partners, LLC, is the successor in,
,
interest to the Lakeland Company, Inc., for including, but not limited to, the terms and conditions of the First Amendment to Lakeland Annexation and
Utilities Agreement; and .

WHEREAS, the Lakeland Hills High Zone Reservoir Site with
appurtenances purchase by the City of Auburn is in the best interest of the
citizens of Auburn; and -
NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
--WASHINGTON DO ORDAIN AS FOLLOWS: '
Section 1. Purpose. The Mayor and City .Clerk of the City of Aubum
- are hereby authorized to execute the Purchase and Sales Agreement and a
Release of Easement with the Evergreen Tucci Partners* LLC,`and to accept .
the appurtenances necessary to distribute the water thereto and therefrom. A : copy of said Purchase and Sales Agreement, lisf of appurtenances, and Release of Easement are attached hereto as Exhibit °A" and incorporated
herein by reference.
Section 2. Implementation. The Mayor is hereby authorized to implement such administrative procedures as may be necessary to carry out -
the direction of this legislation. , .
Section 3. Constitutionally or Invalidity. If any section, subsection
.
clause or phrase of this Ordinance is for any reason held to be invalid or.
unconstitutional such invalidity unconstitutionally shall not affect the validity or
constitutionally of the remaining portions of this Ordinance, as it is being hereby .
. expressly declared, that this Ordinance and each section, subsection, sentence,

clause and phrase hereof would fiaye been prepared, proposed, adopted and
approved and ratified irrespective of the fact that any one or more section,
subsection, sentence, clause or phrase be declared invalid or unconstitutional. Section 4: Effective Date. This Ordinance shall take.effect and be in
--=force-five (5) days from and after passage, approval, and publication as ,
provided by law.

THIS AGREEMENT is made and entered into by and between the City of Auburn, a.'
municipal corporation of the State of Washington, hereinafter referred to as the "Cit}~; and. ,
- the undersigned owner, hereinafter referred to as the "Owner(s)":

WITNESSETH
-WHEREAS, the City affirms and the Owner(s) agree(s) that the Owner's(s') real
property described herein is required by the, City for construction of a water reservoir
' associ`ated with the above described proj ect; and
VaMREAS, the Cityhas made a firm and continuing offer to pay the amount of Three>
Hunclred.Forty Thousand Nineteen and14/100 Dollars ($340,019.14) for the purchase of the
following descnlied real property in Auburn, Pierce County,`Washington.
Tract "D" of View Ridge, parcel #70013407801 according to. the plat thereof
recorded in the offices of tbe Pierce County Auditor under Fee No. 200012155002 as

depicted in Attachment "A"; _ Toge ier v►ith the fo~liowing aPPurtenarrces-and-easements; .1. Water line appurtenances described in Attachinent `B''.
2. Release of Easement for Water Reservoir easement recorded under King County Auditor's Recording No. 960726082 in Attachment "C". '
atfached hereto which exhibits are incorporated herein by this reference as though fully set
forth. ,
NOW THEREFORE, it is understood and agreed that:
The Owner(s) will conyey the real properly by good and sufficient Statutory Warranty '
Deed, free from all liens and encumbrances of every nature.

2. The City Will deposit via wire transfer the purchase price, of $340,019.14, with
" Chicago Title Insurance Company; Tacoma, Washington office, Attn: Cindy Foley, Escrow
1Vlanager/LPO, pursuant to joint escrow instructions fo be:agreed to by the parties.
3. The City will pay normal costs of closing, such as escrow services, title reports and
recording fees. Any outstariding liens, assessments, taxation encumbrances that may have to
be removed to provide clear title to the City are to be satisfied in escrow by the Owner(s) out
of the proceeds of the sale.
4., Delivery of this Agreement is hereby tendered.. HOWEVER, the terms and .
o b hga tions here o f s h a l l n o t b e c o m e b i n d i n g u p o n t h e Ci ty unless and uritil an Ordinance authonzing the acquisition is approved by the CityCouncil.

THIS AGREEMENT is made and entered into by and between the City of Auburn, a
municipal corporation of the State of Washington, hereinafter referred to as the "City", and
the undersigned owner, hereinafter referred to as the "Owner(s)":
WITNESSETH
- WHEREAS, the City affirms and the Owner(s) agree(s) that the Owner's(s') real
properfy described here'in is required by the City for construction of a water reservoir
associated with the above described project; and
WHEREAS, the.City has made a firm and continuing offer to pay the amount of Three
Hundred, Forty Thousand Nineteen and14/100 Dollars ($340,019.14) for the purchase of the
following described real property in Auburn, Pierce County, Washington:
Tract "D" of View Ridge, parcel #7001340780, according to the plat thereof
recor.ded in the offices of the Pierce County Auditor under Fee No. 200012155002 as
depicted in Attachment "A";
Together with the following appurtenances and easements;
1. Water line appurtenances described in AttacHment "B".
~ 2. Release of Easement for Water Reservoir easement recorded under King County Auditor's Recording No. 960726082 in Attachment "C".
attached hereto which exhibits are incorporated herein'by this reference as though fully set ~
forth.
NOW THEREFORE, it is understood and agreed tha.t: 1. .The Owner(s).will convey the real properiy by good and sufficient Statutory Warranty
Deed, free from all liens and encumbrances of everynature.

2. The City will deposit via wire transfer the purchase price of $340,019.14, with

1Vlanager/I;PO, pursuant to joint escrow instructions to be agreed to by the parties. .
3:- The City will pay riormal costs of closing; such as escrow services, dtle reports and
recording fees. Any outsYanding liens, assessments, taxation encumbrances that may have to
be iemoved to provide clear title to the City are to be satisfied in escrow by ttie Owner(s) out
of the p'roceeds of the sale.
4. ; Delivery of this Agreement is hereby tendered. HOWEVER, the terms and
obligations hereof shall not become binding upon the City unless and until an Ordinance
aut.Yiorizing the acquisition is approved by the City Council.

FIRST AMENDMENT
PURCHASE AND SALE AGREEMENT
Whereas, on or about September 29, 2001, the City of Auburn purchased from Evergreen
Tueci Partners LLC a parcel of real.property legally described as: Tract "D" of View Ridge, according to. the plat thereof recorded in the offices of the Pierce Courrty Auditor
under Fee No. 200012155002, together with certain appurtenances, all pursuant to tlie
terms and conditions of that certain-Purchase and Sale Agreement dated August 20, 2001
(herein the "Agreement"), and;
Whereas, it was and remains the intent of the parties as demonstrated by their signatures
below, that the terms and conditions of the Agreement were to survive the closing of the
conveyance. of the above described Tract "D" until such .fime as all of the appurtenances described in the Agreement were completed and turned over to the City, and;
Whereas, the parties now desire to amend. the Agreement by executing this First
Amendment whereby ETP is agreeing to include additional appurtenances to the property
conveyed and the City is agreeing to add additional funds to the existing escrow account _
to pay for said additional appurtenances;
NOW, THEREFORE, it is understood and agreed:
1.' The Owner agrees to deliver the following appurtenances in addition to those
- appurtenances described in Exhibit "A" to the Agieement: "that certain water line
labeled "fiiture transmission line" for Wells Sb and Sc as shown on the construction plans
approved by the City of Auburn..in connection with the construction of Evergreen Way
SE and 69th St. SE under City of Auburn FAC 00-0043 (herein the "additional
appurtenances").
2. The City will issue a warrant in the amount of $25,000.00 to be deposited in
escrow with Chicago Title Insurance Company; Tacoma Washington office, under
escrow # 00750-4225042, Attn: Cindy Foley, Escrow Manager, and shall be held and
disbursed pursuant to joint amendments to the joint escrow instructions presently on file
iri such escrow.
3. Except as modified by tliis First Amendment, the Agreement shall remain in full
force and effect and the parties do hereby ratify and affirm the same.
