WHEREAS, Metro is authorized by public vote and Chapter

WHEREAS, on September 15, 1988 the Metro Council passed

Resolution No. 5506 which directed Metro staff to propose a

12 rail and bus.system to be integrated into its Lonq-Range Plan
for Public Transportation; and

14 WHER'S, on March 16, 1989 the Metro Council passed
15 Resolution No. 5566 approving the 4-year rail and integrated
16 bus system planning work program and authorized the Executive
17 Director to enter into interlocaT agreements with local
18 jurisdictions; and
19 WHEREAS, on September 6, 1990 the Metro Council passed
20 Resolution NO. 5967. authorizing applications for and
21 acceptanee of High Capacity Transpor.tation (ACT) Account grant
22 funds from the Washington State;D'epartment of Transportation -

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
15
16 WASHINGTON, DO ORDAIN AS FOLLOWS:
Section i. The Mayor and City Clerk are hereby
17
authorized to execute an Interlocal Aqreement between the City
18
19 of Auburn and Metro. The purpose of this Agreement is to
provide for, the pass-through of State High Capacity
20
Transportation Account (HTC) grant funds by Metro to the City
21
22 of Auburn for the City to conduct an HCT planning project
23 referred to as the Auburn Transit Center Planning Study. A
copy of said Agreement is attached hereto and desiqnated as
24
Exhibit "A" and incorporated herein. -

INTERLOCAL AGREEMENT BETWEEN
THE CITY OF AUBURN
AND METRO
Metro Regional Transit Project
. State High Capacity Transportation Account
PaSs-Through Grant Funding
This Agreement is made and entered i►ito by and between the Municipality
of Metropolitan Seattle (hereinafter called "Metro") and the City of Auburn
(hereinafter called "the City").
WHEREAS, Metro is authorized by public vote and Chapter 35.58 RCW to
pertorm the function of inetropolitan public transportation planning and operation
for the Seattle-King Gounty metropolitan area; and
WHEREAS, on September 15, 1988, the Metro Council passed Resolution
No. 5506 which directed Metro staff to propose a rail and bus system to be
integrated into its Long-Range Plan for Public Transportation; and
WHEREAS, o,n March 16, 1989, the Metro Council passed Resolution No.
5566 approving the 4-year rail and integrated bus system planning work program
and authorized the Executive Director to enter into interlocal agreements with
local jurisdictions; and
WHEREAS, on September 6, 1990, the Metro Council passed Resolution
No. 5967 authorizing applications for and acceptance of High Capacity
Transportation (HCT) Account grant funds from the Washington State
Department of Transportation _(WSDOT); and
WHEREAS, WSDOT awarded a grant to Metro for the period July 1, 1993
through June 30, 1994 which included funds for interjurisdictional coordination
and planning to be passed on by Metro to participating jurisdictions through
interlocal agreements; and
WHEREAS, on July 15, 1993, fhe Metro Council passed Resolution No.
6598 authorizing execution of interlocal agreements :for the purpose of providing
pass-through of State HCT grant funds for the Regional Transit Project for the period July 1, 1993 through Ju:ne 30, 1994; and

WHEREAS, the City desires to participate in the State HCT grant fund
program and accept pass-through grant funds for to conduct an HCT planning
study;
NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS:
I. PURPOSE "
The purpose of this Agreement is to provide for the pass-through of state
High Capacify Transportation Account (HCT) grant funds by Metro to the City of
Aubum for the Cify to conduct an HCT planning project hereinafter referred to as
the Aubum Transit Center Planning Study. This Agreement further provides for
future amendments with the mutual consent of the parties.
II. FUNDING AND REIMBURSEMENT
A. Metro shall pass-through state grant funding to the City for
pertormance of the tasks set forth in Attachment A, describing the City's HCT
planning study, a copy of which is attached hereto and rrmade a part hereof. The
total estimated cost of the study is $100,000. The City shall be responsible for
contributing the local match for state HCT grant funds. The local match
requirement for the estimated cost of the study is $25,000. The maximum
amount Metro shall pass-through to the City for this study shall be $75,000 in
State HCT grant funds. `
B. The Auburn Transit Center Planning Study is funded under Metro's
HCT Grant Confract ("Agreement GC-9870") with the Washington State
Department of Transportation (WSDOT) for the Regional Transit Project in the
1993 -1995 biennium. The HCT Grant Contract provides state grant funds from
July 1, 1993 through June 30, 1994. Any expenditures beyond June 30, 1994 for ,
the study which is the subject of this agreement will not be reimbursed. This
Agreement is subject to the terms of Agreement GC-9870 and Metro shall have
no obligation to make payments under this Agreement to the extent the funding is

not provided by WSDOT under said grant agreement. The City agreesto comply
with all the provisions of`the grant contract between Metro and WSDOT, which
contract is incorporated herein by reference. Said provisions include, but are not
limited to, the following:
Equal Employment Opportunity. The City agrees to abide by all
state and federal laws and regulations with respect to employment. This
includes, but is not limited to, equal,opportunity employment,
nondiscrimination assurances, project record keeping, audits; inspection,
and retention of records and will adhere to all of the nondiscrimination
provisions in Chapter 49.60 RCW, Laws of the State of Washington.
Project Records. The City shall establish and maintain books,
records, documents, and other evidence and accounting procedures and
practices, sufficient to reflect properly all direct and indirect costs of
whatever nature claimed to have been incurred and anticipated to be
incurred'for the pertormance of this Agreement. To facilitate the
administration of the'study, separate accounts.shall be established and
maintained within the City's existing accounting system or set up
independently. Such Accounts are referred to herein collectively as the
"Project Account." The City shall charge to a Project Account all eligible
costs of the study. Costs in excess of the latest approved budget or
attributable to actions which have not received the required approval of
Metro, shall not be considered eligible costs. All costs, charged to the
study, including any approved services contributed by the City or others,
shall be supported by properly executed payrolls, time records, invoices,
contracts, or vouchers evidencing in proper detail the nature and propriety
of the charges.
Audits, Inspections and Retention of Records. Metro, the
WSDOT and the State Auditor, and any of theirrepresentatives shall have
full access #o and the right to examine, during normal business hours and
as often as they deem necessary, all ofthe Cify's records with respect to
all matters covered by this Agreement. Such -representatives shall be
permitted to audit, examine and make excerpts or transcripts from such
records, and fo make audits of all contracts, invoices, materials, payrolls
and other matters covered by this Agreement. All documents, papers,
accounting records and other materials pertaining to costs incurred in
connection with the sfudy shall be retained by the City for three years from
the date of completion of the study to facilitate any audits or inspections.
C. The City shall forward quarterly progress reports and invoices to
Metro by the 15th day of the month following the end of each quarter. The
quarterly progress reports shall describe all work and progress made during the
quarter on the sfudy and provide any written reports prepared as part of the

study. The quarterly invoices shall provide detailed information on the costs of
the study and a detailed listing of local match and in-kind match costs, including
the name of the staff person, number of hours of work on the study, and
identification of other charges and costs directly related to the study for the purpose of providing match forthe state grant funds. Metro shall make payment
to the City within thirty (30) days of receipt of an approved invoice, assuming all
back-up information as identified above and necessary to support payment .

III. MODIFICATION OF AGREEMENT
This Agreement may be modified in writing as agreed to by both parties.
IV. EXTENSION OF SCOPE AND DURATION OF AGREEMENT This Agreement shall take effect immediately upon its approval by Metro
and the City, and shall remain in force until June 30, 1994, the end date of the
current HCT grant contract between Metro and the WSDOT, unless otherwise
modified or extended in writing by both parties.

VI. NON-WAIVER
No waiver by either party of any term or condition of this Agreemenf,.
including Attachment A, shall be deemed or construed as a waiver of any other
term or condition, nor shall. a waiver of any breach be deemed #o constitute a
waiver of the same or a different provision of this Agreement. No waiver shall be
effective unless made in writing.
. VII. INDEMNIFICATION
A. The City agrees to defend, indemnify and hold harmless Metro, its
officials, agents and employees from all claims, lawsuits and liabilities of any kind
arising by. reason of any acts or omissions of the City, its contractors, agents and
employees related to this Agreement and the subject Aubum Transit Center
Study, including but not limited to any claims which may be made by WSDOT.
B. The City and Metro agree that, in the event that either party is
required to institute legal action concerning this Agreement, such action shall be brought before the King County Superior Court.
VIII. CHANGE OF PARTIES
A. Effective January 1, 1994, by operation of law, Metro will be
consolidated with King County. Thereafter, the term "Metro" as used in this
Agreement shall mean the consolidated govemment.
6. The parties agree that Metro may assign this Agreement to the
Regional Transit Authority (RTA) at any time after the formation of the RTA if the
WSDOT grant agreement is so assigned.
IX. MISCELLANEOUS
A. Notices to Citv - Until such time as the City notifies Metro in writing
otherwise, all notices to the City required to be given underthe terms of this

Project Description: Prepianning to select the optimum location for an
integrated commuter rail and bus transit center within Auburn. Project includes
development of station site requirements, identification of alternative sites along
both the Burlington Northern and Union Pacific Railroads, analysis of traffic
circulation impacts of alternative sites, selection of a preferred site, and an
extensive public involvement process. Analysis of environmenfal impacts and
necessary mitigation is included in this project, along with concerns for safety,
cost estimates for properry acquisition, any necessary mitigation, and station
construction.
Explanation of Conformance with the Proposed Regional Transit
Plan: The proposecl rail/transit center planning project is supportive of the
Regional Transit Plan (RTP) in several significant ways. As suggested in the RTP,
station location and design will be determined only after an extensive planning
effort that includes community involvement, consideration of several different
sites, coordination with the transit agency, and a thorough analysis and
environmental review. Transportation and arculation needs will be identified and
evaluated against the different potential sites.
Site selection and layout will emphasize the integration offhe station into the
surrounding community and transportation system. Personal security and facility
vandalism will also be important elements considered in the layout of the transit
center. Improvements for pedestrians and bicyclist5, and special attention to ADA
requirements will ensure accessibility and convenienee for all uSers. Pedestrian
oriented development will be encouraged through a supportive circulation system
and human-scale environment.

Project Title: Auburn High Capacity Transit Center Planning Description of Projectedlmprovement in Regional iUlobility: in
determining the preferred station location, potential sites wiil be analyzed for their
ability to ensure high ridership numbers and compatibility with other regional
transportation system improvements. An integration of bus transit. routes, the
Interurban Bicycle Tra'il, pede5trian ways, and the commuter rail will be ensured
by coordinated project planning, This type of planning will help lead to the
development of a reliable, user-friendly high capacity transit system, easily
accessible to many modes of transportation.
Layout of the preferred site will include a high capacity rail station, pedestrian and
bicycle access, development of safe and attractive waiting areas, bicycle storage,
a Park-and-Ride lot, convenient connections to major arterials, and preferential
access and layover space for buses and vanpools. Attention to station design
and a meaningful pubhc participation process will lead to strong local support and
patronage, and add to the attractiveness and ultimate success of the regional
transit system. Space shall be available either on site or directly adjacent to
provide pedestrian-supported businesses such as newsstands and coffee shops.
The creation of competitive advantage for transit vehicles and special attention to
the needs of those commuters using the transit center is a strong component of
this project proposal. Coordinated transportation planning to permit convenient
access to and from regional employment, shopping, and xecreational centers
~ such as Auburn Boeing/GSA, Downtown Auburn, the proposed SuperMall and
Auburn Thoroughbred Racing Track will also be accomplished by this proposal.

Task 1: STATION L.OCATION AND DESIGN
DesCription: Task 1 identifies space and location requirements for a High
Capacity Transft Center. Subtasks include:
A) Ridership Numbers: Coordinate with transit agencies to determine ridership
numbers for both rail and bus transit services.
B) Transit Center Physical Needs: Identify facilities, structures, and amenities
necessary for a Transit Center, considering both start up and future needs.
Needs include, but are not fimited to, passenger loading plaiforms, ticket kiosks,
lighting; landscaping, site furnishings, informatiohal and directional signage;
mamtenance equipment storage, bicycle storage, bus bays, cestrooms and
parking. Safety and secur'ity measures shall be identified for the site. Baseline
costs for these elements will be established.
C) Transit Center Layout: Determine preferred interrelationship of site elements.
D) Station Location Requirements: Identify location requirements which will affect
transit center siting. Requirements will include proximity to non-motorized
transportation facilities, supportive land uses (major employers,
residential/commercial activity centers), linkage to major regional transit corridors
(SR 167, SR 18, and Auburn Way North), and the surrounding arterial street
network.
E) Rail Line Differences: Determine if different size or location criteria are
necessary if Union Pacific or Burlington Northern tracks are used.
F): Accessibility Requirements: Determine ADA requirements and needs of
special populations including children and the elderly that would affect siting of
the transit center, including site slope/grade, nearby safety hazards or
accessibility barriers.

DesCription: Task 2 will examine several potential locations for a High
Capacity Tr.ansit Center. Information concerrnn g the economic, environmental
and social effects of developing a Transit Center will'be provided for each site.
Subtasks include:
A) Identification of Alternative Sites: Four potential sites for an HCT Center will
be identified in Auburn. These will include the sife identified in the Auburn
Dow .ntown Design Master Plan; a location south of the downtown site, which is
owned by Buclington Northem; another Burlington Northern site; and one site on
the Union Pac'ific raitroad.
B) Property Description and Ownership: For each of the alternative locations, the following information will be collected:
1. Ownership of parcel(s); rights-of-way; easements
2. Assessed value ,
3. Current use; land use designation
4. Applicable land use policies and regulations
5. Availability of property
6. Preliminary hazardous waste site investigation
C) Site Development Costs:
All identifiable costs associafed with development of each site will be indicated.
These will include at least the following considerations:
1. Displacement of employment and housing
2. Impact on adjacent residential neighborhoods
3. Environmental cleanup.
4. Wetland impacts and potential mitigation efforts
5. Need for extension or relocation of util'ities
6. Environmental impacts

T'ask 3: T'RAtVSPORTAT10iV AP1D CIRCULATION
Description: Task 3 is oriented toward identifying transportation and circulation
needs in Auburn as related to developing a transit center in or near downtown.
Subtasks include:
A) Future Road Network: Reviewthe City's Comprehensive Transportation Plan
and identify planned improvements which would affect transit center siting.
Identify projected volumes on arterial access to each.site, by mode. Identify
projected station demand and origin/destination distcibution. ldentify general
special needs on the network, including, but not limited to HOV lanes, signal
priority, and road widening to accommodate increased public transit demand in
the vicinity of each station.
B) Transit Needs: Identify preferred transit routing to each station site and
related roadway design needs (pavement, general radius improvements, signal
priorities into and out of transit bays, etc.) Estimate cost of such improvements.
C) Non-Motorized Transportation Needs: Identify pedestrian and bicycle
circulation routes between station sites and Auburn activity centers (downtown,
Inferurban Trail, major employers). Identify improvements needed such as
signage, pedestrian amenities, bike lanes, lighting, ADA accessibility, and the
costs of such improvements.
D) Rail Impacts: Determine operational impacts of traffic delays caused by trains
sfanding in stations. Estimate queue lengths at crossings and impacts on nearby
signalized and unsignalized intersections. Explore signal priority or overrides
triggered by crossing gates or other means or maintaining traffic flow. Identify
properties which may have access concerns as a result of queues. Estimate cost
of mitigation including signal revision, "Do Not Block Intersection" signage and
other elements.

Taslc 4: A►NALYSIS OF SiTE ALTERNATIVES '
Description: The four sites selected in Task 2 will be analyzed for suitability for a
High CapacityTransit Center. Information from Task 1 concerning site and design ~
requirements will.be used to develop criteria that each site will be judged aga'inst.
Subfasks `for the analysis of alternative sites will be:
A) Develop Analysis Criteria: The consultant, the City of Auburn, and Metro will
jointly develop a list of criteria and a procedure for evaluation of the alternative
sites. Detailed criteria will be developed to determine how well each site satisfies
the needs and requirements for the HCT Center. These criteria will fall under the
following topics:
1. Gosts: Economic, Social and Environmental
2. Support of Regional Transit Plan ,
3. Ability to Provide High Ridership Numbers
4. Integration into the Local Transportation/Circulation System
5. Suitability to Surrounding Land Uses or Projected Land Use
B} Analyze Alternative Site Locations: Each site will be rated according to the
crite(a and procedure developed in Subtask A.
C) Select Preferred Site Location: A preferred site for the HCT Center will be
identified and explored.

Description: The goal of the involvement program is to provide both the public
and transit agency personnel with opportunities to contribute to and influence the
Transit Center planning process. Much of the coordination between transit I
agency and Auburn staff will occur in an ad hoc manner when needs arise,
however, some formal coordination guidelines. are also proposed. Several sub-.
tasks are involved:
A) Alternative Location Workshop: After Task One (Development of Transit
Center Requirements) is complete, conduct a public workshop to solicit
. alternative tocations for a Transit_ Center. Real estate professionals, property
owners adjacent.to rail lines, and the Auburn Area Chamber of Commerce will be
provided informational handouts describing the requirements of the Transit
Center prior to the meeting so they can propose various sites at the workshop.
B) Community Ideas Workshop; After site analysis criteri,a have been developed
(Task Four, Subtask A), hold: a second public workshop describing how
alter.native sites will be evaluated. Request public suggestions regarding the site
analysis criteria.
C) Develop a Transit Agency Involvement Process: Work with representatives for
all interested transit agencies to establish a process to ensure early and
continuous involvement in the planning process. This involvement process will be
developed and implemented before Task One is completed.
