MEMORANDUM OF UNDERSTANDING This memorandum of understanding is made and entered into this 21st day of February, 2006, by and between the City of Auburn, hereinafter referred to as CITY, and the Auburn Post #78 American Legion, in care of Roger Olsen, Adjutant, whose address is P. O. Box 2628, Auburn, Washington 98071, hereinafter referred to as LEGION. WHEREAS, the CITY owns and controls certain property at 4th and E Streets Nlortheast known as Veterans Memorial Park Kitchen Building, for the purpose of public recreational and educational opportunities for the citizens of various ages and backgrounds in Auburn; and WHEREAS, LEGION is interested in a construction partnership with the CITY to develop a new structure in Veterans Memorial Park with a minimum of 1,200 square feet; and WHEREAS, the CITY and the LEGION wish to formalize a relationship to help design and construct this new community building with the primary focus on a facility which will allow public use; and WHEREAS, the CITY will operate and maintain the structure for the purposes proposed; NOW, THEREFORE, in consideration of the mutual promises set forth herein, the sufficiency of which is acknowledged, and the parties agree as follows: 1. Term: This agreement shall continue for the life of the constructed facility. 2. LEGION Obliaations: During the terms of the Memorandum of Understanding, LEGION agrees to perform as follows: a. LEGION agrees to contribute One Hundred Ten Thousand Dolllars ($110,000.00) through the Northwest Parks Foundation to be used for the construction costs of the 1,200 square foot building. ----------------------------------------------... LEGION shall hold their regular monthly meetings in the building at no addition charge on the first and third Wednesday of each month from 7:00 p.m. and 9:00 p.m. c. LEGION may hold additional meetings or events, with or without charge, as negotiated with CITY. d. All set-up and clean-up of scheduled meetings and events will' be conducted to the standards set forward in the Renter's Responsibilities form and made a part of their rental contract. e. LEGION must provide an annual schedule of events to be coordinated with the Parks, Arts, and Recreation Department to minimize user group conflicts during events. 3. CITY Obligations: During the terms of the Memorandum of Understanding, the City of Auburn agrees to perform as follows: a. Upon receipt of the aforementioned funds, construct ADA approved structure of a minimum of 1,200 square feet. Structure will have an office area of at least 75 square feet, or larger, for use by the LEGION; a separate kitchen with electric power, and appliances (stove, refrigerator, and microwave); and the structure will also include a restroonn(s). b. CITY will maintain the building and surrounding area to CITY Park standards. 4. Termination: This Memorandum of Understanding may be terminated without penalty by either party upon thirty (30) days written notice. Any LEGION activity occurring after the date of termination, but scheduled before the date of termination, shall be governed by the agreement and benefit the Citizens of Auburn. Any notice required or permitted under this Agreement may be personally served, or given in writing by either party, and shall be deemed sufficiently given or served if sent by registered or certified mail addressed to the respective parties as follows: Daryl Faber, Director Auburn Parks, Arts, and Recreation Department 910 9th Street SE Auburn, WA 98002 Roger Olsen, Adjutant (secretary) Auburn Post #78 American Legion P.
