Resolution No. 4792* (Heineman) A Resolution on the City Gouncil of the Gity of Aubum, Washington, authorizing the Mayor and City Clerk to execute an amendment to a lease between the City of Aubum and the Valley Regionai Fire Authority (VRFA) RESOLUTION NO. 4792 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURIV, 1NASHINGTON, AU`TFiORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AMENDMENT TO A LEASE BETWEEN THE CITY OF AUBURN AND THE VALLEY REGIONAL FIRE AUTHORITY (VRFA) WHEREAS, on August 18, 2008, the City and the VRFA entered into a 5 year lease Agreement conceming the GSA building;and WHEREAS, the parties now wish to change the scope of the lease to pertnit the City to use a larger portion of the building; and WHEREAS, it is in the public interest for the parties to enter into an Agreement amending the scope of the lease. NOW, THEREFORE, THE GITY COUNCIL OF THE CITY OF AUBURN, KING COUNTY, WASHINGTON, HEREBY RESOU/E3 as follows: Section 1. The Mayor and the Aubum City Clerk are hereby authorized to execute a lease amendmerrt between the City of Aubum and the Valley Regional Fire Authority conceming the lease of the GSA building provided the amendment is in substantial conforrnity with the attached amendment marked as Exhibit°A,° and incorporated herein by this reference. Section 2. The Mayor is hereby authorized to implement such administrative procedures as may be necessary to carty out the directives of this legislation. Heid, City Attomey Resolution No. (date) Page 2 of 2 AMENDMENI'No. l to the LEASE AGREEMENT BETWEEN THE CTTY OF AUBURN AND THE VALLEY REGIONAL FII2E AUTHORITl' FOR FII2E STATION#33 Eaecuted Augast 18,2008 and Approved by ResolaHon 4391 The changes made by this amendment to t6e above lease are degcribed as follows: ■ Section l, Use of Fire Station#33, shall be replaced in iu entirety and superseded � by the following terms and conditions: Use of Fire Station#33. 7'he City hereby offers the use of the Fire Station portion of the:"GSA Building"for the VRFA to use for the purpose of providing fire safery training and emergency management response, including dispatch services. The"GSA Building"is the Ciry-owned structure located at 2905 "C" Street S.W., Auburn,WA 98001. "Fire Station" shall be all portions of the GSA Building e�ept the Warehouse portion,consisting of 4,470 square feet,the Maintenance Shop portion, consisting of 2,110 squaze feet, and three Vehicle Bays,consisting of 414, 398, and 522 square feet. ■ Section 5, Maintenance,Cleaning,Repair and Utilities,shall be replaced in iu entirety and superseded by the following terms and conditions: Maintenance:Clesnine.Reaair and UtiGties.1'he VRFA shall maintain the GSA Building in good �epair and tena6le condition during the term of this lease: The VRFA shall make all repaus and replacemenu, whether slructural or non-structural,necessarg to keep the GSA Building safe and in good condition, including all utilities,fixtums;and systems serving the GSA Building. In addition to the lease payment above,the VRFA shall be responsible for payment of all water and sewer utilities to the GSA Building of this Interlocal Agreement, as well as telecotnaidnications, electrical, and other utiliry service charges which are fumished to the GSA Building during the term of this Agreement,which utilirypaymenu shall be made on tiaie and so as to avoid any adverse implications for the GSA Building and the Ciry.: For the pwpose of providing maintenance and repa'v of the GSA Building, the VRFA has aut6ority to enter upon the City'sportion ofthe GSA Building(Warehoase, Maintenance Shop,and tluee Vehicle Bays). However;the VRFA,shall receive approval from the Gity prior to performiag,aziy repairs to the Ciry's portion of the Building,unless immediate repairs are gecessary to avoid furthersignificant damage to the Building,.in whicli case t}ie VRFA shall proceed wit6 the emergency repairs and later inform the City of the actions performed. All other provisions in the Agreement and any pievioba smendments remaiqin fall force and effect.
