HomeMy WebLinkAboutAuburn Regional Medical Center MEMORANDUM OF UNDERSTANDING USE OF PREMISE FOR PARKING \?A ~ This MEMORANDUM OF UNDERSTANDING is entered into as of the ~ day of J WN ,2006, by and between the CITY OF AUBURN, a Washington municipal corporation ("City"), and AUBURN REGIONAL MEDICAL CENTER, INC., a Washington corporation ("ARMC"), with reference to that certain Purchase and Sale Agreement between the parties for the below described real property. For good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, City and ARMC hereby agree as follows: A. Short-term Parking Use. The City and ARMC hereby agree that the City shall be entitled to park and permit its employees, agents, invitees and guests to park on the parking lots located on the below described premises: Legal Description of Premises Lots 5, 6, 7, 10, 11, 12, 13, 14, 15, 16, 17 and 18, Block 5, LW Ballard's Park Addition to Slaughter, according to the plat thereof recorded in Volume 3 of Plats, Page 91, King County, Washington; Together with the vacated East 10 feet of "A" Street (Silver Street) adjoining Lots 11 through 18, inclusive; and Together with the vacated West 10 feet of Division Street North (Cedar Street) adjoining Lots 5 through 8, inclusive; and Together with those portions of the vacated alley in said Block 5 which attached to said Lots 5 through 18, inclusive, by operation of law, pursuant to City of Auburn Ordinance Number 5865, recorded under Recording Number 20041129000241. B. Short-term Parking Use. The City and ARMC hereby agree that the City shall have the exclusive right to occupy, park, and permit its employees, agents, invitees and guests to park on the graveled parking lots located on the below described premises, and may post and enforce parking restrictions accordingly: Lots 15, 16, 17 and 18, Block 5, LW Ballard's Park Addition to Slaughter, according to the plat thereof recorded in Volume 3 of Plats, Page 91, King County, Washington; Together with the vacated East 10 feet of "A" Street (Silver Street) adjoining Lots 15 through 18, inclusive; and Together with those portions of the vacated alley in said Block 5 which attached to said Lots 15 through 18, inclusive, by operation of law, pursuant to City of Auburn Ordinance Number 5865, recorded under Recording Number 20041129000241. C. Insurance and Indemnification. The City shall maintain a policy of commercial general liability insurance of at least $1,000,000 per occurrence single limit coverage. The City shall also indemnify and hold ARMC, its agents, employees, and/or officers, harmless from and shall process and defend at its own expense any and all claims, demands, suits, at law or equity, actions, penalties, losses, damages, or costs, of whatsoever kind or nature, brought against ARMC, its agents, employees, and/or officers, arising out of, in connection with, or incident to the City's use of the premises as indicated hereinabove, except only such injury or damage as shall have been occasioned by the sole negligence of ARMC. -, D. Term. This Agreement shall expire August 31, 2006, unless extended by mutual agreement of the parties in writing. SIGNED in duplicate original as ofthe date first above written.
