Agreement for Services
This Agreement is made effective as of March 6, 2012, by and between NATIONAL DEVELOPMENT
COUNCIL DEVELOPMENT, INC. ( "NATIONAL DEVELOPMENT COUNCIL ") and the CITY OF AUBURN
( "CITY "). The parties agree as follows:
1. DESCRIPTION OF SERVICES. NATIONAL DEVELOPMENT COUNCIL agrees to provide
technical assistance consulting services in the areas of community and economic development as identified in
Appendix A of this agreement. At a minimum, technical consulting services would include assistance to the City
for the development and structuring of New Markets Tax Credits for the Community Center at Les Gove Campus,
identification of additional funding sources and programs for the Community Center, development and
implementation of strategies for City's involvement in the Grow American Fund and strategic planning for the
Human Services One Stop Services Center.
The attached Scope of Services describes the assistance available under this Technical Assistance Agreement
during the specified contract period. The CITY and NATIONAL DEVELOPMENT COUNCIL by mutual
agreement may revise this Scope. The CITY will direct NATIONAL DEVELOPMENT COUNCIL "s activities
and determine which services rendered by NATIONAL DEVELOPMENT COUNCIL and payment by the CITY
evidences the CITY's acceptance of the assistance provided under this Agreement.
2. PAYMENT. The CITY will pay a fee to NATIONAL DEVELOPMENT COUNCIL for services provided in
the not to exceed amount of $25,000.00 to be paid monthly in the amount of $3,571.00 for services delivered as
described in the Scope of Work (Exhibit "A "). NATIONAL DEVELOPMENT COUNCIL shall on a monthly
basis submit an invoice for services performed to CITY with appropriate supporting documentation, as needed,
evidencing type of work performed, person who performed work,. Notwithstanding its rate and payment
provisions contained in its proposal for services, NATIONAL DEVELOPMENT COUNCIL understands and
agrees that payments must go through City Council authorization at a regularly scheduled Council meeting and as
such, payment shall only occur after this authorization has been received.
3. EXPENSE REIMBURSEMENT. NATIONAL DEVELOPMENT COUNCIL shall pay all "out -of- pocket"
expenses, and shall not be entitled to reimbursement from the CITY except for specific services, items or
activities listed in the Scope of Services as reimbursable goods or services.
4. TERM/TERMINATION.
A. This Agreement is effective upon both party's signature, and expires at 11:59 p.m. on September 30,
2012 or when all services have been provided, unless extended by mutual agreement prior to the completion of all
services.
B. Either party may terminate the Agreement by notifying the other party in writing within seven (7)
days of the intent to terminate. If this Agreement is terminated, CITY shall pay NATIONAL DEVELOPMENT
COUNCIL for all work performed as of the date of termination.
5. RELATIONSHIP OF PARTIES. NATIONAL DEVELOPMENT COUNCIL is an independent contractor
with respect to the City of Auburn, and not an employee of the CITY. The CITY will not provide fringe benefits,
including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of NATIONAL
DEVELOPMENT COUNCIL.
6. EMPLOYEES. The provisions of this Agreement shall also bind NATIONAL DEVELOPMENT COUNCIL
employees who perform services for the CITY under this Agreement.

7. INDEMNIFICATION / HOLD HARMLESS. NATIONAL DEVELOPMENT COUNCIL shall defend,
indemnify and hold the CITY, its officers, officials, employees and volunteers harmless from any and all claims,
injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or
omissions of NATIONAL DEVELOPMENT COUNCIL in performance of this Agreement, except for injuries
and damages caused by the sole negligence of the City. The CITY shall defend, indemnify and hold NATIONAL
DEVELOPMENT COUNCIL, its officers, officials, employees and volunteers harmless from any and all claims,
injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or
omissions of the CITY in performance of this Agreement, except for injuries and damages caused by the sole
negligence of NATIONAL DEVELOPMENT COUNCIL.
8. INSURANCE. NATIONAL DEVELOPMENT COUNCIL shall procure and maintain for the duration of the
Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in
connection with the performance of the work hereunder by NATIONAL DEVELOPMENT COUNCIL, its agents,
representatives, or employees.
A. Minimum Scope of Insurance: NATIONAL DEVELOPMENT COUNCIL shall obtain insurance of
the types described below:
1. Automobile Liability insurance covering all owned, non - owned, hired and leased vehicles.
Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute
form providing equivalent liability coverage. If necessary, the policy shall be endorsed to
provide contractual liability coverage.
2. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01
and shall cover liability arising from premises, operations, independent contractors and
personal injury and advertising injury. The CITY shall be named as an insured under
NATIONAL DEVELOPMENT COUNCIL's Commercial General Liability insurance policy
with respect to the work performed for the CITY.
3. Workers' Compensation coverage as required by the Industrial Insurance laws of the State of
Washington.
4. Professional Liability insurance appropriate to NATIONAL DEVELOPMENT COUNCIL's
profession.
B. Minimum Amounts of Insurance: NATIONAL DEVELOPMENT COUNCIL shall maintain the
following insurance limits:
1. Automobile Liability insurance with a minimum combined single limit for bodily injury and
property damage of $1,000,000 per accident.
2. Commercial General Liability insurance shall be written with limits no less than $1,000,000
each occurrence, $2,000,000 general aggregate.
3. Professional Liability insurance shall be written with limits no less than $1,000,000 per claim
and $1,000,000 policy aggregate limit.
C. Other Insurance Provisions: The insurance policies are to contain, or be endorsed to contain, the
following provisions for Automobile Liability, Professional Liability and Commercial General
Liability insurance:
1. NATIONAL DEVELOPMENT COUNCIL's insurance coverage shall be primary insurance
as respect to the CITY. Any insurance, self - insurance, or insurance pool coverage
maintained by the CITY shall be excess of NATIONAL DEVELOPMENT COUNCIL's
insurance and shall not contribute with it.

2. NATIONAL DEVELOPMENT COUNCIL's insurance shall be endorsed to state that
coverage shall not be cancelled by either party, except after thirty (30) days prior written
notice by certified mail, return receipt requested, has been given to the CITY.
D. Acceptability of Insurers: Insurance is to be placed with insurers with a current A.M. Best rating of
not less than A: VII.
E. Verification of Coverage: NATIONAL DEVELOPMENT COUNCIL shall furnish CITY with
original certificates and a copy of the amendatory endorsements, including but not necessarily limited
to the additional insured endorsement, evidencing the insurance requirements of NATIONAL
DEVELOPMENT COUNCIL before commencement of the work.
9. ASSIGNMENT. NATIONAL DEVELOPMENT COUNCIL's obligations under this Agreement may not be
assigned or transferred to any other person, firm, or corporation without the prior written consent of the CITY.
10. NOTICES. All notices required or permitted under this Agreement shall be in writing and shall be deemed
delivered when delivered in person or deposited in the United States mail, postage prepaid, addressed as follows:

Such address may be changed from time to time by either party by providing written notice to the other in the
manner set forth above.
11. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties and there are no
other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any
prior written or oral agreements between the parties.
12. AMENDMENT. This Agreement may be modified or amended if the amendment is made in writing and is
signed by both parties.
13. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any
reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of
this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and
enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
14. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this
Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and
compel strict compliance with every provision of this Agreement.
15. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Washington. Venue for
any court action shall be in King County, Washington.

EDIT "A" - SCOPE OF SERVICES
To promote redevelopment within the City of Auburn, WA, the City is leading a variety of community and
economic'development projects. National Development Council (NDC) will provide 'technical assistance to the
City, and its staff in reviewing, structuring and financing specific redevelopment projects and other economic
development programs. In addition, NDC will administer: a small business loan fund (Grow King County) for
providing SBA 7a loans to area small businesses. The following describes in detail the tasks to be performed by
the National Development Council for the City of Auburn'under this Agreement:
Task 1:
NDC will conduct within the first forty-five (45) calendar days of Agreement execution a financial feasibility
for the project financing of the Community Center. This feasibility will identify and analyze potential
available funding sources including but not limited to New M arkets "Tax Credits, 63 -20 tax exempt bonds,
existing City funds and other potential local, regional, state or federal funding. sources. The analysis will
address issues including but not limited threats and opportunities for the funding options, conditions or
limitations for funding availability, matching or other requirements placing a financial obligation on the City
and key actions needed to pursue and implement the potential funding sources.
The financial feasibility will be presented in a concise white paper format with attendant and necessary
explanatory graphics.
Following initial production, NDC will meet with City staff to review and discus the draft document and
make necessary changes and amendments. An NDC representative will attend one or more meetings with the
City's Les Gove Community Campus Committee, as requested, to present on and discuss the white paper.
Task 2:
NDC will initiate and manage a financing process with the'Client, the Client's consultants and advisors,
prospective investors and King County Housing Authority (CDE) to provide New Markets Tax Credits in a
structure necessary to finance construction of community facilities in the Les Cove Campus. Assistance may
include, as directed:
A. Solicitation of prospective investor interest in the project
B. - Provision of financial underwriting analysis necessary for evaluation of the project
C. Advising on tax credit equity sources, requirements and structuring
D: Identification of other funding sources when required
E. Structuring of loan documents
F. Advising on program regulation issues
Task 3:
NDC will review and evaluate projects being considered by the City of Auburn, WA for community and
economic development assistance. Assistance may include, as directed:
A:. Evaluation of sponsor /developer experience and capacity
B. Financial review and' structuring
C. Review of appraisals, cost assumptions, capital budgets, operating statements, marketing data and other
funding commitments
D. Advising on tax credit equity sources, requirements and structuring
E. Identification of other funding sources when required
F. Assistance with development issues during pre - development and development
G: Structuring loan documents and development agreements
H. Advising on program regulation issues

Task 4:
NDC will provide technical support and /or financial analysis of economic and/or housing development program
proposals as requested by various communities, as•approved by the City.
Task 5:
NDC •will, at the direction of the City, provide technical assistance and advocacy in efforts to seek awards of
foundation and /or governmental monies and approval of various programs.
Task 6:
NDC will provide up to six (6) scholarships for City staff to participate in NDC's economic development and/or
housing development finance training.
Task 7:
NDC will assist the City in developing and administering a small business loan fund (Grow King County) for
providing SBA 7a loans to area small businesses subject to the following provisions:
A. Grow King County (hereafter referred to GAF) has been initially capitalized with funds provided by the
Seattle Foundation. Additional capital funds may be provided by the City at any time in order to expand the
resources available for small businesses within Auburn, WA.
B. GAF and the City will jointly create an Economic Development Financing system that recognizes the purpose
of bringing the Grow King County Fund to the community is to provide sound financing to healthy, growing
small businesses, which is critical to the creation of permanent jobs. As such, fully trained professional" staff
(referred to as Economic Development Professionals (EDP)) provided by the City are essential to imbue the
program with credibility in the local community and to complete the team necessary for the program's
success.
C. EDP's will perform the following services:
1. Participate in developing a marketing program and establishing periodic goals.
2. Assist in establishing a database of potential referral sources for the Grow King County program.
3. Assist in preparation of marketing materials.
4. Disseminate the application package provided by GAF to potential borrowers.
5. Gather the application information and perform a review for package completeness and preliminary
qualification of potential borrowers.
6. Assist GAF loan officer in scheduling meetings and site visits with potential borrowers' places of
business.
7. Provide support to the GAF closing and servicing teams when needed and requested.
D. GAF will use its SBLC license to make SBA guaranteed loans sponsored by the Client: and provide staff to
operate Grow King County in conjunction with the client's local staff provided by the Client to operate the
fund in a prudent and businesslike manner. Staff provided by GAF will perform the following services:
1. Assist in marketing the Grow King County program
2. Assist in originating and packaging, loans
3. Underwrite all loans
4., Obtain GAF and SBA approvals
5. Close, service, and collect loans
6. Perform appropriate periodic reviews of each loan
7. Provide reporting as required by the Client in a form acceptable to Client.

E. The City and National Development Council agree that acceptable form and format documentation for
required reporting is the complete GAF quarterly portfolio status report to the :City and the loan report for
each Grow King County borrower' located in Auburn, WA, including all relevant information as provided by
the borrower.

Investment Capital
To assist client projects, NDC has created a number of affiliate entities which provide
investment capital. Major sources include funds investing in small business finance, tax credit
funds using Low Income Housing Tax Credits, Rehabilitation Tax Credits, Energy Credits and

City of Vancouver, Washington
NDC assisted the City of Vancouver, WA with a 3 city block downtown site (The
Brewery site- home to a former beer brewery) that included issuing separate RFPs
for the successful redevelopment all three blocks. The site is fully developed as
mixed use retail office and housing. It anchored the revitalization of downtown
Vancouver. NDC is currently assisting the City in the redevelopment of a iz acre site
on the downtown's waterfront.
Public Financing
In many client communities, NDC underwrites proposals for public financing
support. Whether using federal financing programs or local resources, NDC acts as
an independent third -party providing the Agency will an independent review of
development assumptions and appropriate financing structures.
City of Seattle, Washington
The State of Washington does not have tax increment financing and has a
conservative. "lending of credit" prohibition. As such, most public financing
programs in Washington State derive from federal programs, typically HUD 1o8 and
CDBG Float Loan programs. In Seattle,_ NDC has advised on over $70 million of
financing for projects ranging from neighborhood shopping centers, mixed use
housing and grocery stores. No loan has defaulted to date.
City of Tacoma. Washington
Similar to Seattle services, NDC advises Tacoma on project financing. One notable
example includes advising on a local Sheraton - hotel. A Section 3.08 was provided
with the City participating in the project's cash flow and proceeds of sale and
refinance. When the hotel was recently sold the City received payment of its loan
plus an additional 5o% in proceeds due to the structuring. NDC is currently
developing a financing plan for the world's largest auto museum in Tacoma. This
will likely involve public 3.o8 financing and new markets tax credits.
Yakima. Washington
In Yakima, Washington, NDC assisted in the structuring of financing to
redevelopment the downtown after the City lost 7o percent of its downtown retail.

We have structured small business loans, attracted and helped finance a Hotel,
downtown condos, restaurants, a winery and a motel.
To assist a challenging hotel development, at the request of the client, NDC
additionally arranged for the delivery of equity investment through New. Markets
Tax Credits with NDC affiliates. The project created 120 hotel rooms and anchored a
new commercial center in the city's downtown area.
Public Private Partnerships
Implementation of redevelopment plans often call for use of public — private
partnerships. NDC has also assisted clients in their efforts to seek private
development partners.
Laramie, Wyoming
In Laramie, Wyoming, the University of Wyoming and Wyoming-Business Council
staff partnered to assist development of a university- sponsored conference center
and hotel. In a very difficult economic environment, NDC was asked by ow client,
the Business Council, to assist with due diligence reviews of the selected developer,
underwriting of the project structure, assistance with local lenders with their
respective financing reviews, and work with university staff which was ground
leasing the property for the project. The hotel developer was additionally
constructing and operating the adjoining conference facility.
At the request of the client, NDC additionally arranged for the delivery of equity
investment through New Markets Tax Credits with NDC affiliates. The project
created 135 hotel rooms and anchored a new commercial center owned by the
University. The project is completed and performing better than projected.
Seattle, Washington
As part of the revitalization of Seattle's downtown area, the need for a non profit to
construct and initially operate a parking structure became an essential project. NDC
stepped in, using one of its affiliate entities, to finance, construct and operate a
downtown underground parking structure on behalf of the City. After initial
operations, the City purchased the facility at a pre- negotiated price without having
to bear construction risks for the facility. The facility has rbeen very successful in
meeting short-term parking needs for the local retail core, generating sufficient

revenues to service debt and providing additional revenues for the City's general
fund.
Salt Lake City — Department of Public Services
Salt Lake City's Department of Public Services was struggling with financing of a
new community center. Donated funds were not sufficient to finance the
construction of the new facility,. NDC was asked to help financing of the facility and
delivered financing from new markets tax credits that covered construction costs for
the facility and actually saved the City funds which were used for operating needs.
The project is open and providing services to the surrounding diverse community.

I. ADDITIONAL MATERIALS
As mentioned previously, NDC is unique in the variety of additional services available to
client cities. These additional benefits would be available to the Agency, upon request.
Trainin
NDC administers a nationally- recognized training program in housing and economic
development finance. Information on the classes have been included in materials provided
for this submission. Training was developed for two primary purposes:
1. Increase the capacity of N DC's clients and their staff. We firmly believe in assisting
the continuing education needs of our public sector and non -profit clients; and
2. Teaching what NDC does with client communities.
Upon request NDC will make available training slots in schedule classes at no tuition cost to
client communities. In other cases, NDC staff might conduct in- house, shorter training
workshops direct to Agency staff at Agency offices. These additional services would be
provided at no additional cost to the Agency.
NDC as Implementation Partner
To support client needs, NDC has created several affiliate entities that assist in
implementing client economic development strategies. Available upon request, in many
client communities NDC has:
• Developed and financed public parking facilities; and
• Developed and financed public facilities such as City Halls, Libraries, and Educational
facilities; and
• Used federal tax credit equity to finance public facilities or support agency -
sponsored private development projects; and
• Implement small business lending programs within specific redevelopment areas or
to specific priority economic sectors.
Some information on the above has been provided in the materials contained with this
submittal. More detail on the above can be provided upon request. For the Agency, it is
important to know that NDC can go beyond just advising on redevelopment actions. In
client communities where local development capacity is missing or for projects that might

In the end, our economic development products were designed to assist our public sector
clients carry out their community development strategies. NDC goes beyond just talking

representing the City in a multi - million dollar
foundation -led effort to fund inner city
development activities (became the Seattle
Community Development Collaborative), managing
$5 million in annual economic development
funding, $15 million in short-term as well as $54
million in long -term real estate financing.
Functions further included policy and project
development, presentations / briefings of the
Mayor's Office and City Council, managing legal
work, community reviews, administering contracts
and reports required to meet state and federal
funding guidelines, legal requirements, in addition
to executive / legislative reviews.

Community Development Collaborative
(SCDC)
Served, on loan from the Office of Economic
Development, as the last executive director of the
Seattle Community Development Collaborative.
The Collaborative was funded by local Seattle
foundations, local government and the Ford

community development corporations. SCDC was
one of the three nonprofits which merged to create
Impact Capital.
