HomeMy WebLinkAbout5941 ORDINANCE NO. 5 9 41 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON; AMENDING SECTION 10.40.025 OF THE AUBURN CITY CODE RELATING TO PARKING PERMITS WHEREAS, the Citys parking permit process has been reviewed; and WHEREAS, the need for greater flexibility in the parking permit process has been identified; and WHEREAS, it is in the best interest of the City to allow management of the City's permit process through contractually designated agents. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, DO ORDAIN as follows: Section 1. Amendment to Citv Code. The Mayor is hereby authorized to impiement such administrative procedures as may be necessary to carry out the directions of this legislation. Section 3. Severabilitv. The provisions of this ordinance are declared to be separate and severable. The invalidity of any clause, sentence, paragraph, subdivision, section or portion of this ordinance, or the invalidity of the application thereof to any person or circumstance shall not affect the validity of the remainder of this ordinance, or the validity of its application to other persons oF ci�cumstances. Section 4. Effective date. CITY OF AUBURN BUSINESS PARKING PERMIT AGREEMENT This Agreement is entered into by and between the City of Auburn Washington, a municipal corporation ("City'�, and the Aubum Downtown Association("ADA"). WHEREAS, the City owns off-street parking facilities within the Auburn downtown azea; and WHEREAS, the City currently provides long-term pazking to certain tenants of the Aubum Station and to the owner of the Truitt Building (collectively, "Aubum Station Permittees");and WHEREAS, the City desires to support downtown businesses by making additional long-term pazking available in City facilities through a fee-based Business Pazking Permit program; and WHEREAS, the mission of the ADA is to promote prosperity and vitality in downtown Auburn; and WHEREAS, the ADA has agreed to administer the City's Business Pazking Permit program, NOW, THEREFORE, in consideration of the mutual benefits and conditions set forth below,the parties hereto agree as follows: 1 PazkinQ Permit Proeram. A. The City hereby estsblishes a Business Parking Permit program to be administered by the ADA as set forth in this Agreement. B. The Business Pazking Permit program shall apply to the Aubum Station Permittee pazking spaces and those additional designated pazking spaces (collectively, "Permit Spaces") located at the Aubum Station and at the other municipal off street parking facilities set forth in Exhibit A, attached hereto and incorporated by reference (collectively, "Facilities"). C. A vehicle displaying a Pazking Permit may be pazked in any Permit Space at any time of any day of the yeaz. D. The fee for a Parking Permit shall be one hundred twenty dollars ($120.00) annually The ADA shall issue Parking Permits to the Aubum Stadon Permittees at no charge. All Pazking Permits shall expire on December 31 of each yeaz The.fee for permits purchased for a partial yeaz shall be pro rated at ten dollazs ($10.00) per month, with the month in which a permit is issued being counted as a full month. � 2. Scone of Services to be Performed bv Ciri A. The City sha11 post and mazk the Facilities and Permit Spaces on or before November 15, 2005 and shall inform the ADA of completion of such posting and marking. B. The City shall maintain all Facilities and Permit Spaces in keeping with its normal pazking lot maintenance procedures. C. The City shall provide all pazking enforcement for Facilities and Permit Spaces. D. The City shall provide the ADA with a list of the Aubum Station Permittees. 3. Scope of Services to be Performed bv ADA. A. The ADA shall issue Pazking Permits at its offices during the ADA's normal business hows. B. The ADA shall create Pazking Permit mirror hangers with a different colors for each yeaz of issuance, the design of which shall be reviewed and approved by the City prior to issuance. C. As part of its permit sales program, the ADA shall provide permit holders with information regarding the permit progam and pazking enforcemeat. D. In performing such services, the ADA shall comply with all £eileral, state, and local laws and regulations applicable to the performance of such services. 4 Compensation and Method of Pavment. The ADA shall retain seventy percent (70%) of the fee from eack non-Auburn Station Permittee permit issued to covei iu costs in administering the Business Parking Permit program. The remainder of each permit fee shall be remitted to the City within one month of issuance. For each Auburn Station Permittees permit issued, the City will pay seventy percent (70%) of the otherwise applicable Pazking Permit fee to the ADA within one month of receipt of documeatadon acceptable to the City of the issuance of such permit. 5. Duration of Agreement. This Agreement shall be in full force and effect for a period commencing upon execution and shall run for one yeaz from that date. This Agreement shall automatically renew upon the anniversary date of the date of execution unless one party provides written notice of nonrenewal sixty (60) days or more prior to the upcoming anniversary date. The ADA will be solely responsible for its acts and for the acts of iu agenu, employees, subcontractors, or representatives during the performance of tivs Agreement. NoUung in this Agreement shall be considered to create the relarionship of employer and employee between the parties hereto. 7 Indemnification. A. The ADA shall defend, indemnify, and hold the City, its o�cers, officials, employees, and volunteers harmless from any and all claims, injuries, damages, losses or suits including attomey fees, arising out of or resulting from the acts, errors or omissions of the ADA, in performance of this Agreement, except to the extent that such injuries and damage result from the negligence of the City B. The City shall defend, indemnify, and hold the ADA, iu officers, officials, employees, and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the City, in performance of this Agreement, except to the extent,that such injuries and damage result from the negligence of the ADA. 8. Insurance. The ADA shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to prbperty which may arise from or in connection with the performance of the work hereunder by the ADA, iu agents, representatives, or employees. A. Minimum Scope of Insurance. ADA shall obtain insurance of the types described below• 1 Automobile Liability insurance covering all owned, non-owned, hired, and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 Ol or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 2. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 Ol and shall cover liability arising from premises, operations, independent contractors, and personal injury and advertising injury The City shall be named as an insured under the Con�actor's Commercial General Liability insurance policy with respect to the work performed for the City 3 Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. 4. Professional Liability insurance appropriate to the ADA's profession. �/ — —-- — -- — -- B. Minimum Amounts of Insurance. The ADA shall maintain the following insurance limits: 1 Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of$1,000,000 per accident. 2. Commercial General Liability insurance shall be written with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. 3. Professional Liability insurance shall be written with limits ao less than $1,000,000 per claim and $1,000,000 policy aggregate limit. C. Other Insurance Provisions. The insurance policies aze to contain, or be endorsed to contain, the following provisions for Automobile Liability, Professional Liability, and Commercial General Liability insurance: 1 T'he ADA's insurance coverage shall be primary insurance as respects the City Any insurance, self-insurance or insurance pool coverage maintained by the Ciry shall be in excess of the ADA's insurance anti shall not contribute with it. 2. The ADA's insurance shall be endorsed to state that coverage shall not be cancelled by either party except after thirty (30) days prior written notice by certified mail,retum receipt requested, has been given to the City D Verification of Coverage. The ADA shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the ADA before commencement of the work. 9 Record Keeoine and Renorting. A. The ADA shall maintain accounts and records, including the number and type of permits issued, personnel, property, financial, and programmatic records, which sufficiently and properly reflect all direct and indirect costs of any nature expended and services performed pursuant to this Agreement. The ADA .shall also maintain such other records as may be deemed necessary by the City to ensure proper accounting of all funds received by the City under this Agreement. . ►r B. 1'he foregoing records shall be maintained for a period of seven (7) years after termination of this Agreement unless permission to destroy them is granted by the Office of the Archivist in accordaace with RC W Chapter 40.14 and by the City 10. Audiu and Insnections. The records and documents with respect to all matters covered by this Agreement shall be subject at all times to inspection, review or audit by the City during the performance of this Agreement. 11 Termination. A. The parties reserves the right to terminate or suspend this Agreement at any time for breach of any term of this Agreement upon thirty (30) days prior written norice. Upon termination, the City may, at its discretion, continue the Business Pazking Permit program for any length of time it deems appropriate or terminate the program upon refund of the permit fees to the permit holders. B. This Agreement may be canceled immediately if the ADA's insurance coverage is canceled for any reason, or if the ADA is unable to perform the services called for by this Agreement. C. This provision shall not prevent the City from seeking any legal remedies it may otherwise have for the violation or nonperformance of any provisions of this Agreement. 12. Discrimination Prohibited. The ADA shall not discriminate against any employee, applicant for employment, or any person seeking the services of the ADA tinder this Agreement, on the basis of race, color, religion, creed, sex, age, national origin,marital status, or presence of any sensory, mental or physical handicap. 13. Assienment and Subcontract. The ADA shall not assign or subcontract any portion of the services contemplated by this Agreement without the prior written consent of the City 14 Entire Agreement. This Agreement contains the entire agreement between the parties; and no other agreements, oral or otherwise, regarding the subject matter of tivs Agreement shall be deemed to eacist or bind either of the parties. Either party may request changes to the Agreement. Changes which are mutually agreed upon shall be incorporated by written amendments to this Agreement. 15 Notices. Apnlicable Law• Venue; Attomevs' Fees. This Agreement shall be govemed by and construed in accordance with the (aws of the State of Washington. In the event any suit, arbitration or other proceeding is instituted to enforce any term of this Agreement, the parties specifically understand and agree that venue shall be exclasively in King County, Was3rington. The prevailing parry in any such action shall be entided to its attorneys' fees and costs of suit, which shall be fixed by the judge hearing the case and such fee shall be included in the judg�ment. 17 Severabiliri Any provision or part of this Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken and all remaining provisions shall continue to be valid and binding upon the City and the ADA, who agree that the Agreement shall be reformed to replace such stricken provision or part with a valid and enforceable provision that comes as close as reasonably possible to expressing the intent of the stricken provision. WHEREAS,the Pazking Permit Program has been identified as an activity of importance; and WHEREAS, the Auburn City Council has empowered the Mayor to select an entity for complete or limited management of municipally owned pazking lots including the issuance of permits; and WHEREAS, the City and the ADA have an agreement to implement a Pazking Permit Program; and. WHEREAS,the City and the ADA have a need to amend the program to respond to current demand for permits. NOW,Tf�REFORE,in consideration of their mutual covenants,conditions and promises, tkie PARTIES HERETO HEREBY AGREE as follows: ITEM ONE Revision to Exhibit A-2 Aerial View of Downtown Municipal Pazking Lots: TFiat Extribit A, A-2 of the Business Parking Permit Agreement is amended to read as follows: The number of permit spaces in municipal parking lot at 1�St.S W and South Division St.is reduced from 12.spaces to 2 spaces. Permitted spaces will be placed at the corner of South Division St. and 1�`St. SW,adjacent to each other and fronting ls` St SW ITEM TWO REMAINING TERMS UNCHANGED• That all other provisions of the Agreenment between the parties for services related to the Business Pazking Permit Agreement,shall remain unchanged, and in full force and effect IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day and year first above written.
