A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, KING
COUNTY, WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE ADDENDUM TO MUSEUM SERVICES AGREEMENT BETWEEN THE
CITY AND THE WHITE RIVER VALLEY HISTORICAL SOCIETY.

WHEREAS, pursuant to Resolution No. 2117 approved by the
City Council on August 8, 1990, the CITY entered into a

Museum Services Agreement, hereinafter referred to as
9
Agreement, with the SOCIETY to enable the CITY to assist the
SOCIETY to transform into a strong, vibrant, and secure
organization for the good of the citizens of the Auburn
Valley; and
WHEREAS, pursuant to the Agreement, the City Council
approved Ordinance No. 4484 on January 23, 1991 and therein
created the INTERIM MUSEUM PLANNING (IMPC) to develop a long
range plan for the SOCIETY in terms of governance, funding,
and future management and staffing; and
WHEREAS, pursuant to section 5.1 of the Agreement, the
duration of the Agreement is for a fifteen (15) month period
beginning no earlier than October 1, 1990 and concluding no
later than April 15, 1992; and

WHEREAS, the IMPC requires additional time to complete

the long range plan for the SOCIETY; and

WHEREAS, pursuant to Section 11.3 of the Agreement, the

Agreement may be altered or amended only by mutually written
7
approval by the CITY and the SOCIETY.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
KING COUNTY, WASHINGTON, HEREBY RESOLVES AS FOLLOWS:

Section 1.
The Mayor and City Clerk are herewith
authorized to execute Addendum to Museum Services Agreement
between the CITY OF AUBURN and the WHITE RIVER VALLEY
HISTORICAL SOCIETY. A copy of the said Agreement is attached
as Exhibit "A" and incorporated herein by reference.
section 2.
The Mayor is hereby authorized to implement
such administrative procedures as may be necessary to carry
out the directives of this legislation.

THIS ADDENDUM TO MUSEUM SERVICES AGREEMENT is made and

WASHINGTON,
a municipal
corporation of the State of Washington, hereinafter referred

to as CITY, and the WHITE RIVER VALLEY HISTORICAL SOCIETY,

hereinafter referred to as SOCIETY.

WHEREAS, pursuant to Resolution No. 2117 approved by the
City Council on August 8, 1990, the CITY entered into a Museum

Services Agreement, hereinafter referred to as Agreement, with

the SOCIETY to enable the CITY to assist the SOCIETY to

NOW THEREFORE, THE CITY AND THE SOCIETY HEREIN AGREE AS

FOLLOWS:

Section 1. Section 5.1 of the Agreement is amended to

read as follows:

5.1 This Agreement shall be extended from April 15,
12

1992 until no later than December 31,1992
unless terminated under provisions of Article
14
10.

Section 2. Section 10.1 of the Agreement is amended to
read as follows:

10.1 This Agreement may be terminated by either
party upon 60 days written notice to the other
18
19
party, and based upon any cause;
Provided
that, in the event new legislation is enacted
and/or a new agreement is executed which
nullify the necessity to maintain the existence
of the IMPC, this Agreement is terminated
immediately upon such enactment or execution.
