A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT FOR SERVICES WITH COMMUNITY HEALTH CENTERS OF SOUTH
4 KING COUNTY TO PROVIDE HEALTH SERVICES TO AUBURN RESIDENTS
DURING 1996.

THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
7
REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS:
8
Section 1. The Mayor and City Clerk of the City of
9
Auburn, Washington, are hereby authorized to enter into an
10
Agreement for Services with Community Health Centers of South
11
King County to provide health services to Auburn residents
12
during 1996 A copy of the Agreement is attached and is
13
designated as Exhibit "A" and is incorporated by reference in
14
this Resolution
15
Section 2 . The Mayor is hereby authorized to implement
16
such administrative procedures as may be necessary to carry
17
out the directives of this legislation
18

AGREEMENT FOR SERVICES

3 THIS AGREEMENT made and entered into this -1st day of
4 a, 4996, by and between the CITY OF AUBURN, a municipal
5 corporation of the State of Washington, hereafter referred to
6 as "CITY" and COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY, a
7 non-profit corporation organized under the laws of the State
8 of Washington, whose address is 1025 S. 3rd Street, Suite A,
9 Renton, Washington 98055, hereinafter referred to as
10 "COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY".
11 WHEREAS, COMMUNITY HEALTH CENTERS OF KING COUNTY provides
12 a valuable service to the CITY and its residents through the
13 dispensation of medical and health services; and
14 WHEREAS, the CITY is interested in continuing support of
15 the dispensation of medical and health services
16 NOW, THEREFORE, In consideration of the covenants and
17 conditions of this Agreement, the parties agree as follows:
18 1. PURPOSE.
19 The purpose of this Agreement is to provide for an
20 appropriation to COMMUNITY HEALTH CENTERS OF KING COUNTY for
21 providing health services to Auburn residents during the 1996
22 term This continued support is in recognition of the fact
23 that the demand for the services delivered by the COMMUNITY
24 HEALTH CENTERS OF KING COUNTY continues to rise
25

2. SCOPE OF SERVICES.

The parties agree and understand that COMMUNITY HEALTH
3
CENTERS OF KING COUNTY agrees to provide comprehensive health
4
services to Auburn residents through COMMUNITY HEALTH CENTERS
5
OF SOUTH KING COUNTY' S Auburn Community Health Center as well
6
as Community Health Centers of King County' s five other
7
medical facilities. Health services shall include but are not
8
limited to those services described as follows:
9
A. Diagnosis and treatment of acute and chronic illness
10
and minor injuries; chronic disease management;
11
health screening for STDs, cancer, diabetes, and
12
high blood pressure, preventative care.
13
B. Services of an additional family practice physician
14
and dentist to serve Auburn residents
15
In addition, COMMUNITY HEALTH CENTERS OF KING COUNTY
16
agrees to work closely with the CITY OF AUBURN in developing
17
and improving other ways to address the needs of Auburn
18
residents served through the COMMUNITY HEALTH CENTERS OF SOUTH
19
KING COUNTY.
20
3. TERM.
21
The term of this Agreement shall commence on January 1,
22
1996 and shall expire on December 31, 1996.

4 COMPENSATION.
2
As full and total payment for the services provided under
3
this Agreement, the CITY agrees to pay COMMUNITY HEALTH
4
CENTERS OF KING COUNTY for health services provided to Auburn
5
residents by an additional family practice physician and
6
dentist in an amount not to exceed FIFTEEN THOUSAND DOLLARS
7
($15, 000) COMMUNITY HEALTH CENTERS OF KING COUNTY will
8
submit a statement to the CITY quarterly describing services
9
that it has rendered under the terms of this Agreement and the
10
CITY will pay an amount equal to one-quarter of the total
11
amount by the twenty-eighth (28th) day of the month following
12
the end of the quarter However, the final statement of
13
services rendered will be submitted on or before December 15,
14

5. INDEMNIFICATION.
16
COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to defend,
17
indemnify, and hold harmless the CITY, its elected and
18
appointed officials, employees and agents from and against any
19
and all claims, demands and/or causes of action of any kind or
20
character whatsoever arising out of or relating to services
21
provided by COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY, its
22
employees, volunteers or agents concerning any and all claims
23
by any persons for alleged injury or damage to persons or
24
property to the extent caused by the negligent acts, errors or
25
26

omissions of COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY,
2
its employees, volunteers or agents or representatives. In the
3
event that any suit or claim for damages based upon such
4
claim, action, loss or damage is brought against the CITY,
5
COMMUNITY HEALTH CENTERS OF KING COUNTY shall defend the same
6
as its sole costs and expense; provided that the CITY retains
7
the right to participate in said suit if any principle of
8
governmental or public law is involved; and if final judgment
9
be rendered against the CITY and/or its officers, elected
10
officials, agents and employees or any of them or jointly
11
against the CITY and COMMUNITY HEALTH CENTERS OF KING COUNTY
12
and their respective officers, agents, volunteers, employees
13
or any of them, COMMUNITY HEALTH CENTERS OF KING COUNTY shall
14
fully satisfy the same and shall reimburse the CITY any costs
15
and expense which the CITY has incurred as a result of such
16
claim or suit The provisions of this section shall survive
17
the expiration or termination of this Agreement
18
6. INDEPENDENT AGREEMENT OR/ASSIGNMENT.
19
The parties agree and understand that COMMUNITY HEALTH
20
CENTERS OF KING COUNTY is an independent contractor and not
21
the agent or employee of the CITY and that no liability shall
22
attach to the CITY by reason of entering into this Agreement
23
except as provided herein The services required under this
24
Agreement may not be assigned or subcontracted by COMMUNITY
25

HEALTH CENTERS OF KING COUNTY without the prior written
2
consent of the CITY
3
7. INSURANCE.
4
COMMUNITY HEALTH CENTERS OF KING COUNTY shall procure and
5
maintain for the duration of this Agreement insurance against
6
claims for injuries to persons or property which may arise
7
from or in connection with services provided by COMMUNITY
8
HEALTH CENTERS OF SOUTH KING COUNTY, it agents, employees or
9
volunteers under this Agreement. COMMUNITY HEALTH CENTERS OF
10
KING COUNTY agrees to provide comprehensive general liability
11
insurance and shall maintain liability limits of not less than
12
ONE MILLION DOLLARS ($1, 000, 000) combined single limit
13
coverage per occurrence for bodily injury, personal injury and
14
property damage COMMUNITY HEALTH CENTERS OF KING COUNTY
15
shall also provide and maintain professional liability
16
coverage including errors and omissions coverage in the
17
minimum liability amount of ONE MILLION DOLLARS ($1, 000, 000)
18
combined single limit per occurrence for bodily injury,
19
personal injury and property damage Any deductibles or self
20
insured retentions in either policies must be declared to and
21
approved by the CITY At the option of the CITY either The
22
insurer shall reduce or eliminate such deductibles or self
23
insured retentions as respects the CITY, its officials and
24
employees; or COMMUNITY HEALTH CENTERS OF KING COUNTY shall
25

procure a bond guaranteeing payment of losses and related
2
investigations, claim administration and defense expenses
3
The policies are to contain or be endorsed to contain the
4
following provisions:
5
1. GENERAL LIABILITY COVERAGE:
6
(a) The CITY, its elected and appointed officials,
7
employees and agents are to be covered as insureds
8
as respects Liability arising out of services and
9
activities performed by or on behalf of COMMUNITY
10
HEALTH CENTERS OF SOUTH KING COUNTY, its employees,
11
agents and volunteers The coverage shall contain
12
no special limitations on the scope of protection
13
afforded to the CITY, its elected and appointed
14
officials, employees or agents.
15
2 . GENERAL LIABILITY AND PROFESSIONAL LIABILITY
16
COVERAGES:
17
(a) COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY'S
18
insurance coverage shall be primary insurance
19
as respects the CITY, its officials, employees
20
and agents. Any insurance or self insurance
21
maintained by the CITY, its officials,
22
employees or agents shall be in excess of
23
COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY'S
24
insurance and shall not contribute with it
25

(b) Any failure to comply with reporting provisions
2
of the policy shall not affect coverage
3
provided to the CITY, its officials, employees
4
or agents
5
(c) Coverage shall state that COMMUNITY HEALTH
6
CENTERS OF SOUTH KING COUNTY 'S insurance shall
7
apply separately to each insured against whom
8
claim is bought or suit is brought except with
9
respect to the limits to the insurer's
10
liability
11
(d) Each insurance policy required by this clause
12
shall be endorsed to state that coverage shall
13
not be suspended, voided, cancelled, reduced in
14
coverage, or in limits except after thirty (30)
15
days prior written notice by certified mail
16
return receipt requested has been given to the
17
CITY COMMUNITY HEALTH CENTERS OF KING COUNTY
18
agrees to provide copies of the Certificates of
19
Insurance to the CITY at the time that this
20
Agreement takes effect.
21
(e) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
22
furnish the CITY with Certificates of Insurance
23
and with original endorsements affecting
24
coverage required by this clause. The

certificate and endorsements for each insurance
2
policy are to be signed by a person authorized
3
by that insurer to bind coverage on its behalf
4
The CITY reserves the right to require
5
complete, certified copies of all required
6
insurance policies at any time
7
(f) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
8
include all volunteers, employees and agents
9
under its policies or shall furnish separate
10
certificates and endorsements for each All
11
coverages for volunteers shall be subject to
12
all the requirements stated herein.
13
8. NONDISCRIMINATION
14
COMMUNITY HEALTH CENTERS OF KING COUNTY shall not
15
discriminate under any services or programs to which this
16
Agreement may apply directly or through contractual or other
17
arrangements on the grounds of race, color, creed, religion,
18
national origin, sex, age, or the presence of any sensory,
19
mental or physical handicap.
20
9. BOORS AND RECORDS.
21
COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
22
maintain separate accounts and records in accordance with
23
State Auditor' s procedures, including personnel, property,
24
financial and programmatic records which sufficiently reflect
25

direct and indirect costs and services performed under this
2
Agreement. COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
3
maintain all books and records relating to this Agreement for
4
a period of three (3) years following the date that this
5
Agreement is expired or otherwise terminated. The parties
6
agree that the CITY OF AUBURN may inspect such documents upon
7
good cause at any reasonable time within the three (3) year
8
period.
9
10. TERMINATION OF AGREEMENT.

This Agreement may be terminated by either party upon ten
11
(10) days written notice should the other party fail
12
substantially to perform in accordance with its terms through
13
no fault of the other.
14
11. GENERAL PROVISIONS.
15
11. 1 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
16
to submit a report to the CITY no later than
17
December 15, 1996, describing the progress and
18
activities performed for the year 1996 under
19
its scope of services
20
11 2 This Agreement shall be governed by the laws,
21
regulations and ordinances of the City of
22
Auburn, the State of Washington, and County of
23
King and where applicable, Federal laws
24

11. 3 The CITY and COMMUNITY HEALTH CENTERS OF KING
2
COUNTY respectively bind themselves, their
3
successors, volunteers, assigns and legal
4
representatives to the other party to this
5
Agreement and with respect to all covenants to
6
this Agreement
7
11.4 This Agreement represents the entire and
8
integrated Agreement between the CITY and
9
COMMUNITY HEALTH CENTERS OF KING COUNTY and
10
supersedes all prior negotiations This
11
Agreement may be amended only by written
12
instrument signed by both the CITY and
13
COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY
14
11 5 Should it become necessary to enforce any term
15
or obligation of this Agreement, then all costs
16
of enforcement including attorneys fees and
17
expenses and court costs shall be paid to the
18
substantially prevailing party.
19
11. 6 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
20
to comply with all local, state and federal
21
laws applicable to its performance under this
22
Agreement

Your voice mail message on February 6 directed that I file the adopted social service
agency contracts with you. As you are aware, the City Council adopted the below listed
Resolutions on February 5, 1996 A copy of each resolution is provided along with the
original contracts that have been executed by the City of Auburn.
1 ) Resolution No. 2700
Authorizes an Agreement with Auburn Christian Action Program Day Care
(ACAP) for child care services
2.) Resolution No. 2701
Authorizes an Agreement with Auburn Christian Action Program Day Care
(ACAP) for parenting classes.
3 ) Resolution No. 2702
Authorizes an Agreement for services with the Auburn Food Bank to purchase
and provide food to Auburn Residents during 1996.
4 ) Resolution No. 2703
Authorizes an Agreement with Auburn Youth Resources for support services for
youth and families in the Auburn Community for 1996

Authorizes an Agreement with Children's Home Society to provide child care
services through the families first program for 1996.

Auburn area during 1996
11 ) Resolution No. 2710
Authorizes an Agreement with Valley Cities Counseling and Consultation to
provide mental health services for Auburn resident during 1996.
12.) Resolution No. 2711
On February 6, 1996 Al Hicks obtained the original.
All agreements require a notarized signature from the appropriate social services
agency official. Additionally, a certificate of insurance naming the City of Auburn as an
additional insured is required to be on file with the original agreement that requests it.
Other provisions such as reports should be filed appropriately
