HomeMy WebLinkAbout2707 .1 ORIGINAL 1 RESOLUTION NO. 2 7 0 7 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, 3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY OF AUBURN, TO EXECUTE A 1996 CONTRACT FOR SERVICES BETWEEN THE 4 CITY OF AUBURN AND DOMESTIC ABUSE WOMEN'S NETWORK (DAWN) 5 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A 6 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT: 7 Section 1. The Mayor and City Clerk of the City of 8 Auburn, Washington, are authorized to execute a 1996 Contract 9 for Services between the City of Auburn and Domestic Abuse 10 Women's Network (DAWN) to provide services as outlined in said 11 Contract A copy of said Contract is designated Exhibit "A" 12 and is attached hereto and incorporated by reference in this 13 Resolution. 14 Section 2. Reynolds, City Attorney 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 Resolution No. 2707 January 9 1996 Page 2 1 CONTRACT FOR SERVICES 2 3 THIS CONTRACT made and entered into this , day of 4 9c,1/2a6V-- , 1996, by and between the CITY OF AUBURN, a 5 U municipal corporation of the State of Washington, hereafter 6 referred to as "CITY", and DOMESTIC ABUSE WOMEN'S NETWORK, 7 (DAWN) , a non-profit corporation organized under the laws of 8 the State of Washington, whose address is P O Box 1521, Kent, 9 Washington 98035, hereinafter referred to as "DAWN". 10 WHEREAS, DAWN provides a valuable service to the CITY and 11 its residents in addressing the problems of domestic violence; 12 and 13 WHEREAS, the CITY is interested in continuing support of 14 DAWN. 15 NOW, THEREFORE, In consideration of the covenants and 16 conditions of this Contract, the parties agree as follows: 17 1. PURPOSE. 18 The purpose of this Agreement is to provide for an 19 appropriation to DAWN for the 1996 term This continued 20 support is in recognition of the fact that the demand for 21 DAWN' S services continues to rise 22 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 1 1 2 . SCOPE OF SERVICES. 2 The parties agree and understand that DAWN agrees to 3 provide services to the Auburn community including but not 4 limited to those services described as follows: 5 A. Twenty-four (24) hour crisis line operated by 6 trained volunteers and backup staff. 7 B. Support group counselling that includes an 8 individual screening session, child care during 9 group sessions, an extensive information packet, and 10 referrals to other services as appropriate. 11 C. Legal Advocacy by specially trained volunteers and 12 staff that includes information, assistance and 13 emotional support (which often includes accompanying 14 the victim to court) and transportation if 15 necessary. 16 D Provision of Safe Home Shelter, which involves 17 extensive screening to place a person in need in a 18 trained volunteer's home and includes provision of 19 basic survival level food, clothing, medicine, 20 counselling and transportation 21 22 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services cdawn96) January 9 1996 Page 2 1 E. Community Education directed toward the general 2 public This involves discussion of basic domestic 3 violence issues. 4 In addition DAWN agrees to work closely with the CITY OF 5 AUBURN in developing and improving other ways to address the 6 problem of domestic violence in the Auburn community. 7 3 . TERM. 8 The term of this Agreement shall commence on signing by 9 the parties and will expire on December 31, 1996 10 4 . COMPENSATION. 11 As full and total payment for the services provided under 12 this Agreement, the CITY agrees to pay DAWN the total amount 13 of EIGHTEEN THOUSAND DOLLARS ($18, 000) DAWN will submit a 14 statement to the CITY quarterly describing services that it 15 has rendered under the terms of this Agreement and the CITY 16 will pay an amount equal to one-quarter of the total amount by 17 the twenty-eighth day of the month following the end of the 18 quarter. However, the final statement of services rendered 19 will be submitted on or before December 15, 1996. 20 21 22 23 24 25 26 Resolution No. 2707 Exhibit"A" DAWN Contract for Services (dawn96) January 9, 1996 Page 3 1 5 INDEMNIFICATION. 2 DAWN agrees to defend, indemnify, and hold harmless the 3 CITY, its elected and appointed officials, employees and 4 agents from and against any and all claims, demands and/or 5 causes of action of any kind or character whatsoever arising 6 out of or relating to services provided by DAWN, its 7 employees, volunteers or agents concerning any and all claims 8 by any persons for alleged injury or damage to persons or 9 property to the extent caused by the negligent acts, errors or 10 omissions of DAWN, its employees, volunteers or agents or 11 representatives. In the event that any suit or claim for 12 damages based upon such claim, action, loss or damage is 13 brought against the CITY, DAWN shall defend the same as its 14 sole costs and expense; provided that the CITY retains the 15 right to participate in said suit if any principle of 16 governmental or public law is involved; and if final judgment 17 be rendered against the CITY and/or its officers, elected 18 officials, agents and employees or any of them or jointly 19 against the CITY and DAWN and their respective officers, 20 agents, volunteers, employees or any of them, DAWN shall fully 21 satisfy the same and shall reimburse the CITY any costs and 22 expense which the CITY has incurred as a result of such claim 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 4 1 or suit. The provisions of this section shall survive the 2 expiration or termination of this Agreement. 3 6. INDEPENDENT CONTRACTOR/ASSIGNMENT. 4 The parties agree and understand that DAWN is an 5 independent contractor and not the agent or employee of the 6 CITY and that no liability shall attach to the CITY by reason 7 of entering into this Agreement except as provided herein 8 The services required under this Agreement may not be assigned 9 or subcontracted by DAWN without the prior written consent of 10 the CITY 11 7 INSURANCE. 12 DAWN shall procure and maintain for the duration of this 13 Agreement insurance against claims for injuries to persons or 14 property which may arise from or in connection with services 15 provided by DAWN, it agents, employees or volunteers under 16 this Agreement. DAWN agrees to provide comprehensive general 17 liability insurance and shall maintain liability limits of not 18 less than ONE MILLION DOLLARS ($1, 000, 000) combined single 19 limit coverage per occurrence for bodily injury, personal 20 injury and property damage. DAWN shall also provide and 21 maintain professional liability coverage including errors and 22 omissions coverage in the minimum liability amount of ONE 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn%) January 9, 1996 Page 5 1 MILLION DOLLARS ($1, 000, 000) combined single limit per 2 occurrence for bodily injury, personal injury and property 3 damage Any deductibles or self insured retentions in either 4 policies must be declared to and approved by the CITY At the 5 option of the CITY either: The insurer shall reduce or 6 eliminate such deductibles or self insured retentions as 7 respects the CITY, its officials and employees; or DAWN shall 8 procure a bond guaranteeing payment of losses and related 9 investigations, claim administration and defense expenses. 10 The policies are to contain or be endorsed to contain the 11 following provisions: 12 1 GENERAL LIABILITY COVERAGE: 13 (a) The CITY, its elected and appointed officials, 14 employees and agents are to be covered as insureds 15 as respects Liability arising out of services and 16 activities performed by or on behalf of DAWN, its 17 employees, agents and volunteers. The coverage 18 shall contain no special limitations on the scope of 19 protection afforded to the CITY, its elected and 20 appointed officials, employees or agents 21 22 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 6 1 2 . GENERAL LIABILITY AND PROFESSIONAL LIABILITY 2 COVERAGES: 3 (a) DAWN' S insurance coverage shall be primary 4 insurance as respects the CITY, its officials, 5 employees and agents Any insurance or self 6 insurance maintained by the CITY, its 7 officials, employees or agents shall be in 8 excess of DAWN' S insurance and shall not 9 contribute with it 10 (b) Any failure to comply with reporting provisions 11 of the policy shall not affect coverage 12 provided to the CITY, its officials, employees 13 or agents 14 (c) Coverage shall state that DAWN'S insurance 15 shall apply separately to each insured against 16 whom claim is bought or suit is brought except 17 with respect to the limits to the insurer's 18 liability. 19 (d) Each insurance policy required by this clause 20 shall be endorsed to state that coverage shall 21 not be suspended, voided, cancelled, reduced in 22 coverage, or in limits except after thirty (30) 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 7 1 days prior written notice by certified mail 2 return receipt requested has been given to the 3 CITY DAWN agrees to provide copies of the 4 Certificates of Insurance to the CITY at the 5 time that this Agreement takes effect. 6 (e) DAWN shall furnish the CITY with Certificates 7 of Insurance and with original endorsements 8 affecting coverage required by this clause 9 The certificate and endorsements for each 10 insurance policy are to be signed by a person 11 authorized by that insurer to bind coverage on 12 its behalf. The CITY reserves the right to 13 require complete, certified copies of all 14 required insurance policies at any time 15 (f) DAWN shall include all volunteers, employees 16 and agents under its policies or shall furnish 17 separate certificates and endorsements for 18 each All coverages for volunteers shall be 19 subject to all the requirements stated herein 20 8. NONDISCRIMINATION. 21 DAWN may not discriminate under any services or programs 22 to which this Agreement may apply directly or through 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 8 1 contractual or other arrangements on the grounds of race, 2 color, creed, religion, national origin, sex, age, or the 3 presence of any sensory, mental or physical handicap 4 9. BOORS AND RECORDS. 5 DAWN agrees to maintain separate accounts and records in 6 accordance with State Auditor's procedures, including 7 personnel, property, financial and programmatic records which 8 sufficiently reflect direct and indirect costs and services 9 performed under this Agreement DAWN agrees to maintain all 10 books and records relating to this Agreement for a period of 11 three (3) years following the date that this Agreement is 12 expired or otherwise terminated The parties agree that the 13 CITY OF AUBURN may inspect such documents upon good cause at 14 any reasonable time within the three (3) year period 15 10. TERMINATION OF AGREEMENT. 16 This Agreement may be terminated by either party upon ten 17 (10) days written notice should the other party fail 18 substantially to perform in accordance with its terms through 19 no fault of the other. 20 11. GENERAL PROVISIONS. 21 10. 1 DAWN agrees to submit a report to the CITY no 22 later than December 31, 1996, describing the 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn96) January 9, 1996 Page 9 1 progress and activities performed for the year 2 1194 under its scope of services 3 10. 2 This Agreement shall be governed by the laws, 4 regulations and ordinances of the City of 5 Auburn, the State of Washington, and County of 6 King and where applicable, Federal laws. 7 10. 3 The CITY and DAWN respectively bind themselves, 8 their successors, volunteers, assigns and legal 9 representatives to the other party to this 10 Agreement and with respect to all covenants to 11 this Agreement. 12 10.4 This Agreement represents the entire and 13 integrated Agreement between the CITY and DAWN 14 and supersedes all prior negotiations This 15 Agreement may be amended only by written 16 instrument signed by both the CITY and DAWN 17 10. 5 Should it become necessary to enforce any term 18 or obligation of this Agreement, then all costs 19 of enforcement including attorneys fees and 20 expenses and court costs shall be paid to the 21 substantially prevailing party. 22 23 24 25 26 Resolution No. 2707 Exhibit "A" DAWN Contract for Services (dawn963 January 9, 1996 Page 10 1 10. 6 DAWN agrees to comply with all local, state and 2 federal laws applicable to its performance 3 under this Agreement. 4 5 6 CITY OF AUBURN 7 9 CHARLES A. As you are aware, the City Council adopted the below listed Resolutions on February 5, 1996 A copy of each resolution is provided along with the original contracts that have been executed by the City of Auburn. 1 ) Resolution No. 2700 Authorizes an Agreement with Auburn Christian Action Program Day Care (ACAP) for child care services. 2.)
