HomeMy WebLinkAbout2711 alk% 1 RESOLUTION NO. 2 7 1 1 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, 3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT FOR SERVICES WITH WASHINGTON WOMEN'S EMPLOYMENT AND 4 EDUCATION TO PROVIDE EMPLOYMENT TRAINING SERVICES TO AUBURN RESIDENTS PARTICIPATING IN THE AUBURN HEALTHY FAMILIES PROGRAM 5 DURING 1996. 6 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A 7 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS: 8 Section 1. The Mayor and City Clerk of the City of 9 Auburn, Washington, are hereby authorized to enter into an 10 Agreement for Services with Washington Women 's Employment and 11 Education to provide employment training services to Auburn 12 residents participating in the Auburn Healthy Families Program 13 during 1996. A copy of the Agreement is attached and is 14 designated as Exhibit "A" and is incorporated by reference in 15 this Resolution 16 'Section 2. Est day of 4 January; 1996, by and FES 2 9 1996 L municipal 5 corporation of the Sta tferred to CITY OF r oust ` 6 as "CITY" and WASHINGT CITY CLERKS °MCP 'UCATION, a 7 non-profit corporation saws or the State 8 of Washington, whose address is 3516 SO 47th Street, Suite 9 205, Tacoma, Washington 98409, hereinafter referred to as 10 "WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION". 11 WHEREAS, WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION 12 provides a valuable service to the CITY and its residents 13 through the dispensation of employment training services to 14 parents of high risk Auburn families; and 15 WHEREAS, the CITY is interested in continuing support of 16 the dispensation of employment training services to parents of 17 high risk Auburn families. 18 NOW, THEREFORE, In consideration of the covenants and 19 conditions of this Agreement, the parties agree as follows: 20 1. PURPOSE. 21 The purpose of this Agreement is to provide for an 22 appropriation to WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION 23 for providing employment training services to Auburn residents 24 participating in the Auburn Healthy Families Program during 25 26 Agreement Washington Women's Employment and Education 1996 Exhibit A Resolution No.2711(wwee96gf) January 10, 1996 Page 1 1 the 1996 term This continued support is in recognition of 2 the fact that the demand for the services delivered by the 3 WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION continues to rise. 4 2. SCOPE OF SERVICES. 5 The parties agree and understand that WASHINGTON WOMEN'S 6 EMPLOYMENT AND EDUCATION agrees to provide employment training 7 services to Auburn residents through the Auburn Healthy 8 Families Program Comprehensive employment training services 9 shall include but are not limited to those services described 10 as follows: 11 A Employment training services enabling the client to 12 rebuild self esteem and confidence and helping the 13 participant to understand the choices and options 14 which are available 15 B. Topics covered will include the World of work; 16 discovering the hidden job market, 17 interviewing/resume writing skills; positive 18 presentation to a prospective employer; maintaining 19 motivation; and learning to network in the business 20 community. 21 C Emergency needs and other supportive services, such 22 as childcare or transportation to a job interview 23 In addition, WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 24 agrees to work closely with the CITY OF AUBURN in developing 25 26 Agreement Washington Women's Employment and Education 1995 Exhibit A' Resolution No.2711 (uwee96gf) January 10,1996 Page 2 1 and improving other ways to address the needs of Auburn 2 residents served through the WASHINGTON WOMEN' S EMPLOYMENT AND 3 EDUCATION. 4 3. TERM. 5 The term of this Agreement shall commence on January 1, 6 1996 and shall expire on December 31, 1996. 7 4 . COMPENSATION. 8 As full and total payment for the services provided under 9 this Agreement, the CITY agrees to pay WASHINGTON WOMEN'S 10 EMPLOYMENT AND EDUCATION for employment training provided to a 11 minimum of 4 Auburn residents who are members of at risk 12 families in an amount not to exceed SIX THOUSAND DOLLARS 13 ($6, 000) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION will 14 submit a statement to the CITY quarterly describing services 15 that it has rendered under the terms of this Agreement and the 16 CITY will pay an amount equal to one-quarter of the total 17 amount by the twenty-eighth (28th) day of the month following 18 the end of the quarter However, the final statement of 19 services rendered will be submitted on or before December 15, 20 1996. 21 5. INDEMNIFICATION. 22 WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION agrees to 23 defend, indemnify, and hold harmless the CITY, its elected and 24 appointed officials, employees and agents from and against any 25 26 Agreement Washington Women's Employment and Education 1996 Exhibit"A' Resolution No.2711(uuee96gf) January 10,1996 Page 3 1 and all claims, demands and/or causes of action of any kind or 2 character whatsoever arising out of or relating to services 3 provided by WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION, its 4 employees, volunteers or agents concerning any and all claims 5 by any persons for alleged injury or damage to persons or 6 property to the extent caused by the negligent acts, errors or 7 omissions of WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION, its 8 employees, volunteers or agents or representatives. In the 9 event that any suit or claim for damages based upon such 10 claim, action, loss or damage is brought against the CITY, 11 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall defend the 12 same as its sole costs and expense; provided that the CITY 13 retains the right to participate in said suit if any principle 14 of governmental or public law is involved; and if final 15 judgment be rendered against the CITY and/or its officers, 16 elected officials, agents and employees or any of them or 17 jointly against the CITY and WASHINGTON WOMEN' S EMPLOYMENT AND 18 EDUCATION and their respective officers, agents, volunteers, 19 employees or any of them, WASHINGTON WOMEN'S EMPLOYMENT AND 20 EDUCATION shall fully satisfy the same and shall reimburse the 21 CITY any costs and expense which the CITY has incurred as a 22 result of such claim or suit. The provisions of this section 23 shall survive the expiration or termination of this Agreement 24 25 26 Agreement Washington Womens Employment and Education 1995 Exhibit A Resolution No.2711 (wwee96gf) January 10, 1996 Page 4 1 6. INDEPENDENT AGREEMENT OR/ASSIGNMENT. 2 The parties agree and understand that WASHINGTON WOMEN'S 3 EMPLOYMENT AND EDUCATION is an independent contractor and not 4 the agent or employee of the CITY and that no liability shall 5 attach to the CITY by reason of entering into this Agreement 6 except as provided herein The services required under this 7 Agreement may not be assigned or subcontracted by WASHINGTON 8 WOMEN'S EMPLOYMENT AND EDUCATION without the prior written 9 consent of the CITY. 10 7. INSURANCE. 11 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall procure 12 and maintain for the duration of this Agreement insurance 13 against claims for injuries to persons or property which may 14 arise from or in connection with services provided by 15 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, it agents, 16 employees or volunteers under this Agreement WASHINGTON 17 WOMEN'S EMPLOYMENT AND EDUCATION agrees to provide 18 comprehensive general liability insurance and shall maintain 19 liability limits of not less than ONE MILLION DOLLARS 20 ($1, 000, 000) combined single limit coverage per occurrence for 21 bodily injury, personal injury and property damage. 22 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall also provide 23 and maintain professional liability coverage including errors 24 and omissions coverage in the minimum liability amount of ONE 25 26 Agreement Washington Women's Employment and Education 1996 ' Exhibit A' Resolution No.2711(wwee96gf? January 10.1996 Page 5 1 MILLION DOLLARS ($1, 000, 000) combined single limit per 2 occurrence for bodily injury, personal injury and property 3 damage. Any deductibles or self insured retentions in either 4 policies must be declared to and approved by the CITY. At the 5 option of the CITY either The insurer shall reduce or 6 eliminate such deductibles or self insured retentions as 7 respects the CITY, its officials and employees; or WASHINGTON 8 WOMEN'S EMPLOYMENT AND EDUCATION shall procure a bond 9 guaranteeing payment of losses and related investigations, 10 claim administration and defense expenses. The policies are 11 to contain or be endorsed to contain the following provisions 12 13 1. GENERAL LIABILITY COVERAGE: 14 (a) The CITY, its elected and appointed officials, 15 employees and agents are to be covered as insureds 16 as respects: Liability arising out of services and 17 activities performed by or on behalf of WASHINGTON 18 WOMEN'S EMPLOYMENT AND EDUCATION, its employees, 19 agents and volunteers The coverage shall contain 20 no special limitations on the scope of protection 21 afforded to the CITY, its elected and appointed 22 officials, employees or agents 23 24 25 26 Agreement Washington Women's Employment and Education 1995 Exhibit"A' Resolution No.2711 (wwee96gf) January 10,1996 Page 6 1 2 GENERAL LIABILITY AND PROFESSIONAL LIABILITY 2 COVERAGES: 3 (a) WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION'S 4 insurance coverage shall be primary insurance 5 as respects the CITY, its officials, employees 6 and agents Any insurance or self insurance 7 maintained by the CITY, its officials, 8 employees or agents shall be in excess of 9 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION'S 10 insurance and shall not contribute with it. 11 (b) Any failure to comply with reporting provisions 12 of the policy shall not affect coverage 13 provided to the CITY, its officials, employees 14 or agents. 15 (c) Coverage shall state that WASHINGTON WOMEN' S 16 EMPLOYMENT AND EDUCATION' S insurance shall 17 apply separately to each insured against whom 18 claim is bought or suit is brought except with 19 respect to the limits to the insurer's 20 liability. 21 (d) Each insurance policy required by this clause 22 shall be endorsed to state that coverage shall 23 not be suspended, voided, cancelled, reduced in 24 coverage, or in limits except after thirty (30) 25 26 Agreement Washington Women's Employment and Education 1996 Exhibit A' Resolution No 2711(wwee96gf) January,10,1996 Page 7 1 days prior written notice by certified mail 2 return receipt requested has been given to the 3 CITY. WASHINGTON WOMEN'S EMPLOYMENT AND 4 EDUCATION agrees to provide copies of the 5 Certificates of Insurance to the CITY at the 6 time that this Agreement takes effect. 7 (e) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 8 shall furnish the CITY with Certificates of 9 Insurance and with original endorsements 10 affecting coverage required by this clause. 11 The certificate and endorsements for each 12 insurance policy are to be signed by a person 13 authorized by that insurer to bind coverage on 14 its behalf. The CITY reserves the right to 15 require complete, certified copies of all 16 required insurance policies at any time 17 (f) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 18 shall include all volunteers, employees and 19 agents under its policies or shall furnish 20 separate certificates and endorsements for 21 each. NONDISCRIMINATION. 2 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall not 3 discriminate under any services or programs to which this 4 Agreement may apply directly or through contractual or other 5 arrangements on the grounds of race, color, creed, religion, 6 national origin, sex, age, or the presence of any sensory, 7 mental or physical handicap. 8 9. BOOKS AND RECORDS. 9 WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION agrees to 10 maintain separate accounts and records in accordance with 11 State Auditor' s procedures, including personnel, property, 12 financial and programmatic records which sufficiently reflect 13 direct and indirect costs and services performed under this 14 Agreement. WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION agrees 15 to maintain all books and records relating to this Agreement 16 for a period of three (3) years following the date that this 17 Agreement is expired or otherwise terminated The parties 18 agree that the CITY OF AUBURN may inspect such documents upon 19 good cause at any reasonable time within the three (3) year 20 period. 21 10. TERMINATION OF AGREEMENT. 22 This Agreement may be terminated by either party upon ten 23 (10) days written notice should the other party fail 24 25 26 Agreement Washington Women's Employment and Education 1996 Exhibit A' Resolution No 27110ewee96gf) January 10,1996 Page 9 1 substantially to perform in accordance with its terms through 2 no fault of the other. 3 11. GENERAL PROVISIONS. 4 11. 1 WASHINGTON WOMEN'S EMPLOYMENT AND EDUCATION 5 agrees to submit a report to the CITY no later 6 than December 15, 1996, describing the progress 7 and activities performed for the year 1996 8 under its scope of services 9 11.2 This Agreement shall be governed by the laws, 10 regulations and ordinances of the City of 11 Auburn, the State of Washington, and County of 12 King and where applicable, Federal laws. 13 11 3 The CITY and WASHINGTON WOMEN' S EMPLOYMENT AND 14 EDUCATION respectively bind themselves, their 15 successors, volunteers, assigns and legal 16 representatives to the other party to this 17 Agreement and with respect to all covenants to 18 this Agreement. 19 11.4 This Agreement represents the entire and 20 integrated Agreement between the CITY and 21 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION and 22 supersedes all prior negotiations. February 15, 1996 This memo amends a February 8, 1996 memo to you regarding Social Service Agency Contracts #12. I am now in receipt of the original Resolution No 2711 which was adopted by the Auburn City Council at its February 5, 1996 meeting authorizing the Agreement with Washington Women's Employment and Education to provide employment training services to Auburn residents participating in the Auburn Healthy Families Program during 1996. Please find attached the original Agreement for Services between Auburn and WWEE that has been executed by the City of Auburn. Please obtain the necessary notarized signature and return a fully executed original to me for filing with Resolution No 2711 A certificate of insurance naming the City of Auburn as an additional insured is required to be file with the original agreement.
