HomeMy WebLinkAbout2727 1 RESOLUTION NO 2 7 2 7 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE 4 THE 1996 SERVICE AGREEMENT BETWEEN THE CITY OF AUBURN AND THE ECONOMIC DEVELOPMENT COUNCIL OF SEATTLE AND KING COUNTY 5 6 WHEREAS, the Economic Development Council of Seattle and 7 King County (EDC) is a private nonprofit corporation 8 9 representing a coalition of business, government, labor, 10 environmental and education leadership dedicated to planning, 11 developing, and implementing economic development strategies; 12 and 13 WHEREAS, economic development strategies are those public 14 15 and private actions which aid in enhancing a community' s 16 quality of life and bringing its citizens into the economic 17 mainstream by planning and building local economic capacity 18 such as an effective education and training system; sound 19 transportation and physical infrastructure; diversified 20 21 private and public investments ; and a competitive and skilled 22 workforce; and 23 WHEREAS, the City desires to have certain services 24 performed by the EDC as described within this contract 25 26 Resolution No 2727 March 13, 1996 Page 1 1 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, 2 , WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH 3 RESOLVES THAT 4 5 SECTION 1 . The Mayor and City Clerk of the City of 6 Auburn, Washington, are herewith authorized to execute the 1996 Service Agreement between the CITY OF AUBURN and the 8 ECONOMIC DEVELOPMENT COUNCIL OF SEATTLE AND KING COUNTY, 9 wherein the Council will promote a diversified economic base 10 11 consistent with creating employment opportunities for King 12 County residents and maintaining a high quality environment as 13 well as other services as set forth in the EDC SCOPE OF 14 SERVICES A copy of said Agreement denominated as Exhibit "A" 15 16 is attached hereto and incorporated herein 17 SECTION 2 . City of Auburn Sat CONTRACT AMOUNT $3523 CONTRACT PERIOD. January 1 - December 31, 1996 Ot THIS CONTRACT is entered into by City of Auburn (the Organization) and the Economic Development Council of Seattle & King County (The EDC), 2510 Columbia Seafirst Center, 701 5th Avenue, Seattle, Washington 98104. WHEREAS, The EDC is a private nonprofit corporation representing a coalition of business, government, labor, environmental and education leadership dedicated to planning, developing, and implementing economic development strategies. WHEREAS, economic development strategies are those public and private actions which aid in enhancing a community's quality of life and bringing its citizens into the economic mainstream by planning and building local economic capacity such as: an effective education and training system, sound transportation and physical infrastructure; diversified private and public investments; and a competitive and skilled workforce. WHEREAS, the Organization desires to have certain services performed by The EDC as described within this contract. NOW, THEREFORE, in consideration of payments, covenants, and agreements hereinafter mentioned, to be made and performed by the parties hereto, the parties covenant and agree to the following: I. EDC SCOPE OF SERVICES The EDC shall provide the following services for the Organization: A. The promotion of a diversified economic base consistent with creating employment opportunities for King County residents and maintaining a high quality environment. B The establishment of a close and ongoing working relationship with private businesses, labor, community organizations, and other units of government to protect and maintain economic vitality and to work toward bringing all King County citizens into the economic mainstream. C. The creation of a supportive business climate for private sector EDC/I996 Contract investment which encourages: 1. The retention of existing businesses and the revitalization of existing business communities 2. The expansion of existing businesses, and 3. The creation of new business firms. D. The promotion of mechanisms aimed at shifting commuter behavior away from the single-occupant automobile in order that existing transportation infrastructure can be utilized in the most efficient manner; and participating in future planning of such infrastructure in King County E. The encouragement of commercial and industrial facilities locations consistent with the land use and growth management goals, objectives and policies of the affected governmental jurisdictions. F The encouragement of new business development in King County and promotion of investment through counseling and information services. G. The implementation of the 1996 Workplan, attached. II. DURATION OF CONTRACT This contract shall commence on the 1st day of January, 1996 and shall terminate the 31st day of December, 1996. III. COMPENSATION AND METHOD OF PAYMENT A. The EDC shall be reimbursed for satisfactory completion of the services and requirements as specified in this contract in the amount of $3523 to be paid in four equal quarterly installments. B The EDC will provide quarterly activity reports. IV INTERNAL CONTROL AND ACCOUNTING SYSTEM The EDC shall establish and maintain a system of accounting and internal controls which complies with applicable, generally accepted accounting principles, and governmental accounting and financial reporting standards. V ESTABLISHMENT AND MAINTENANCE OF RECORDS The EDC shall maintain accounts and records, including personnel, property, financial and program records, and other records as may be deemed necessary by the Organization, to ensure proper accounting for project funds and EDO1996 Contract compliance with this contract. VI. AUDITS AND INSPECTIONS A. The records and documents with respect to all matters covered by this contract shall be subject at all times to inspection, review, or audit by the Organization and/or federal/state officials so authorized. B. The EDC shall have its annual financial statement audited by an independent certified public accountant. Copies of any such audit or review performed by an independent certified public accountant shall be provided to the Organization. If the independent certified public accountant issues an internal control or management letter, The EDC shall so notify the Organization and it shall be made available promptly to the Organization for review C. The EDC shall provide access of its facilities to the Organization, the state and/or federal agencies or officials at reasonable times to monitor and evaluate the services provided under this contract. The Organization will give advance notice to The EDC in the case of fiscal audits to be conducted by the Organization. VII EVALUATION The EDC agrees to cooperate with the Organization or its agent in the evaluation of The EDC's performance under this contract and to make available all information reasonably required by any such evaluation process. VIII. TERMINATION This contract may be terminated without cause, in whole or in part, prior to the date specified above in Section II, by either party providing the other party gives thirty (30) days advance written notice of the termination. IX. INSURANCE The EDC shall procure and maintain for the duration of this agreement insurance against claims for injuries to persons or damages to property which may arise from, or in connection with the performance of work hereunder by The EDC, its agents, representatives, employees or subcontractors. The EDC shall purchase this insurance in the amount of $1,000,000 or more. X. NONDISCRIMINATION A. During the performance of this contract, neither The EDC, its employees, representative agents or subcontractors acting under authority of this contract shall discriminate on the basis of race, color, sex, religion, nationality, creed, EDC/1996 Contract J sexual .orientation, marital status, age, or the presence of any sensory, mental or physical handicap in employment or application for employment or in the administration or delivery of services or any other benefits under this contract. B In the event The EDC determines to subcontract for the performance of services hereunder, The EDC shall make affirmative efforts to utilize Washington State certified minority and women-owned business enterprises ("M/WBE"). In its activity reports, The EDC shall identify the extent to which it was able to secure participation of M/WBEs. XI. CONFLICT OF INTEREST The EDC covenants that no officer, employee or agent of The EDC who exercises any functions or responsibilities in connection with planning and implementing the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein shall have any personal financial interest, direct or indirect, in this contract. None of the funds, materials, property or services provided directly or indirectly under this contract shall be used for any partisan political activity or to further the election or defeat of any candidate for public office. XII. INDEMNIFICATION The EDC shall hold the Organization and its officers, agents and employees acting in the capacity or course of employment, harmless from all suits, claims or liabilities of any nature, including costs and expenses, for and on account of injuries or damages sustained by any persons or property resulting in whole or in part from activities or omissions of The EDC pursuant to this Agreement, or on account of any unpaid wages or other for services; and if a suit be filed, The EDC shall appear and defend the same at its own cost and expense, and if judgement be rendered or settlement made requiring payment, The EDC shall satisfy and pay the same. XIII. NOTICES Whenever this contract provides for notice to be provided by one party or another, such notice shall be: A. In writing; and B. Directed to the chief executive officer of The EDC and the director/manager of the Organization's Department/Division specified on Page 1 of this contract. EDC/1996 Contract Any time within which a party must take some action shall be computed from the date that the notice is received by said party XIV CHANGES Either party may request changes to this contract. Proposed changes which are mutually agreed upon shall be incorporated by written amendments to this contract. The EDC Mission The mission of the Economic Development Council of Seattle (Cr King County (the EDC) is to retain and create family-wage jobs in King County The EDC's coalition of business, government, labor, education, community and environmental interests, together with the EDC staff, will accomplish the mission through a flexible business development system that will market Seattle/King County as a premier location for business development and family-wage jobs. The EDC will actively coordinate its job retention and creation efforts with local organizations, including chambers of commerce. 1996 EDC Workplan 1 9 ' III. Product & Service Description The EDC's products will be the family-wage jobs retained and created in King County through (A) Direct Business Assistance and (B) Informational Services. These functions will constitute the EDC's (C) Business Development System. The EDC also will participate in (D) Board Approved Special Projects." A. Direct Business Assistance The EDC will focus its direct assistance efforts on businesses that have the greatest likelihood of providing family-wage jobs in King County In 1996, we will target the manufacturing and high technology sectors. Research has shown that these sectors provide family-wage jobs and have excellent multiplier effects in terms of additional jobs created for each job in the sector, and additional economic output generated for each job in the sector The EDC's focus on manufacturing and high technology jobs will not preclude assistance to businesses in other sectors (see "General Business" below), but limited resources require prioritization and careful allocation of staff and member effort. Criteria: Businesses will be selected for assistance with job retention or creation in King County using the following criteria as a guide: • Number of family-wpge jobs at risk, or potentially gained, relative to other potential clients. • Extent to which the EDC can assist in retaining or creating specific jobs. • Extent to which specific retention and expansion issues can be identified and affected by EDC actions, e.g., land use, environmental and other regulatory issues, transportation, siting issues, workforce issues and financing. • Extent to which the solutions to the problems faced by the client are transferable to other businesses and jobs in other parts of the County • Extent to which the jobs in question are compatible with the County's comprehensive planning policies. • Extent to which staff, membership and other resources are available to ensure success. 1996 EDC Workplan 3 Manufacturing.Sector Workplan for 1996 Description of Sector and Rationale: Manufacturing consists of a variety of industries, among them food processing, textiles and apparel, printing and publishing, forest products, chemicals, plastics, stone, glass, clay, metals, machinery/equipment, transportation, and aerospace. In King County, manufacturers pay average wages of more than $28,000 per year, compared to the average for all jobs of just over $26,000 per year (1990) Manufacturing also enjoys a strong job multiplier effect, creating between two and four additional jobs in the economy for each manufacturing job In addition, each dollar of output from the manufacturing industry generates approximately 70 cents in output from the rest of the economy Projects. EDC members have identified a number of job retention and job creation possibilities in this sector Each project is described below, with goals and benchmarks noted. • At the request of the governments of King County, City of Seattle and Tukwila, and the Port of Seattle, the EDC will implement a Business Assistance/Ombudsman Program. The purpose of the program is to assist manufacturing businesses negotiate the maze of environmental and land use regulations that can often inhibit job retention and creation in the County's older industrial areas. Five businesses, representing approximately 260 jobs, have already been identified for EDC assistance. Goal #1 w/benchmark: Successful identification of specific needs of each business. Achieve by 1/31/96. Goal #2 wfbenchmark: Assist in regulatory / siting matters as identified. Achieve by 12/31/96. • The EDC will seek out manufacturing businesses county-wide that meet the selection criteria and use its ombudsman service to assist them. Target: 660 jobs. Goal #3 w/benchmark: Develop strategy for outreach county-wide. Achieve by 2/15/96. Goal #4 w/benchmark: Implement strategy Achieve by 12/31/96. • The Port of Seattle has asked the EDC to assist 24 businesses, representing approximately 300 jobs to relocate from the Harbor Island redevelopment area to other locations in Seattle and King County The EDC will work directly with these businesses and the Port to develop and complete a relocation strategy Goal #5 w/benchmark: Develop strategy for relocation. Achieve by 1/31/96. Goal #6 wfbenchmark: Accomplish relocation. Achieve by 12/31/96. 1996 EDC Workplan 5 management; and advice on sources of assistance and capital, incubators assist entrepreneurs in getting businesses started. Goal #9 w/benchmark: Develop strategy Achieve by 2/29/96. Goal #10 w/benchmark: Assemble working group. Achieve by 3/31/96. Goal #11 w/benchmark: Propose incubator and financing. Achieve by 9/30/96. Goal #12 w/benchmark: Incubator established and tenants located. Achieve by 12/31/96. • Work with the U W and the Fred Hutchinson Center on technology transfers and the establishment of new biotechnology companies in King County, including providing financing and real estate development expertise. Goal #13 w/benchmark: Meet with agencies and establish working relationship Achieve by 2/29/96. Goal #14 w/benchmark: Working with companies. Ongoing. The EDC has identified the following projects for the communications/information technology and electronics sector. Together, these activities are projected to result in two new companies in King County, representing 300 jobs, and the expansion of three existing companies, representing 200 jobs. • Market King County as an excellent location for communications/information and electronics companies. Goal #15 w/benchmark: Develop strategy Achieve by 2/29/96. Goal #16 w/benchmark: Implement strategy Achieve by 12/31/96. • Organize the creation of a "testbed" facility offering affordable technical and marketing services to emerging software companies allowing them to test their software products on a variety of hardware and gain marketing skills. Goal #19 w/benchmark: Implement strategy Achieve by 12/31/96. • Develop financing alternatives, including additional sources of equity and debt capital, for companies at the start-up and early expansion stages. Informational Services The second element of the EDC's work is as an information provider to businesses seeking key economic data about King County To accomplish this objective, the EDC will collect and distribute accurate and timely economic information. Informational Services Projects for 1996 • Upgrade the value of information available from the EDC on the World Wide Web and explore additional ways to disseminate information. • Enhance direct business assistance capabilities by collecting data on and/or conducting analyses of: -- King County's competitive position versus other metropolitan areas, which may include contrasting salary levels, cost of living, education attainment, occupancy rates, taxes, quality of life and attitudes toward economic growth and the environment; -- Market and economic trends as they affect specific industries, geographic areas and communities. Marketing Through the Business Development System, the EDC will continually market itself and King County as it initiates projects, collects information, and maintains liaison with members, targeted organizations and companies. Marketing Activities for 1996 Current marketing materials and strategies will be evaluated and new materials will be developed as necessary This will include: • Designing and Producing Business Development Package • Developing Media Contacts and Distributing Press Releases • Continuing Regular Publication of EDC News Wire • Placing of Industry-specific and General Advertising • Evaluating, Developing and Maintaining Web Site • Placing Editorials and Op-eds • Obtaining Member Testimonials Marketing activities will include: • Developing and Maintaining Response Teams (see M.A.) • Collecting data through Inquiries and Publications • Joining selected Professional Organizations • Attending Special Events and Industry Related Events • Maintaining Direct and Frequent Contact with Targeted Organizations and Members.
