See Appendix A 2 TERM. The term of this agreement shall be until the scope of the work is completed or a maximum of 100 days from receipt of notice to proceed, whichever is less 3 COMPENSATION. See Appendix B r\ 1 4 RESPONSIBILITY OF CONSULTANT The CONSULTANT shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all studies, analysis, designs, drawings, specifications, reports and other services performed by the CONSULTANT under this Agreement The CONSULTANT shall, without additional compensation, correct or revise any errors, omissions or other deficiencies in its plans, designs, drawings, specifications, reports and other services required The CONSULTANT shall perform its services to conform to generally accepted professional transportation planning standards and the program requirements of' the CITY Any approval by the CITY under this Agreement shall not in any way relieve the CONSULTANT of responsibility for the technical accuracy and adequacy of its services Except as otherwise provided herein, neither the CITY' S review, approval or acceptance of, nor payment for, any of the services shall be construed to operate as a waiver of any rights under this Agreement or of any cause of action arising out of the performance of this Agreement to the full extent of the law r 5 INDEMNIFICATION/HOLD HARMLESS. The CONSULTANT agrees to defend, indemnify and hold harmless the CITY, its elected and appointed officials, employees and agents from any and all claims, demands and/or causes of action of any kind or character whatsoever arising out of or relating to the CONSULTANT, its employees, subcontractors or agents for any and all claims by any persons for alleged personal injury, death or damage to their persons or property to the extent caused by the negligent acts, errors or omission of the CONSULTANT, its employees, agents, subcontractors or representatives and arising out of its performance of this Agreement In the event that any suit or claim for damage is brought against the CITY, the CONSULTANT shall defend the CITY at its sole cost and expense; provided that the CITY retains the right to participate in said suit if any principle of governmental or public laws is involved; and if final judgment be rendered against the CITY and/or its officers, agents or employees or any of them, or jointly against the CITY and the CONSULTANT and their respective officers, agents, subcontractors, employees or any of them, the CONSULTANT agrees to fully satisfy the same and the CONSULTANT shall reimburse the CITY for any cost and expense which the CITY has r incurred as a result of such claim or suit The provisions of this section shall survive the expiration or termination of this Agreement 6 INDEPENDENT CONTRACTOR/ASSIGNMENT. The parties agree and understand that the CONSULTANT is an independent contractor and not the agent or employee of the CITY and that no liability shall attach to the CITY by reason of entering into this Agreement except as otherwise provided herein The parties agree that this Agreement may not be assigned in whole or in part without the written consent of the CITY 7 INSURANCE. CONSULTANT shall procure and maintain for the duration of this Agreement, comprehensive general liability insurance against claims for injuries to persons or damage to property which may arise from or in conjunction with services provided to the CITY by the CONSULTANT, its agents, employees or subcontractors, under this Agreement The CONSULTANT agrees to provide comprehensive general liability insurance and shall maintain liability limits of no less then ONE MILLION DOLLARS ($1, 000, 000) combined single limit per occurrence for bodily injury, personal injury and property damage The CONSULTANT shall also provide and maintain professional liability coverage including errors and omissions ill coverage in the minimum liability limits of ONE MILLION DOLLARS ($1, 000, 000) combined single limit per occurrence for bodily injury, personal injury and property damage The general liability coverage shall also provide that the CITY, its officers, employees and agents are to be covered as additional insureds as respects Liability arising out of the services or responsibilities performed by or under obligation of the CONSULTANT under the terms of this Agreement, by the CONSULTANT, its employees, agents and subcontractors Both the general liability and professional liability coverages shall provide that the CONSULTANT' S insurance coverage shall be primary insurance as respects the CITY, its officials, employees and agents Any insurance or self insurance maintained by the CITY, its officials, employees or agents shall be excess to the CONSULTANT' S insurance and shall not contribute with it Each insurance policy required by this section of the Agreement shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail return receipt requested has been given to the CITY The CONSULTANT agrees to provide copies of the certificates of insurance to the ifT CITY specifying the coverage required by this section at the time that this Agreement takes effect The CITY reserves the right to require that complete, certified copies of all required insurance policies be submitted to the CITY at any time 8 NONDISCRIMINATION. The CONSULTANT may not discriminate regarding any services or activities to which this Agreement may apply directly or through contractual , hiring, or other arrangements on the grounds of race, color, creed, religion, national origin, sex, age, or where there is the presence of any sensory, mental or physical handicap 9 OWNERSHIP OF RECORDS AND DOCUMENTS . The CONSULTANT agrees that any and all drawings, computer discs, documents, records, books, specifications, reports, estimates, summaries and such other information and materials as the CONSULTANT may have accumulated , prepared or obtained as part of providing services under the terms of this Agreement by the CONSULTANT, shall belong to and shall remain the property of the CITY OF AUBURN In addition, the CONSULTANT agrees to maintain all books and records relating to its operation and concerning this Agreement for a period of three (3) years following the date that this Agreement is expired or otherwise rz_ )+ 1 terminated The CONSULTANT further agrees that the CITY may inspect any and all documents held by the CONSULTANT and relating to this Agreement upon good cause at any reasonable time within the three (3) year period The CONSULTANT also agrees to provide to the CITY, at the CITY' S request , the originals of all drawings, documents, and items specified in this Section and information compiled in providing services to the CITY under the terms of this Agreement 10 TERMINATION OF AGREEMENT. The training tasks and documentation tasks are described at the end of this section. However, these tasks are intended to be ongoing throughout the project. The training sessions will be an integral part of the model improvement, calibration, and analysis tasks. The proposed schedule, including the timing of the tasks, is shown in the next section. Review Existing Model Structure - The goals of the revised model will be discussed with Auburn staff These goals will be documented and used to evaluate the current model and to set the framework for the revised model. The existing model structure will then be evaluated. This evaluation will include review of the model area boundary to appropriately model the study area. The model area must be sufficiently large to adequately model the area to analyzed. TModel Corporation staff members developed the original Auburn model and are familiar with its basis. The existing model structure definitions and descriptions for class, area, and type for links and nodes will be reviewed Zone boundaries and centroid loading connections will be examined. During this review process, all of the major streets in the Auburn area will be driven by TModel Corporation personnel and videotaped. The videotape will be used to review areas of question during the calibration process. Develop Revised Model Files - The consultant team will work with Auburn staff to incorporate the changes The modifications will be made jointly with the consultant team working with Auburn staff to make the revisions. The changes will be documented along with the procedure for making the changes so that Auburn staff can make future modifications as well. These modifications may include changes to the model boundaries, zone boundaries, centroid connection locations, and link and node characteristics. The new traffic count data will be entered in this task. This task includes combining the earlier zone maps and digitizing the changes as necessary Recommend/Enter Land Use Data - The land use data categories will be reviewed and revised as necessary New land use data will be collected by Auburn staff in the new land use categories The Auburn staff will enter the land use data with assistance from TModel Corporation. Recommend/Revise Trip Generation Rates - The trip generation strategy currently in use will be reviewed and revised as necessary Auburn staff will be included in the review process The trip generation rates derived through this process will be disaggregated into the trip purposes (HBW, HBO, NI-IB) for modeling and will be used in the initial re-calibration runs. Trip generation rates may be revised during the actual calibration according to the results of the calibration runs Evaluate External Trip Characteristics - The revised external traffic counts will be used as the starting place for the evaluation and updating of external traffic. The existing external-external (X-X) traffic volumes will be evaluated and reviewed with Auburn staff The study team will develop appropriate internal-external origins and destinations by trip types and develop a through trip table using data developed from the previous modeling efforts and/or the PSRC regional model Calibration - The calibration description was included in the previous section on Model Development Philosophy TModel Corporation personnel will work in conjunction with Auburn staff to recalibrate the model. It is expected that the calibration process will be conducted jointly so that Auburn staff arc familiar with the process and the adjustments that are made during the process. Assignment volumes on all screenlines and links will match base-date adjusted ground counts within limits imposed by graphs on allowable screenline calibration errors and allowable link calibration errors in NCHRP 255 (pp 41, 49) The process is iterative. • All data and assumptions will be quantified and coded for modeling. • A distribution and assignment will be run. • Resulting volume assignments will be compared against screenline and link volume ground data. • Volumes which are not sufficiently well modeled will be analyzed for possible data or assumption errors • Solutions will be recoded into the network, land-use, and or driver behavioral function coefficients. • Justifications for alterations will be documented. • The process will be repeated until calibration accuracies are achieved. The budgets presented in the cost section assume calibration for one selected peak hour Additional peak hours require collection and compilation of additional count data and adjustment of travel parameters to reflect these conditions. Traffic Forecasts - This proposal includes tasks to provide traffic forecasts for two future years. These years are assumed to be 2005 and 2020 The efforts for the forecasts include the following tasks for each of the forecast years • Collect forecast land use data from the City for Auburn traffic analysis zones. • Collect data for perimeter zones from PSRC Adjust this data to the proper year if necessary Adjust the data to the proper categories and zone structure. • Provide compiled land use to the City for checking. • Generate future trips • Collect growth rates from the City for external zones. Adjust the external zones for the proper forecast year, including through, external-internal and internal-external trips. • Code the assumed network modifications. • Run the model for each scenario • Provide plots showing volumes, link v/c ratios, and Level of Service 1 v V • Document the improvements made and the assumptions for the forecast year adjustments It is assumed that for each of the two forecast years, three network scenarios will be tested. These will include a "do-nothing", "all assumed improvements", and one additional run. The budget section includes cost estimates for additional network scenarios. In addition, preliminary forecast runs be performed during the calibration process to insure that the model is working right for the right reasons, not simply due to some compensating base year errors. Model Analysis - The model results will be analyzed for the base calibration year This analysis will he conducted as a team with Auburn staff and TModel Corporation. These will include the typical plots of traffic volumes, travel time, v/c ratios, etc. In addition, advanced techniques such as Level of Service (using the new TMODEL2 Level of Service module), Level of Service averaging, emissions/fuel consumption, and isochrones will also be used. The Level of Service Module includes the speed, traffic density, and volume measurements as specified in Chapters 3, 7, 8, and 10 of NCHRP SR 209 (Highway Capacity Manual) Documentation - The model and the modeling process will be documented using both chronological and contextual methods. A notebook will be kept monitoring the process on a step- by-step, file-by-file basis. In addition, all quantification of assumptions will be summarized. All plotter outputs of the network distribution and assignment runs will contain commentary on the analysis of the run as well as notations concerning corrective measures. Documentation provided to the City will allow a knowledgeable TModeler to repeat all the processes undertaken and to run alternative scenarios based on the information it contains along with the set of computer files A final report summarizing the study will be prepared and delivered to the City of Auburn. Training - Optimally, training in the use of TMODEL2 is an ongoing process. For this project, we propose to work closely with City of Auburn staff so they are fully aware of the process and techniques used to develop the model Appendix B Compensation The level of effort for this project is presented in a table. Mr Brent Cain will be the project manager for TModel Corporation and Mr Robert Shull will provide technical assistance and project oversight.
