HomeMy WebLinkAbout2773 1 akeOf / RESOLUTION NO 2 7 7 3 2 3 A RESOLUTION OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING THE MAYOR OF THE CITY OF AUBURN, TO ENTER INTO AN INTERLOCAL 4 AGREEMENT FOR THE PURPOSE OF PROVIDING CONSTRUCTION CONTRACT 5 ADMINISTRATION FOR THE CONSTRUCTION OF REPAIRS ON WEST VALLEY HIGHWAY WITH THE CITY OF PACIFIC 6 7 WHEREAS, the City of Pacific has requested the City of 8 Auburn to administer a construction contract for a Federally 9 funded project with 1996 Emergency Relief Funds authorization 10 11 funding; and 12 WHEREAS, the City of Pacific does not have'a Professional 13 City Engineer, which is a requirement as a condition of the 14 1996 Emergency Relief Funds authorization; and 15 WHEREAS, the City of Auburn has a Professional City 16 17 Engineer and authority as a Certifying Agency (CA) to 18 administer Federal contracts; and 19 WHEREAS, the City of Auburn will be reimbursed for all 20 administrative expenses associated with overseeing the project 21 to repair West Valley Highway; and 22 23 WHEREAS, this project will not cause undue burden on the 24 City staff resources; and 25 26 Resolution No 2773 August 19, 1996 Page 1 1 WHEREAS, it is in the best interest of the public to have 2 the West Valley Highway 3 4 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, 5 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH 6 RESOLVES THAT 7 8 Section 1 The Mayor of the City of Auburn is hereby 9 authorized to direct the Interlocal Agreement to be written 10 and to execute the Agreement with the City of Pacific for the 11 purpose of contract and construction administration 12 13 SECTION 2 The Mayor is hereby authorized to implement 14 such administrative procedures as may be necessary to carry 15 out the directives of this legislation 16 DATED and SIGNED this 19th day of August, 1996 17 18 CITY OF AUBURN 19 20 21 (12.6Y1 I1001V \ 22 CHARLES A BOOTH MAYOR 23 24 25 26 Resolution No 2773 August 19, 1996 Page 2 1 2 ATTEST 3 4 6 Robin Wohlhueter, City Clerk 7 8 9 APPROVED AS TO FORM 10 11 I , 12 13 Michael J Reynolds, City Attorney 14 15 16 17 18 19 20 21 22 23 24 25 26 Resolution No 2773 August 19, 1996 Page 3 ORIGINAL CONSTRUCTION ADMINISTRATION AGREEMENT WEST VALLEY SLIDE REPAIR ER9602-062 // This Agreement, Cmmade and entered into this O / day of �LIL�U , 19 / , by and between the City of Pacific, Washington, hereinafter referred to as "PACIFIC" , and the City of Auburn, Washington, hereinafter referred to as "AUBURN" WHEREAS, PACIFIC has obtained a federal Emergency Relief Grant for reconstruction of a portion of the West Valley highway caused by storm damage; and WHEREAS, the construction of such improvement will require advertising for bids, contract administration, construction inspection and related activities hereinafter referred to as the "Construction Phase" of the project; and, WHEREAS, PACIFIC does not have the personnel or authority to perform the administration tasks associated with the construction of the project ; and WHEREAS, PACIFIC has requested that AUBURN perform the administrative tasks using its "Certification Acceptance" Construction Administration Agreement Resolution No 2773 September 3, 1996 Page -1 [d/agree-const-p7 (CA) authority, as requested under terms and conditions of the federal grant; and WHEREAS, the Auburn City Council at their regularly scheduled meeting on August 19, 1996 , passed Resolution No 2773 authorizing the execution of an Agreement with the City of Pacific for the purpose of contract and construction administration; and WHEREAS, this Agreement will formally outline the participation in the project NOW THEREFORE, IT IS MUTUALLY AGREED as follows Section 1. AUBURN' S RESPONSIBILITY: AUBURN will be responsible for compliance with the Local Agency Guidelines under certification acceptance authority during the construction phase of the project AUBURN will review the contract specifications prior to bid and approve contract award AUBURN will retain a Consulting Engineering firm for contract administration inspection of construction and coordination with the City of Pacific AUBURN will obtain Construction Administration Agreement Resolution No 2773 September 3, 1996 Page 2 [d/agree-const-0 the approval of PACIFIC prior to entering into said contract AUBURN will approve the contractors invoices for payment , change orders and final project acceptance and carry out other activities in accordance with Local Agency Guideline under "CA" authority ,Section 2 . PACIFIC' S RESPONSIBILITY PACIFIC shall fund the total cost of the project utilizing Federal and local funds as may be required PACIFIC will pay AUBURN the lump sum amount of $5, 000 for services provided and make all required payments to the engineering consultant retained by the City within 60 days of receiving invoicing PACIFIC shall make monthly contract payments, process construction contract change orders, submit request for payment to the state PACIFIC shall prepare all contract close-out documents in accordance with Local Agency Guidelines Section 3 . LIABILITY: Construction Administration Agreement Resolution No 2773 September 3, 1996 Page 3 [d/agree-const-p] It is agreed that upon final acceptance of the project by AUBURN and PACIFIC, all AUBURN liability of any kind whatsoever will cease The City of PACIFIC will hold harmless and indemnify AUBURN from any and all costs, claims, demands and obligations of whatsoever nature arising by reason of AUBURN' s participation in this project, more particularly identified as West Valley Highway Slide Repair Project No ER 9602-062 PACIFIC further agrees to defend, at its own expense, all suits or actions of whatsoever nature brought against the City of PACIFIC or AUBURN arising from performance of work, except for liability due to the sole negligence of the City of AUBURN Section 4 .
