HomeMy WebLinkAbout2793 1 RESOLUTION NO 2 7 9 3 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY 4 OF AUBURN, TO EXECUTE A 1997 CONTRACT FOR SERVICES BETWEEN THE CITY OF AUBURN AND DOMESTIC ABUSE WOMEN' S NETWORK (DAWN) 5 6 WHEREAS, the CITY desires to award general revenue funds 7 to DAWN to perform domestic violence community advocacy 8 9 services and emergency shelter pursuant to certain terms and 10 conditions as described in this agreement ; and 11 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A 12 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT 13 Section 1. The Mayor and City Clerk of the City of 14 15 Auburn, Washington, are authorized to execute a 1997 Contract 16 for Services between the City of Auburn and Domestic Abuse 17 Women' s Network (DAWN) to provide services as outlined in said 18 Contract A copy of said Contract is designated Exhibit "A" 19 and is attached hereto and incorporated by reference in this 20 21 Resolution 22 Section 2 . 12 and 13 WHEREAS, the CITY is interested in continuing support of 14 DAWN; and 15 NOW, THEREFORE, In consideration of the covenants and 16 conditions of this Contract , the parties agree as follows 17 18 1 PURPOSE. 19 The purpose of this Agreement is to provide for an 20 appropriation to DAWN for the 1997 term This continued 21 support is in recognition of the fact that the demand for 22 DAWN' S services continues to rise 23 24 25 26 Resolution No.2793 Exhibit "A" DAWN Contract for Services ci.ftegal fag ree/daun97) July 21 1997 Page I 1 2 2 SCOPE OF SERVICES, 3 The parties agree and understand that DAWN agrees to 4 provide services to the citizens of Auburn including, but not 5 limited to, those services described as follows 6 A Twenty-four (24) hour crisis line operated by trained volunteers and backup staff 7 8 B Support group counseling that includes an individual 9 screening session, child care during group sessions, 10 an extensive information packet , and referrals to 11 other services as appropriate 12 C Advocacy by specially trained volunteers and staff 13 who work at the shelter who provide information, 14 assistance and emotional support 15 Provision of emergency shelter and crisis 16 intervention for victims of domestic violence 17 Shelter services include food, safety planning, 18 working with the victim and educational system to 19 arrange for appropriate and safe school settings for 20 children, education concerning domestic violence, 21 peer support groups, substance abuse assessment and 22 counseling, mental health assessment and referrals 23 24 25 26 Resolution No. 2793 Exhibit "A" DAWN Contract for Services Cl /legal/agree/dawn97) July 22. 1997 Page 2 1 2 to other community agencies for long term counseling 3 and affordable housing 4 E Community Education directed toward the general 5 public This involves discussion of basic domestic 6 violence issues Such outreach and services may include 8 a Public information activities aimed at 9 informing the general public of the services 10 available through DAWN Such as 11 i Providing Auburn service clubs such as the 12 Rotary, Kiwanis and Soroptomists with presentations 13 ii working with the media to develop 14 articles, news segments and public service 15 announcements concerning domestic violence and its 16 ramifications 17 iii the development of strategies and 18 interactions which include direct contact with the 19 general public to enhance the understanding of 20 domestic violence as a reprehensible social and 21 criminal act 22 b Conduct training sessions for community 23 volunteers Volunteer training will include 24 25 26 Resolution No.2793 Exhibit"A" DAWN Contract for Services ct./legal/agree/dawn97) July 22, 1997 Page 3 1 i An initial 36 hour crisis intervention to 2 3 be provided two times each year on issues pertaining to domestic violence and issues related thereto, 4 5 including but not limited to, legal issues, 6 children' s issues, suicide intervention, and cultural sensitivity 7 8 ii A minimum 2-hour monthly educational 9 training to all volunteers 10 In addition DAWN agrees to work closely with the CITY OF 11 AUBURN in developing and improving other ways to address the 12 problem of domestic violence in the Auburn community 13 3 TERM. 14 The term of this Agreement shall commence on January 1, 15 1997 and will expire on December 31, 1997 16 4 COMPENSATION, 17 As full and total payment for the services provided under 18 this Agreement, the CITY agrees to pay DAWN the total amount 19 of EIGHTEEN THOUSAND DOLLARS ($18 , 000) DAWN will submit a 20 statement with documentation to the CITY describing services 21 and activities that it has rendered under the terms of this 22 Agreement together with the source documentation for hours of 23 service delivered and the activities provided and the CITY 24 25 26 Resolution No. 2793 Exhibit"A" DAWN Contract for Services (1 /legal/agree/dawn97) July 22, 1997 Page 4 1 2 will pay such amount upon proper submittal The final 3 statement of services rendered will be submitted on or before 4 December 15, 1997 5 5 INDEMNIFICATION. 6 DAWN agrees to defend, indemnify, and hold harmless the CITY, its elected and appointed officials, employees and 8 agents from and against any and all claims, demands and/or 9 causes of action of any kind or character whatsoever arising 10 out of or relating to services provided by DAWN, its 11 employees, volunteers or agents concerning any and all claims 12 by any persons for alleged injury or damage to persons or 13 property to the extent caused by the negligent acts, errors or 14 omissions of DAWN, its employees, volunteers or agents or 15 representatives In the event that any suit or claim for 16 damages based upon such claim, action, loss or damage is 17 brought against the CITY, DAWN shall defend the same as its 18 sole costs and expense; provided that the CITY retains the 19 right to participate in said suit if any principle of 20 governmental or public law is involved; and if final judgment 21 be rendered against the CITY and/or its officers, elected 22 officials, agents and employees or any of them or jointly 23 against the CITY and DAWN and their respective officers, 24 25 26 Resolution No.2793 Exhibit A" DAWN Contract for Services C L/legal tag ree/daun97) July 22, 1997 Page 5 1 agents, volunteers, employees or any of them, DAWN shall fully 2 satisfy the same and shall reimburse the CITY any costs and 3 expense which the CITY has incurred as a result of such claim 4 or suit The provisions of this section shall survive the 5 expiration or termination of this Agreement 6 6 INDEPENDENT CONTRACTOR/ASSIGNMENT. 7 The parties agree and understand that DAWN is an 8 independent contractor and not the agent or employee of the 9 CITY and that no liability shall attach to the CITY by reason 10 11 of entering into this Agreement except as provided herein The City will not be responsible for withholding or otherwise 12 13 deducting federal income tax or social security payments, or contributing to the State Industrial Insurance Program, or 14 otherwise assuming the duties of an employer with respect to 15 16 DAWN and that neither DAWN or any employee off DAWN shall be 17 entitled to any benefits accorded city employees by virtue of 18 any services provided under the contract The services 19 required under this Agreement may not be assigned or 20 subcontracted by DAWN without the prior written consent of the 21 CITY 22 23 24 25 26 Resolution No. 2793 Exhibit"A" DAWN Contract for Services Q /legal/agree/dawn97) July 22, 1997 Page 6 1 2 7 INSURANCE. 3 DAWN shall procure and maintain for the duration of this 4 Agreement insurance against claims for injuries to persons or 5 property which may arise from or in connection with services 6 provided by DAWN, it agents, employees or volunteers under this Agreement DAWN agrees to provide comprehensive general 8 liability insurance and shall maintain liability limits of not g less than ONE MILLION DOLLARS ($1, 000, 000) combined single 10 limit coverage per occurrence for bodily injury, personal 11 injury and property damage DAWN shall also provide and 12 maintain professional liability coverage including errors and 13 omissions coverage in the minimum liability amount of ONE 14 MILLION DOLLARS ($1, 000 , 000) combined single limit per 15 occurrence for bodily injury, personal injury and property 16 damage Any deductibles or self insured retentions in either 17 policies must be declared to and approved by the CITY At the 16 option of the CITY either The insurer shall reduce or 19 eliminate such deductibles or self insured retentions as 20 respects the CITY, its officials and employees; or DAWN shall 21 procure a bond guaranteeing payment of losses and related 22 investigations, claim administration and defense expenses 23 24 25 26 Resolution No 2793 Exhibit"A" DAWN Contract for Services fl /legal/agree/dawn97) July 22, 1997 Page 7 1 The policies are to contain or be endorsed to contain the 2 3 following provisions 1 GENERAL LIABILITY COVERAGE. 4 5 (a) The CITY, its elected and appointed officials, 6 employees and agents are to be covered as insureds as respects Liability arising out of services and 7 activities performed by or on behalf of DAWN, its 8 employees, agents and volunteers The coverage 9 shall contain no special limitations on the scope of 10 protection afforded to the CITY, its elected and 11 appointed officials, employees or agents 12 13 2 GENERAL LIABILITY AND PROFESSIONAL LIABILITY COVERAGES . 14 (a) DAWN' S insurance coverage shall be primary 15 insurance as respects the CITY, its officials, 16 employees and agents Any insurance or self 17 insurance maintained by the CITY, its 18 officials, employees or agents shall be in 19 excess of DAWN' S insurance and shall not 20 contribute with it 21 (b) Any failure to comply with reporting provisions 22 of the policy shall not affect coverage 23 24 25 26 Resolution No.2793 Exhibit"A" DAWN Contract for Services Cl /legal/agree/dawn97) July 22, 1 997 Page 8 1 2 provided to the CITY, its officials, employees 3 or agents 4 (c) Coverage shall state that DAWN' S insurance 5 shall apply separately to each insured against 6 whom claim is bought or suit is brought except 7 with respect to the limits to the insurer ' s 8 liability 9 (d) Each insurance policy required by this clause 10 shall be endorsed to state that coverage shall 11 not be suspended, voided, cancelled, reduced in 12 coverage, or in limits except after thirty (30) 13 days prior written notice by certified mail 14 return receipt requested has been given to the 15 CITY DAWN agrees to provide copies of the 16 Certificates of Insurance to the CITY at the 17 time that this Agreement takes effect 18 (e) DAWN shall furnish the CITY with Certificates 19 of Insurance and with original endorsements 20 affecting coverage required by this clause 21 The certificate and endorsements for each 22 insurance policy are to be signed by a person 23 authorized by that insurer to bind coverage on 24 25 26 Resolution No. 2793 Exhibit "A" DAWN Contract for Services (t /legal/agree/dawn97> July 22, 1997 Page 9 1 its behalf The CITY reserves the right to 2 require complete, certified copies of all 3 required insurance policies at any time 4 5 (f) DAWN shall include all volunteers, employees and agents under its policies or shall furnish 6 separate certificates and endorsements for 7 each All coverages for volunteers shall be 8 subject to all the requirements stated herein 9 8 NONDISCRIMINATION 10 DAWN may not discriminate under any services or programs 11 to which this Agreement may apply directly or through 12 contractual or other arrangements on the grounds of race, 13 color, sex, religion, nationality, creed, marital status, 14 sexual orientation, age or presence of any sensory„ mental or 15 physical handicap 16 9 .
