HomeMy WebLinkAbout2805 1 RESOLUTION NO 2 8 0 5 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, 4 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH AUBURN YOUTH RESOURCES FOR SUPPORT 5 SERVICES FOR YOUTH AND FAMILIES IN THE AUBURN COMMUNITY FOR 1997 6 WHEREAS, the City of Auburn has contracted with Auburn 8 Youth Resources, a non profit organization, since 1980 to 9 10 provide support services to youth and families in the Auburn 11 community, and 12 WHEREAS, the City wishes to continue the support of 13 Auburn Youth Resources; 14 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, 15 16 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH 17 RESOLVES AS FOLLOWS 18 Section 1 The Mayor and City Clerk of the City of 19 Auburn, Washington, are hereby authorized to enter into an 20 Agreement with Auburn Youth Resources to provide support 21 22 services for youth and families in the Auburn community 23 including youth referred from the Auburn School District, 24 Auburn Police Department , the Auburn Juvenile Court 25 26 Resolution No 2805 January 15, 1997 Page 1 1p 1 Conference Committee, and area churches and community 2 organizations for 1997 A copy of the Agreement is attached 3 4 and is designated as Exhibit "A" and is incorporated by 5 reference in this Resolution 6 Section 2 The Mayor is hereby authorized to 15, 1997 Page 2 ORIGINAL 1 AGREEMENT FOR SERVICES 2 3 THIS AGREEMENT is entered into this 1st day of 4 January , 1997, by and between the CITY OF AUBURN, 5 a municipal corporation of the State of Washington, hereafter 6 referred to as "CITY", and AUBURN YOUTH RESOURCES, a non 7 profit corporation organized under the laws of the State of 8 Washington, and located at 816 "F" Street S E , Auburn, 9 Washington, hereafter referred to as "AYR" 10 In consideration of the mutual covenants and conditions 11 of this Agreement , the parties agree as follows 12 1 PURPOSE. 13 AYR is a non profit, community based family counseling 14 agency whose purpose is to assist youth -- by providing a 15 variety of services to them and their families towards 16 becoming healthy, effective, loving, and self-directed adults, 17 especially through a therapeutic counseling mode AYR also 18 provides necessary additional support services for youth and 19 families and has contracted with the CITY for the past 20 seventeen years to provide support for youth referred from the 21 Auburn School District, Auburn Police Department, the Auburn 22 Juvenile Court Conference Committee, Auburn area churches, 23 businesses and organizations and Auburn area parents and other 24 25 26 1997-AYR Agreement Exhibit "A" Resolution No 2805 January 15, 1997 {D\Agree\97-AYR} Page 1 1 2 concerned adults as well as youth themselves with whom AYR 3 directly works 4 2 SCOPE OF WORK. 5 During the term of this Agreement, AYR agrees to provide 6 the following services SERVICES. 7 8 A Problems Youth referred to AYR come from one to ten significant problem areas These include 9 conflicts with either or both parents, conflicts with brothers or sisters, conflicts with school, 10 poor attitudes about family or school, conflicts with peers, sexual problems, runaway problems, drug 11 (including alcohol) abuse, poor self-confidence, little or no respect for themselves or others, 12 uncertainty about career or other goals, anxieties about up-coming events, needing a job or other 13 constructive involvement, or financial problems 14 g STAFF AYR has a competent staff of thirty The therapists all have Master' s Degrees, and are 15 registered with the State of Washington There are several student interns from several area Masters 16 Degree programs and other staff providing services in the area of employment counseling, and teen 17 parenting groups 18 PROGRAMS The need of each youth referred to AYR 19 will be assessed to determine appropriate services and particular attention will be given to those who 20 are low income 21 COUNSELING Counseling for individual youth, families (whole or selected members) and groups to 22 help youth and families to identify problems in personal functioning or interpersonal 23 communications, constructive approaches to same, and to reinforce behaviors which produce constructive 24 results 25 26 1997 AYR Agreement Exhibit "A" Resolution No 2805 January 15, 1997 {D\Agree\97-AYR} Page 2 1 E SOCIAL DEVELOPMENT GROUPS This aspect will be 2 provided for youth and will usually involve a series of activities It will help youth learn skills 3 needed to get along well with other youth and adults and to develop self-confidence and exercise respect 4 to others 5 F YOUTH INVOLVEMENT ACTIVITIES To give youth a chance to be constructively involved with other 6 youth, and give AYR staff a chance to work with youth in a non-counseling setting, youth involvement 7 activities will be organized 8 G REFERRAL Referral to other agencies for services will be made when needed Referral may be made for 9 help finding a job, long term therapy, or health needs or recreation 10 11 COMMUNITY PROGRAM PLANNING AND DEVELOPMENT In addition to providing the above services directly to 12 youth, AYR will focus much energy upon involving parts and 13 needs of the community, e g , teen pregnancy, in meeting youth 14 needs and particularly for the low income youth in the CITY, 15 16 (AYR has a project at Firwood Circle, a King County Housing Authority development) and the following community program 17 planning and development will be undertaken by AYR 18 19 A ADULT VOLUNTEERS will be recruited from the community to contribute by working with the youth 20 directly, or working with staff on internal needs 21 B CONNECTI NFL_ FOY •UNLWAYS PROGRAM; AYR has established host homes and a residential facility, 22 South King County Youth Shelter, to provide assistance to youth who have runaway or are thinking 23 about running way 24 C As other youth needs are identified in the community, to which no other agency is responsive, 25 26 1997-AYR Agreement Exhibit "A" Resolution No 2805 January 15, 1997 {D\Agree\97-AYR} Page 3 1 AYR will attempt to evaluate that need and if 2 appropriate, develop a program of service to meet it Every effort will be made to coordinate, 3 collaborate and cooperate with efforts of other agencies in the CITY to meet this end to assist the 4 poor and infirm of the CITY 5 3 COMPENSATION. 6 As full and total payment for the services provided under this Agreement, AYR will be paid on an hourly basis at the 8 rate of $55 27 per hour, provided that total amount of 9 compensation to be paid during the term of this Agreement 10 shall not exceed the total amount of SIXTY-THREE THOUSAND 11 EIGHT HUNDRED DOLLARS ($63 , 800) for One Thousand One Hundred 12 (1100) hours AYR agrees to submit an invoice to the CITY on 13 a monthly basis containing the total amount of counselor hours 14 expended during the specific month and the total amount 15 claimed for reimbursement The CITY agrees to remit payment 16 to AYR for actual hours worked based on the monthly invoice 17 submitted AYR agrees and understands that the compensation 18 provisions of this Agreement shall constitute full and total 19 payment for all services performed by AYR including all 20 expenses incurred by AYR in carrying out the provisions of 21 this Agreement The final statement of services rendered will 22 be submitted on or before December 15, 1997 23 4 TERM. 24 This Agreement shall commence and be in effect on January 25 1 , 1997 The Agreement will expire on December 31 , 1997 26 1997 AYR Agreement Exhibit "A" Resolution No 2805 January 15, 1997 {D\Agree\97-AYR} Page 4 1 2 5 PERFORMANCE STANDARDS 3 AYR by and through its Executive Director, agrees to 4 assume primary responsibility for assuring proper levels of 5 professional performance in carrying out the services under 6 this Agreement The performance of AYR will be reviewed each 7 quarter during the term of this Agreement by the Executive Director of AYR and the Mayor of the City of Auburn or at more 9 frequent intervals such as the Mayor may deem necessary The 10 Mayor is authorized to make recommendations regarding changes 11 in the manner and method of performance if he believes that 12 the program is unsuitable or inadequate to carry out the 13 purposes of this Agreement These proposed recommendations by 14 the Mayor will be in writing subject to the approval of the 15 City Council and binding upon AYR unless within ten (10) days 16 of receipt of such recommendations AYR asks for a review by 17 the City Council The parties agree and understand that any 16 determination by the City Council on proposed recommendations 19 and changes will be binding upon the parties hereto 20 6 IILDEMN FICATION HOLD HARMLESS . 21 AYR agrees to indemnify, defend and hold harmless the 22 CITY, its elected and appointed officials, employees and 23 agents, from any and all claims, demands and/or causes of 24 action of any kind or character, whatsoever arising out of or 25 relating to AYR, its employees, its agents, or subcontractors 26 1997-AYR Agreement Exhibit "A" Resolution No 2805 January 15, 1997 {D\Agree\97-AYR} Page 5 1 2 for any and all claims by any persons for alleged personal 3 injury, death or damage to their persons or property to the 4 extent caused by the negligent acts, errors or omissions of 5 AYR, its employees, agents, subcontractors or representatives 6 In the event that any suit or claim for damages is brought 7 against the CITY, AYR agrees to defend the CITY at its sole cost and expense; provided that the CITY retains the right to 9 participate in said suit if any principle of governmental or 10 public law is involved; and if final judgment be rendered 11 against the CITY and/or its officers, agents or employees or 12 any of them or jointly against the CITY and AYR and their 13 respective officers, agents, subcontractors, employees or any 14 of them, AYR agrees to fully satisfy the same and AYR shall 15 reimburse the CITY for any cost and expense which the CITY has 16 incurred as a result of such claim or suit The provisions of 17 this section shall survive the expiration or termination of 18 this Agreement 19 7 INDEPENDENT CONTRACTOR/ASSIGNMENT 20 ' The parties agree and understand that AYR is an 21 independent contractor and not the agent or employee of the 22 CITY and that no liability shall attach to the CITY by reason 23 of entering into this Agreement except as otherwise provided 24 herein consent of 3 the CITY 4 8 BOOKS AND RECORDS. 5 AYR agrees that the CITY may inspect any and all 6 documents and audit the records held by AYR and relating to this Agreement upon good cause at any reasonable time within a $ three (3) year period from the term of this Agreement In 9 addition, AYR agrees to maintain all books and records 10 relating to this Agreement for a period of three (3) years 11 following the date that this Agreement is expired or otherwise 12 terminated 13 9 NONDISCRIMINATION. 14 AYR agrees not to discriminate regarding any services or 15 activities to which this Agreement may apply directly or 16 through contractual, hiring, or other arrangements on the 17 grounds of race, color, creed, religion, national origin, sex, 18 age, or the presence of any sensory, mental or physical 19 handicap 20 10 INSURANCE. 21 10 1 During the term of this Agreement, AYR agrees to 22 obtain and maintain comprehensive general liability insurance 23 in the minimum liability 2 property damage arising out of services performed under this 3 Agreement 4 10 2 AYR agrees to carry professional liability 5 insurance for any claim or damage on account of any error, 6 omission or professional negligence 10 3 AYR agrees to provide to the CITY Certificates of 8 Insurance for the insurance policies required herein The 9 CITY shall be named as additional insured on the comprehensive 10 general liability policy 11 11 GENERAL PROVISIONS. 12 11 1 This Agreement may be terminated by either party 13 upon twenty (20) days written notice to the other party and 14 based upon any cause whatsoever In the event of termination 15 due to the fault of others other than AYR, AYR shall be paid 16 for services performed to the date of termination 17 11 2 This Agreement shall be governed by the laws, 18 regulations and ordinances of the City of Auburn, State of 19 Washington, King County and where applicable federal laws 20 11 3 The CITY and AYR respectively bind themselves, 21 their partners, successors, assigns, and legal representatives 22 to the other party to this Agreement with respect to all 23 covenants to this Agreement 24 11 4 This Agreement represents the entire and 25 integrated Agreement between the CITY and AYR and supersedes 26 1997 AYR Agreement Exhibit "A" Resolution No 2805 January 15 1997 {D\Agree\97-AYR} Page 8 1 2 all prior negotiations, representations or agreements either 3 oral or written This Agreement may be amended only by 4 written instrument signed by both the CITY and AYR 5 11 5 Should it become necessary to enforce any term or 6 obligation of this Agreement , then all costs of enforcement 7 including reasonable attorneys ' fees and expenses and court 8 costs shall be paid to the substantially prevailing agencies for services will be made when needed Referral may be made for 9 help finding a job, long term therapy, or health needs or recreation 10 11 COMMUNITY PROGRAM PLANNING AND DEVELOPMENT In addition to providing the above services directly to 12 youth, AYR will focus much energy upon involving parts and 13 needs of the community, e g , teen pregnancy, in meeting youth 14 needs and particularly for the low income youth in the CITY, 15 16 (AYR has a project at Firwood Circle, a King County Housing Authority development) and the following community program 17 planning and development will be undertaken by AYR 18 19 A ADULT VOLUNTEERS will be recruited from the community to contribute by working with the youth 20 directly, or working with staff on internal needs 21 B C NNRCTIONS FOR RUNAWAYS PROGRAM: AYR has established host homes and a residential facility, 22 South King County Youth Shelter, to provide assistance to youth who have runaway or are thinking 23 about Page 3 1 AYR will attempt to evaluate that need and if 2 appropriate, develop a program of service to meet it Every effort will be made to coordinate, 3 collaborate and cooperate with efforts of other agencies in the CITY to meet this end to assist the 4 poor and infirm of the CITY 5 3 COMPENSATION. 6 As full and total payment for the services provided under this Agreement , AYR will be paid on an hourly basis at the 8 rate of $55 27 per hour, provided that total amount of 9 compensation to be paid during the term of this Agreement 10 shall not exceed the total amount of SIXTY-THREE THOUSAND 11 EIGHT HUNDRED DOLLARS ($63 , 800) for One Thousand One Hundred 12 (1100) hours AYR agrees to submit an invoice to the CITY on 13 a monthly basis containing the total amount of counselor hours 14 expended during the specific month and the total amount 15 claimed for reimbursement The CITY agrees to remit payment 16 to AYR for actual hours worked based on the monthly invoice 17 submitted AYR agrees and understands that the compensation 18 provisions of this Agreement shall constitute full and total 19 payment for all services performed by AYR including all 20 expenses incurred by AYR in carrying out the provisions of 21 this Agreement The final statement of services rendered will 22 be submitted on or before December 15, 1997 23 4 TERM, 24 This Agreement shall commence and be in AYR by and through its Executive Director, agrees to 4 assume primary responsibility for assuring proper levels of 5 professional performance in carrying out the services under 6 this Agreement The performance of AYR will be reviewed each 7 quarter during the term of this Agreement by the Executive 8 Director of AYR and the Mayor of the City of Auburn or at more 9 frequent intervals such as the Mayor may deem necessary The 10 Mayor is authorized to make recommendations regarding changes 11 in the manner and method of performance if he believes that 12 the program is unsuitable or inadequate to carry out the 13 purposes of this Agreement These proposed recommendations by 14 the Mayor will be in writing subject to the approval of the 15 City Council and binding upon AYR unless within ten (10) days 16 of receipt of such recommendations AYR asks for a review by 17 the City Council The parties agree and understand that any 18 determination by the City Council on proposed recommendations 19 and changes will be binding upon the parties hereto 20 6 INDEMNIFICATION HOLD HARMLESS . 21 AYR agrees to indemnify, defend and hold harmless the 22 CITY, its elected and appointed officials , employees and 23 agents, from any and all claims, demands and/or causes of 24 action of any kind or character, whatsoever arising out of or 25 relating to AYR, its employees, its agents, or their persons or property to the 4 extent caused by the negligent acts, errors or omissions of 5 AYR, its employees, agents, subcontractors or representatives 6 In the event that any suit or claim for damages is brought 7 against the CITY, AYR agrees to defend the CITY at its sole 8 cost and expense; provided that the CITY retains the right to 9 participate in said suit if any principle of governmental or 10 public law is involved; and if final judgment be rendered 11 against the CITY and/or its officers, agents or employees or 12 any of them or jointly against the CITY and AYR and their 13 respective officers, agents, subcontractors, employees or any 14 of them, AYR agrees to fully satisfy the same and AYR shall 15 reimburse the CITY for any cost and expense which the CITY has 16 incurred as a result of such claim or suit The provisions of 17 this section shall survive the expiration or termination of 18 this Agreement 19 7 INDEPENDENT CONTRACTOR/ASSIGNMENT 20 The parties agree and understand that AYR is an 21 independent contractor and not the agent or employee of the 22 CITY and that no liability shall attach to the CITY by reason 23 of entering into this Agreement whole or in part without the written consent of 3 the CITY 4 8 BOOKS AND RECORDS . 5 AYR agrees that the CITY may inspect any and all 6 documents and audit the records held by AYR and relating to this Agreement upon good cause at any reasonable time within a 8 three (3) year period from the term of this Agreement In 9 addition, AYR agrees to maintain all books and records 10 relating to this Agreement for a period of three (3 ) years 11 following the date that this Agreement is expired or otherwise 12 terminated 13 9 NONDISCRIMINATION. 14 AYR agrees not to discriminate regarding any services or 15 activities to which this Agreement may apply directly or 16 through contractual, hiring, or other arrangements on the 17 grounds of race, color, creed, religion, national origin, sex, 18 age, or the presence of any sensory, mental or physical 19 handicap 20 10 INSURANCE. 21 10 1 During the term of this Agreement, AYR agrees to 22 obtain and maintain comprehensive general liability additional insured on the comprehensive 10 general liability policy 11 11 GENERAL PROVISIONS 12 11 1 This Agreement may be terminated by either party 13 upon twenty (20) days written notice to The
