3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
4 AGREEMENT FOR SERVICES WITH COMMUNITY HEALTH CENTERS OF SOUTH
5 KING COUNTY TO PROVIDE HEALTH SERVICES TO AUBURN RESIDENTS
DURING 1997

7 THE CITY COUNCIL OF THE CITY OF AUBURN, WASH INGTON, IN A
8 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS
9
Section 1 The Mayor and City Clerk of the City of
10
11 Auburn, Washington, are hereby authorized to enter into an
12 Agreement for Services with Community Health Centers of South
13 King County to provide health services to Auburn residents
14 during 1997 A copy of the Agreement is attached and is
15
designated as Exhibit "A" and is incorporated by reference in
16
17 this Resolution
18 Section 2 The Mayor is hereby authorized to implement
19 such administrative procedures as may be necessary to carry
20
out the directives of this legislation
21

1 AGREEMENT FOR SERVICES

THIS AGREEMENT made and entered into this J ! \ day of

, 1997, by and between the CITY OF AUBURN, a
5
municipal c.rporation of the State of Washington, hereafter
6
referred to as "CITY" and COMMUNITY HEALTH CENTERS OF SOUTH
7
KING COUNTY, a non-profit corporation organized under the laws
8
of the State of Washington, whose address is 1025 S 3rd
9
Street, Suite A, Renton, Washington 98055 , hereinafter
10
referred to as "COMMUNITY HEALTH CENTERS OF SOUTH KING
11
COUNTY"
12
WHEREAS, COMMUNITY HEALTH CENTERS OF KING COUNTY provides
13
a valuable service to the CITY and its residents through the
14
dispensation of medical and health services; and
15
WHEREAS, the CITY is interested in continuing support of
16
the dispensation of medical and health services
17
NOW, THEREFORE, In consideration of the covenants and
18
conditions of this Agreement , the parties agree as follows
19
1 . PURPOSE.
20
The purpose of this Agreement is to provide for an
21
22 appropriation to COMMUNITY HEALTH CENTERS OF KING COUNTY for
23 providing health services to Auburn residents during the 1997
24 term This continued support is in recognition of the fact
25

2 that the demand for the services delivered by the COMMUNITY
3 HEALTH CENTERS OF KING COUNTY continues to rise
4 2 . SCOPE OF SERVICES.
5 The parties agree and understand that COMMUNITY HEALTH
6 CENTERS OF KING COUNTY agrees to provide comprehensive health
services to Auburn residents through COMMUNITY HEALTH CENTERS
7
8 OF SOUTH KING COUNTY' S Auburn Community Health Center as well
9 as Community Health Centers of King County' s five other
10 medical facilities Health services shall include but are not
11 limited to those services described as follows
12 A Diagnosis and treatment of acute and chronic illness
13 and minor injuries; chronic disease management;
14 health screening for STDs, cancer, diabetes, and
15 high blood pressure, preventative care
16 B Services of an additional family practice physician
17 and dentist to serve Auburn residents
18 In addition, COMMUNITY HEALTH CENTERS OF KING COUNTY
19 agrees to work closely with the CITY OF AUBURN in developing
20 and improving other ways to address the needs of Auburn
21 residents served through the COMMUNITY HEALTH CENTERS OF SOUTH
22 KING COUNTY
23 3 . TERM..
24 The term of this Agreement shall commence on January 1 ,
25 1997 and shall expire on December 31, 1997

2 omissions of COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY,
3 its employees, volunteers or agents or representatives In the
4 event that any suit or claim for damages based upon such
5 claim, action, loss or damage is brought against the CITY,
6 COMMUNITY HEALTH CENTERS OF KING COUNTY shall defend the same
7 as its sole costs and expense, provided that the CITY retains
8 the right to participate in said suit if any principle of
9 governmental or public law is involved; and if final judgment
10 be rendered against the CITY and/or its officers, elected
11 officials, agents and employees or any of them or jointly
12 against the CITY and COMMUNITY HEALTH CENTERS OF KING COUNTY
13 and their respective officers , agents, volunteers, employees
14 or any of them, COMMUNITY HEALTH CENTERS OF KING COUNTY shall
15 fully satisfy the same and shall reimburse the CITY any costs
16 and expense which the CITY has incurred as a result of such
17 claim or suit The provisions of this section shall survive
18 the expiration or termination of this Agreement
19 6 INDEPENDENT AGREEMENT OR/ASSIGNMENT.
20 The parties agree and understand that COMMUNITY HEALTH
21 CENTERS OF KING COUNTY is an independent contractor and not
22 the agent or employee of the CITY and that no liability shall
23 attach to the CITY by reason of entering into this Agreement
24 except as provided herein The services required under this
25 Agreement may not be assigned or subcontracted by COMMUNITY
26

2 HEALTH CENTERS OF KING COUNTY without the prior written
3 consent of the CITY
4 7 . INSURANCE.
5 COMMUNITY HEALTH CENTERS OF KING COUNTY shall procure and
6 maintain for the duration of this Agreement insurance against
7 claims for injuries to persons or property which may arise
8 from or in connection with services provided by COMMUNITY
9 HEALTH CENTERS OF SOUTH KING COUNTY, it agents, employees or
10 volunteers under this Agreement COMMUNITY HEALTH CENTERS OF
11 KING COUNTY agrees to provide comprehensive general liability
12 insurance and shall maintain liability limits of not less than
13 ONE MILLION DOLLARS ($1, 000 , 000) combined single limit
14 coverage per occurrence for bodily injury, personal injury and
15 property damage COMMUNITY HEALTH CENTERS OF KING COUNTY
16 shall also provide and maintain professional liability
17 coverage including errors and omissions coverage in the
18 minimum liability amount of ONE MILLION DOLLARS ($1, 000 , 000)
19 combined single limit per occurrence for bodily injury,
20 personal injury and property damage Any deductibles or self
21 insured retentions in either policies must be declared to and
22 approved by the CITY At the option of the CITY either The
23 insurer shall reduce or eliminate such deductibles or self
24 insured retentions as respects the CITY, its officials and
25 employees; or COMMUNITY HEALTH CENTERS OF KING COUNTY shall
26

2 procure a bond guaranteeing payment of losses and related
3 investigations, claim administration and defense expenses
4 The policies are to contain or be endorsed to contain the
5 following provisions
6 1 GENERAL LIABILITY COVERAGE:
7 (a) The CITY, its elected and appointed officials,
8 employees and agents are to be covered as insureds
9 as respects Liability arising out of services and
10 activities performed by or on behalf of COMMUNITY
11 HEALTH CENTERS OF SOUTH KING COUNTY, its employees,
12 agents and volunteers The coverage shall contain
13 no special limitations on the scope of protection
14 afforded to the CITY, its elected and appointed
15 officials, employees or agents
16 2 GENERAL LIABILITY AND PROFESSIONAL LIABILITY
17 COVERAGES :
18 (a) COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY' S
19 insurance coverage shall be primary insurance
20 as respects the CITY, its officials, employees
21 and agents Any insurance or self insurance
22 maintained by the CITY, its officials,
23 employees or agents shall be in excess of
24 COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY' S
25 insurance and shall not contribute with it
26

2 (b) Any failure to comply with reporting provisions
3 of the policy shall not affect coverage
4 provided to the CITY, its officials, employees
5 or agents
6 (c) Coverage shall state that COMMUNITY HEALTH
CENTERS OF SOUTH KING COUNTY' S insurance shall
7
8 apply separately to each insured against whom
9 claim is bought or suit is brought except with
10 respect to the limits to the insurer' s
11 liability
12 (d) Each insurance policy required by this clause
13 shall be endorsed to state that coverage shall
14 not be suspended, voided, cancelled, reduced in
15 coverage, or in limits except after thirty (30)
16 days prior written notice by certified mail
17 return receipt requested has been given to the
18 CITY COMMUNITY HEALTH CENTERS OF KING COUNTY
19 agrees to provide copies of the Certificates of
20 Insurance to the CITY at the time that this
21 Agreement takes effect
22 (e) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
23 furnish the CITY with Certificates of Insurance
24 and with original endorsements affecting
25 coverage required by this clause The

2 certificate and endorsements for each insurance
3 policy are to be signed by a person authorized
4 by that insurer to bind coverage on its behalf
5 The CITY reserves the right to require
6 complete, certified copies of all required
7 insurance policies at any time
8 (f) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
9 include all volunteers, employees and agents
10 under its policies or shall furnish separate
11 certificates and endorsements for each All
12 coverages for volunteers shall be subject to
13 all the requirements stated herein
14 8 NONDISCRIMINATION
15 COMMUNITY HEALTH CENTERS OF KING COUNTY shall not
16 discriminate under any services or programs to which this
17 Agreement may apply directly or through contractual or other
18 arrangements on the grounds of race, color, creed, religion,
19 national origin, sex, age, or the presence of any sensory,
20 mental or physical handicap
21 9 . BOOKS AND RECORDS.
22 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
23 maintain separate accounts and records in accordance with
24 State Auditor' s procedures, including personnel, property,
25 financial and programmatic records which sufficiently reflect
26

2 direct and indirect costs and services performed under this
3 Agreement COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
4 maintain all books and records relating to this Agreement for
5 a period of three (3) years following the date that this
6 Agreement is expired or otherwise terminated The parties
7 agree that the CITY OF AUBURN may inspect such documents upon
8 good cause at any reasonable time within the three (3) year
9 period
10 10 TERMINATION OF AGREEMENT.
11 This Agreement may be terminated by either party upon ten
12 (10) days written notice should the other party fail
13 substantially to perform in accordance with its terms through
14 no fault of the other
15 11 GENERAL PROVISIONS .
16 11 1 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
17 to submit a report to the CITY no later than
18 December 15 , 1997, describing the progress and
19 activities performed for the year 1997 under
20 its scope of services
21 11 2 This Agreement shall be governed by the laws,
22 regulations and ordinances of the City of
23 Auburn, the State of Washington, and County of
24 King and where applicable, Federal laws
25

2 4 COMPENSATION.
3 As full and total payment for the services provided under
4 this Agreement, the CITY agrees to pay COMMUNITY HEALTH
5 CENTERS OF KING COUNTY for health services provided to Auburn
6 residents by an additional family practice physician and
7 dentist in an amount not to exceed FIFTEEN THOUSAND DOLLARS
8 ($15, 000) COMMUNITY HEALTH CENTERS OF KING COUNTY will
9 submit a statement to the CITY quarterly describing services
10 that it has rendered under the terms of this Agreement and the
11 CITY will pay an amount equal to one-quarter of the total
12 amount by the twenty-eighth (28th) day of the month following
13 the end of the quarter However, the final statement of
14 services rendered will be submitted on or before December 15,
15 1997
16 5 INDEMNIFICATION.
17 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to defend,
18 indemnify, and hold harmless the CITY, its elected and
19 appointed officials, employees and agents from and against any
20 and all claims, demands and/or causes of action of any kind or
21 character whatsoever arising out of or relating to services
22 provided by COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY, its
23 employees, volunteers or agents concerning any and all claims
24 by any persons for alleged injury or damage to persons or
25 property to the extent caused by the negligent acts, errors or
26

2 (b) Any failure to comply with reporting provisions
3 of the policy shall not affect coverage
4 provided to the CITY, its officials, employees
5 or agents
6 (c) Coverage shall state that COMMUNITY HEALTH
7 CENTERS OF SOUTH KING COUNTY' S insurance shall
8 apply separately to each insured against whom
9 claim is bought or suit is brought except with
10 respect to the limits to the insurer ' s
11 liability
12 (d) Each insurance policy required by this clause
13 shall be endorsed to state that coverage shall
14 not be suspended, voided, cancelled, reduced in
15 coverage, or in limits except after thirty (30)
16 days prior written notice by certified mail
17 return receipt requested has been given to the
18 CITY COMMUNITY HEALTH CENTERS OF KING COUNTY
19 agrees to provide copies of the Certificates of
20 Insurance to the CITY at the time that this
21 Agreement takes effect
22 (e) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
23 furnish the CITY with Certificates of Insurance
24 and with original endorsements affecting
25 coverage required by this clause The

2 certificate and endorsements for each insurance
3 policy are to be signed by a person authorized
4 by that insurer to bind coverage on its behalf
5 The CITY reserves the right to require
6 complete, certified copies of all required
7 insurance policies at any time
8 (f) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
9 include all volunteers, employees and agents
10 under its policies or shall furnish separate
11 certificates and endorsements for each All
12 coverages for volunteers shall be subject to
13 all the requirements stated herein
14 8 NONDISCRIMINATION
15 COMMUNITY HEALTH CENTERS OF KING COUNTY shall not
16 discriminate under any services or programs to which this
17 Agreement may apply directly or through contractual or other
18 arrangements on the grounds of race, color, creed, religion,
19 national origin, sex, age, or the presence of any sensory,
20 mental or physical handicap
21 9 BOOKS AND RECORDS .
22 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
23 maintain separate accounts and records in accordance with
24 State Auditor ' s procedures, including personnel, property,
25 financial and programmatic records which sufficiently reflect
26

2 direct and indirect costs and services performed under this
3 Agreement COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
maintain all books and records relating to this Agreement for
4
5 a period of three (3) years following the date that this
6 Agreement is expired or otherwise terminated The parties
agree that the CITY OF AUBURN may inspect such documents upon
8 good cause at any reasonable time within the three (3) year
g period
10 10 TERMINATION OF AGREEMENT.
11 This Agreement may be terminated by either party upon ten
12 (10) days written notice should the other party fail
13 substantially to perform in accordance with its terms through
14 no fault of the other
15 11 GENERAL PROVISIONS .
16 11 1 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
17 to submit a report to the CITY no later than
18 December 15 , 1997 , describing the progress and
19 activities performed for the year 1997 under
20 its scope of services
21 11 2 This Agreement shall be governed by the laws,
22 regulations and ordinances of the City of
23 Auburn, the State of Washington, and County of
24 King and where applicable, Federal laws

2 11 3 The CITY and COMMUNITY HEALTH CENTERS OF KING
3 COUNTY respectively bind themselves, their
4 successors, volunteers, assigns and legal
5 representatives to the other party to this
6 Agreement and with respect to all covenants to
7 this Agreement
8 11 4 This Agreement represents the entire and
9 integrated Agreement between the CITY and
10 COMMUNITY HEALTH CENTERS OF KING COUNTY and
11 supersedes all prior negotiations This
12 Agreement may be amended only by written
13 instrument signed by both the CITY and
14 COMMUNITY HEALTH CENTERS OF SOUTH KING COUNTY
15 11 5 Should it become necessary to enforce any term
16 or obligation of this Agreement, then all costs
17 of enforcement including attorneys fees and
18 expenses and court costs shall be paid to the
19 substantially prevailing party
20 11 6 COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
21 to comply with all local, state and federal
22 laws applicable to its performance under this
23 Agreement
