HomeMy WebLinkAbout2812 5. 1 RESOLUTION NO 2 8 1 2 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN 4 AGREEMENT WITH VALLEY CITIES COUNSELING AND CONSULTATION TO PROVIDE MENTAL HEALTH SERVICES FOR AUBURN RESIDENTS DURING 5 1997 6 7 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A 8 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT 9 SECTION 1. AGREEMENT. The Mayor and City Clerk of the 10 11 City of Auburn are herewith authorized to execute an Agreement 12 for Services with VALLEY CITIES COUNSELING AND CONSULTATION to 13 provide mental health services to Auburn residents during 14 1997 A copy of said Agreement is attached hereto and 15 denominated Exhibit "A" and incorporated herein 16 17 SECTION 2 . AUTHORIZATION. 17 and 18 WHEREAS, the CITY is interested in continuing support of 19 the dispensation of special mental health services 20 NOW, THEREFORE, In consideration of the covenants and 21 conditions of this Agreement, the parties agree as follows 22 1 PURPOSE. 23 The purpose of this Agreement is to provide for an 24 appropriation to VALLEY CITIES COUNSELING AND CONSULTATION for 25 26 Agreement - Valley Cities Counseling & Consultation 1997 Exhibit "A" Resolution No. 2812 Cd\agree\vccc97J January 16, 1997 Page 1 1 2 providing mental health services to Auburn residents 3 participating in the Survivor' s Support and Therapy Program 4 during the 1997 term This continued support is in 5 recognition of the fact that the demand for the services 6 delivered by the VALLEY CITIES COUNSELING AND CONSULTATION 7 continues to rise 8 2 SCOPE OF SERVICES. 9 The parties agree and understand that VALLEY CITIES 10 COUNSELING AND CONSULTATION agrees to provide comprehensive 11 mental health services to Auburn residents through VALLEY 12 CITIES COUNSELING AND CONSULTATION Survivor' s Support and 13 Therapy Program Comprehensive mental health services shall 14 include but are not limited to those services described as 15 follows 16 A Mental health services enabling the client to 17 overcome the devastating consequences of trauma 18 resulting from domestic violence, sexual abuse, 19 physical abuse or emotional abuse experienced in 20 childhood or as an adult 21 B Ongoing and in-depth mental health services 22 assisting the client to (1) gain a self 23 understanding of the effects of victimization; (2) 24 resolve feelings of anger and lack of personal 25 26 Agreement Valley Cities Counseling 8 Consultation 1997 Exhibit "A" Resolution No. 2812 (d\agree\vccc97) January 16, 1997 Page 2 1 2 worth; and (3) learn and practice skills that 3 enhance self esteem and communication 4 In addition, VALLEY CITIES COUNSELING AND CONSULTATION 5 agrees to work closely with the CITY OF AUBURN in developing 6 and improving other ways to address the needs of Auburn 7 residents served through the VALLEY CITIES COUNSELING AND 8 CONSULTATION 9 3 TERM. 10 The term of this Agreement shall commence on January 1, 11 1997 and shall expire on December 31, 1997 12 4 COMPENSATION. 13 As full and total payment for the services provided under 14 this Agreement, the CITY agrees to pay VALLEY CITIES 15 COUNSELING AND CONSULTATION for a minimum of 462 hours of 16 mental health services provided to Auburn residents in an 17 amount not to exceed TWELVE THOUSAND DOLLARS ($12 , 000) 18 VALLEY CITIES COUNSELING AND CONSULTATION will submit a 19 statement to the CITY quarterly describing services that it 20 has rendered under the terms of this Agreement and the CITY 21 will pay an amount equal to one-quarter of the total amount by 22 the twenty-eighth (28th) day of the month following the end of 23 the quarter However, the final statement of services 24 rendered will be submitted on or before December 15 , 1997 25 26 Agreement Valley Cities Counseling & Consultation 1997 Exhibit "A" Resolution No. 2812 (d\agree\vccc97) January 16, 1997 Page 3 1 2 5 INDEMNIFICATION. 3 VALLEY CITIES COUNSELING AND CONSULTATION agrees to 4 defend, indemnify, and hold harmless the CITY, its elected and 5 appointed officials, employees and agents from and against any 6 and all claims, demands and/or causes of action of any kind or 7 character whatsoever arising out of or relating to services 8 provided by VALLEY CITIES COUNSELING AND CONSULTATION, its 9 employees, volunteers or agents concerning any and all claims 10 by any persons for alleged injury or damage to persons or 11 property to the extent caused by the negligent acts, errors or 12 omissions of VALLEY CITIES COUNSELING AND CONSULTATION, its 13 employees, volunteers or agents or representatives In the 14 event that any suit or claim for damages based upon such 15 claim, action, loss or damage is brought against the CITY, 16 VALLEY CITIES COUNSELING AND CONSULTATION shall defend the 17 same as its sole costs and expense; provided that the CITY 16 retains the right to participate in said suit if any principle 19 of governmental or public law is involved; and if final 20 judgment be rendered against the CITY and/or its officers, 21 elected officials, agents and employees or any of them or 22 jointly against the CITY and VALLEY CITIES COUNSELING AND 23 CONSULTATION and their respective officers, agents, 24 volunteers, employees or any of them, VALLEY CITIES COUNSELING 25 AND CONSULTATION shall fully satisfy the same and shall 26 Agreement Valley Cities Counseling 8 Consultation 1997 Exhibit "A" Resolution No. 2812 Cd\agree\vccc97) January 16, 1997 Page 4 1 2 reimburse the CITY any costs and expense which the CITY has 3 incurred as a result of such claim or suit The provisions of 4 this section shall survive the expiration or termination of 5 this Agreement 6 6 INDEPENDENT AGREEMENT OR/ASSIGNMENT. The parties agree and understand that VALLEY CITIES 7 8 COUNSELING AND CONSULTATION is an independent contractor and 9 not the agent or employee of the CITY and that no liability 10 shall attach to the CITY by reason of entering into this 11 Agreement except as provided herein The services required 12 under this Agreement may not be assigned or subcontracted by 13 VALLEY CITIES COUNSELING AND CONSULTATION without the prior 14 written consent of the CITY 15 7 INSURANCE. 16 VALLEY CITIES COUNSELING AND CONSULTATION shall procure 17 and maintain for the duration of this Agreement insurance 18 against claims for injuries to persons or property which may 19 arise from or in connection with services provided by VALLEY 20 CITIES COUNSELING AND CONSULTATION, it agents, employees or 21 volunteers under this Agreement VALLEY CITIES COUNSELING AND 22 CONSULTATION agrees to provide comprehensive general liability 23 insurance and shall maintain liability limits of not less than 24 ONE MILLION DOLLARS ($1, 000 , 000) combined single limit 25 coverage per occurrence for bodily injury, personal injury and 26 Agreement Valley Cities Counseling & Consultation 1997 Exhibit "A" Resolution No. 2812 Cd\agree\vccc97) January 16, 1997 Page 5 1 2 property damage VALLEY CITIES COUNSELING AND CONSULTATION 3 shall also provide and maintain professional liability 4 coverage including errors and omissions coverage in the 5 minimum liability amount of ONE MILLION DOLLARS ($1 , 000 , 000) 6 combined single limit per occurrence for bodily injury, 7 personal injury and property damage Any deductibles or self 8 insured retentions in either policies must be declared to and 9 approved by the CITY At the option of the CITY either The 10 insurer shall reduce or eliminate such deductibles or self 11 insured retentions as respects the CITY, its officials and 12 employees; or VALLEY CITIES COUNSELING- AND CONSULTATION shall 13 procure a bond guaranteeing payment of losses and related 14 investigations, claim administration and defense expenses 15 The policies are to contain or be endorsed to contain the 16 following provisions 17 1 GENERAL LIABILITY COVERAGE. 18 (a) The CITY, its elected and appointed officials, 19 employees and agents are to be covered as insureds 20 as respects Liability arising out of services and 21 activities performed by or on behalf of VALLEY 22 CITIES COUNSELING AND CONSULTATION, its employees, 23 agents and volunteers The coverage shall contain 24 no special limitations on the scope of protection 25 26 Agreement - Valley Cities Counseling 8 Consultation 1997 Exhibit "A" Resolution No. 2812 (d\agree\vccc97) January 16, 1997 Page 6 1 2 afforded to the CITY, its elected and appointed 3 officials, employees or agents 4 2 GENERAL LIABILITY AND PROFESSIONAL LIABILITY 5 COVERAGES : 6 (a) VALLEY CITIES COUNSELING AND CONSULTATION' S insurance coverage shall be primary insurance 7 8 as respects the CITY, its officials, employees 9 and agents Any insurance or self insurance 10 maintained by the CITY, its officials, 11 employees or agents shall be in excess of 12 VALLEY CITIES COUNSELING AND CONSULTATION' S 13 insurance and shall not contribute with it 14 (b) Any failure to comply with reporting provisions 15 of the policy shall not affect coverage 16 provided to the CITY, its officials, employees 17 or agents 18 (c) Coverage shall state that VALLEY CITIES 19 COUNSELING AND CONSULTATION' S insurance shall 20 apply separately to each insured against whom 21 claim is bought or suit is brought except with 22 respect to the limits to the insurer' s 23 liability 24 (d) Each insurance policy required by this clause 25 shall be endorsed to state that coverage shall 26 Agreement Valley Cities Counseling 8 Consultation 1997 Exhibit "A" Resolution No. 2812 Cd\agree\vccc97) January 16, 1997 Page 7 1 2 not be suspended, voided, cancelled, reduced in 3 coverage, or in limits except after thirty (30) 4 days prior written notice by certified mail 5 return receipt requested has been given to the 6 CITY VALLEY CITIES COUNSELING AND CONSULTATION agrees to _provide copies of the 7 8 Certificates of Insurance to the CITY at the 9 time that this Agreement takes effect 10 (e) VALLEY CITIES COUNSELING 'AND -CONSULTATION shall 11 furnish the CITY with Certificates -of Insurance 12 and with original endorsements affecting 13 coverage required by this clause The 14 certificate and endorsements for each insurance 15 policy are to be signed by a person authorized 16 by that insurer to bind coverage on its behalf 17 The CITY reserves the right to require 18 complete, certified copies of all required 19 insurance policies at any time 20 (f) VALLEY CITIES COUNSELING AND CONSULTATION shall 21 include all volunteers, employees and agents 22 under its policies or shall furnish separate 23 certificates and endorsements for each All 24 coverages for volunteers shall be subject to 25 all the requirements stated herein 26 Agreement - Valley Cities Counseling & Consultation 1997 Exhibit "A" Resolution No. 2812 Cd\agree\vccc97) January 16, 1997 Page 8 1 2 8 . NONDISCRIMINATION 3 VALLEY CITIES COUNSELING AND CONSULTATION shall not 4 discriminate under any services or programs to which this 5 Agreement may apply directly or through contractual or other 6 arrangements on the grounds of race, color, creed, religion, 7 national origin, sex, age, or the presence of any sensory, 8 mental or physical handicap 9 9 . BOOKS AND RECORDS . 10 VALLEY CITIES COUNSELING AND -CONSULTATION agrees to 11 maintain separate accounts and records in accordance with 12 State Auditor ' s procedures, including personnel, property, 13 financial and programmatic records which sufficiently reflect 14 direct and indirect costs and services performed under this 15 Agreement VALLEY CITIES COUNSELING AND CONSULTATION agrees 16 to maintain all books and records relating to this Agreement 17 for a period of three (3 ) years following the date that this 18 Agreement is expired or otherwise terminated The parties 19 agree that the CITY OF AUBURN may inspect such documents upon 20 good cause at any reasonable time within the three (3 ) year 21 period 22 10 TERMINATION OF AGREEMENT. 23 This Agreement may be terminated by either party upon ten 24 (10) days written notice should the other party fail 25 26 Agreement - Valley Cities Counseling 8 Consultation 1997 Exhibit "A" Resolution No. 2812 (d\agree\vccc97) January 16, 1997 Page 9 1 2 substantially to perform in accordance with its terms through 3 no fault of the other 4 11 GENERAL PROVISIONS. 5 11 1 VALLEY CITIES COUNSELING AND CONSULTATION 6 agrees to submit a report to the CITY no later 7 than December 15, 1997, describing the progress 8 and activities performed for the year 1997 9 under its scope of services 10 11 2 This Agreement shall be governed by the laws, 11 regulations and ordinances of the City of 12 Auburn, the State of Washington, and County of 13 King and where applicable, Federal laws 14 11 3 The CITY and VALLEY CITIES COUNSELING AND 15 CONSULTATION respectively bind themselves, 16 their successors, volunteers, assigns and legal 17 representatives to the other party to this 18 Agreement and with respect to all covenants to 19 this Agreement 20 11 4 This Agreement represents the entire and 21 integrated Agreement between the CITY and 22 VALLEY CITIES COUNSELING AND CONSULTATION and 23 supersedes all prior negotiations This 24 Agreement may be amended only by written 25 26 Agreement - Valley Cities Counseling & Consultation 1997 Exhibit "A" Resolution No. 2812 (d\agree\vccc97) January 16, 1997 Page 10 1 2 instrument signed by both the CITY and VALLEY 3 CITIES COUNSELING AND CONSULTATION 4 11 5 Should it become necessary to enforce any term 5 or obligation of this Agreement, then all costs 6 of enforcement including .attorneys lees and 7 expenses and court costs shall be paid to the 8 substantially prevailing party 9 11 6 VALLEY CITIES COUNSELING AND CONSULTATION 10 agrees to comply with all local, state and 11 federal laws applicable to its performance 12 under this Agreement 13 CITY OF AUBURN 14 rfl 15 GaQt^�estx .
