HomeMy WebLinkAbout2813 • 1 RESOLUTION NO 2 8 1 3 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN 4 AGREEMENT FOR SERVICES WITH WASHINGTON WOMEN' S EMPLOYMENT AND 5 EDUCATION TO PROVIDE EMPLOYMENT TRAINING SERVICES TO AUBURN RESIDENTS PARTICIPATING IN THE AUBURN HEALTHY FAMILIES PROGRAM 6 DURING 1997 7 8 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A 9 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS 10 Section 1 The Mayor and City Clerk of the City of 11 Auburn, Washington, are hereby authorized to enter into an 12 Agreement for Services with Washington Women' s Employment and 13 14 Education to provide employment training services to Auburn 15 residents participating in the Auburn Healthy Families Program 16 during 1997 A copy of the Agreement is attached and is 17 designated as Exhibit "A" and is incorporated by reference in 18 this Resolution 19 20 Section 2 The Mayor is hereby authorized to implement 21 such administrative procedures as may be necessary to carry 22 out the directives of this legislation 23 24 25 26 Resolution No 2813 January 21, 1997 Page 1 ORIGINAL 1 AGREEMENT FOR SERVICES 2 3 THIS AGREEMENT made and entered into this X4/4 day of 4 // , � , IVG(�° `vw , 1997, by and between the CITY OF AUBURN, a 5 municipal corporation of the State of Washington, hereafter 6 referred to as "CITY" and WASHINGTON WOMEN' S EMPLOYMENT AND 7 EDUCATION, a non-profit corporation organized under the laws 8 of the State of Washington, whose address is 3516 SO 47th 9 Street , Suite 205 , Tacoma, Washington 98409, hereinafter 10 referred to as "WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION" . 11 WHEREAS, WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 12 provides a valuable service to the CITY and its residents 13 through the dispensation of employment training services to 14 parents of high risk Auburn families; and 15 WHEREAS, the CITY is interested in continuing support of 16 the dispensation of employment training services to parents of 17 high risk Auburn families 18 NOW, THEREFORE, In consideration of the covenants and 19 conditions of this Agreement, the parties agree as follows 20 1 PURPOSE. 21 The purpose of this Agreement is to provide for an 22 appropriation to WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 23 for providing employment training services to Auburn residents 24 participating in the Auburn Healthy Families Program during 25 26 Agreement Washington Woolen's Employment and Education 1997 Exhibit A Resolution No.2813 Cd/agree/wwee97gf) January 21, 1997 Page 1 1 2 the 1997 term This continued support is in recognition of 3 the fact that the demand for the services delivered by the 4 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION continues to rise 5 2 SCOPE OF SERVICES . 6 The parties agree and understand that WASHINGTON WOMEN' S 7 EMPLOYMENT AND EDUCATION agrees to provide employment training 8 services to Auburn residents through the Auburn Healthy 9 Families Program Comprehensive employment training services 10 shall include but are not limited to those services described 11 as follows 12 A Employment training services enabling the client to 13 rebuild self esteem and confidence and helping the 14 participant to understand the choices and options 15 which are available 16 B Topics covered will include the World of work; 17 discovering the hidden job market, 18 interviewing/resume writing skills; positive 19 presentation to a prospective employer; maintaining 20 motivation; and learning to network in the business 21 community 22 C Emergency needs and other supportive services, such 23 as childcare or transportation to a job interview 24 In addition, WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 25 agrees to work closely with the CITY OF AUBURN in developing 26 Agreement Washington Women's Employment and Education 1997 Exhibit A"Resolution No.2813 [d/agaree/wwee97gf) January 21, 1997 Page 2 1 2 and improving other ways to address the needs of Auburn 3 residents served through the WASHINGTON WOMEN' S EMPLOYMENT AND 4 EDUCATION 5 3 . TERM. 6 The term of this Agreement shall commence on January 1, 1997 and shall expire on December 31, 1997 8 4 COMPENSATION. 9 As full and total payment for the services provided under 10 this Agreement, the CITY agrees to pay WASHINGTON WOMEN' S 11 EMPLOYMENT AND EDUCATION for employment training provided to a 12 minimum of 4 Auburn residents who are members of at risk 13 families in an amount not to exceed SIX THOUSAND DOLLARS 14 ($6 , 000) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION will 15 submit a statement to the CITY quarterly describing services 16 that it has rendered under the terms of this Agreement and the 17 CITY will pay an amount equal to one-quarter of the total 18 amount by the twenty-eighth (28th) day of the month following 19 the end of the quarter However, the final statement of 20 services rendered will be submitted on or before December 15, 21 1997 22 5 INDEMNIFICATION._ 23 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION agrees to 24 defend, indemnify, and hold harmless the CITY, its elected and 25 appointed officials, employees and agents from and against any 26 Agreement Washington Women's Employment and Education 1997 Exhibit A Resolution No 2813 (d/agree/wwee97gf) January 21, 1997 Page 3 1 2 and all claims, demands and/or causes of action of any kind or 3 character whatsoever arising out of or relating to services 4 provided by WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, its 5 employees, volunteers or agents concerning any and all claims 6 by any persons for alleged injury or damage to persons or 7 property to the extent caused by the negligent acts, errors or 8 omissions of WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, its 9 employees, volunteers or agents or representatives In the 10 event that any suit or claim for damages based upon such 11 claim, action, loss or damage is brought against the CITY, 12 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall defend the 13 same as its sole costs and expense; provided that the CITY 14 retains the right to participate in said suit if any principle 15 of governmental or public law is involved; and if final 16 judgment be rendered against the CITY and/or its officers, 17 elected officials, agents and employees or any of them or 18 jointly against the CITY and WASHINGTON WOMEN' S EMPLOYMENT AND 19 EDUCATION and their respective officers, agents, volunteers, 20 employees or any of them, WASHINGTON WOMEN' S EMPLOYMENT AND 21 EDUCATION shall fully satisfy the same and shall reimburse the 22 CITY any costs and expense which the CITY has incurred as a 23 result of such claim or suit The provisions of this section 24 shall survive the expiration or termination of this Agreement 25 26 Agreement Washington Women's Employment and Education 1997 Exhibit A Resolution No.2813 fd/agaree/uuee97gf) January 21, 1997 Page 4 1 2 6 INDEPENDENT AGREEMENT OR/ASSIGNMENfl 3 The parties agree and understand that WASHINGTON WOMEN' S 4 EMPLOYMENT AND EDUCATION is an independent contractor and not 5 the agent or employee of the CITY and that no liability shall 6 attach to the CITY by reason of entering into this Agreement 7 except as provided herein The services required under this 8 Agreement may not be assigned or subcontracted by WASHINGTON 9 WOMEN' S EMPLOYMENT AND EDUCATION without the prior written 10 consent of the CITY 11 7 INSURANCE. 12 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall procure 13 and maintain for the duration of this Agreement insurance 14 against claims for injuries to persons or property which may 15 arise from or in connection with services provided by 16 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, it agents, 17 employees or volunteers under this Agreement WASHINGTON 18 WOMEN' S EMPLOYMENT AND EDUCATION agrees to provide 19 comprehensive general liability insurance and shall maintain 20 liability limits of not less than ONE MILLION DOLLARS 21 ($1, 000 , 000) combined single limit coverage per occurrence for 22 bodily injury, personal injury and property damage 23 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall also provide 24 and maintain professional liability coverage including errors 25 and omissions coverage in the minimum liability amount of ONE 26 Agreement Washington Women's Employment and Education 1997 Exhibit"A"Resolution No.2813 (Wag ree/wuee97gf) January 21, 1997 Page 5 1 2 MILLION DOLLARS ($1 , 000 , 000) combined single limit per 3 occurrence for bodily injury, personal injury and property 4 damage Any deductibles or self insured retentions in either 5 policies must be declared to and approved by the CITY At the 6 option of the CITY either The insurer shall reduce or eliminate such deductibles or self insured retentions as 7 8 respects the CITY, its officials and employees ; or WASHINGTON 9 WOMEN' S EMPLOYMENT AND EDUCATION shall procure a bond 10 guaranteeing payment of losses and related investigations, 11 claim administration and defense expenses The policies are 12 to contain or be endorsed to contain the following provisions 13 14 1 GENERAL LIABILITY COVERAGE: 15 (a) The CITY, its elected and appointed officials, 16 employees and agents are to be covered as insureds 17 as respects Liability arising out of services and 18 activities performed by or on behalf of WASHINGTON 19 WOMEN' S EMPLOYMENT AND EDUCATION, its employees, 20 agents and volunteers The coverage shall contain 21 no special limitations on the scope of protection 22 afforded to the CITY, its elected and appointed 23 officials, employees or agents 24 25 26 Agreement Washington Women's Employment and Education 1997 Exhibit A Resolution No.2813 (d/agaree/wwee97g ) January 21, 1997 Page 6 1 2 2 GENERAL LIABILITY AND PROFESSIONAL LIABILITY 3 COVERAGES. 4 (a) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION' S 5 insurance coverage shall be primary insurance 6 as respects the CITY, its officials, employees and agents Any insurance or self insurance 7 8 maintained by the CITY, its officials, 9 employees or agents shall be in excess of 10 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION' S 11 insurance and shall not contribute with it 12 (b) Any failure to comply with reporting provisions 13 of the policy shall not affect coverage 14 provided to the CITY, its officials, employees 15 or agents 16 (c) Coverage shall state that WASHINGTON WOMEN' S 17 EMPLOYMENT AND EDUCATION' S insurance shall 18 apply separately to each insured against whom 19 claim is bought or suit is brought except with 20 respect to the limits to the insurer ' s 21 liability 22 (d) Each insurance policy required by this clause 23 shall be endorsed to state that coverage shall 24 not be suspended, voided, cancelled, reduced in 25 coverage, or in limits except after thirty (30) 26 Agreement Washington Women's Employment and Education 1997 Exhibit A Resolution No.2813 Cd/agree/uuee97gf) January 21, 1997 Page 7 1 2 days prior written notice by certified mail 3 return receipt requested has been given to the 4 CITY WASHINGTON WOMEN' S EMPLOYMENT AND 5 EDUCATION agrees to provide copies of the 6 Certificates of Insurance to the CITY at the time that this Agreement takes effect 7 8 (e) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 9 shall furnish the CITY with Certificates of 10 Insurance and with original endorsements 11 affecting coverage required by this clause 12 The certificate and endorsements for each 13 insurance policy are to be signed by a person 14 authorized by that insurer to bind coverage on 15 its behalf The CITY reserves the right to 16 require complete, certified copies of all 17 required insurance policies at any time 18 (f) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION 19 shall include all volunteers, employees and 20 agents under its policies or shall furnish 21 separate certificates and endorsements for 22 each All coverages for volunteers shall be 23 subject to all the requirements stated herein 24 25 26 Agreement Washington Women's Employment and Education 1997 Exhibit A"Resolution No.2813 (d/agaree/awee97gf) January 21, 1997 Page 8 1 2 8 .
