4 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AUTHORIZING THE MAYOR OF THE CITY OF AUBURN TO
5 EXECUTE A PURCHASE AND SALE AGREEMENT WITH THE OWNERS OF REAL
PROPERTY DESIGNATED AS TAX PARCEL NO 395440-0125 , WASHINGTON
6 STATE DEPARTMENT OF TRANSPORTATION PARCEL NO 1-15838 RELATING
TO THE STATE ROUTE 18 / "C" STREET S W INTERCHANGE RAMP
IMPROVEMENT PROJECT (PR 529)

9 WHEREAS, the above described project is in accordance
10
with the six year Transportation Improvement Program (T I P)
11
for 1997-2002 and the City Capital Facilities Plan (C F P ) ;
12
13 and
14 WHEREAS, property acquisition funds for this project are
15 provided for by the Intermodal Surface Transportation
16
Efficiency Act (I S T E A ) and the Transportation Improvement
17
Board (T I B ) ; and
18
19 WHEREAS, the purchase of said real property is necessary
20 to complete the SR 18 / C Street SW ramp improvement project
21 and the associated Santa Fe/Burlington Northern Railroad
22
crossing project , whether separated or at grade; and
23
WHEREAS, the project appraiser Washington Appraisal
24
25 Services, Inc , provided a real property appraisal report

1 dated April 26 , 1996 for said real property indicating a fair
2
market value of $61, 000 00 ; and
3
4 WHEREAS, a review appraisal dated May 3 , 1996 completed
5 by the City' s annual contract real property appraiser
6 Clendaniel, Lema & Watts, Inc , concurred with the fair market
7
value of $61, 000 00 ; and
8
WHEREAS, the owner rejected the City' s offer of
9
10 $61, 000 00 and countered with an offer in the amount of
11 $78 , 000 00 which is the 1996 King County Tax Assessor' s
12 valuation; and
13
WHEREAS, appraisal updates dated August 29, 1996 on
14
adjacent real properties indicate an increase of $3 , 200 00
15
16 towards the fair market value of the subject real property
17 described above as tax parcel No 395440-0125 ; and
18 WHEREAS, through negotiations and as an administrative
19
settlement , City staff further justified compensation and
20
hereby accepts the owner' s counter offer of $78 , 000 00 ; and
21
22 WHEREAS, a vicinity map designated as Exhibit "A" and an
23 executed Purchase and Sale Agreement which legally describes
24

1 said real property, designated as Exhibit "B" is attached
2
hereto and incorporated by reference herein; and
3
4 WHEREAS, said real property is currently a rental
5 property with a tenant, subject to a minimum 90 day notice to
6 relocate requirement as set forth in the Uniform Relocation
7
Assistance and Real Property Acquisitions Policy Policies Act ;
8
and
9
10 WHEREAS, approval of this Resolution satisfies Item 4 as
11 set forth in said Purchase and Sale Agreement, binding the
12 City to all terms and obligations therein
13
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
14
WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH
15
16 RESOLVES THAT
17 Section 1. The Mayor of the City of Auburn is hereby
18 authorized to execute said Purchase and Sale Agreement for the
19
purchase of Tax Parcel No 395440-0125, Washington State
20
Department of Transportation Parcel No 1-15838 as legally
21
22 described in said Agreement relating to the State Route 18 / C
23 Street S W interchange ramp improvement project (PR 529) The
24

total purchase price, as accepted by the City and the
2
owner (s) , plus normal costs of closing is $78 , 000 00
3
4 Section 2 , The City acknowledges that the current tenants
5 of the subject real property (premises) are authorized to
6 remain on the premises as tenants for a minimum period of
7
ninety days per the Uniform Relocation Assistance and Real
8
Property Acquisitions Policies Act following the closing date
9
10 of this acquisition and Notice to Relocate The City may
11 allow the tenants to remain beyond the ninety day requirement
12 necessary for the procurement of King County Section 8 Housing
13
and the availability of comparable descent , safe and sanitary
14
housing
15
16 Section 3 . The Mayor is hereby authorized to implement
17 such administrative procedures as may be necessary to carry
18 out the directives of this legislation

PURCHASE AND SALE AGREEMENT

THIS AGREEMENT is made and entered into by and between the City of
Auburn, a municipal corporation of the State of Washington, hereinafter referred to
as the 'City", and John A. and Patsy Whalley, husband and wife; Jerome E. and
Margaret Mylet, husband and wife; hereinafter referred to as the 'Owner(s)"
WITNESSETH
WHEREAS, the City affirms and the Owner(s) agree (s) that the Owners (s )
real property described herein is required by the City for construction of an
interchange ramp at SR18 and 'C" Street in the City of Auburn, Washington,
AND WHEREAS, the City has made a firm and continuing offer to pay the

condemned by the State of Washington for highway purposes;
SUBJECT TO easements, restrictions, reservations and covenants of record.

NOW THEREFORE, it is understood and agreed that
I The Owner(s) will convey the real property by good and sufficient
Statutory Warranty Deed, free from all liens and encumbrances of
every nature.
2. The City will issue a warrant in the amount of$78,000 00
as stated above, which will be deposited with Stewart Title Insurance
Company
3 The City will pay normal costs of closing, such as escrow services,
title reports and recording fees. Any outstanding liens, assessments,
taxation encumbrances that may have to be removed to provide clear

title to the City are to be satisfied in escrow by the Owner(s) out of
proceeds of the sale.
4 Delivery of this Agreement is hereby tendered.
HOWEVER, the terms and obligations hereof shall not become binding
upon the City unless and until a resolution authorizing the acquisition is
approved by the City Council.
