3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, KING
4 COUNTY, WASHINGTON, AUTHORIZING THE MAYOR OF THE CITY OF
AUBURN TO EXECUTE A PURCHASE AND SALE AGREEMENT WITH THE
5 OWNERS OF REAL PROPERTY DESIGNATED AS TAX PARCEL NUMBER
395440-0095-08, WASHINGTON STATE DEPARTMENT OF TRANSPORTATION
6 PARCEL NUMBER 1-15840 RELATING TO THE STATE ROUTE 18 / "C"
7 STREET S W INTERCHANGE RAMP IMPROVEMENT PROJECT (PR 529)

WHEREAS, the above described project is in accordance
9
10 with the six year Transportation Improvement Program (T I P )
11 for 1997-2002 and the City Capital Facilities Plan (C F P ) ;
12 and
13
WHEREAS, real property acquisition funds for this project
14
are provided for by the Intermodal Surface Transportation
15
16 Efficiency Act (I S T E A ) and the Transportation Improvement
17 Board (T I B ) ; and
18 WHEREAS, the purchase of said real property is necessary
19
to complete the SR 18 / "C" Street SW ramp improvement project
20
21 and the associated Burlington Northern/Santa Fe Railroad
22 crossing project, whether separated or at grade; and
23 WHEREAS, an appraisal report was completed by the project
24 appraiser April 26 , 1996 indicating a fair market value in the

amount of $147, 500 00 and reviewed by the City' s contract
2
appraiser April 29, 1996 , concurring with aid amount; and
3
4 WHEREAS, the owners were offered $147, 500 00 for the
5 purchase of said property in August 1996 ; and
6 WHEREAS, the owners rejected said offer and through
7
continued negotiations countered to the City on March 5, 1997
8
in the amount of $160 , 000 00 ; and
9
10 WHEREAS, an increase in fair market value as indicated by
11 appraisal updates of adjacent properties supports the owner' s
12 counter offer, therefore City staff accepts owner' s counter
13
offer in the amount of $160 , 000 00 ; and
14
WHEREAS, a vicinity map designated as Exhibit "A" and an
15
16 executed Purchase and Sale Agreement dated March 5 , 1997 which
17 legally describes said real property, designated as Exhibit
16 "B" is attached hereto and incorporated by reference herein;

and
20
WHEREAS, approval of this Resolution satisfies Item 4 as
21
22 set forth in said Purchase and Sale Agreement, binding the
23 City to all terms and obligations therein

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,

KING COUNTY, WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED,

4 HEREWITH RESOLVES THAT
5 Section 1 . The Mayor of the City of Auburn is hereby
6 authorized to execute said Purchase and Sale Agreement for the
7
purchase of Tax Parcel Number 395440-0095-08 , Washington State
8
Department of Transportation Parcel Number 1-15840 as legally
9
10 described is said Agreement relating to the State Route 18/
11 "C" Street S W interchange ramp improvement project (PR 529)
12 The total purchase price, as accepted by the City and the
13
owner (s) , plus normal costs of closing is $160 , 000 00
14
Section 2 . The Mayor is hereby authorized to implement
15
16 such administrative procedures as may be necessary to carry
17 out the directives of this legislation

PURCHASE AND SALE AGREEMENT
In the matter of the SR13, 'C St. Interchange Ramp project, PR 529, Parcel
No 1-15840, Tax Parcel 395440-0095-03
THIS AGREEMENT is made and entered into by and between the City of
Auburn, a municipal corporation of the State of Washington, hereinafter referred to
as the 'City , and Frank A. Fassbind,.Jr., Trustee for Michael J. Fassbind,
hereinafter referred to as the 'Owner(s)
W ITN-ESSETH
WHEREAS, the City affirms and the Owner(s) agree (s) that the Owner's (s')
real property described herein is required by the City for construction of an
interchange ramp at SR13 and 'C Street in the City of Auburn, Washington,

the purchase of the following described real property in Auburn, King County,
Washington:
All of lots 3, 9, 10, II, 12, I3 and 14, Block 2, Lacey s Second Addition to
Auburn,
TOGETHER WITH vacated -D Street adjoining;
EXCEPT the west 45 feet of said vacated 'D' Street adjoining;
ALSO EXCEPT that portion condemned in King County Superior Court Cause
Number 433620 for State Highway No. 2
SUBJECT TO easements, restrictions, reservations and covenants of record.
NOW THEREFORE, it is understood and agreed that:

Statutory Warranty Deed, free from all liens and encumbrances of
every nature.

as stated above, which will be deposited with Stewart Title Insurance

3 The City will pay normal costs of closing, such as escrow services,
title reports and recording fees. Any outstanding liens, assessments,
taxation encumbrances that may have to be removed to provide clear

title to the City are to be satisfied in escrow by the Owner(s) out of
proceeds of the sale.
4 Delivery of this Agreement is hereby tendered.
HOWEVER, the terms and obligations hereof shall not become binding
upon the City unless and until a resolution authonzmg the acquisition is
approved by the City Council. r,
