3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
4 AGREEMENT WITH AUBURN YOUTH RESOURCES FOR SUPPORT SERVICES FOR
YOUTH AND FAMILIES IN THE AUBURN COMMUNITY FOR 1998

6 WHEREAS, the City of Auburn has contracted with Auburn
7 Youth Resources, a non profit organization, since 1980 to
8 provide support services to youth and families in the Auburn
9 community; and
10 WHEREAS, the City wishes to continue the support of
11 Auburn Youth Resources ;
12 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
13 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH
14 RESOLVES AS FOLLOWS
15 Section 1 The Mayor and City Clerk of the City of
16 Auburn, Washington, are hereby authorized to enter into an
17 Agreement with Auburn Youth Resources to provide support
18 services for youth and families in the Auburn community
19 including youth referred from the Auburn School District,
20 Auburn Police Department, the Auburn Juvenile Court Conference
21 Committee, and area churches and community organizations for
22 1998 A copy of the Agreement is attached and is designated
23 as Exhibit "A" and is incorporated by reference in this
24 Resolution

1 AGREEMENT FOR SERVICES

3 THIS AGREEMENT is entered into this �.� day of
4w9 , 1998 , by and between the CITY OF AUBURN,
5 a municipal corporation of the State of Washington, hereafter
6 referred to as "CITY", and AUBURN YOUTH RESOURCES, a non
7 profit corporation organized under the laws of the State of
8 Washington, and located at 816 "F" Street S E , Auburn,
g Washington, hereafter referred to as "AYR".
10 In consideration of the mutual covenants and conditions
11 of this Agreement, the parties agree as follows
12 I PURPOSE.
13 AYR is a non profit, community based family counseling
14 agency whose purpose is to assist youth -- by providing a
15 variety of services to them and their families towards
16 becoming healthy, effective, loving, and self-directed adults,
17 especially through a therapeutic counseling mode AYR also
18 provides necessary additional support services for youth and
19 families and has contracted with the CITY for the past
20 seventeen years to provide support for youth referred from the
21 Auburn School District, Auburn Police Department, the Auburn
22 Juvenile Court Conference Committee, Auburn area churches,
23 businesses and organizations and Auburn area parents and other
24

concerned adults as well as youth themselves with whom AYR
2
directly works
3
II SCOPE OF WORK.
4
During the term of this Agreement, AYR agrees to provide
5
the following services
6
7
SERVICES :
8
9 A Problems . Youth referred to AYR come from one to
ten significant problem areas These include
10 conflicts with either or both parents, conflicts
with brothers or sisters, conflicts with school,
11 poor attitudes about family or school, conflicts
with peers, sexual problems, runaway problems, drug
12 (including alcohol) abuse, poor self-confidence,
little or no respect for themselves or others,
13 uncertainty about career or other goals, anxieties
about up-coming events, needing a job or other
14 constructive involvement, or financial problems
15 B STAFF AYR has a competent staff of thirty The
therapists all have Master ' s Degrees, and are
16 registered with the State of Washington There are
several student interns from several area Masters
17 Degree programs and other staff providing services
in the area of employment counseling, and teen
18 parenting groups
19 C PROGRAMS The need of each youth referred to AYR
will be assessed to determine appropriate services
20 and particular attention will be given to those who
are low income
21 D COUNSELING Counseling for individual youth,
22 families (whole or selected members) and groups to
help youth and families to identify problems in
23 personal functioning or interpersonal
communications, constructive approaches to same, and
24 to reinforce behaviors which produce constructive
results

1 SOCIAL DEVELOPMENT GROUPS This aspect will be
2 provided for youth and will usually involve a series
of activities It will help youth learn skills
3 needed to get along well with other youth and adults
and to develop self-confidence and exercise respect
4 to others
5 F YOUTH INVOLVEMENT ACTIVITIES To give youth a
chance to be constructively involved with other
6 youth, and give AYR staff a chance to work with
youth in a non-counseling setting, youth involvement
7 activities will be organized
8 G REFERRAL Referral to other agencies for services
will be made when needed Referral may be made for
9 help finding a job, long term therapy, or health
needs or recreation
10 COMMUNITY PROGRAM PLANNING AND DEVELOPMENT
11 In addition to providing the above services directly to
12 youth, AYR will focus much energy upon involving parts and
13 needs of the community, e g , teen pregnancy, in meeting youth
14 needs and particularly for the low income youth in the CITY,
15 (AYR has a project at Firwood Circle, a King County Housing
16 Authority development) and the following community program
17 planning and development will be undertaken by AYR
18 A ADULT VOLUNTEERS will be recruited from the
19 community to contribute by working with the youth
directly, or working with staff on internal needs
20 B CONNECTIONS FOR RUNAWAYS PROGRAM. AYR has
21 established host homes and a residential facility,
South King County Youth Shelter, to provide
22 assistance to youth who have runaway or are thinking
about running way
23
C As other youth needs are identified in the
24 community, to which no other agency is responsive,
AYR will attempt to evaluate that need and if
25 appropriate, develop a program of service to meet
26

1 it Every effort will be made to coordinate,
2 collaborate and cooperate with efforts of other
agencies in the CITY to meet this end to assist the
3 poor and infirm of the CITY
4 III STATUS REPORT
5 AYR shall develop and provide to the City within 60 days
6 after the completion of the 1998 calendar year a status report
7 containing a program evaluation component commonly referred to
8 as the "Logic Model" which will show the intended linkages
9 between the activities conducted and the changes the
10 activities will produce
11 A The components of the evaluation will
12 1) Identify both process and outcome portions of those
13 activities funded by the City of Auburn;
14 2) Show the relationship of program resources and
15 activities to the expected results or outcomes
16 3 ) Help identify those questions the evaluation is to
17 answer
18 4) Provide a graphic summary of how program parts
19 relate to the whole
20 5) Make explicit the underlying theory of the program
21 and
22 6) Identify measurable categories in the program
23 evaluation

B AYR shall develop the following status report
2
components within the time frames established below
3
1) 2nd Quarter 1998 Year
4
a) The outcome based results AYR expects to achieve;
5
b) An indicator to inform AYR that the anticipated
6
change has or has not occurred;
7
c) The method for gathering information needed to
8
indicate the outcomes that have occurred;
9
2) 3x° Quarter 1998 Year
10
a) Initial Collection and assessment of the
11
information acquired to include
12
alterations in the anticipated outcomes or
13
alteration in the methodology of information
14
gathering
15
3) 4th Quarter 1998
16
a) Information collected;
17
b) Conclusions developed as a result of the
18
information
19
20 IV COMPENSATION.
21 As full and total payment for the services provided under
22 this Agreement, AYR will be paid on an hourly basis at the
23 rate of $55 27 per hour, provided that total amount of
24 compensation to be paid during the term of this Agreement
25 shall not exceed the total amount of SIXTY-THREE THOUSAND
26

EIGHT HUNDRED DOLLARS ($63 , 800) for One Thousand One Hundred
2
(1100) hours AYR agrees to submit an invoice to the CITY on
3
a monthly basis containing the total amount of counselor hours
4
expended during the specific month and the total amount
5
claimed for reimbursement The CITY agrees to remit payment
6
to AYR for actual hours worked based on the monthly invoice
7
submitted AYR agrees and understands that the compensation
8
provisions of this Agreement shall constitute full and total
9
payment for all services performed by AYR including all
10
expenses incurred by AYR in carrying out the provisions of
11
this Agreement The final statement of services rendered will
12
be submitted on or before December 15, 1998
13
V TERM.
14
This Agreement shall commence and be in effect on January
15
1, 1998 The Agreement will expire on December 31, 1998
16
VI PERFORMANCE STANDARDS
17
AYR by and through its Executive Director, agrees to
18
assume primary responsibility for assuring proper levels of
19
professional performance in carrying out the services under
20
this Agreement The performance of AYR will be reviewed each
21
quarter during the term of this Agreement by the Executive
22
Director of AYR and the Mayor of the City of Auburn or at more
23
frequent intervals such as the Mayor may deem necessary The
24
Mayor is authorized to make recommendations regarding changes
25

in the manner and method of performance if he believes that
2
the program is unsuitable or inadequate to carry out the
3
purposes of this Agreement These proposed recommendations by
4
the Mayor will be in writing subject to the approval of the
5
City Council and binding upon AYR unless within ten (10) days
6
of receipt of such recommendations AYR asks for a review by
7
the City Council The parties agree and understand that any
8
determination by the City Council on proposed recommendations
9
and changes will be binding upon the parties hereto
10
VII INDEMNIFICATION HOLD HARMLESS .
11
12 AYR agrees to indemnify, defend and hold harmless the
13 CITY, its elected and appointed officials, employees and
14 agents, from any and all claims, demands and/or causes of
15 action of any kind or character, whatsoever arising out of or
16 relating to AYR, its employees, its agents, or subcontractors
17 for any and all claims by any persons for alleged personal
18 injury, death or damage to their persons or property to the
19 extent caused by the negligent acts, errors or omissions of
20 AYR, its employees, agents, subcontractors or representatives
21 In the event that any suit or claim for damages is brought
22 against the CITY, AYR agrees to defend the CITY at its sole
23 cost and expense; provided that the CITY retains the right to
24 participate in said suit if any principle of governmental or
25 public law is involved; and if final judgment be rendered
26

against the CITY and/or its officers, agents or employees or
2
any of them or jointly against the CITY and AYR and their
3
respective officers, agents, subcontractors, employees or any
4
of them, AYR agrees to fully satisfy the same and AYR shall
5
reimburse the CITY for any cost and expense which the CITY has
6
incurred as a result of such claim or suit The provisions of
7
this section shall survive the expiration or termination of
8
this Agreement
9
VIII INDEPENDENT CONTRACTOR/ASSIGNMENT
10
The parties agree and understand that AYR is an
11
independent contractor and not the agent or employee of the
12
CITY and that no liability shall attach to the CITY by reason
13
of entering into this Agreement except as otherwise provided
14
herein The parties agree that this Agreement may not be
15
assigned in whole or in part without the written consent of
16
the CITY
17
IX BOOKS AND RECORDS .
18
19 AYR agrees that the CITY may inspect any and all
documents and audit the records held by AYR and relating to
20
this Agreement upon good cause at any reasonable time within a
21
22 three (3 ) year period from the term of this Agreement In
23 addition, AYR agrees to maintain all books and records
relating to this Agreement for a period of three (3) years
24

following the date that this Agreement is expired or otherwise
2
terminated
3
X NONDISCRIMINATION.
4
AYR agrees not to discriminate regarding any services or
5
activities to which this Agreement may apply directly or
6
through contractual, hiring, or other arrangements on the
7
grounds of race, color, creed, religion, national origin, sex,
8
age, or the presence of any sensory, mental or physical
9
handicap
10
XI INSURANCE_
11
A During the term of this Agreement, AYR agrees to
12
obtain and maintain comprehensive general liability insurance
13
in the minimum liability limits of One Million and no/100
14
15 ($1, 000 , 000) per occurrence for claims for personal injury or
16 property damage arising out of services performed under this
17 Agreement
18 B AYR agrees to carry professional liability insurance
19 for any claim or damage on account of any error, omission or
20 professional negligence
21 C AYR agrees to provide to the CITY Certificates of
22 Insurance for the insurance policies required herein The
23 CITY shall be named as additional insured on the comprehensive
24 general liability policy

XII GENERAL PROVISIONS.

A This Agreement may be terminated by either party upon
3
twenty (20) days written notice to the other party and based
4
upon any cause whatsoever In the event of termination due to
5
the fault of others other than AYR, AYR shall be paid for
6
services performed to the date of termination
7
B This Agreement shall be governed by the laws,
8
regulations and ordinances of the City of Auburn, State of
9
Washington, King County and where applicable federal laws
10
C The CITY and AYR respectively bind themselves, their
11
partners, successors, assigns, and legal representatives to
12
the other party to this Agreement with respect to all
13
covenants to this Agreement
14
D This Agreement represents the entire and integrated
15
Agreement between the CITY and AYR and supersedes all prior
16
negotiations, representations or agreements either oral or
17
written This Agreement may be amended only by written
18
19 instrument signed by both the CITY and AYR
20 E Should it become necessary to enforce any term or
21 obligation of this Agreement, then all costs of enforcement
22 including reasonable attorneys ' fees and expenses and court
23 costs shall be paid to the substantially prevailing party
24
