HomeMy WebLinkAbout2945 1 RESOLUTION NO 2 9 4 5 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, 3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY 4 OF AUBURN, TO EXECUTE A 1998 CONTRACT FOR SERVICES BETWEEN THE CITY OF AUBURN AND DOMESTIC ABUSE WOMEN' S NETWORK (DAWN) 5 6 WHEREAS, the CITY desires to award general revenue funds to DAWN to perform domestic violence community advocacy 8 services and emergency shelter pursuant to certain terms and 9 conditions as described in this agreement ; 10 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, 11 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH 12 RESOLVES THAT 13 Section 1 . 12 and 13 WHEREAS, the CITY is interested in continuing support of 14 DAWN; and 15 NOW, THEREFORE, In consideration of the covenants and 16 conditions of this Contract, the parties agree as follows 17 I PURPOSE. 18 The purpose of this Agreement is to provide for an 19 appropriation to DAWN for the 1998 term This continued 20 support is in recognition of the fact that the demand for 21 DAWN' S services continues to rise 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 1 1 II SCOPE OF SERVICES . 2 The parties agree and understand that DAWN agrees to 3 provide services to the citizens of Auburn including, but not 4 limited to, those services described as follows 5 A Twenty-four (24) hour crisis line operated by 6 trained volunteers and backup staff 7 B Support group counseling that includes an individual 8 screening session, child care during group sessions, 9 an extensive information packet, and referrals to 10 other services as appropriate 11 C Advocacy by specially trained volunteers and staff 12 who work at the shelter who provide information, 13 assistance and emotional support 14 D Provision of emergency shelter and crisis 15 intervention for victims of domestic violence 16 Shelter services include food, safety planning, 17 working with the victim and educational system to 18 arrange for appropriate and safe school settings for 19 children, education concerning domestic violence, 20 peer support groups, substance abuse assessment and 21 counseling, mental health assessment and referrals 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit `A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 2 1 to other community agencies for long term counseling 2 and affordable housing 3 E Community Education directed toward the general 4 public This involves discussion of basic domestic 5 violence issues Such outreach and services may 6 include 7 a Public information activities aimed at 8 informing the general public of the services 9 available through DAWN Such as 10 i Providing Auburn service clubs such as the 11 Rotary, Kiwanis and Soroptomists with presentations 12 ii Working with the media to develop 13 articles, news segments and public service 14 announcements concerning domestic violence and its 15 ramifications 16 iii the development of strategies and 17 interactions which include direct contact with the 18 general public to enhance the understanding of 19 domestic violence as a reprehensible social and 20 criminal act 21 b Conduct training sessions for community 22 volunteers Volunteer training will include 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21 1998 [a\agree\dawn98] Page 3 1 i An initial 36 hour crisis intervention to 2 be provided two times each year on issues pertaining 3 to domestic violence and issues related thereto, 4 including but not limited to, legal issues, 5 children' s issues, suicide intervention, and 6 cultural sensitivity 7 ii A minimum 2-hour monthly educational 8 training to all volunteers 9 In addition DAWN agrees to work closely with the CITY OF 10 AUBURN in developing and improving other ways to address the 11 problem of domestic violence in the Auburn community 12 III STATUS REPORT 13 DAWN shall develop and provide to the City within 60 days 14 after the completion of the 1998 calendar year a status report 15 containing a program evaluation component commonly referred to 16 as the "Logic Model" which will show the intended linkages 17 between the activities conducted and the changes the 18 activities will produce 19 A The components of the evaluation will 20 1) Identify both process and outcome portions of those 21 services which DAWN has agreed to provide; 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 4 1 2) Show the relationship of program resources and 2 activities to the expected results or outcomes 3 3) Help identify those questions the evaluation is to 4 answer 5 4) Provide a graphic summary of how program parts 6 relate to the whole 7 5) Make explicit the underlying theory of the program 8 and 9 6) Identify measurable categories in the program 10 evaluation 11 B DAWN shall develop the following status report 12 components within the time frames established below 13 1) 2nd Quarter 1998 Year 14 a) The outcome based results DAWN expects to 15 achieve; 16 b) An indicator to inform DAWN that the anticipated 17 change has or has not occurred; 18 c) The method for gathering information needed to 19 indicate the outcomes that have occurred; 20 2) 3rd Quarter 1998 Year 21 a) Initial Collection and assessment of the 22 information acquired to include 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 5 1 alterations in the anticipated outcomes or 2 alteration in the methodology of information 3 gathering 4 3) 4th Quarter 1998 5 a) Information collected; 6 b) Conclusions developed as a result of the 7 information 8 IV TERM. 9 The term of this Agreement shall commence on January 1, 10 1998 and will expire on December 31, 1998 11 V COMPENSATION. 12 As full and total payment for the services provided under 13 this Agreement, the CITY agrees to pay DAWN the total amount 14 of EIGHTEEN THOUSAND DOLLARS ($18 , 000) DAWN will submit a 15 statement with documentation to the CITY describing services 16 and activities that it has rendered under the terms of this 17 Agreement together with the source documentation for hours of 18 service delivered and the activities provided and the CITY 19 will pay such amount upon proper submittal The final 20 statement of services rendered will be submitted on or before 21 December 15 , 1998 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 6 1 VI INDEMNIFICATION. 2 DAWN agrees to defend, indemnify, and hold harmless the 3 CITY, its elected and appointed officials, employees and 4 agents from and against any and all claims, demands and/or 5 causes of action of any kind or character whatsoever arising 6 out of or relating to services provided by DAWN, its 7 employees, volunteers or agents concerning any and all claims S by any persons for alleged injury or damage to persons or 9 property to the extent caused by the negligent acts, errors or 10 omissions of DAWN, its employees, volunteers or agents or 11 representatives In the event that any suit or claim for 12 damages based upon such claim, action, loss or damage is 13 brought against the CITY, DAWN shall defend the same as its 14 sole costs and expense; provided that the CITY retains the 15 right to participate in said suit if any principle of 16 governmental or public law is involved; and if final judgment 17 be rendered against the CITY and/or its officers, elected 18 officials, agents and employees or any of them or jointly 19 against the CITY and DAWN and their respective officers, 20 agents, volunteers, employees or any of them, DAWN shall fully 21 satisfy the same and shall reimburse the CITY any costs and 22 expense which the CITY has incurred as a result of such claim 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 7 1 or suit The provisions of this section shall survive the 2 expiration or termination of this Agreement 3 VII. INDEPENDENT CONTRACTOR/ASSIGNMENT. 4 The parties agree and understand that DAWN is an 5 independent contractor and not the agent or employee of the 6 CITY and that no liability shall attach to the CITY by reason 7 of entering into this Agreement except as provided herein 8 The City will not be responsible for withholding or otherwise 9 deducting federal income tax or social security payments, or 10 contributing to the State Industrial Insurance Program, or 11 otherwise assuming the duties of an employer with respect to 12 DAWN and that neither DAWN or any employee off DAWN shall be 13 entitled to any benefits accorded city employees by virtue of 14 any services provided under the contract The services 15 required under this Agreement may not be assigned or 16 subcontracted by DAWN without the prior written consent of the 17 CITY 18 VIII INSURANCE. 19 DAWN shall procure and maintain for the duration of this 20 Agreement insurance against claims for injuries to persons or 21 property which may arise from or in connection with services 22 provided by DAWN, it agents, employees or volunteers under 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21 1998 [a\agree\dawn98] Page 8 1 this Agreement DAWN agrees to provide comprehensive general 2 liability insurance and shall maintain liability limits of not 3 less than ONE MILLION DOLLARS ($1, 000, 000) combined single 4 limit coverage per occurrence for bodily injury, personal 5 injury and property damage DAWN shall also provide and 6 maintain professional liability coverage including errors and 7 omissions coverage in the minimum liability amount of ONE 8 MILLION DOLLARS ($1, 000, 000) combined single limit per 9 occurrence for bodily injury, personal injury and property 10 damage Any deductibles or self insured retentions in either 11 policies must be declared to and approved by the CITY At the 12 option of the CITY either The insurer shall reduce or 13 eliminate such deductibles or self insured retentions as 14 respects the CITY, its officials and employees; or DAWN shall 15 procure a bond guaranteeing payment of losses and related 16 investigations, claim administration and defense expenses 17 The policies are to contain or be endorsed to contain the 18 following provisions 19 A GENERAL LIABILITY COVERAGE: 20 1) The CITY, its elected and appointed officials, 21 employees and agents are to be covered as insureds 22 as respects Liability arising out of services and 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 (a\agree\dawn98] Page 9 1 activities performed by or on behalf of DAWN, its 2 employees, agents and volunteers The coverage 3 shall contain no special limitations on the scope of 4 protection afforded to the CITY, its elected and 5 appointed officials, employees or agents 6 B GENERAL LIABILITY AND PROFESSIONAL LIABILITY 7 COVERAGES: 8 1) DAWN' S insurance coverage shall be primary 9 insurance as respects the CITY, its officials, 10 employees and agents Any insurance or self 11 insurance maintained by the CITY, its 12 officials, employees or agents shall be in 13 excess of DAWN' S insurance and shall not 14 contribute with it 15 2) Any failure to comply with reporting provisions 16 of the policy shall not affect coverage 17 provided to the CITY, its officials, employees 18 or agents 19 3) Coverage shall state that DAWN' S insurance 20 shall apply separately to each insured against 21 whom claim is bought or suit is brought except 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A' Resolution No 2945 April 21, 1998 [a\agree\dawn98) Page 10 1 with respect to the limits to the insurer' s 2 liability 3 4) Each insurance policy required by this clause 4 shall be endorsed to state that coverage shall 5 not be suspended, voided, cancelled, reduced in 6 coverage, or in limits except after thirty (30) 7 days prior written notice by certified mail 8 return receipt requested has been given to the 9 CITY DAWN agrees to provide copies of the 10 Certificates of Insurance to the CITY at the 11 time that this Agreement takes effect 12 5) DAWN shall furnish the CITY with Certificates 13 of Insurance and with original endorsements 14 affecting coverage required by this clause 15 The certificate and endorsements for each 16 insurance policy are to be signed by a person 17 authorized by that insurer to bind coverage on 18 its behalf The CITY reserves the right to 19 require complete, certified copies of all 20 required insurance policies at any time 21 6) DAWN shall include all volunteers, employees 22 and agents under its policies or shall furnish 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 11 1 !! separate certificates and endorsements for 2 each All coverages for volunteers shall be 3 subject to all the requirements stated herein 4 IX NONDISCRIMINATION 5 DAWN may not discriminate under any services or programs 6 to which this Agreement may apply directly or through 7 contractual or other arrangements on the grounds of race, 8 color, sex, religion, nationality, creed, marital status, 9 sexual orientation, age or presence of any sensory, mental or 10 physical handicap 11 X BOOKS AND RECORDS . 12 DAWN agrees to maintain separate accounts and records in 13 accordance with State Auditor' s procedures , including 14 personnel, property, financial and programmatic records which 15 sufficiently reflect direct and indirect costs and services 16 performed under this Agreement DAWN agrees to maintain all 17 books and records relating to this Agreement for a period of 18 six (6) years following the date that this Agreement is 19 expired or otherwise terminated The parties agree that the 20 CITY OF AUBURN may inspect such documents upon good cause at 21 any reasonable time within the six (6) year period 22 23 24 25 26 Contract for Services DAWN 1998 Exhibit 'A Resolution No 2945 April 21, 1998 [a\agree\dawn98] Page 12 1 XI. TERMINATION OF AGREEMENT. 2 This Agreement may be terminated by either party upon ten 3 (10) days written notice should the other party fail 4 substantially to perform in accordance with its terms through 5 no fault of the other 6 XII. The Agreements have been executed by the City and now require the notarized signature of the appropriate official from DAWN. Please return one each of fully executed original Agreements to the Auburn City Clerk, 25 West Main Street, Auburn, WA, 98001 Please also note the insurance requirements under Article VIII of the Agreements and transmit the appropriate certificate of insurance to the Auburn City Clerk as soon as possible.
