A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT FOR SERVICES WITH WASHINGTON WOMEN' S EMPLOYMENT AND
4 EDUCATION TO PROVIDE EMPLOYMENT TRAINING SERVICES TO AUBURN
RESIDENTS PARTICIPATING IN THE AUBURN HEALTHY FAMILIES PROGRAM
5 DURING 1998

THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A

REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS

, l 9 Section 1 The Mayor and City Clerk of the City of
� 10 Auburn, Washington, are hereby authorized to enter into an
\ 11 Agreement for Services with Washington Women' s Employment and
12 Education to provide .employment training services to Auburn
13 residents participating in the Auburn Healthy Families Program
14 during 1998 A copy of the Agreement is attached and is
15 designated as Exhibit "A" and is incorporated by reference in
16 this Resolution
17 Section 2 The Mayor is hereby authorized to implement
18 such administrative procedures as may be necessary to carry
19 out the directives of this legislation

AGREEMENT FOR SERVICES

3 THIS AGREEMENT made and entered into this day of
4 , 1998 , by and between the CITY OF AUBURN, a
5 municipal corporation of the State of Washington, hereafter
6 referred to as "CITY" and WASHINGTON WOMEN' S EMPLOYMENT AND
7 EDUCATION, a non-profit corporation organized under the laws
8 of the State of Washington, whose address is 3516 SO 47th
9 Street, Suite 205, Tacoma, Washington 98409, hereinafter
10 referred to as "WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION"
11 WHEREAS, WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
12 provides a valuable service to the CITY and its residents
13 through the dispensation of employment training services to
14 parents of high risk Auburn families ; and
15 WHEREAS, the CITY is interested in continuing support of
16 the dispensation of employment training services to parents of
17 high risk Auburn families
18 NOW, THEREFORE, In consideration of the covenants and
19 conditions of this Agreement, the parties agree as follows
20 I PURPOSE.
21 The purpose of this Agreement is to provide for an
22 appropriation to WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
23 for providing employment training services to Auburn residents
24 participating in the Auburn Healthy Families Program during
25

the 1998 term This continued support is in recognition of
2
the fact that the demand for the services delivered by the
3
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION continues to rise
4
II SCOPE OF SERVICES.
5
The parties agree and understand that WASHINGTON WOMEN' S
6
EMPLOYMENT AND EDUCATION agrees to provide employment training
7
services to Auburn residents Comprehensive employment
8
training services shall include but are not limited to those
9
services described as follows
10
A Employment training services enabling the client to
11
rebuild self esteem and confidence and helping the
12
participant to understand the choices and options
13
which are available
14
15 B Topics covered will include the World of work;
16 discovering the hidden job market, interviewing/
resume writing skills; positive presentation to a
17
prospective employer; maintaining motivation; and
18
19 learning to network in the business community
20 C Emergency needs and other supportive services, such
21 as childcare or transportation to a job interview
22 In addition, WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
23 agrees to work closely with the CITY OF AUBURN in developing
24 and improving other ways to address the needs of Auburn
25

residents served through the WASHINGTON WOMEN' S EMPLOYMENT AND

EDUCATION

III STATUS REPORT
4
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall develop
5
and provide to the City within 60 days after the completion of
6
the 1998 calendar year a status report containing a program
7
evaluation component commonly referred to as the "Logic Model"
8
which will show the intended linkages between the activities
9
10 conducted and the changes the activities will produce
11 A The components of the evaluation will
12 1) Identify both process and outcome portions of the
13 WWEE services funded by the City of Auburn;
14 2) Show the relationship of program resources and
15 activities to the expected results or outcomes;
16 3) Help identify those questions the evaluation is to
17 answer;
18 4) Provide a graphic summary of how program parts
19 relate to the whole;
20 5) Make explicit the underlying theory of the program
21 and
22 6) Identify measurable categories in the program
23 evaluation

B WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall
2
develop the following status report components within the
3
time frames established below
4
1) 2'd Quarter 1998 Year
5
a) The outcome based results WASHINGTON WOMEN' S
6
EMPLOYMENT AND EDUCATION expects to achieve;
7
b) An indicator to inform WASHINGTON WOMEN' S
8
EMPLOYMENT AND EDUCATION that the anticipated
9
change has or has not occurred;
10
c) The method for gathering information needed to
11
indicate the outcomes that have occurred;
12
2) 3rd Quarter 1998 Year
13
a) Initial Collection and assessment of the
14
15 information acquired to include
16 alterations in the anticipated outcomes or
17 alteration in the methodology of information
18 gathering
19 3) 4th Quarter 1998
20 a) Information collected;
21 b) Conclusions developed as a result of the
22 information
23 IV. TERM.
24 The term of this Agreement shall commence on January 1,
25 1998 and shall expire on December 31, 1998

V COMPENSATION.
2
As full and total payment for the services provided under
3
this Agreement, the CITY agrees to pay WASHINGTON WOMEN' S
4
EMPLOYMENT AND EDUCATION for employment training provided to a
5
minimum of 4 Auburn residents who are members of at risk
6
families in an amount not to exceed SIX THOUSAND DOLLARS
7
($6 , 000) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION will
8
submit a statement to the CITY quarterly describing services
9
that it has rendered under the terms of this Agreement and the
10
CITY will pay an amount equal to one-quarter of the total
11
amount by the twenty-eighth (28th) day of the month following
12
the end of the quarter However, the final statement of
13
services rendered will be submitted on or before December 15 ,
14

15
VI INDEMNIFICATION.
16
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION agrees to
17
defend, indemnify, and hold harmless the CITY, its elected and
18
appointed officials, employees and agents from and against any
19
and all claims, demands and/or causes of action of any kind or
20
character whatsoever arising out of or relating to services
21
provided by WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, its
22
employees, volunteers or agents concerning any and all claims
23
by any persons for alleged injury or damage to persons or
24
property to the extent caused by the negligent acts, errors or
25
26

omissions of WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, its
2
employees, volunteers or agents or representatives In the
3
event that any suit or claim for damages based upon such
4
claim, action, loss or damage is brought against the CITY,
5
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall defend the
6
same as its sole costs and expense; provided that the CITY
7
retains the right to participate in said suit if any principle
8
of governmental or public law is involved; and if final
9
judgment be rendered against the CITY and/or its officers,
10
elected officials, agents and employees or any of them or
11
jointly against the CITY and WASHINGTON WOMEN' S EMPLOYMENT AND
12
EDUCATION and their respective officers, agents, volunteers,
13
employees or any of them, WASHINGTON WOMEN' S EMPLOYMENT AND
14
EDUCATION shall fully satisfy the same and shall reimburse the
15
16 CITY any costs and expense which the CITY has incurred as a
result of such claim or suit The provisions of this section
17
18 shall survive the expiration or termination of this Agreement
19 VII . INDEPENDENT AGREEMENT OR/ASSIGNMENT.
20 The parties agree and understand that WASHINGTON WOMEN' S
21 EMPLOYMENT AND EDUCATION is an independent contractor and not
22 the agent or employee of the CITY and that no liability shall
23 attach to the CITY by reason of entering into this Agreement
24 except as provided herein The services required under this
25 Agreement may not be assigned or subcontracted by WASHINGTON
26

WOMEN' S EMPLOYMENT AND EDUCATION without the prior written
2
consent of the CITY
3
VIII INSURANCE.
4
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall procure
5
and maintain for the duration of this Agreement insurance
6
against claims for injuries to persons or property which may
7
arise from or in connection with services provided by
8
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION, it agents,
9
employees or volunteers under this Agreement WASHINGTON
10
WOMEN' S EMPLOYMENT AND EDUCATION agrees to provide
11
comprehensive general liability insurance and shall maintain
12
liability limits of not less than ONE MILLION DOLLARS
13
($1, 000, 000) combined single limit coverage per occurrence for
14
bodily injury, personal injury and property damage
15
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall also provide
16
and maintain professional liability coverage including errors
17
18 and omissions coverage in the minimum liability amount of ONE
19 MILLION DOLLARS ($1, 000, 000) combined single limit per
20 occurrence for bodily injury, personal injury and property
21 damage Any deductibles or self insured retentions in either
22 policies must be declared to and approved by the CITY At the
23 option of the CITY either The insurer shall reduce or
24 eliminate such deductibles or self insured retentions as
25 respects the CITY, its officials and employees ; or WASHINGTON
26

WOMEN' S EMPLOYMENT AND EDUCATION shall procure a bond
2
guaranteeing payment of losses and related investigations,
3
claim administration and defense expenses The policies are
4
to contain or be endorsed to contain the following provisions
5
A GENERAL LIABILITY COVERAGE:
6
1) The CITY, its elected and appointed officials,
7
employees and agents are to be covered as insureds
8
as respects Liability arising out of services and
9
activities performed by or on behalf of WASHINGTON
10
WOMEN' S EMPLOYMENT AND EDUCATION, its employees,
11
agents and volunteers The coverage shall contain
12
no special limitations on the scope of protection
13
afforded to the CITY, its elected and appointed
14
officials, employees or agents
15
16 B GENERAL LIABILITY AND PROFESSIONAL LIABILITY
COVERAGES.
17 1) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION' S
18
insurance coverage shall be primary insurance
19
as respects the CITY, its officials, employees
20
and agents Any insurance or self insurance
21 maintained by the CITY, its officials,
22
employees or agents shall be in excess of
23
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION' S
24
insurance and shall not contribute with it
25

2) Any failure to comply with reporting provisions
2
of the policy shall not affect coverage
3
provided to the CITY, its officials, employees
4
or agents
5
3) Coverage shall state that WASHINGTON WOMEN' S
6
EMPLOYMENT AND EDUCATION' S insurance shall
7
apply separately to each insured against whom
8
claim is bought or suit is brought except with
9
respect to the limits to the insurer' s
10
liability
11
4) Each insurance policy required by this clause
12
shall be endorsed to state that coverage shall
13
not be suspended, voided, cancelled, reduced in
14
coverage, or in limits except after thirty (30)
15
days prior written notice by certified mail
16
return receipt requested has been given to the
17
CITY WASHINGTON WOMEN' S EMPLOYMENT AND
18
EDUCATION agrees to provide copies of the
19
Certificates of Insurance to the CITY at the
20
time that this Agreement takes effect
21
5) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
22
shall furnish the CITY with Certificates of
23
Insurance and with original endorsements
24
affecting coverage required by this clause
25

The certificate and endorsements for each
2
insurance policy are to be signed by a person
3
authorized by that insurer to bind coverage on
4
its behalf The CITY reserves the right to
5
require complete, certified copies of all
6
required insurance policies at any time
7
6) WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
8
shall include all volunteers, employees and
9
agents under its policies or shall furnish
10
separate certificates and endorsements for
11
each All coverages for volunteers shall be
12
subject to all the requirements stated herein
13
14 IX NONDISCRIMINATION
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION shall not
15
discriminate under any services or programs to which this
16
Agreement may apply directly or through contractual or other
17
18 arrangements on the grounds of race, color, creed, religion,
national origin, sex, age, or the presence of any sensory,
19
20 mental or physical handicap
21 X. BOOKS AND RECORDS.
22 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION agrees to
23 maintain separate accounts and records in accordance with
24 State Auditor' s procedures, including personnel, property,
25 financial and programmatic records which sufficiently reflect
26

direct and indirect costs and services performed under this
2
Agreement WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION agrees
3
to maintain all books and records relating to this Agreement
4
for a period of three (3) years following the date that this
5
Agreement is expired or otherwise terminated The parties
6
agree that the CITY OF AUBURN may inspect such documents upon
7
good cause at any reasonable time within the three (3) year
8
period
9
11 TERMINATION OF AGREEMENT.
10
This Agreement may be terminated by either party upon ten
11
(10) days written notice should the other party fail
12
substantially to perform in accordance with its terms through
13
no fault of the other
14
12 . GENERAL PROVISIONS .
15
12 1 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
16
agrees to submit a report to the CITY no later
17
than December 15 , 1998 , describing the progress
18
and activities performed for the year 1998
19
under its scope of services
20
12 2 This Agreement shall be governed by the laws,
21
regulations and ordinances of the City of
22
Auburn, the State of Washington, and County of
23
King and where applicable, Federal laws
24
25

12 3 The CITY and WASHINGTON WOMEN' S EMPLOYMENT AND

EDUCATION respectively bind themselves, their
3
successors, volunteers, assigns and legal
4
representatives to the other party to this
5
Agreement and with respect to all covenants to
6
this Agreement
7
12 4 This Agreement represents the entire and
8
integrated Agreement between the CITY and
9
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION and
10
supersedes all prior negotiations This
11
Agreement may be amended only by written
12
instrument signed by both the CITY and
13
WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
14
12 5 Should it become necessary to enforce any term
15
or obligation of this Agreement , then all costs
16
of enforcement including attorneys fees and
17
expenses and court costs shall be paid to the
18
substantially prevailing party
19
12 6 WASHINGTON WOMEN' S EMPLOYMENT AND EDUCATION
20
agrees to comply with all local, state and
21
federal laws applicable to its performance
22
under this Agreement
