HomeMy WebLinkAbout2950 1 RESOLUTION NO 2 9 5 0 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, 3 WASHINGTON, AUTHORIZING THE MAYOR TO EXECUTE THE 1998 SERVICE AGREEMENT BETWEEN THE CITY OF AUBURN AND THE ECONOMIC 4 DEVELOPMENT COUNCIL OF SEATTLE AND KING COUNTY 5 WHEREAS, the Economic Development Council of Seattle and 6 King County (EDC) is a private nonprofit corporation 7 representing a coalition of business, government, labor, 8 9 environmental and education leadership dedicated to planning, developing, and implementing economic development strategies; 10 and 11 WHEREAS, economic development strategies are those public 12 13 and private actions which aid in enhancing a community' s 14 quality of life and bringing its citizens into the economic 15 mainstream through the retention and creation of businesses 16 providing family wage jobs in King County; and 17 WHEREAS, the City desires to have certain services 18 performed by the EDC as described within this contract 19 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, 20 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH 21 RESOLVES THAT 22 SECTION 1. The Mayor of the City of Auburn, Washington, 23 is herewith authorized to execute the 1998 Service Agreement 24 between the CITY OF AUBURN and the ECONOMIC DEVELOPMENT 25 26 Resolution No 2950 April 16, 1998 Page 1 1 COUNCIL OF SEATTLE AND KING COUNTY, wherein the Council will 2 promote a diversified economic base consistent with creating 3 employment opportunities for King County residents and 4 maintaining a high quality environment as well as other 5 services as set forth in the Service Agreement A copy of 6 said Agreement denominated as Exhibit "A" is attached hereto and incorporated herein 8 SECTION 2 . C. The creation of a supportive business climate for private sector investment which encourages: 1. the retention of existing businesses and the revitalization of existing business communities 2. the expansion of existing business, and 3. the creation of new business firms. D The promotion of mechanisms aimed at shifting commuter behavior away from the single-occupant automobile in order that existing transportation infrastructure can be utilized in the most efficient manner; and participating in tuture planning of such infrastructure in King County E. The encouragement of commercial and industrial facilities locations consistent with the land use and growth management goals, objectives and policies of the affected governmental jurisdictions. F The encouragement of new business development in King County and promotion of investment through counseling and information services. G. The implementation of the 1998 Workplan, attached. IT. DURATION OF CONTRACT This contract shall commence on the 1st day of January, 1998 and shall terminate the 31st day of December, 1998. III. COMPENSATION OF METHOD OF PAYMENT A. The EDC shall be reimbursed for satisfactory completion of the services and requirements as specified in this contract in the amount of $3670 to be paid in one annual payment upon contract execution. B. The EDC will provide quarterly activity reports. EDC/1998 PUBLIC SECTOR CONTRACT 2 IV INTERNAL CONTROL AND ACCOUNTING SYSTEM The EDC shall establish and maintain a system of accounting and internal controls which comply with applicable, generally accepted accounting principles, and governmental accounting and financial reporting standards. V ESTABLISHMENT AND MAINTENANCE OF RECORDS The EDC shall maintain accounts and records, including personnel, property, financial and program records, and other records as may be deemed necessary by the Organization, to ensure proper accounting for project funds and compliance with this contract. VT AUDITS AND INSPECTIONS A. The records and documents with respect to all matters covered by this contract shall be subject at all times to inspection, review, or audit by the Organization and/or federal/state officials so authorized. B The EDC shall have its annual financial statement reviewed by an independent certified public accountant. Copies of any such review performed by an independent certified public accountant shall be provided to the Organization. If the independent certified public accountant issues an internal control or management letter, the EDC shall so notity the Organization and it shall be made available promptly to the Organization for review C. The EDC shall provide access of its facilities to the Organization, the state and/or federal agencies or officials at reasonable times to monitor and evaluate the services provided under this contract. The Organization will give advance notice to the EDC in the case of fiscal audits to be conducted by the Organization. VII. EVALUATION The EDC agrees to cooperate with the organization or its agent in the evaluation of the EDC'S performance under this contract and to make available all information reasonably required by any such evaluation process. IX. INSURANCE The EDC shall procure and maintain for the duration of this agreement insurance against claims for injuries to persons or damages to property which may arise from, or in connection with the performance of work EDC/1998 PUBLIC SECTOR CONTRACT 3 hereunder by the EDC, its agents, representatives, employees or subcontractors. The EDC shall purchase this insurance in the amount of $1,000,000 or more. The City of Auburn shall be named as an additional insured. X. NONDISCRIMINATION A. During the performance of this contract, neither the EDC, its employees, representative agents or subcontractors acting under authority of this contract shall discriminate on the basis of race, color, sex, religion, nationality, creed, sexual orientation, marital status, age, or the presence of any sensory, mental or physical handicap in employment or application for employment or in the administration of delivery of services or any other benefits under this contract. B In the event the EDC determines to subcontract for the performance of services hereunder, the EDC shall make affirmative efforts to utilize Washington State certified minority and women- owned business enterprises ("M/WBE"). In its activity reports, the EDC shall identify the extent to which it was able to secure participation of M/WBEs. XI. CONFLICT OF INTEREST The EDC covenants that no officer, employee or agent of the EDC who exercises any functions or responsibilities in connection with planning and implementing the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein shall have any personal financial interest, direct or indirect, in this contract. None of the funds, materials, property or services provided directly or indirectly under this contract shall be used for any partisan political activity or to further the election or defeat of any candidate for public office. XII. INDEMNIFICATION The EDC shall hold the Organization and its officers, agents and employees acting in the capacity or course of employment, harmless from all suits, claims or liabilities of any nature, including costs and expenses, for and on account of injuries or damages sustained by any persons or property resulting in whole or in part from activities or EDC/199S PUBLIC SECTOR CONTRACT 4 omissions of the EDC pursuant to this Agreement, or on account of any unpaid wages or other for services, and if a suit be filed, the EDC shall appear and defend the same at its own cost and expense, and if judgement be rendered or settlement made requiring payment, the EDC shall satisfy and pay the same. XIII. NOTICES Whenever this contract provides for notice to be provided by one party or another, such notice shall be: A. in writing; and B directed to the chief executive officer of the EDC and the director/manager of the Organization specified on Page 1 of this contract. Any time within which a party must take some action shall be computed trom the date that the notice is received by said party XIV CHANGES Either party may request changes to this contract. Proposed changes which are mutually agreed upon shall be incorporated by written amendments to this contract. A new partnership with the Greater Seattle Chamber of Commerce not only results in a new location for the EDC at the Chamber offices located at 1301 Fifth Avenue, but a "bridge" to the region's business community which can only strengthen the EDC's relationships and effectiveness. And finally, the EDC has hired a new President to guide the organization into the future. What follows is the EDC Workplan for the twelve month period of January 1, 1998 - December 31, 1998. This workplan is a logical extension of the EDC Mission which is to retain and create family wage jobs in King County The Workplan focuses on what the Board has established as the EDC's core competency areas of business recruitment and retention, and logically targets the manufacturing and high technology sectors for these efforts. Additionally, membership development and marketing of the EDC have been given a significant emphasis in the Workplan. The 1998 EDC Workplan was developed on the basis of each program area being driven by a clearly stated objective (again, an extension of the EDC mission) supported by connected strategies and tactics designed to provide tangible, measurable results. Results and progress toward achieving program objectives, will be reported to the Board of Directors at regular intervals throughout 1998, with a year-end performance report at the EDC Annual Meeting. This will assure accountability in each program area and the opportunity to keep the Workplan flexible and adaptable to the needs of a dynamic regional economy The 1998 EDC Workplan is only one element of the vision needed to grow the EDC into the foundation economic development organization that is needed in King County Achieving the objectives contained in the Workplan will be a critical factor in our future success. But vision is a shared experience. The EDC is logically slated to play an active role in this effort. As the result of a collaborative effort by a number of people representing the public and private sectors, a draft regional economic action plan for King County has been developed. The draft plan represents a big-picture view of the critical economic development goals and strategies for King county over the next five years. Many entities, both public and private, are actively engaged in efforts to meet the economic challenges outlined in the draft plan goals and strategies The EDC Board of Directors will serve in a supportive role as secretariat to advance this collaborative work. The EDC will convene those entities already involved in pursuing the draft plan goals so they can refine the strategies, develop benchmarks and determine timelines for accomplishment. As secretariat to this effort, the EDC Board will host and facilitate periodic meetings, at which the responsible public and private entities will discuss their efforts and progress towards the goals. The draft plan is still a work in progress, and while the specific strategies need further work by the appropriate responsible parties, the EDC Board believes that the goals set forth are those that should be the focus of economic development in King County The EDC Board recognizes that additional budget and staff resources will be necessary to effectively carry out the role of secretariat for the draft plan. Train members to watch and listen for quality companies considering relocation. • Provide timely, accurate replies to unsolicited inquiries from existing quality businesses. Broker services of appropriate public or private organizations (e.g., governments, lenders, real estate brokers, etc.). • Provide regular reports at EDC events (e.g., update breakfasts, board meetings, forecast conference); convene small groups by jurisdiction to discuss and advance the effort; every-other- week e-mail report to players. • Provide regular updates on EDC's commitments relative to the Regional Economic Development Action Plan. The EDC's website will house the most recent Demographic and Economic Profile and a wider array of website links to other King County sites of interest. RESULTS. • A new classification system will result in a 50% increase in successful active cases. • The EDC will meet with four EDC member groups and produce an annual list of EDC member referrals • A 100% increase in member inquiries following the receipt of an EDC activity report. A two-fold increase in member assistance cases. • The EDC will organize and conduct 50% more meetings between clients and members of the EDC's informational network as a direct result of the development of a comprehensive King County business resource guide. • The EDC Economic and Demographic Profile will experience a 25% increase in orders. The number of EDC website "hits" will increase 50%, and the volume of web-related client inquiries growth rate will double. These economic development projects vary in duration and extent of EDC involvement, but generally entail either a convening role or a commitment by the EDC to provide office space and/or share in the administration of the project. For 1998 the EDC will continue its involvement in two very successful special projects. A description of each follows: Freight Mobility Roundtable. The Roundtable is a voluntary group of 150 private sector freight movers and government transportation experts that meet six times per year to ensure that freight mobility issues are addressed in regional transportation plans. In partnership with the Puget Sound Regional Council, The EDC has been co-convenor of the Freight Mobility Roundtable since 1994 Commuter Challenge. The Commuter Challenge program is wholly funded by the City of Seattle, King County, WSDOT, 15 suburban cities, Washington State Energy Program, the Puget Sound Air Pollution Control Agency, and federal and state grants. Its purpose is to increase highway capacity through promotion of HOV commuting and encouraging alternative work schedules and teleworking.
