HomeMy WebLinkAboutAG-S-064 McKinstry Company CITY OF AUBURN AGREEMENT FOR SERVICES AG-S-064 i3 THIS AGREEMENT made and entered into on this day of 11, by and between the City of Auburn, a municipal corporation o e State of Washington, hereinafter referred to as 'City' and McKinstry Compa , LLC, 5005 3'd Avenue South, Seattle, WA 98124, hereinafter referred to as the "Provider" WITNESSETH WHEREAS, the City is in need of the services of individuals, employees or firms for the servicing of heating, ventilation, and air conditioning (HVAC) systems in various city facilities and, WHEREAS, the City desires to retain the Provider to provide said services in connection with the City's work; and, WHEREAS, the Provider is qualified and able to provide services in connection with the City's needs for the above-described work, and is willing and agreeable to provide such services upon the terms and conditions herein contained. NOW, THEREFORE, the parties hereto agree as follows: 1 Scope of Services The Provider agrees to perform in a good and professional manner the tasks described on Exhibit "A" which is attached hereto and by this reference made a part of this Agreement. (The tasks described on Exhibit "A" shall be individually referred to as a "task," and collectively referred to as the "services.") The Provider shall perform the services as an independent contractor and shall not be deemed, by virtue of this Agreement and the performance thereof, to have entered into any partnership, joint venture, employment or other relationship with the City 2. Additional Services In the event additional services with respect to related work are required beyond those specified in the Scope of Work, and not included in the compensation listed in this Agreement, a contract amendment shall be set forth in writing and shall be executed by the respective parties prior to the Provider's performance of the services there under, except as may be provided to the contrary in Section 3 of this Agreement. Upon proper completion and execution of an Amendment (agreement for additional services), such Amendment shall be incorporated into this Agreement and shall have the same force and effect as if the terms of such Amendment were a part of this Agreement as originally executed. The performance of services pursuant to an Amendment shall be subject to the terms and conditions of this Agreement except where the Amendment provides to the contrary, in which case the terms and conditions of any such Amendment shall AG-S-064 Page 1 of 8 AMENDMENT#1 TO SERVICE AGREEMENT NO. AG-S-064 BETWEEN THE CITY OF AUBURN AND McKINSTRY RELATING TO HVAC REPAIR & MAINTENANCE THIS AMENDMENT is made and entered into this W-day of RV!2 G \ , 2013, by and between the CITY OF AUBURN, a municipal corporation of the State of Washin ton (hereinafter referred to as the "CITY"), and McKinstry Company LLC (hereinafter referred to as the "PROVIDER"), as an Amendment to the Service Agreement between the parties for AG-S- 064 executed on the 7t" day of January 2013. The changes to the agreement are described as follows: 1. CONTRACT TERM: There is no change to the date of termination". 2. SCOPE OF WORK: The scope of work is amended to include the following location: Auburn Valley Humane Society. See Exhibit A 3. COMPENSATION: The amount of this amendment is $4,982 plus Washington State Sales Tax (WSST) of$473.29 and WSST in an additional amount of$5,016.76 for previously not included WSST on the original agreement amount of$52,808.The total agreement amount is increased to a total amount of$63,280.05. REMAINING TERMS UNCHANGED: That all other provisions of the Agreement between the parties for AG-S-064 executed on the 7th day of January 2013, shall remain unchanged, and in full force and effect. LLC Auburn Valley Humane Society 5005 Third Avenue South 4910 A Street SE Seattle, WA 98134 Auburn, WA Phone: 206.762.3311 Phone: 253-261-0272 Fax: 206.768.7754 Fax: 253-333-8890 Email: matte @mckinstry.com Email: dpatch @auburnwa.gov Agree preventive maintenance and repair service will be provided at: Auburn Valley Humane Society 4910 A Street SE Auburn, WA In accordance with the enclosed specifications,the terms and conditions set forth in this agreement; and other attachments which are made a part of this agreement: Maintenance shall commence on: 1/1/2013 At an annual fee of: $ 4,982.00 Annually Which is payable: $ 1,245.50 Quarterly Sales Tax excluded if applicable PRE-AUTHORIZED REPAIR LIMIT $ 750.00 This agreement shall continue in effect for a period of one (1) year, and from year to year thereafter, except that either party may provide written notice to the other party of an intention not to continue with thirty (30) days written notice. Contractor agrees to provide repair service to the customers, twenty-four(24) hours per day seven (7) days per week at the contracted rates quoted by the contractor. All repair services performed shall be billed separate of the maintenance agreement and shall not be deemed a part of the preventive maintenance program. It is further agreed that the customer shall be billed for any and all components and materials required to successfully complete such repairs. McKINSTRY CO. will increase this maintenance agreement each year at renewal based on the annual Consumer Price Index(CPI) or Union Labor Contract increases, whichever is greater, not to exceed 4% annually. CPI Index will be calculated by using annual rate for the prior calendar year rounded to the nearest whole number, Union Labor increases will be based on percentage of total salary package increase rounded to the nearest whole number. SCOPE OF OBLIGATIONS Inspect, service and maintain the equipment in accordance with the Scope of Coverage, Schedule and Task List Sections of this Service Agreement; carry out its obligations with reasonable promptness in a workmanlike manner in accordance with industry standards generally applicable in this area; and strive to assure reliable equipment operation at minimal customer cost, consistent with the capabilities of the equipment itself. SERVICE AVAILABILITY McKINSTRY CO. agrees to provide service availability during normal business hours, i.e., 7:00 AM to 4:30 PM, Monday through Friday, holidays excepted, and service at other than normal business hours, if contracted for, at the hourly rate and terms, including vehicle charges or special assessments, then in effect McKINSTRY CO. If any emergency service call is made at Customer's request and inspection does not reveal any defect for which McKINSTRY CO. is responsible, Customer will be liable for regular charges prevailing for such service. Customer acknowledges that there is a minimum charge of one (1) hour. McKINSTRY CO. shall have full and free access to the equipment to provide service. If persons other than representatives of McKINSTRY CO. perform maintenance or repair of a unit of equipment, and as a result further repair by McKINSTRY CO. is required, such repairs will be made at McKINSTRY CO.'s applicable time and material rates and terms then in effect. CHARGES AND TERMS Maintenance contract charges will be invoiced in advance, except for time and material accounts and extra work. Payment is due within 30 days of the invoice date. Any balance due after 30 days shall bear interest at the maximum legal rate permitted from the date said services were rendered. TAXES There will be added to all charges the amount of any present and future taxes or any other governmental charges now or hereafter imposed by existing or future laws with respect to any services rendered or parts supplied. EXCLUSIONS Maintenance service does not include: (a) water supply and drain beyond the subject equipment; (b) equipment housing, casing or enclosure; (c) electrical service beyond the equipment disconnect switch, or service requirements due to power failure; (d) damage caused by freezing; (e) work required by government codes, building and union regulations; (f) energy management and emergency calls resulting from energy management activities (unless added by Contract Rider); (g) repair of damage or increase in service time resulting from accident, transportation, relocation, neglect, misuse, or other than ordinary use; (h) repair to equipment located in an unsuitable place of installation or an unsafe or hazardous environment; (i) emergency calls resulting from system design problems; (j) plumbing (unless added by Contract Rider); (k) non-moving or non-maintainable parts, heat exchangers (all styles), coils, ductwork, and boiler vessels. The Work Order assumes the systems covered to be in maintainable condition. If repairs are found necessary upon initial inspection or initial seasonal start-up, repair charges will be submitted for approval (unless added by Contract Rider). Should these restoration charges be declined, those non-maintainable items will be eliminated from the program and the monthly maintenance price adjusted accordingly. McKINSTRY CO. will not be required to make safety tests or to install new attachments, additional controls, or equipment as recommended or directed by any insurance company or governmental authority, or to make replacements contracted for with parts or devices of a different design for any reason. LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), EQUITY OR OTHERWISE, WILL McKINSTRY CO. FACILITY SERVICE PLAN FOR AUBURN VALLEY HUMANE SOCIETY ile Of Yuui Building Service Terms and Conditions McKINSTRY CO. shall not be responsible or liable for any loss, damages or delay in furnishing materials or failure to perform services when caused by fire, flood, acts of civil or military authorities, insurrection, riot, civil disorder, labor disturbances, or by any other cause which is unavoidable or beyond its control. RESTRICTION ON HIRING If Customer hires or retains as an independent contractor any present or former employee of McKINSTRY CO. within 180 days subsequent to termination of this Agreement, Customer agrees to pay McKINSTRY CO. sum equal to 6 months service charge, as a reasonable reimbursement to McKINSTRY CO. for it's expenses in training and familiarizing the present or former employee with Customer's system. DEFAULT If Customer does not pay the amount due thereunder, or breaches any of the terms of this Agreement, McKINSTRY CO. may, in addition to any other legal remedies it may have, refuse to continue to service the equipment. TERM This Agreement shall remain in effect from year to year or until canceled by either party on 30 days written notice. Prices will be subject to periodic changes due to change in labor and material rates. McKINSTRY CO. will increase maintenance agreements each year at renewal based on the annual Consumer Price Index (CPI) or Union Labor Contract increases, whichever is greater, not to exceed 4% annually. CPI Index will be calculated by using annual rate for the prior calendar year rounded to the nearest whole number, Union Labor increases will be based on percentage of total salary package increase rounded to the nearest whole number. GENERAL This Agreement shall be governed by the laws of the State of Washington. The terms and conditions herein shall prevail notwithstanding any variance with the terms and conditions of any order submitted by Customer with respect to maintenance service. Either party may terminate this Agreement at any time for failure of the other to comply with any of its terms and conditions. Customer represents that he/she is the owner of the equipment or, if not the owner, he/she has authority to enter into this Agreement. In the event any party shall bring suit or action against the other for relief arising out of this Agreement, the prevailing party shall have and recover against the other party all court costs disbursements, and a reasonable attorney's fee. OWNERSHIP RIGHTS Title to and ownership of all equipment and materials installed by McKINSTRY CO. is expressly agreed to be and remains property of McKINSTRY CO. until payment in full, for any and all equipment and materials has been received by McKINSTRY CO. In the event of default hereunder, McKINSTRY CO. shall have the right without notice to enter at any time the premises of the contracting party wherein any materials or equipment of McKINSTRY CO.'s is located and to take possession and removal of the same without recourse to any legal proceedings for that purpose, or without any liability whatsoever arising there from. No action of any character arising from or related to this contract, or the performance thereof shall be commenced by either party against the other more than two years after completion of cessation of work under this contract. CUSTOMER OBLIGATIONS The customer shall be responsible for and agrees to: Properly operate the equipment in accordance with the applicable operating manuals and recommended procedures and insure that qualified personnel are provided for such operation; Promptly report unusual Equipment operating conditions or operation to McKINSTRY CO.; Furnish McKINSTRY CO. personnel safe, and clean access to all equipment to be serviced; and Provide professional cooling tower water treatment in accordance with McKINSTRY CO.'s recommendations. HAZARDOUS SUBSTANCES McKINSTRY CO.'s obligation under this service agreement and any subsequent contract does not include the identification, abatement or removal of asbestos or any other toxic or hazardous substances, hazardous wastes or hazardous materials, or any fungus(es) or spore(s); substance, vapor or gas produced by or arising out of any fungus(es) or spore(s); or any material, product, building component or structure that contains, harbors, nurtures or acts as a medium for any fungus(es) or spore(s). In the event such substances, wastes and materials are encountered, McKINSTRY CO.'s sole obligation will be to notify the Customer of their existence. McKINSTRY CO. shall have the right thereafter to suspend its work until such substances, wastes or materials and the resultant hazards are removed. In all other respects, any Amendment shall supplement and be construed in accordance with the terms and conditions of this Agreement. 3. Performance of Additional Services Prior to Execution of an Amendment The parties hereby agree that situations may arise in which services other than those described on Exhibit "A" are desired by the City and the time period for the completion of such services makes the execution of Amendment impractical prior to the commencement of the Provider's performance of the requested services. The Provider hereby agrees that it shall perform such services upon the written request of an authorized representative of the City pending execution of an Amendment, at a rate of compensation to be agreed to in connection therewith. The invoice procedure for any such additional services shall be as described in Section 7 of this Agreement. 4 Provider's Representations The Provider hereby represents and warrants that the Provider has all necessary licenses and certifications to perform the services provided for herein, and is qualified to perform such services. 5 City's Responsibilities The City shall do the following in a timely manner so as not to delay the services of the Provider- a. Designate in writing a person to act as the City's representative with respect to the services. The City's designee shall have complete authority to transmit instructions, receive information, interpret and define the City's policies and decisions with respect to the services. b Furnish the Provider with all information, criteria, objectives, schedules and standards for the project and the services provided for herein. c. Arrange for access to the property or facilities as required for the Provider to perform the services provided for herein. d. Examine and evaluate all studies, reports, memoranda, plans, sketches, and other documents prepared by the Provider and render decisions regarding such documents in a timely manner to prevent delay of the services. 6. Acceptable Standards The Provider shall be responsible to provide, in connection with the services contemplated in this Agreement, work products and services of a quality and professional standard acceptable to the City 7 The Provider shall comply with every provision of the Revised Code of Washington Chapter 39 12. A copy of a Statement of Intent to Pay Prevailing Wages, approved by the Industrial Statistician of the Department of Labor & Industries, must be submitted to the City prior to any payment for services rendered. An Affidavit of Wages Paid must be received by the City prior to issuance of final payment. Should the term of this agreement go beyond one year, the wages that the Provider shall pay its employees must be altered annually to recognize and AG-S-064 Page 2 of 8 follow the most recently promulgated increases in prevailing wages each year after the first year of the contract period. 8. Compensation As compensation for the Provider's performance of the services provided for herein, the City shall pay the Provider the fees and costs specified on Exhibit "A" which is attached hereto and by this reference made a part of this Agreement (or as specified in an Amendment) The Provider shall submit to the City an invoice or statement of time spent on tasks included in the scope of work provided herein, and the City upon acceptance of the invoice or statement shall process the invoice or statement in the next billing/claim cycle following receipt of the invoice or statement, and shall remit payment to the Provider thereafter in the normal course, subject to any conditions or provisions in this Agreement or Amendment. The Agreement number must appear on all invoices or statements submitted. Continuation of Performance In the event that any dispute or conflict arises between the parties while this Contract is in effect, the Provider agrees that, notwithstanding such dispute or conflict, the Provider shall continue to make a good faith effort to cooperate and continue work toward successful completion of assigned duties and responsibilities. Provider shall maintain automobile insurance with minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. AG-S-064 Page 4 of 8 b Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors, products-completed operations, stop gap liability, personal injury and advertising injury, and liability assumed under an insured contract. The Commercial General Liability insurance shall be endorsed to provide the Aggregate Per Project Endorsement ISO form CG 25 03 11 85 There shall be no endorsement or modification of the Commercial General Liability insurance for liability arising from explosion, collapse or underground property damage. The City shall be named as an insured under the Contractor's Commercial General Liability insurance policy with respect to the work performed for the City using ISO Additional Insured endorsement CG 20 10 10 01 and Additional Insured-Completed Operations endorsement CG 20 37 10 01 or substitute endorsements providing equivalent coverage. Commercial General Liability insurance shall be written with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate, and a $2,000,000 products-completed operations aggregate limit. c. Worker's Compensation coverage as required by the Industrial Insurance laws of the State of Washington. The insurance policies are to contain, or be endorsed to contain, the following provisions for Automobile Liability and Commercial General Liability insurance. a. The Provider's insurance coverage shall be primary insurance as respects the City Any insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the Provider's insurance and shall not contribute with it. b The Provider's insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after 30 days prior written notice by certified mail, return receipt requested, has been given to the City Insurance is to be placed with an authorized insurer in Washington State. The insurer must have a current A.M. Best rating of not less than A.VII Provider shall furnish the City with certificates of insurance and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Provider before commencement of the work. The City reserves the right to require that complete, certified copies of all required insurance policies be submitted to the City at any time. The City will pay no progress payments under Section 7 until the Provider has fully complied with this section. 16 Indemnification/Hold Harmless The Provider shall defend, indemnify and hold the City and its officers, officials, employees, and volunteers harmless from any and all claims, injuries, damages, losses, or suits including attorney fees, arising out of or in connection with the AG-S-064 Page 5 of 8 performance of this Agreement, except for injuries and damages caused by the sole negligence of the City Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24 115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Provider and the City, its officers, officials, employees, and volunteers, the Provider's liability hereunder shall be only to the extent of the Provider's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Provider's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. 17 Assignment Neither party to this Agreement shall assign any right or obligation hereunder in whole or in part, without the prior written consent of the other party hereto. No assignment or transfer of any interest under this Agreement shall be deemed to release the assignor from any liability or obligation under this Agreement, or to cause any such liability or obligation to be reduced to a secondary liability or obligation. 18 Nondiscrimination The Provider may not discriminate regarding any services or activities to which this Agreement may apply directly or through contractual, hiring, or other arrangements on the grounds of race, color, creed, religion, national origin, sex, age, or where there is the presence of any sensory, mental or physical handicap 19 Amendment, Modification or Waiver No amendment, modification or waiver of any condition, provision or term of this Agreement shall be valid or of any effect unless made in writing, signed by the party or parties to be bound, or such party's or parties' duly authorized representative(s) and specifying with particularity the nature and extent of such amendment, modification or waiver Any waiver by any party of any default of the other party shall not affect or impair any right arising from any subsequent default. Nothing herein shall limit the remedies or rights of the parties hereto under and pursuant to this Agreement. 20 Termination and Suspension Either party may terminate this Agreement upon written notice to the other party if the other party fails substantially to perform in accordance with the terms of this Agreement through no fault of the party terminating the Agreement. I HAZARDOUS SUBSTANCES McKINSTRY CO.'s obligation under this service agreement and any subsequent contract does not Include the Identification, p abatement or removal of asbestos or any other toxic or hazardous substances, hazardous wastes or hazardous materials, or I4 any fungus(es) or spore(s); substance, vapor or gas produced by or arising out of any fungus(es) or spore(s); or any material, product, building component or structure that contains, harbors, nurtures or acts as a medium for any fungus(es) or spore(s). In the event such substances, wastes and materials are encountered, McKINSTRY CO.'s sole obligation will be to notify the Customer of their existence. McKINSTRY CO, shall have the right thereafter to suspend Its work until such substances, wastes or materials and the resultant hazards are removed. The time for completion of the work shall be extended to the extent caused by the suspension and the contract price equitably adjusted. FILTER DISPOSAL Customer agrees to allow disposal of all replaced filters on site.
