HomeMy WebLinkAboutAG-C-447, Fehr and Peers LLCAGREEMENT FOR PROFESSIONAL SERVICES AG -C -447 THIS AGREEMENT made and entered into by and between the CITY OF AUBURN, a Municipal Corporation in King County, Washington, hereinafter referred to as "CITY" and Fehr and Peers, LLC whose address is 1001 4th Avenue, Suite 4120, Seattle, WA, 98154, hereinafter referred to as "CONSULTANT." In consideration of the covenants and conditions of this Agreement, the parties hereby agree as follows: 1. SCOPE OF WORK. See Exhibit A, which is attached hereto and by this reference made a part of this Agreement. 2. TERM. The CONSULTANT shall not begin any work under this Agreement until authorized in writing by the CITY. All work under this Agreement shall be completed by December 31, 2014 and can be amended by both parties for succeeding years. The established completion time shall not be extended because of any delays attributable to the CONSULTANT, but may be extended by the CITY in the event of a delay attributable to the CITY, or because of unavoidable delays caused by an act of GOD or governmental actions or other conditions beyond the control of the CONSULTANT. A prior supplemental Agreement issued by the CITY is required to extend the established completion time. 3. COMPENSATION. Compensation will be on a time and material basis, not to exceed $56,090. Costs will be based on Exhibit B, which is attached hereto and by this reference made a part of this Agreement. Agreement for Professional Services AG -C-447 March 14, 2014 Page 1 of 11 0 E-1LP -7 The CONSULTANT shall be paid by the CITY for direct non -salary cost, per attached Exhibit C, at the actual cost to the CONSULTANT plus 10 %. Exhibit C is attached hereto and by this reference made a part of this Agreement. These charges may include, but are not limited to the following items: outside reproduction fees, courier fees, subconsultant fees, and materials and supplies. The billing for non -salary cost, directly identifiable with the project, shall be submitted as an itemized listing of charges supported by copies of the original bills, invoices, expense accounts and miscellaneous supporting data retained by the CONSULTANT. Copies of the original supporting documents shall be supplied to the CITY upon request. All above charges must be necessary for the services provided under the Agreement. In the event services are required beyond those specified in the Scope of Work, and not included in the compensation listed in this Agreement, a contract modification shall be negotiated and approved by the CITY prior to any effort being expended on such services. 4. SUBCONTRACTING. The CITY permits subcontracts for those items of work necessary for the completion of the project. The CONSULTANT shall not subcontract for the performance of any work under this AGREEMENT without prior written permission of the CITY. No permission for subcontracting shall create, between the CITY and subcontractor, any contractor or any other relationship. Compensation for any subconsultant work is included in Section 3 of this Agreement and all reimbursable direct labor, overhead, direct non -salary costs and fixed fee costs for the subconsultant shall be substantiated in the same manner as outlined in Section 3. All subcontracts shall contain all applicable provisions of this AGREEMENT. Agreement for Professional Services AG -C -447 March 14, 2014 Page 2 of 11 5. RESPONSIBILITY OF CONSULTANT. The CONSULTANT shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all studies, analysis, designs, drawings, specifications, reports and other services performed by the CONSULTANT under this Agreement. The CONSULTANT shall, without additional compensation, correct or revise any errors, omissions or other deficiencies in its plans, designs, drawings, specifications, reports and other services required. The CONSULTANT shall perform its services to conform to generally- accepted professional engineering standards and the requirements of the CITY. Any approval by the CITY under this Agreement shall not in any way relieve the CONSULTANT of responsibility for the technical accuracy and adequacy of its services. Except as otherwise provided herein, neither the CITY'S review, approval or acceptance of, nor payment for, any of the services shall be construed to operate as a waiver of any rights under this Agreement or of any cause of action arising out of the performance of this Agreement to the full extent of the law. 6. INDEMNIFICATION /HOLD HARMLESS. The CONSULTANT shall defend, indemnify and hold the CITY, its officers, officials, volunteers, and employees harmless from any and all claims, injuries, damages, losses, or suits, including attorney fees, arising out of or resulting from the negligent acts, errors or omissions of the CONSULTANT in performance of this Agreement, except for injuries or damages caused by the sole negligence of the CITY. It is further specifically and expressly understood that the indemnification provided herein constitutes the CONSULTANT'S waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been Agreement for Professional Services AG -C -447 March 14, 2014 Page 3 of 11 negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. 7. INDEPENDENT CONTRACTOR /ASSIGNMENT. The parties agree and understand that the CONSULTANT is an independent contractor and not the agent or employee of the CITY and that no liability shall attach to the CITY by reason of entering into this Agreement except as otherwise provided herein. The parties agree that this Agreement may not be assigned in whole or in part without the written consent of the CITY. B. INSURANCE. CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT, its agents, representatives, or employees. CONSULTANT'S maintenance of insurance as required by the Agreement shall not be construed to limit the liability of the CONSULTANT to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. CONSULTANT shall obtain insurance of the types and in the amounts described below: a. Automobile Liability insurance covering all owned, non - owned, hired and leased vehicles, with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. Agreement for Professional Services AG -C -447 March 14, 2014 Page 4 of 11 b. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors, and personal injury and advertising injury, with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. The CITY shall be included as an additional insured under the CONSULTANT'S Commercial General Liability insurance policy with respect to the work performed for the CITY using the applicable ISO Additional Insured endorsement or equivalent. c. Worker's Compensation coverage as required by the Industrial Insurance laws of the State of Washington. If the consultant is a sole proprietor, the parties agree that Industrial Insurance would be required if the CONSULTANT had employees. However, the parties agree that a CONSULTANT who has no employees would not be required to have Worker's Compensation coverage. d. Professional Liability insurance appropriate to the CONSULTANT'S profession, with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit. The insurance policies are to contain, or be endorsed to contain, the following provisions for Automobile Liability, Professional Liability, and Commercial General Liability insurance: a. The CONSULTANT'S insurance coverage shall be primary insurance as respects the CITY. Any insurance, self insurance, or insurance pool coverage maintained by the CITY shall be excess of the CONSULTANT'S insurance and shall not contribute with it. The CONSULTANT'S insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice has been given to the CITY by certified mail, return receipt requested. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. Insurance is to be placed with insurers with a current A.M. Best rating of not less than A -:VII. The CONSULTANT shall furnish the City with certificates of insurance and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance coverage required by this section, before commencement of the work. The CITY reserves the right to require that complete, certified copies of all required insurance policies be submitted to the CITY at any time. The CITY will pay no progress payments under Section 3 until the CONSULTANT has fully complied with this section. 9. NONDISCRIMINATION. The CONSULTANT may not discriminate regarding any services or activities to which this Agreement may apply directly or through contractual, hiring, or other arrangements on the grounds of race, color, creed, religion, national origin, sex, sexual orientation, age, or where there is the presence of any sensory, mental or physical handicap. 10. OWNERSHIP OF RECORDS AND DOCUMENTS. The CONSULTANT agrees that any and all drawings, computer discs, documents, records, books, specifications, reports, estimates, summaries and such other information and materials as the CONSULTANT may have accumulated, prepared or obtained as part of providing services under the terms of this Agreement by the CONSULTANT, shall belong to and shall remain the property of the CITY OF AUBURN. Agreement for Professional Services AG -C -447 March 14, 2014 Page 6 of 11 In addition, the CONSULTANT agrees to maintain all books and records relating to its operation and concerning this Agreement for a period of six (6) years following the date that this Agreement is expired or otherwise terminated. The CONSULTANT further agrees that the CITY may inspect any and all documents held by the CONSULTANT and relating to this Agreement upon good cause at any reasonable time within the six (6) year period. The CONSULTANT also agrees to provide to the CITY, at the CITY'S request, the originals of all drawings, documents, and items specified in this Section and information compiled in providing services to the CITY under the terms of this Agreement. 11. CERTIFICATION REGARDING DEBARMENT, SUSPENSION, AND OTHER RESPONSIBILITY MATTERS - PRIMARY COVERED TRANSACTIONS. The prospective primary participant certifies to the best of its knowledge and belief, that it and its principals: (a) Are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from covered transactions by any federal department or agency; (b) Have not within a three -year period preceding this proposal been convicted of or had a civil judgment rendered against them for commission or fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (federal, state, or local) transaction or contract under a public transaction; violation of federal or state antitrust statues or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, or receiving stolen property; Agreement for Professional Services AG -C -447 March 14, 2014 Page 7 of 11 (c) Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity (federal, state, or local) with commission of any of the offenses enumerated in paragraph "(b)" of this certification; and (d) Have not within a three -year period preceding this application /proposal had one or more public transactions (federal, state, or local) terminated for cause or default. Where the prospective primary participant is unable to certify to any of the statements in this certification, such prospective participant shall attach an explanation to this proposal. 12. TERMINATION OF AGREEMENT. This Agreement may be terminated by either party upon twenty (20) days written notice to the other party, and based upon any cause. In the event of termination due to the fault of other(s) than the CONSULTANT, the CONSULTANT shall be paid by the CITY for services performed to the date of termination. Upon receipt of a termination notice under the above paragraph, the CONSULTANT shall (1) promptly discontinue all services affected as directed by the written notice, and (2) deliver to the CITY all data, drawings, specifications, reports, estimates, summaries, and such other information and materials as the CONSULTANT may have accumulated, prepared or obtained in performing this Agreement, whether completed or in process. 13. GENERAL PROVISIONS. 13.1. This Agreement shall be governed by the laws, regulations and ordinances of the City of Auburn, the State of Washington, King County, and where applicable, Federal laws. All claims, disputes and other matters in question arising out of, or relating to, this Agreement or the breach hereof, except with respect to claims which have been waived, will be decided by a court of competent jurisdiction in King County, Washington. Pending final decision of a dispute hereunder, the CONSULTANT and the CITY shall proceed diligently with the performance of the services and obligations herein. 13.3. In the event that any dispute or conflict arises between the parties while this Agreement is in effect, the CONSULTANT agrees that, notwithstanding such dispute or conflict, the CONSULTANT shall continue to make a good faith effort to cooperate and continue work toward successful completion of assigned duties and responsibilities. 13.4. The CITY and the CONSULTANT respectively bind themselves, their partners, successors, assigns, and legal representatives to the other party to this Agreement with respect to all covenants to this Agreement. 13.5. This Agreement represents the entire and integrated Agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations or agreements either oral or written. This Agreement may be amended only by written instrument signed by both the CITY and the CONSULTANT. 13.6. Should it become necessary to enforce any term or obligation of this Agreement, then all costs of enforcement including reasonable attorneys fees and expenses and court costs shall be paid to the substantially prevailing party. 13.7. The CONSULTANT agrees to comply with all local, state and federal laws applicable to its performance as of the date of this Agreement. 13.8. If any provision of this Agreement is invalid or unenforceable, the remaining provisions shall remain in force and effect. This Agreement shall be administered by Bob Sicko on behalf of the CONSULTANT, and by the Mayor of the CITY, or designee, on behalf of the CITY. All notices or communications permitted or required to be given under this Agreement shall be in writing and shall be delivered in person or deposited in the United States mail, postage prepaid. Any such delivery shall be deemed to have been duly given if mailed by certified mail, return receipt requested, and addressed to the address for the party set forth in 13.9 or if to such other person designated by a party to receive such notice. It is provided, however, that mailing such notices or communications by certified mail, return receipt requested is an option, not a requirement, unless specifically demanded or otherwise agreed. Any party may change his, her, or its address by giving notice in writing, stating his, her, or its new address, to any other party, all pursuant to the procedure set forth in this section of the Agreement. 13.11. This Agreement may be executed in multiple counterparts, each of which shall be one and the same Agreement and shall become effective when one or more counterparts have been signed by each of the parties and delivered to the other party. March 11, 2014 To: James Webb, City of Auburn From: Bob Sicko, Fehr & Peers Subject: Scope of Work to Update the City of Auburn Travel Demand Model Vork Order Scope Objective: As one of the largest cities in South King County, the City of Auburn (City) is poised to see substantial growth and change over the next several decades. A critical tool to help the City plan for this change is a robust Travel Demand Forecasting (TDF) model. At a general level, the TDF model will assist the City in understanding how local and regional land use growth and future transportation projects will affect transportation choices and travel patterns in the future. With this knowledge in hand, the TDF model will facilitate the identification and prioritization of capital facilities needs associated with the 2015 Comprehensive Plan Update, Six -Year Transportation Improvement Program (TIP), and traffic impacts related to transportation concurrency management. By updating the City's TDF model, Fehr & Peers will ensure that the City of Auburn has access to the best tools available for conducting these tasks. The objective of this scope of work is to lay out a thorough list of activities to update the City's TDF model in a comprehensive and timely manner. The model was previously updated in July 2007. At that time a 2007 base year was created along with two future years, 2015 and 2030. The City has the following expectations for the updated TDF model to be completed by the Consultant: • A calibrated /validated 2012 base -year model (or the latest data the City of Auburn has) and future years of 2025 and 2040 with updates to both the land use and transportation network input files. • Updated trip tables for external - internal, internal - external, and external - external trip tables. • Consistency with the most recent release of the Puget Sound Regional Council (PSRC) base year land use estimates and the future year target based forecasts. Thematic maps will be required to show high household and employment areas for the base and future years. • Review and documentation of key assumptions used in the model (Land Use definitions, trip rates, model procedures, etc.) Safeco Plaza, 1001 4N Avenue, Suite 4120, Seattle WA, 98154 www,f ehrandpeors.com 3/11/14 Page 2 of 7 Work Elements: The following work elements will be completed for this project. A detailed description of the work elements follows. 1. Develop base year land use estimates (approximately 2012). 2. Update 2012 base year network. 3. Create external - internal, internal - external and external - external trip tables for the PM peak hour based on PSRC model run. 4. Review and summarize the trip generation and distribution models within the Auburn TDF model. 5. Static and dynamic validation of current base year model. 6. Validate base year 2012 TDF model 7. Create year 2025 land use input and TDF model; update roadway network based on Fehr & Peers review of local TIPS, STIP, and other long range plans. 8. Create year 2040 land use input and TDF model, update roadway network based on Fehr & Peers review of local TIPS, STIP, and other long range plans. 9. Documentation: Model Development and Validation Report. Below are a list of optional work elements that could also be included in the TDF model update project: 10. Optional Work Element E: City Staff Training on new Auburn TDF Model The work elements are described below in more detail below. Work Element 1: Develop base year land use estimates (2012) The PSRC base year land use forecasts at the 938 Transportation Analysis Zone (TAZ) system will be used to support development of the Cities base year land use estimates. The PSRC also has a 3,700 TAZ system that may have some potential to support the base year land use development. Fehr & Peers will perform the following tasks to complete this work element: 3/11/14 Page 3 of 7 • Prepare GIS maps showing the relationship between the current Auburn TDF TAZs to the PSRC 938 and 3,700 TAZs. • Develop an equivalency between the two PSRC TAZs and the Auburn TDF TAZs. • Refine boundaries of up to 50 Auburn TAZs to better match development patterns. • Create thematic maps showing households and employment in the Auburn TDF model area. • Work with the City and PSRC to obtain employment data at the selected TAZ structure that minimizes confidentiality restraints. • Work with the City to select a basis (PSRC 938 or 3,700) for the new land use file Deliverables: Revised TAZ system. New land use file. Memo with description of the data sources and modifications made to finalize base year. Work Element 2: Update 2012 base year network The 2006 base year arterial and highway networks have been reviewed by the City and recommendations have been made for modifications and updates to the 2006 networks to represent a 2012 network. Consultant will review and make the recommended changes in the TDF model network. Deliverables: Updated base arterial network Work Element 3: Create external - internal, internal - external and external - external trip tables for the PM peak hour Consultant will develop external - internal (XI), internal - external (IX) and external - external (XX) trip tables to for the updated Auburn TDF model. We currently have a 2012, 2025 and 2040 set of PSRC regional TDF models that have been updated for use in the 1 -405 and SR 167 Eastside Corridor Tolling Study. These regional models will provide a consistent set of regional demand estimates for the Auburn TDF model. The following tasks will be performed to develop the trip table data: Perform a sub area extraction from the 2012 PSRC regional base year model and 2025 and 2040 models to create the XI, IX and XX trip data Format the data for use in the updated Auburn TDF model. Deliverables: Input files for the updated Auburn TDF model. Work Element 4: Review and summarize the trip generation and distribution models Consultant will review the trip generation and distribution models to determine the key variables, trip rates, and coefficients. Including summarizing the information in a tabular format for the current base year. The Consultant will compare the rates that are 3/11/14 Page 4 of 7 currently being used in similar models to insure that the Auburn data is consistent. If the data are inconsistent, the Consultant will make recommendations for how it could be updated. In general, no changes are needed for the trip generation component of the model. Any updates that are agreed on by the City would be prepared as part of an amended contract. Deliverables: Technical memo summarizing the findings of the review of the trip generation and distribution models. Work Element 5: Static validation of the 2012 Base Year model Based on the work outlined in the previous tasks, a base year 2012 Auburn TDF model will be developed. The base year model will be updated to include new PM peak hour counts at screenlines and key arterial segments. The initial base year model will be run and compared to observed data — static validation results will be mea ured against FHWA guidelines. The following will be included in the validation process: • Up to 12 screenlines determined by City • Up to 36 arterial segments determined by City For this work element, it is assumed that the City will provide the PM peak hour traffic counts. Deliverables: Technical memo (and spreadsheets) summarizing validation effort. Work Element 6: Dynamic validation of the 2012 Base Year model The Consultant will perform a series of dynamic validation tests to determine the model's sensitivity to land use changes and network modifications. These tests will include, but not be limited to, adding 100 or 5,000 households or jobs to a TAZ to see how the model responds to small and large changes in land use. If issues are observed, the Consultant will work with the City to determine a course of action to better enhance the model. Similar tests are made to the roadway network (e.g., remove a lane, add a new link, etc.). Deliverables: A short technical memorandum providing a summary on the models sensitivity to land use or network changes. Work Element 7: Creation of year 2025 land use and TDF model (with appropriate network enhancements). The Consultant will work with the City to develop a 2025 land use database using the PSRC Target forecasts. The base year transportation network will be updated to incorporate all applicable transportation improvement plans, including Sound Transit facility plans from the Sound Transit model, WSDOT long range plans from the STIP, local transportation improvements and adjacent jurisdiction's TIP /CIP projects to create 3/11/14 Page 5 of 7 a 2025 roadway network. We will provide a summary of the proposed 2025 roadway network for review by the City. Deliverables: A year 2025 Auburn TDF model. Work Element 8: Creation of year 2040 land use and TDF model (with appropriate network enhancements). The Consultant will work with the City to develop a 2040 land use database using the PSRC Target forecasts. The PSRC has only developed year 2035 forecasts which will require consultation to establish a 2040 land use data set. The base year transportation network will be updated to incorporate all applicable transportation improvement plans, including King County and Sound Transit operations plans, WSDOT long range plans, local transportation improvements and adjacent jurisdiction's TIP /CIP projects. We will provide a summary of the proposed 2040 roadway network for review by the City. Deliverables: A year 2040 Auburn TDF model. Work Element 9: Documentation on the methodology to update and validate the Auburn TDF model. The Consultant will develop a Model Development Report that focuses on the assumptions and methodology for the Auburn TDF model update. The report will discuss network modifications, model input and parameters assumptions, validation results and the land use assumptions used in the TDF model. Optional Work Element A: Comprehensive Plan Transportation Chapter Scoping Workshop The Consultant, if requested by the City, will facilitate a Transportation Chapter scoping workshop that would include applicable City staff, as well as any other representatives that the City feels would be beneficial. This workshop would last 3 hours and would cover the following topics: • Transportation System Priorities – This would be an aerial mapping exercise in which staff and consultant would identify components of the City's transportation system that work well, components that are not performing well, and fixes they would like to see included in the Transportation Chapter Update. o Desired outcomes: All staff engaged. Ideas are put on the table early and can be discussed in a multi - disciplinary forum. Provides a baseline understanding of existing transportation function and deficiency areas. Provides the universe of improvements that have been considered and their relative merits. • Level of Service and GMA Requirements —The Consultant would provide a high - level overview of level of service (LOS) – what it is, how it's measured, and what 3/11/14 Page 6 of 7 the GMA requires. The Consultant will provide examples of alternative LOS policies and measurement approaches, including the relative benefits and tradeoffs of each approach. Desired outcomes: City understands what LOS means and what the GMA requires for this plan. City understands the consequences of selecting alternative LOS policies, in terms of infrastructure costs and the friendliness of the transportation system for all travel modes (autos, transit, bikes, and pedestrians). Best Practices from Other Communities — The Consultant will provide up to three case studies of transportation planning approaches from other communities. o Desired Outcomes: The City will understand what some alternative planning approaches are and what the implications of using. these different approaches are. Answers the question — what are other communities doing? Deliverable: Memo describing outcome of the Transportation Chapter Scoping Workshop, which can provide guidance for in -house plan development. Optional Work Element B: Near and Long Term Transportation Funding If requested by the City the Consultant may provide assistance in the near and long term funding plan.. The City's Finance staff could be incorporated into this meeting. Prior to the meeting, the Consultant would outreach to the City to understand historic (last 3 -5 years) expenditures for transportation, as well as projections for funding over the next 10 -20 years. It is assumed that the City would provide estimates of transportation revenues and expenditures, as well as revenue forecasts. The above meeting could be expanded such that the Consultant could facilitate a discussion about revenues available for transportation in the near and long term. The Consultant will provide a general memorandum summarizing the financial information gleaned from the City, introduce options for generating additional revenues, and discuss how funding impacts the size and timing of the capital project? The desired outcome would be that participants will be on the same page with respect to revenues available for transportation projects and spending priorities. Optional Work Element C: Analyze Future Year Land Use Testing 3/11/14 Page 7 of 7 The Consultant, as requested by the City, will develop up to three alternative TDF scenarios using the 2035 baseline model with alternative land use developed by the City. Analysis could include a review of changes in travel demand and LOS for key intersections within the City. Optional Work Element D: Future Year Smart Growth Based on the findings from Work Element 6 (Dynamic validation), the Consultant has the tools available to examine the effects of higher density and trip generation rates. Downtown Auburn is defined as a PSRC Urban Center, and as such, it is poised to transform into a higher- density, mixed -use center over time. Coupled with the potential increase in rail and bus service to the area, the future travel characteristics of the area will be markedly different than those today. While The Consultant has successfully adapted TDF models to better account for the higher non -auto mode share of mixed use and transit - oriented centers, most models are still less sensitive to increased land use density and diversity of uses than would be suggested by the research. To address this potential shortcoming, The Consultant has developed MXD, or Mixed Use Development trip generation adjustments that can be incorporated within the TDF model framework.
