This Scope of Work ( "SOW ") is made and entered into between MSN Communications Inc. dba
Mountain States Networking, a Utah corporation, with offices at 1226 East 6600 South #200, Salt
Lake City, Utah 84121 ( "Mountain States') and CITY OF AUBURN ( "Customer'), with offices at 1 E
Main St, Auburn, WA 98002 as of the date last written below ( "Effective Date")
This SOW defines the services and deliverables that Mountain States shall provide to Customer
under the terms of the Agreement. The terms of this SOW are limited to the scope of this SOW and
shall not be applicable to any other SOWs, which may be executed and attached to the Agreement.
The scope and pricing of this SOW are valid for 30 days from the effective date of 25 April 2014_
After 60 days, the information contained in the SOW is no longer valid and will need to be re-
assessed which could lead to an increase in cost of services and delay in execution of the project.
NOTE: UNDER NO CIRCUMSTANCES IS ANY PART OF THIS DOCUMENT TO BE DISCLOSED
TO A THIRD PARTY OR USED FOR ANY PURPOSE OTHER THAN THE EXECUTION OF THIS
PROJECT BY MOUNTAIN STATES NETWORKING AND CITY OF AUBURN WITHOUT THE
PRIOR WRITTEN CONSENT OF MOUNTAIN STATES NETWORKING.
Mountain States acknowledges that Customer is subject to Washington State's Public Records Act
(Chapter 42.56 of the Revised Code of Washington). If Customer receives a request for records
related to this contract, Customer will notify Mountain States of the request, and will give Mountain
States ten working days to obtain a court order enjoining the release of the records. Customer will
not claim, assert, or defend "trade secrets" or "proprietary information" exemptions, but will
cooperate with any such claim asserted by Mountain States. If the Customer is assessed fines,
penalties or costs under the Public Records Act based on such claims asserted by Mountain
States, Mountain States will reimburse the Customer for those fines penalties or costs.
Executive Summary
This document will be used to define the Mountain States Networking tasks as well as the
responsibilities of the Customer, CITY OF AUBURN, as it pertains to Unified Communications.
Deliverables
The following deliverables will be created by Mountain States and provided to Customer as part of
this project.
Defines project Implementation deliverables. Customer signotf and
Implementation SOW Purchase Order marks the official beginning milestone of the
implementation phase.
Project Completion Form Project acceptance and completion form at the completion of Day One
Support period showing all project plan items completed.

Project Scope
1.1 Proiect Descriotion
Mountain States Networking will perform the implementation of the Unified Communications as
described in section 1.3 - Deployment Scope of Work below. Using the equipment and software
including 3 year SMARTnet as incorporated into the attached Quote.
1.1a Jurisdiction and Venue
Any disputes related to this Agreement shall be resolved under the laws of the State of Washington.
Jurisdiction shall be in King County Superior Court, or in the Western District of Washington
Federal Court, as may be appropriate.
1.2 Services
E Unless specified otherwise in this SOW, services shall be performed during normal
business hours 0800 — 1700 Monday through Friday.
O Services may be provided by Mountain States, individuals or organizations employed by or
under contract with Mountain States, at the discretion of Mountain States.
E Mountain States will provide installation, configuration and deployment support.
E Mountain States will assign appropriate resources for design, delivery, and implementation.
1.3 Deployment Scope of Work
CITY OF AUBURN has requested assistance upgrading their voice network to Cisco Virtualized
UCM version 9.1 on the UCS platform. No changes to voice configuration will be made during the
upgrade process. All change requests will be part of a separate project to ensure a successful
upgrade due to backup and restore requirements. The following will be performed:
Cisco UCS Servers
O Deliver UCS Pre - Install Workbook, to be completed by customer prior to equipment arrival.
O Review Rack and Power requirements with customer and deliver power utilization reports
for UCS equipment
O Discuss and plan for physical network connections "Upstream" from UCS Fabric
Interconnect switches
El Wire Fabric Interconnects to "Upstream" network
E Wire Fabric Interconnects to "Storage" network
O Wire Fabric Interconnects to UCS Blade Chassis
O Configure ports on Fabric Interconnects for LAN, SAN, and servers connectivity
E Configure and setup Cisco blade servers
E Create Service Profile Templates based on customer Workbook (Step a.) using IP
address, WWPN, VLAN's, etc.
E Deploy Service Profiles to Blades
E Assist with the installation of VMware ESXi hypervisor on the Cisco UCS Servers
E Upload ISO files to datastore on each server

• Inbound & outbound calling
• SRST failover
• 911
1.4 Post Installation, Customer Handoff, and Training Scope of Work
Mountain States will provide information on administration, configuration, and maintenance to the
Customer's system administrator who is a qualified Administrator. The system administrator will
also review end -user and client software functionality.
1.5 Personnel
Mountain States utilizes a skills -based implementation philosophy. Based on a project's needs,
individuals with specific skill sets will be utilized at various phases of a given project. This allows
Mountain States to provide Customer with a specialized team to accomplish a successful
implementation. The Mountain States' Project Manager is responsible for assigning and scheduling
engineers as needed.
1.6 Protect Schedule
Mountain States and Customer will mutually agree upon the final project schedule. Customer
acknowledges that the completion of activities by the Task Date is dependent upon Customer
fulfilling its obligations hereunder. Estimated completion is 2 weeks from start date and is
dependent on customer's vendor contracts, current ESW, and current UCSS for software and
support. Onsite time is approximately 30 hours.

1.7 Change Management Procedures
It may become necessary to amend this Scope of Work for reasons including, but not limited to, the
following:
a) Customer's changes to the scope of work and /or specifications for the Services,
b) Customer's changes to the Implementation Plan,
c) Non - availability of resources which are beyond either party's control, and /or,
d) Environmental or architectural impediments not previously identified.
In the event either party desires to change this Scope of Work, the following procedures will apply:
a) The party requesting the change (either the Customer or Mountain States) will deliver a
Change Request document (Appendix B) to the other party. The Change Request will
describe the nature of the change, the reason for the change and the effect the change
will have on the scope of work,.which may include changes to the Deliverables, and the
schedule. The parties will evaluate the Change Request and negotiate in good faith
the changes to the Services and the additional charges, if any, required to implement
the Change Request. If both parties agree to implement the Change Request, the
appropriate authorized representatives of the parties will sign the Change Request,
indicating the acceptance of the changes by the parties.
b) Upon execution of the Change Request, said Change Request will be incorporated
into, and made a part of this SOW.
c) Whenever there is a conflict between the terms and conditions set forth in a fully
executed Change Request and those set forth in the original SOW, or previous fully
executed Change Request, the terms and conditions of the most recent fully executed
Change Request shall prevail.

1.9 Mountain States Networking Project Management
a) Designate a Mountain States Project Manager to be Customer's primary point of
contact for all Installation activities.
b) Coordinate with Customer and Mountain States project personnel to facilitate the
project.
c) Regularly review Mountain States project activities, any checkpoint meetings and
overall schedule for the project activities.
d) Ensure Mountain States employees and any Mountain States subcontractors conform
to Customer's reasonable workplace policies, conditions and safety regulations that are
consistent with Mountain States' obligations herein and that are provided to Mountain
States in writing prior to commencement of the Services; provided, however, that
Mountain States' personnel or subcontractors shall not be required to sign individual
agreements with Customer or waive any personal rights.
e) Confirm Customer's business goals and review items to be completed prior to the
Installation or Deployment Date.
f) Provide Services Completion Certificates to the Customer and perform project closure
to transition the project deliverables to the Customer's Project Manager
1.10 Customer Project Management
a) Customer shall designate a person to whom all Mountain States communications may
be addressed and who has the authority to act on all aspects of the Services.
Designate a Customer Project Manager to be Mountain States' primary point of contact
for all Installation activities. Customer's Project Manager will be responsible for
coordinating all project personnel and Customer suppliers to resolve any issues
encountered by the project personnel.
b) Retain overall responsibility for any business process impact and any process change
implementation for Customer Business Units.
c) If Services are performed at a Customer Site, customer shall provide Mountain States
project personnel with suitable temporary office space (including workplace policies,
conditions and environment in effect at the Customer Site) dial -up line(s), telephone,
physical site /security access to the Customer Site, access to internetworking
location /infrastructure and relevant hardware and software systems. Verify the
accuracy, correctness and the functionality of the information content of any
applications that may interface with the Cisco Systems applications.

1.11 Customer Technology Environment
a) Provide accurate information about the network infrastructure in its current state,
identifying any significant problems in the current voice and data environments and
ensuring pre- requisite hardware, software, network and connectivity configurations are
acquired and available. All pre- requisite software products (e.g. Windows NT, NT
Server, IIS, etc.) are acquired and fully licensed for the use of project personnel.
b) Ensure that any Customer - provided hardware is certified and configured based on
Cisco Systems recommended hardware configurations or better. All hardware that will
be used for this engagement is on the Hardware Compatibility List published by Cisco.
c) Provide information regarding. the total number of geographic sites, the names of those
sites, the projected number of users at those sites, the projected number of
workstations at those sites, the types of workstations at those sites, and the types of
users at those sites. Customer shall ensure that all information provided by Customer
concerning the design, topology, and other features of its network is materially
accurate, and shall not materially change between the date of Customer's execution of
this Scope of Work and the completion of all Services contemplated hereunder.
d) Customer is responsible for the implementation of any physical site security, loss
protection, disaster or business recovery, and protection against losses caused by
natural disasters, acts of violence, and willful use of force or sabotage. Mountain
States shall have no responsibility for, or liability as a result of, any breach in security of
Customer's network. Mountain States cannot guarantee that Customer's security may
or may not be vulnerable from any included, omitted or overlooked instances whether
or not presented in the Scope of Work or deliverables associated with this Scope of
Work. It is Customer's responsibility to safeguard the information contents, integrity
and security of hardware, software and data used in this project from any unauthorized
personnel.
Key Assumptions
This Scope of Work, and the Service pricing herein, was prepared based on the following key
assumptions ( "Assumptions "). Any deviations from these Assumptions that arise during the
project shall be managed through the Change Management Procedures, as described. Parties
agree that any changes in the Assumptions may result in an adjustment in the Service Pricing.
a) Delays caused by the lack of completed site preparation or Customer's failure to meet
any responsibilities specified in this SOW shall be billed at Mountain States' time and
materials rates including reasonable travel and other expenses. Any additional costs
incurred by Customer as a result of delays shall be the sole responsibility of the
Customer. Provided, that total compensation due from the Customer shall not exceed
the total amount appropriated by the Auburn City Council (plus applicable sales tax)
without further appropriation by the City.
b) Any device not directly sold or supported by Mountain States Networking is the direct
responsibility of the Customer for configuration and troubleshooting.
c) Customer assumes full knowledge of Product feature /functionality.

d) A new SOW will be required for any additional Services following the completion of the
activities under this SOW or in support of any other Services requested by Customer.
e) Labor rates for Services required by Customer to be performed outside Normal
Business Hours may be subject to premium time charges. All rates, charges, etc. are
subject to the "not to exceed" amount.
f) Email support is provided with a 48 -hour service level.
g) This SOW defines exclusively the scope of the Services that Mountain States shall
provide to the Customer. This SOW shall not apply to any purchase of Product or
maintenance, which are to be purchased separately, under terms outside of this SOW.
h) Mountain States may require a lead -time of up to 30 days from acceptance of a
Purchase Order from Customer to begin work.
Out of Scope
1.12 General
The following activities are considered out of scope for this Scope of Work unless otherwise stated,
but can be addressed by a future SOW, a Change Order or on a separate project basis:
a) Mountain States is not responsible for cable management.
b) Mountain States is not responsible for third -party device configurations.
c) Mountain States is not responsible for any Microsoft Active Directory and /or Exchange
administration.
d) Any external software interfaces or custom program codes that may require Custom
Engineering Services.
e) Post - Installation Design Modification, Systems consulting and Design, and Engineer
Design and Development are out of scope for this proposal and can be provided on a
time -and materials basis upon request.
f) Any solution not defined as part of the scope of this document.
Completion
Mountain States project personnel will be considered to have completed the Services under this
SOW when they have completed the Services listed.
Mountain States shall notify Customer of completion of each Service performed by providing a
Service Completion Certificate (SCC - sample provided as Appendix A). Upon notification,
Customer has ten (10) working days to schedule appropriate personnel to review the particular
Services performed and sign the SCC. No Services Completion Certificate is "accepted" or
approved unless signed by the Director after verification that work has been performed. In order to
refuse acceptance of the Services performed, Customer must both indicate non - acceptance on the
SCC and immediately provide written notification to Mountain States, describing why Customer is
rejecting the Services performed. Mountain States shall have ten (10) business days after the
receipt of such notice to correct the error given it is within Mountain States' scope to do so. Such
time period to correct the error may be extended by mutual consent.

1.14 Purchase Order Issuance
Note that these Services are covered under a Customer PO. All Purchase Orders are subject
to Mountain States' acceptance.
1.15 Invoicing and Payment
O Any change to the Service Invoice Schedule will be managed through the Change
Management Procedures specified herein.
El The remaining balance is invoiced and due upon an authorized representatives signature
on the Service Completion Certificate signifying customer's acceptance.
Authorization to Proceed
The use of signatures on this Scope of Work is to ensure agreement on project objectives and the
work to be performed by Mountain States Networking.

1.13 Service Fees
All stated prices are exclusive of any taxes, fees and duties or other amounts, however designated,
and including without limitation value added and withholding taxes which are levied or based upon
such charges, or upon this Agreement (other than taxes based on the net income gross revenue of
Mountain States Networking). Customer shall pay any taxes related to Services purchased or
licensed pursuant to this SOW or Customer shall present an exemption certificate acceptable to the
taxing authorities. Applicable taxes shall be billed as a separate item on the invoice.
