( "GEOENGINEERS ") and the CITY OF AUBURN ( "CITY "). The parties agree as follows: 1. DESCRIPTION OF SERVICES. GEOENGINEERS agrees to provide the consulting services set forth in the Scope of Services attached hereto at Exhibit A, by this reference made a part hereof, for the purpose of conducting professional services for geotechnical engineering in support of the design and construction of the Auburn Youth Center and Community Center Project. 2. PAYMENT. For services delivered under the Scope of Work, the CITY agrees to pay GEOENGINEERS a total not to exceed fee of $13,900.00 pursuant to the project budget inclusive of expenses. Notwithstanding its rate and payment provisions contained in its proposal for services, GEOENGINEERS understands and agrees that payments must go through City Council authorization at a regularly scheduled Council meeting and as such, payment shall only occur after this authorization has been received. 3. EXPENSE REIMBURSEMENT. GEOENGINEERS shall pay all "out -of- pocket" expenses, and shall not be entitled to reimbursement from the CITY except for specific services, items or activities listed in the Scope of Services as reimbursable goods or services. 4. TERDI /TERMINATION. A. This Agreement is effective upon both parties' signatures, and expires at 11:59 p.m. on Friday, December 5, 2014 or upon completion of GEOENGINEERS services, whichever is earlier, unless extended by mutual agreement prior to the completion of all services. B. Either party may terminate the Agreement by notifying the other party in writing within seven (7) days of the intent to terminate. If this Agreement is terminated, CITY shall pay GEOENGINEERS for all work performed as of the date of termination. 5. RELATIONSHIP OF PARTIES. GEOENGINEERS is an independent contractor with respect to the City of Auburn, and not an employee of the CITY The CITY will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of GEOENGINEERS. 6. EMPLOYEES. The provisions of this Agreement shall also bind GEOENGINEERS employees who perform services for the CITY under this Agreement. 7. INDEMNIFICATION / HOLD HARMLESS. GEOENGINEERS shall indemnify and hold the CITY, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, or losses including reasonable attorney fees, to the extent arising out of or resulting from the negligent acts, errors or omissions of GEOENGINEERS in performance of this Agreement. The CITY shall indemnify and hold GEOENGINEERS, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, or losses including reasonable attorney fees, to the extent arising out of or resulting from the negligent acts, errors or omissions of the CITY in performance of this Agreement or the project. In the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of GEOENGINEERS and the City, its officers, officials, employees, and volunteers, (collectively the "Parties ") the Parties' liability hereunder shall be only to the extent of each Party's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Parties waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. Page 1 of 4 AUBURN* MORE THAN YOU IMAGINED This waiver has been mutually negotiated by the Parties. The provisions of this section shall survive the expiration or termination of this Agreement. Each party's defense obligation under this indemnity paragraph shall include only reimbursement of reasonable attorney's fees, costs, and expenses to the extent of that party's actual, proportional indemnity obligation. 8. INSURANCE. GEOENGINEERS shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by GEOENGINEERS, its agents, representatives, or employees. A. Minimum Scope of Insurance: GEOENGINEERS shall obtain insurance of the types described below- 1 Automobile Liability insurance covering all owned, non - owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to Provide contractual liability coverage. 2. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors and personal injury and advertising injury The CITY shall be named as an additional insured under GEOENGINEERS's Commercial General Liability insurance policy with respect to the work performed for the CITY under this Agreement. 3 Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. 4 Professional Liability insurance appropriate to GEOENGINEERS's profession. B. Minimum Amounts of Insurance: GEOENGINEERS shall maintain the following insurance limits: 1 Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. 2. Commercial General Liability insurance shall be written with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. 3 Professional Liability insurance shall be written with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit. C. Other Insurance Provisions: The insurance policies are to contain, or be endorsed to contain, the following provisions for Automobile Liability and Commercial General Liability insurance: 1 GEOENGINEERS'S insurance coverage shall be primary insurance as respect to the CITY Any insurance, self - insurance, or insurance pool coverage maintained by the CITY shall be excess of GEOENGINEERS'S insurance and shall not contribute with it. 2. GEOENGINEERS promises that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice by certified mad, return receipt requested, has been given to the CITY D. Acceptability of Insurers: Insurance is to be placed with insurers with a current A.M. Best rating of not less than A. VII (except for professional liability which may have a rating of not less than A.V). E. Verification of Coverage: GEOENGINEERS shall furnish CITY with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured Page 2 of 4 endorsement, evidencing the insurance requirements of GEOENGINEERS before commencement of the work. 9. ASSIGNMENT. GEOENGINEERS's obligations under this Agreement may not be assigned or transferred to any other person, firm, or corporation without the prior written consent of the CITY 10. NOTICES. All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person or deposited in the United States mail, postage prepaid, addressed as follows: IF to GEOENGINEERS. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. 12. AMENDMENT. This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties. 13. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 14. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Agreement shall not he construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. 15. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Washington. Venue for any court action shall be in King County, Washington. GeoEngineers previously prepared two documents for other improvements at Les Gove Park: 'Report, Geotechnical Engineering Services, Les Gove Park Improvements, Auburn, Washington" and "Report Addendum, Additional Pervious Pavement Design Recommendations, Les Cove Park, Auburn, Washington" dated May 14, 2008 and June 13, 2008, respectively We also provided construction observations services during construction of the Activity Center in 2009. Our proposed scope of services is based on a brief site visit on September 23, 2014, review of a site sketch provided by you, discussions with you and the project architect (ARC Architects), and previous experience at the site. The revisions to the scope are based on comments provided by you and the project architect as well as review of Geotechnical Report Checklist provided by KPFF Consulting Engineers (project structural engineer). We understand the proposed improvements will include a Youth and Community Center, and additional permeable and conventional asphalt concrete pavement (ACP) parking. The Youth and Community Center will replace the existing park administration building east of the Activity Center We understand design is in the preliminary stages and design loads have not yet been determined. Our design recommendations will be based on assumed loading conditions, which will be described in our report. Based on discussion with the design team, we understand retaining walls are not envisioned for this project. Accordingly, we have not included retaining wall recommendations in our scope of services. Cay of Auburn - Public Works Department October 14. 2014 SCOPE OF SERVICES Page 2 The purpose of our services is to Investigate subsurface conditions and provide geotechnical recommendations to support design of the proposed Youth and Community Center Our specific scope of services for this project will include the following: 1. Review readily available published and in -house Information that includes the project site. We anticipate published information will include geologic maps that cover the project site. In -house information will include our prior reports and construction field reports for prior improvement work we have observed. 2. Locate and coordinate clearance of existing utilities. We will contact the "One-Call Underground Utility Locate Service" prior to beginning explorations, as required by Washington State law 3. Retain a private locating service to Identify on -site utilities not located by the One -Call. 4 Explore soil and groundwater conditions near the locations indicated on the site sketch provided by ARC Architects by drilling four borings using subcontracted track - mounted hollow -stem auger drilling equipment. The borings will be advanced to a depth of 25 feet or 5 feet into very dense soils, whichever occurs first. We have allowed for up to 100 linear feet of drilling. The drilling will be monitored on a full -time basis by a GeoEngineers field engineer or geologist. 5. Evaluate pertinent physical and engineering characteristics of the site soils based on our observations and samples obtained from the borings. We anticipate testing will Include sieve analysis and moisture content determination. 6. Provide a discussion of existing soil and groundwater conditions based on our explorations, previous study, and literature review We will discuss the depth, composition and supporting capacity of existing fill, if encountered. 7 Provide geotechnical seismic design Information In accordance with 2012 International Building Code (IBC) criteria and a discussion of liquefaction potential of site soils. S. Provide recommendations for shallow spread footing foundations, Including allowable soil bearing pressure, bearingsurface preparation criteria, lateral resistance values, and estimates of settlement. We will also provide recommendations for perimeter footing drains, if necessary 9. Provide recommendations for floor slab support, including soil modulus of subgrade reaction, subgrade preparation criteria, and estimates of settlement. 10. Provide recommendations for permeable ACP in the proposed parking area north of the existing buildings In accordance with the City of Auburn Surface Water Management Manual (2014 update) and the 2012 LID Technical Guidance Manual for Puget Sound. This Includes providing a design stormwater infiltration rate for site soils. 11. Provide recommendations for conventional ACP design, including base and subbase requirements. Our recommendations will be based on typical automobile parking lot traffic, the existing pavement section and our experience. 12. Provide recommendations for site preparation and grading including clearing and stripping, utility trench excavation and backfill, and temporary slopes. We will also discuss criteria for Import fill material, suitability of on -site soils for fill, fill placement and compaction, and wet weather considerations. Provide a discussion of construction considerations based on our explorations and previous experience at the site. 14 Prepare a written report of our recommendations along with the supporting data. The report will include our findings and recommendations, summary logs of the explorations, laboratorytest results and a site plan showing the exploration locations. SCHEDULE We can begin coordinating our subcontracted services promptly upon receipt of written authorization to proceed. We estimate we can drill the borings within about two weeks of authorization, subject to subcontractor availability We anticipate that the borings will be completed in one day Our report will be available about four weeks after the completion of field work. We will provide preliminary information to you and your design team as we develop our recommendations. FIELD METHODOLOGY The borings will be located in the field by pacing or measuring from existing features such as buildings and edge of pavement shown on plans provided by the project team. The drilling will be performed using track- mounted drilling equipment to reduce potential disturbance to existing lawns; however, some disturbance may occur due to our exploration activities. We have not included repair of landscaping in our scope of services. The drilling will generate excess soil that will not be replaced in the borehole. Our scope and fee estimate assumes that the soil cuttings will be left on site. TERMS AND BUDGET We propose to conduct our services on a time- and - expense basis in accordance with our Schedule of Charges, a copy of which Is attached and forms part of this scope and budget. We understand our services will be executed in accordance with your Agreement for Consulting Services with mutually negotiated changes. We estimate the fee for the services described above will be approximately $13,900. We will notify you if field conditions warrant a change in scope and budget. OTHER SERVICES, SUPPLIES AND SPECIAL TAXES Charges for services, equipment, supplies and facilities not furnished in accordance with the above schedule, and any unusual Items of expense not customarily incurred in our normal operations, are charged at cost plus 15 percent. This includes shipping charges, subsistence, transportation, printing and reproduction, miscellaneous supplies and rentals, surveying services, drilling equipment, construction equipment, watercraft, aircraft, and special insurance which may be required. Taxes required by local jurisdictions for projects in specific geographic areas will be charged to projects at direct cost. Per diem may be charged In lieu of subsistence and lodging. Routinely used field supplies stocked in -house by GeoEngineers, at current rates, list available upon request.
