1 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AMENDING
CITY OF AUBURN RESOLUTION NO. 1684 (PASSED MAY 19, 1986) , CORRECTING
2 SAME AND NOW AUTHORIZING THE TRANSFER OF THE CABLE TELEVISION FRANCHISE
FROM GROUP W CABLE, INC. TO GWC AUBURN, INC. AND AUTHORIZING THE
3 SUBSEQUENT TRANSFER OF CONTROL OF GWC AUBURN, INC. TO TCI CABLEVISION
OF WASHINGTON.
4 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A REGULAR MEETING
5 DULY ASSEMBLED, HEREWITH RESOLVES :
6 That certain paragraph on page two at line 18 through 23 of Resolution No.
7 1684 authorizing the transfer of cable television franchise from GROUP 'W
8 CABLE, INC. to TCI CABLEVISION OF WASHINGTON, INC. , which reads as follows,
9 to-wit:
10 "The cable television franchise presently held by GROUP W
11 CABLE INC. , is authorized to be transferred to
12 TELECOMMUNICATIONS, INC. , such transfer of franchise to be
13 official on June 1, 1986, and after the date a duly exe-
14 cuted copy of an instrument in writing, such as a bill of
15 sale or similar document, is filed with the Office of the
16 Director of Public Works for the City of Auburn within
17
thirty (30) days after such transfer or assignment."
18 is hereby amended to read as follows :

"That in consideration of the premises, Granter hereby (i ) acknowledges
20
and ratifies the sale by WESTINGHOUSE ELECTRIC COMPANY of all the issued and
21
outstanding shares of the capital stock (and the transfer of control ) of Group
22
W Cable to Buyers on or about June 19, 1986; and (ii ) consents to and ratifies
23
the transfer of the System by Group W Cable, Inc. to its wholly owned sub-
24
sidiary, GWC Auburn, Inc. ; and (iii ) consents to the impending transfer of
25
control of GWC Auburn, Inc, to TCI CABLEVISION OF WASHINGTON, INC. ; provided
26
however, that the consents set forth in (ii ) and (iii ) above shall be subject
27
to the condition that GWC Auburn, Inc. shall , within 30 days of the effective
28
date of this Resolution, execute and deliver to Grantor its acceptance of and
29
its agreement and undertaking to perform all of its duties and obligations
30
under such franchise.

l The Mayor is hereby authorized to implement such administrative proce-
2 dures as may be necessary to carry out the directions of this legislation.

the City of Auburn, a Municipal Corporation and Code City, situate in
the County of King, State of Washington, do hereby certify that the
foregoing is a full, true and correct copy of Resolution No. 1710 of
the resolution of the City of Auburn, entitled "AN RESOLUTION. "
I certify that said Resolution No. 1710 was duly passed by the
Council and approved by the Mayor of the said City of Auburn, on the
6th day of October A.D. , 1986 .
