WHEREAS, the CITY desires to contract with the ARTIST to provide a performance (performances) for the public In Auburn, Washington; and WHEREAS, the ARTIST has agreed to perform the work in compliance with the terms and conditions of this Agreement; NOW THEREFORE, the CITY and ARTIST In consideration of the conditions and covenants herein do agree as follows: 1. RETENTION OF ARTIST: The CITY does hereby retain the ARTIST to perform the work and services described herein. The parties agree that the ARTIST is an Independent contractor and shelf furnish all supervision, labor, and all other Incidentals except as specifically provided herein and the ARTIST agrees to conduct and complete the performance in a competent and professional manner in accordance with the terms of this Agreement. 2. SCOPE OF WORK: The ARTIST agrees to provide the following specific services: Friday, March 18, 2018 7:30 pm and Saturday, March 19, 2016, 7:30 pm Two (2) performances of Broadways Next Hit Musical (90 -120 minutes, no intermission). 3. SITE OF PERFORMANCE: The ARTIST will conduct Its performance at the Auburn Avenue Theater, 10 Auburn Ave herein referred to as "VENUE" 4. REQUIREMENTS a. The CITY shall provide the following for this performance: Promotion of performance and performance programs; Box office management and staffing; Ushers and front -of -house staffing (not Incl, merchandise sales - Reference Item 7•C below). b. The ARTIST shall provide the following for the performance: Provide scores and parts for the company and pay all fees (it any) associated with public performance of music; Engage and rehearse the company; Provide program content, biographies, and optional photographs of key production staff and artists for performance program and public relations materials with the execution of this contract; Additional promotion of event as negotiated with CITY. C. Technical Requirements: The CITY shall provide the following technical assistance for this performance: The CITY will assist with coordination of technical services between the VENUE and the ARTIST. The CITY agrees to provide, through the VENUE, technical labor for thiMproduction, as detailed in the ARTISTS's Technical rider (See Addendum) and as approved by the technical director of the VENUE and the ARTIST. ARTIST Fee: In considerallon of the services to the CITY in connection with the ARTIST scope of work (performance), the ARTIST shall receive total compensation of Ten thousand three hundred dollars ($10,300). b. Complimentary Company Tickets: The ARTIST shall be provided up to Ten (10) complimentary tickets for the performance. The ARTIST may request tickets in advance or provide the CITY box office representative with a guest list 30 min. prior to the performance. C. Hotel Accommodation., 7 single hotel rooms for March 17, IS and 19, 2016, Local ground transportation Is included within fee. 6. PAYMENT SCHEDULE The ARTIST shall be paid as outlined in Item 5 above by the CITY for the completed work and performance in compliance with the terms of this Agreement. Such payment shall be full compensation for all work performed and services rendered under the terms of this Agreement. The payment to the ARTIST shall be in compliance with the regulations of the CITY Finance Department. The ARTIST agrees to be responsible for payment of any and all taxes, which may be due as a result of performance under this contract. a. Deposit of $1800.00 will be sent to Baylin Artists Management Inc. herein referred to as "AGENT." within 30 days of the execution of this contract, per compliance with the regulations of the CITY Finance Department, b. Deposit of $3200.00 will be sent to Next Hit Productions, LLC. herein referred to as "ARTIST." within 30 days of the execution of this contract, per compliance with the regulations of the CITY Finance Department. C. Balance of $5300.00 will be delivered to the ARTIST's company manager or his /her designee Immediately following the performance. The payment to the ARTIST shall be In compliance with the regulations of the CITY Finance Department. The ARTIST agrees to be responsible for payment of any and all taxes, which may be due as a result of performance under this contract. 7. PROMOTIONAL RESPONSIBILITIES a. Promotional materials shall be mutually agreed upon between the CITY , ARTIST, and AGENT. b. The ARTIST assumes sole and total responsibility for all of ARTIST Merchandise Concessions, if any, including inventory ceish bank credit card supplies and sales personnel. ARTIST maintains 100% of total sales receipts of ARTIST Merchandise. The CITY and/or VENUE will provide (2) tables in the lobby of the VENUE for Merchandise Sales. If ARTIST cannot provide sales personnel, the CITY will provide up to two volunteer personnel. ARTIST and/or AGENT must sign a waiver releasing the CITY of any liability regarding the sale of merchandise. 8. INDEMNIFICATION The ARTIST agrees to Indemnify, defend and hold the CITY, its AGENTS, representatives and employees harmless from and against any and all claims, causes of action or demands or any form of liability of any nature including, but not limited to any copyright infringements for musical BRAVO 2015 -16 Season Agreement— Broadways Next Hit Musical Page 2 of 4 performances, arising out of the performance and obligations contained in this Agreement on the part of the ARTIST , its AGENTS, representatives and employees except where such claims arise solely from the negligent acts of the CITY, its AGENTS, representatives or employees. 9. INABILITY TO PERFORM If ARTIST is incapacitated from rendering services through sickness or otherwise, or if ARTIST cannot perform because of fire, accident, act of God or impossibility of performance, through no fault of the CITY, the performance(s) (Item 2: Scope of Work) shall be rescheduled at a mutually agreed upon date to occur not more than 12 months following the date of the initially scheduled performance, either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. If the performance cannot be rescheduled within that period, 100% of Deposit (Item 6: Payment Schedule) paid to ARTIST shall be returned to CITY. If the ARTIST services cannot proceed through some fault of the CITY due to causes other than fire, accident, act of God or impossibility of performance. the CITY shall reschedule the ARTIST services on a mutually agreed upon date between CITY and ARTIST and either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. 10. TERMINATION In the event the ARTIST or the CITY defaults or fails to comply with any of the requirements of this Agreement, or any obligations hereunder, the CITY may at its option terminate the Agreement. Such remedies shall be in addition to any other right or remedy each may have. 11. GENERAL PROVISIONS The following provisions may apply: A_ No waiver by either party of any breach or default hereunder shall be deemed a waiver of any preceding or any subsequent breach or default. B. This Agreement may not be changed or modified nor any provision hereof waived except in writing agreed to by both parties. C. This Agreement shall be construed in accordance with and all questions with respect hereto shall be determined by the laws of the State of Washington. D. The ARTIST agrees to pay all reasonable costs, attorney's fees and expenses that may be incurred by the CITY in enforcing the provisions of this Agreement. E. In the event of inclement weather an alternate location must be selectadl if an alternate location is not selected and the Presenting Organization cancels the performance, the Presenting Organization agrees to pay contracted fee within 30 days of cancellation. F. The Artist has refused offers for other performances In order to enter Into this Agreement, and the Artist may have Incurred substantial out of pocket expenses In connection herewith. Therefore, If Presenting Organlratlon postpones the porformance without cause, the Presenting organization ogress to reschedule the performance for a mutually agreeable data and will reimburse artist for any documented out of pocket expenses Incurred by such a postponement such 09, but not limited to, travel expenses, actor, musician, and/or crow salaries. If a performance Is cancelled by Presenting Organization without cause, and is not rescheduled to a mutually agreeable date, the Presenting Organisation agrees to pay contracted fee within 30 days of eancellatlon. The exact level of the blackout (i.e,. blue wash at 10%) will be set during technical rehearsal. • The ability to control the level of the house lights ftom the fight booth is prororred. IPod1CD Playert • Elthor an Mod or CD player should be Integrated into the sound system. • BNHM will provide all necessary CD's11Pod with music for pre-show and Intermission music. • No music or entertainment taped or otherwise will be played before or after the BNHM performance without the approval of BNHM. Control: • All foods should run into a single sound board. • BNHM would like to receive an audio and a video copy of the performonce(s) for our own purposes, if the venue has the capability to ornate either / both of those with their own equipment, that is preferred, if not, however, BNHM DOES travel with both an audio capture device (Zoom H4N) and a video camera (Sony 08114 Pgef ors HDR•PJ43)V). If the audio feed can be sent out directly to the video camera, it should come out to a single 118" male. If not, the audio can go straight to BNHM's audio capture device, which would need that feed to come in as 2 male XLR OR male r /4" plugs. The video camem will be placed on a small tripod near the board (or elsewhere, if necessary), Both devices will need to be plugged In for power. • It will be necessary to mixtadjust all feeds and levels during technical rehearsal and all performances. o SpeolFically, the actors' wireless microphones (see MICROPHONES, above) are to be live while they are onstage and cut when they are off-stage, at the control of the sound board operator. This level of control must be possible while leaving all other microphones live throughout all performances,, BNHM stage manager will call all sound oues, Including actors' entrances and exits. DAY.OF.P,ERFORMANCE SCHEDULE Sotupt • Prior to load -in all equipment must be tested to ensure that it is working properly. • BaekupsMoplacoments for any and all equipment/batteries must be available throughout the course of technical rehearsals and performances. • A preliminary sound check to ring out/EQ mica and ensure that each rate Is being fed through each monitor successfully is requested. BNHM's stage manager will conduct a full sound check with sound engineer and cast upon their arrival. • All tech must be prepared upon stage manager's arrival Load -In/ Sound Check: • Stage Manager and oast will arrive for Load -in and Sound Check approximately five (5) hours before the performance with Sound Check beginning three and a half (3.5) hours prior to perfotmanoo. Pre -Showt • Presenter will be given a questionnaire a few weeks in advance of the company's arrival, to fill out and return to j uI� lan baylinartists.eom which will help the company incorporate local information into the show as Improvised scene work allows. • One hour before show time, presenter agrees to set up two 6-foot tables in the lobby for audience members to write and submit made up song titles. Presenter will be given a Broadway's Next HIT Musical song title suggestion card template to duplicate and cut to the proper size. One suggestion card Is allotted per person so if the venue is 500 seats, then 500 suggestion cards must be made. These cards should be at the tables along with pens and a basket or collection box for Filled out cards at each table. Ideally, there Is a sign posted In viewable spots which says "Please write down your MADE UP song title. "1 Lo17e My Cat" — Correct. "Somewhere Over the Rainbow " — Incorrect ".One volunteer is required at each table to guide audience members and remind them to write down a made up song title, • When the doors open, the BNHM's emcee will appear in the lobby and conduct 'red carpet interviews' with audience members as they enter. The cast requests any / all of the following materials: • A dummy bandheld microphone for the emcee to use as a prop (no cable needed) • One panel of pipe and drape to be used as a place to conduct the interviews • A red carpet for people to enter the interview area • Stanchions with connecting ropes to define the red carpet / Interview area Note: BNHM will still do this red anrpm section regardless of what the venue is able to provide Length of Performance: 85 minutes no intarmtssio ( AAi Load-out: i - • Load out will take place Immediately after the performance, coneu antly with any post- parfonnanoe discussion, and will be aided by the production assistant provided by the venue • Please Note.- All of the above tones are approximate.
