i AGREEMENT FOR AR ISTIC SERVICE
THIS AGREEMENT is made and entered into this t� 1 5, by and
• between the City of Auburn, Washington (PRESENTER), Municipal, ?ation of the State
of Washington herein referred to as "CITY" and RIDERS IN THE SKY whose contact

information is, 49 Music Square West, Suite 503, Na hville, TN 37203, herein referred to as
"ARTIST" and New Frontier Management, Inc. w pSe contact information is 1503 17ih
Avenue South, Nashville, TN 37212, herein referred o as "AGENT".

• WHEREAS, the CITY desires to contract wit the ARTIST to provide a performance for
I the public in Auburn, Washington; and

WHEREAS, the ARTIST has agreed to perfo the work in compliance with the terms

and conditions of this Agreement;
t NOW THEREFORE, the CITY and ARTIST it consideration of the conditions and
covenants herein do agree as follows:
1. RETENTION OF ARTIST: The CITY does he by retain the ARTIST to perform the work
and services described herein. The parties agree th the ARTIST is an independent contractor
. and shall furnish all supervision, labor, and all other i cidentals except as specifically provided
herein and the ARTIST agrees to conduct and comp) to the performance in a competent and
professional manner in accordance with the terms of is Agreement.
2. SCOPE OF WORK: The ARTIST agrees to p pvide the following specific services:
Public performance on Saturday, February 6, 201. 3:00 pm for a 90-120 minute
performance with intermission.
3. SITE OF PERFORMANCE: The ARTIST will onduct its performance at the AUBURN
PERFORMING ARTS CENTER, 702 Fourth St. N.E. •luburn, WA 98002 (NOTE: Venue is NOT
the presenter!) herein referred to as "VENUE"

' 4. REQUIREMENTS
a. The CITY shall provide the following for this performance: Promotion of
performance and performance programs; Box ,ffice management and staffing; Ushers
and front-of-house staffing (not incl. merchandise sales - Reference Item 7-D below).
b. The ARTIST shall provide the following for the performance: Provide scores
. and parts for the company and pay all fees (if 4iny) associated with public performance of
music; Engage and rehearse the company; Pr vide program content, biographies, and
optional photographs of key production staff a d artists for performance program and

public relations materials with the execution f this contract; Additional promotion of
event as negotiated with CITY.
c. Technical Requirements: The CITY hall provide the following technical
assistance for this performance: The CITY II assist with coordination of technical
services between the VENUE and the ARTI . The CITY agrees to provide, through
the VENUE, technical labor for this productio , as detailed in the ARTISTS's Technical
rider (See Addendum)and as approved by t technical director of the VENUE and the
ARTIST.
5. COMPENSATION
a. ARTIST Fee: In consideration of the sgrvices to the CITY in connection with the
ARTIST scope of work (performance), the A9JTIST shall receive total compensation of
$12,500 (Twelve thousand five hundred and no/100).
b. Complimentary Company Tickets: Tie ARTIST shall be provided up to Ten
(10) complimentary tickets for the performance . The ARTIST may request tickets in
advance or provide the CITY box office repre entative with a guest list 30 min. prior to
the performance.
c. Hotel Accommodation: Five (5) singl hotel rooms for one night, February 6,
2016 and arrangements for parking a 35' bus.
6. PAYMENT SCHEDULE
The ARTIST shall be paid as outlined in Item * above by the CITY for the completed
work and performance in compliance with the ernes of this Agreement. Such payment
shall be frill compensation for all work performtd and services rendered under the terms
of this Agreement. The payment to the ARTIST shall be in compliance with the
regulation's of the CITY Finance Department. e ARTIST agrees to be responsible for
payment of any and all taxes, which may be d e as a result of performance under this

a. Promotional materials shall be mutua y agreed upon between the CITY ,
ARTIST, and AGENT.
b. CITY will not permit the recording or •roadcast, oral and/or visual, of any
performance without the prior, written Iconsent of ARITST or ARTIST's
authorized representative.
c. CITY will not permit RIDERS IN THE KY's name to be used on associated
directly or indirectly with any product r service without the prior, written consent
of ARTIST or ARTIST's authorized r t resentative.
d. The ARTIST assumes sole and total sponsibility for all of ARTIST
Merchandise Concessions, if any, incl iding inventory, cash bank, credit card
supplies and sales personnel. ARTIST maintains 100% of total sales receipts of
ARTIST Merchandise. The CITY and pr VENUE will provide (3) three tables in
the lobby of the VENUE for Merchand se Sales. If ARTIST cannot provide sales
personnel, the CITY will provide up to we volunteer personnel. ARTIST and/or
AGENT must sign a waiver releasing e CITY of any liability regarding the sale
of merchandise.
8. BILLING
a. RIDERS IN THE SKY shall receive 10p% top or equal star billing in any and all
publicity releases and paid advertisements, including but not limited to radio and TV
spots, programs, flyers, signs, lobby boards and marquees. No other name or
photograph shall appear in larger type accorded RIDERS IN THE SKY. The official
photograph to be used in all publications is thi photograph which will be sent to you by
ARTIST or ARTIST's authorized representati lyles.
b. CITY agrees that ARTIST has sole and exclusive control over the products
presentation, content and performance of ARTIST'S portion of the show.
9. INDEMNIFICATION
The ARTIST agrees to indemnify, defend and cold the CITY, its AGENTs,
representatives and employees harmless from and against any and all claims, causes of
action or demands or any form of liability of ary nature including, but not limited to any
copyright infringements for musical performan•es, arising out of the performance and
obligations contained in this Agreement on thu part of the ARTIST , its AGENTs,
representatives and employees except where puch claims arise solely from the negligent
acts of the CITY, its AGENTs, representatives(or employees.
10. INABILITY TO PERFORM
If ARTIST is incapacitated from rendering set ices through sickness or otherwise, or if
ARTIST cannot perform because of fire, .ccident, act of God or impossibility of
performance, through no fault of the CITY, th- performance(s) (Item 2: Scope of Work)

shall be rescheduled at a mutually agreed u.on date to occur not more than 12 months
following the date of the initially scheduled sier6xmance, either at the same VENUE as
initially scheduled or at another compare. e venue available to the CITY for such
performance. If the performance cannot b- rescheduled within that period, 100% of
Deposit (Item 6: Payment Schedule) paid to •RTIST shall be returned to CITY.
If the ARTIST services cannot proceed thro gh some fault of the CITY due to causes
other than fire, accident, act of God or im•ossibility of performance, the CITY shall
reschedule the ARTIST services at another omparable venue available to the CITY for
such performance on the same day.
11. TERMINATION
In the event the ARTIST or the CITY defaults l.r fails to comply with any of the
requirements of this Agreement, or any oblig. ions hereunder, the CITY may at its option
terminate the Agreement. Such remedies sh II be in addition to any other right or
remedy each may have.
12. NOTICES
Any notice required or permitted under this A eement may be personally served, or
given in writing, and shall be deemed sufficierly given or served if sent by registered or
certified mail addressed to the respective part es as follows:

Notice given in accordance with these provis ns shall be deemed received when
mailed.
13. GENERAL PROVISIONS
The following provisions may apply:
A. No waiver by either party of any breao or default hereunder shall be deemed a
waiver of any preceding or any subsea uent breach or default.
B. This Agreement may not be changed or modified nor any provision hereof
waived except in writing agreed to by loth parties.
C. This Agreement shall be construed in accordance with and all questions with
respect hereto shall be determined by he laws of the State of Washington.
D. The ARTIST agrees to pay all reason.ble costs, attorney's fees and expenses
that may be incurred by the CITY in e owing the provisions of this Agreement.
E. In the performance of the work herein,the ARTIST agrees to comply with all
applicable State and local laws, rules nd regulations.

HOSPITALITY AND TECH RIDER
HOSPITALITY RIDER
• At least one (1) clean dressing room for artist' use, and will keep that area reserved
soley for Artist and authorized personnel.
• Appropriate security personnel for stage and )ressing room protections of atist's
personal instruments and personal property.
• Five (5) non-smoking, single occupancy room at a clean quality hotel or motel. Please
register rooms and guarantee for a late arrivai Keep in mind Artist travels in a 35' bus
and will need a parking space.
CATERING
• Provide fresh vegetables, cold cuts, cheese a d bread for sandwiches, assorted non-
alcoholic beverages, such as bottled spring w.ter, DIET sodas, coffee and hot tea upon
arrival. On quart half& half would be appreci.Ited. -
• Five (5) hot and nutritious meals (high-protein eal of meat and vegegables) should be
provided following sound check and prior to th performance. Diet sodas, coffee, tea
and half& half should also be available for din er..
TECHNICAL RIDER
TECHNICAL REQUIREMENTS:
A. ARTIST typically loads into the venue three (:3) hours prior to show time.
PURCHASER should provide two (2) stageh=nds for ARTIST'S equipment three (3)
hours prior to the start of the show for take-i and set-up. Stagehands are also
required for striking and loading after the ?how. Stage hands should be available
for 1-hour after the performance, and commtaric.ate with the ARTIST road manager
regarding merchandise load- out from the lo b
y.
B. ARTIST requires the sound and lighting s stem, including monitor, microphones,
necessary hotlines for amplifiers, be set and riiperable three (3) hours prior to the
start of the show and that sound pressure lev Is will be checked at that time.
SOUND EQUIPMENT:
1. ARTIST requires a professional quality so rd system consisting of eight (8)
microphones. Four (4) of these microphones shall be for vocals, with the remainder

for instrument mic-ing. All instruments are -coustic. No direct boxes are needed. NO
SUBSTITUTION OF MICROPHONES WIL BE PERMITTED. Microphone
requirements are as follows:
• Four (4) Vocal Mics: Shure SM-58 fir ALL for vocals
• Four (4) Instrument Mics: Shure SM for for the accordion
• Shure SM-58 for the fiddle Shure S -57 for the guitar Shure SM-57 for the
bass
• Eight (8) boom stands in perfect wo my order also are required.
2. RIDERS IN THE SKY require ONE (1) m� nitor downstage, center. Any additional
monitor wedges onstage need to be remov4d before sound check. The monitor
system should be "state of the art"quality. he monitor mix should be independent
from the front of house mix. Monitor mix sh II have at least an octave equalizer.
3. PURCHASER agrees to provide all soun technicians. However ARTIST or
authorized representative reserve the right tip have complete control over the sound
mixing and shall have the right to add speci 1I effects to each particular system.
4. PURCHASER agrees to provide a suitab area in front of the stage for the
positioning of a mixing console. This area s could be located between 50 and 100
feet directly in front of the stage.
LIGHTING SYSTEM:
1. Lights are necessary for any indoor perfol ance and/or any outdoor performance
after sunset. PURCHASER shall also providr all lighting technicians. Please keep in
mind that ARTIST wear large hats, which might cause shadowing on their faces.
2. ARTIST requires a minimum of two (2) stage trees or one (1) cross stage truss.
Stage flood should be 1000 pars or equivaleit.
3. ARTIST requires two (2) super troopers (0 equivalent) spotlights. At least four (4)
direct "Specials" shall be available.
4. Primary colors required for stage wash: red, blue, magenta, yellow, purple, etc.
PROJECTION SYSTEM:
If venue has either front or rear screen projec¢tion capabilities, ARTIST would
appreciate use of the projector and screen. \I deo source is from DVD, which
ARTIST will supply. Stereo audio line inputs Should be available to front of house
(from DVD player). ARTIST carries a portabl DVD player if needed. Video source
will be tested and cued during sound check.

1. In case of an outdoor event, stage must e covered or adequate t stage cover s to
be provided, at PURCHASER'S expense, r protection from rain/sun.
2. While this is optional, PURCHASER is u ged to create appropriate set dressings
for ARTIST'S performance. Suggested sta e props: fence posts, wagon wheels,
sunset backdrop, barrels, chuckwagon, sa uaro cactus, etc. RIDERS IN THE SKY
will of course bring their famous wooden c ictus, electric campfire, stuffed armadillos
and hanging backdrop. Please see attache stage plot.
